Regular Meeting I. Call to Order: A quorum being established, President Eduardo Ochoa called the

meeting to order at 8:32 a.m.

II. Approval of Minutes: Moved by Director Dr. Ronnie Higgs and seconded to approve the 29 September 2016 meeting minutes as presented. With Directors Pat Tinsley McGill and Michael Smith abstaining, the motion carried.

III. Reports: A. FY 2016/17 Q2 Financials: Corporation Controller Sherry Baggett presented the

second quarter financial report, highlighting areas of interest for the Board. Total Assets have increased by $69.3M this fiscal year due to the acquisition of the Promontory housing buildings. Total Liabilities have also increased by $66.7M due to the acquisition of debt required to purchase the Promontory. The Total Net Position has increased by $2.6M this fiscal year as seen in the increases in Net Investment in Capital Assets and Unrestricted Net Position. The Corporation’s Total Net Position balance as of December 31, 2016 is $59.2M compared to $56.6M at June 30, 2016.

B. External Funding Update – Sponsored Programs: Director of Sponsored Programs Office Cindy Lopez presented the first and second quarter’s external funding report. Through 30 September 2016, total awards are at $4.6M, approximately $1.8M less than the same period prior year. Through 31 December 2016, total awards are at $8.2M, approximately $2.5M less than the same period prior year.

C. Corporate and Foundation Relations Report – University Development: Corporate and Foundation Relations Officer Clarisa Avila reported on private grants. The Corporation has been awarded approximately $1.3M in private grants year-to-date. Pending awards total approximately $743K.

D. Investment Committee Report: Director of Operations Maria A.Y. Garcia reported on the Investment Committee’s activities on behalf of the Chair Robert Taylor. For the quarter ending 31 December 2016, the Operating Fund had a 0.1% gain, outperforming the policy index by 0.31%. Over a five-year period, the operating fund returned 5.4%, outperforming the policy index by 0.6%.The Investment Committee met on 17 February 2017 and concentrated on the Endowment Fund. The next meeting is scheduled for 12 May 2017.

E. Student Housing and Residential Life Report: Director of Student Housing and

Residential Life Jennifer Crompton reported on Student Housing and Residential Life on campus. Ms. Crompton reported on occupancy and fall projections noting that this year, occupancy has been less than previous years in some areas, but was still at 110% of the design capacity in fall. Key successes thus far include the implementation of the new program, StarRez, record turnouts for RHA events, Living Learning Program growth in Project Science Math and Technology, and gender inclusive housing. Objectives for the upcoming year are continued success and growth in the Living Learning Programs, hiring of additional RA staff to cut the RA to student ratio down and improve student service across all on-campus housing. There is also a need for the addition of Professional staff to assist with departmental growth, student needs and provide better service to students.

F. Bookstore and Dining Operations Proposal Update: Ms. Garcia reported on the Corporation’s operations. Sodexo, the food service vendor on campus, was granted a one-year extension on their current contract. The contract was set to expire in August 2017. A solicitation for proposals will go out in 2018. A target solicitation for book store management services will go out in June to two vendors, Barnes and Noble and Follett. The Investment Committee has decided to solicit consultants for proposals, as well. It was noted that the Investment Committee is satisfied with its current consultant; however, it is best practice to see what other consultants have to offer.

G. Executive Director’s Report: Executive Director Kevin Saunders reported on the campus’ offsite locations. Mr. Saunders also provided updates on upcoming courses that would be held at offsite locations in the future. It was noted that the Corporation will begin making rent payments in July 2017 for the CSUMB @ North Salinas building. Up until now, only utility fees have been paid at this location.

IV. Unfinished Business: None V. New Business: Governance and Compliance Manager Nancy S. Ayala presented the

Resolution: Accepting California Department of Water Resources-Satellite Irrigation Management Support needed in order to accept grant funds from the California Department of Water Resources. The resolution grants signature authority to the Director of Sponsored Programs Office to execute agreements and to the Corporation Controller to handle all financial matters. Moved by Secretary Bonnie D. Irwin and seconded to approve the resolution as presented. With no further discussion, the motion carried.

VI. Executive Session: The Board did not enter into executive session.

VII. Open Communication/Announcements: President Ochoa presented Director of Operations Maria A.Y. Garcia a plaque of appreciation for her dedicated service to the University, Corporation, and Foundation. Ms. Garcia will be leaving the Corporation after over 14 years of dedicated service.

VIII. Adjournment: With no further business to conduct and no objection, the meeting was adjourned at 10:02 a.m.

• As a result of the above, the Operating income exceeded budget by $1.3M
