Part of the fees payable under the consultancy agreement are linked to the performance of the Aeon share price over a specified period through provisions which will have the effect of increasing his remuneration consequent on increases in the Aeon share price beyond the current Aeon share price at the end of the specified period and reducing his remuneration on a decrease from the current Aeon share price at the end of the specified period. As OCP Asia (Hong Kong) Limited and its related bodies corporate are substantial shareholders in Aeon, Mr Harris has requested that he be considered to be a non independent Director as a consequence of this consulting relationship.
