ARTICLES OF INCORPORATION
OF
EL C^NQUISTADOR TOWER CONDOMINIUMS HOMEOWNERS ASSOCIATION, INC .
In compliance with the requirements of A .R .S . Sections 10-45 1
through 10-z58, the undersigned, all of whom are residents of Arizona an d
all of whom are of full age, have this day voluntarily associated them -
selves together for the purpose of forming a corporation not for profi t
and do hereby adopt the following Articles of Incorporation :
ARTICLE I
The"names, residences and post offices addresses of th e
incorporators are as follows :

ARTICLE-I I
The name of the corporation is EL CONQUISTADOR TOWER CONDOMINIUM S
HOMEOWNERS ASSOCIATION, INC ., hereinafter called the "Association" .
ARTICLE II I
The name and address of the statutory agent of the corporation is :
David Mehl, 7120 N . Oracle Rd ., Suite G, Tucson, Az . 85704
ARTICLE IV
PURPOSE AND POWERS OF THE ASSOCIATION
This Association does not contemplate pecuniary gain or profi t
to the members thereof, and the specific purposes for which it is formed
are to provide for maintenance . preservation and architectural contro l
of that certain Horizontal Property Regime commonly known and designated
as the El Conquistador Tower Condominiums (hereinafter referred to as th e
"Property " ) and for those purposes to :
a . Exercise all of the powers and privileges and to perfor m
all of the duties and obligations of the Association as se t
forth in that certain Declaration of Covenants, Conditions an d
Restrictions, hereinafter called the "Declaration " , applicabl e
to the Property and recorded or to be recorded in the Offic e

of the County Recorder of Pima County, Arizona, and as the sam e
may be amended from time to time as therein provided,_ .sai d
Declaration being incorporated herein as if set forth at length .
b. Fix, levy, collect and enforce payment by any lawfu l
means, all charges or assessments pursuant to the terms of th e
Declaration ; to pay all expenses in connection therewith and al l
office and other expenses incident to the conduct of the busines s
of the Association, including all licenses, taxes or governmenta l
charges levied or imposed against the property of the Association .
c. Acquire (by gift, purchase or otherwise), own, hold ,
improve, build upon, operate, maintain, convey, sell, lease ,i
transfer, dedicate for public use or otherwise dispose of rea l
or personal property in connection with the affairs of th e
Association .
d. Borrow money, and with the assent of members representin g
not less than 15 apartment units, mortgage, pledge, deed in trus t
or hypothecate any or all of its real or personal property a s
security for borrowed or debts incurred .
e. Dedicate, sell or transfer all or any part of the Commo n
Area to any agency, authority or utility, for such purposes an d
subject to such conditions as may be agreed to by the members .
No such dedication or transfer shall be effective unless an
instrument has been signed by members representing not less tha n
15 apartment units, ageeing to such dedication, sale or transfer .
f. Have and to exercise any and all powers, rights an d
privileges which a corporation organized under the lion-Profi t
Corporation Law of the State of Arizona by law may now or here -
after have or exercise .

No stock certificates shall be issued to members of the non -

of tke non-profit corporation provided that the by-law sshall be subject to the terms and conditions of the Declaration .
ARTICLE N4 -BOARD OF DIRECTORS
The affairs of this Association shall be managed by a board o ffive (5) directors who need not be members of the Association . The numbe rof directors may be changed by amendment of the By-Laws of the Association .
The names and addresses of the persons who are to act . in thecapacity of directors until the selection of their successors at th efirst annual meeting of members are :
