ThisplanwaspresentedtoGilbertAranzabyMayorLeppertinameetingheldatLoveFieldonAugust10,2010. PresentatthismeetingwereMayorLeppert,GilbertAranza,TennellAtkins,DannyBruce,andKenCarter. TheplanwasthenpresentedtoMarcosRonquillobyMayorLeppertandMr.Ronquilloagreesthatthetermsbelowreflectthetermspresented.I. ConstructionPeriodNowthroughNovember2014

A. CurrentconcessionairecontractsextendedthroughNovember,2014(oropeningofallofthenewterminal).

B. MinimumAnnualGuaranteeiswaivedasofnow.C. Whenenplanementsdropbelow90%ofcurrentlevel,percentrentdropsproportionately.

II. NocapitalinvestmentrequiredbytheCity.III. NewTerminalFoodandBeverage

A. AsmanyRFPsaspossible. Ifthereare40units,thentherewouldbe40RFPs,withsomepairingofunits,kepttoaminimum;forexample,alandsideunitwith

asecuredsideunit.

B. Incumbentswillhavearightoffirstrefusalon25%invalueoftheunits(notbysquarefootageornumberofunits). Citystaffistoassignvaluestoeachunit.

C. Proposalswillbeevaluatedandwinnersselected.D. Ifincumbentsareawarded25%ormoreinvalueoftheunits,thenthereisnoright

of

first

refusal

as

to

any

additional

units.

E. Ifincumbentswinlessthan25%invalueoftheunits,thenthefollowinghappens(assumeforthispurposethatanincumbentwins15%invalueoftheunits):

1. Theassignednumber(140)ofallunitswithvaluesof10%orlesswillbedroppedintoapot. Incumbentwilldrawaunitnumberandmust

matchtheeconomicsofthewinningproposalforthatunitorforfeit

thatpercentageofvalue.

2. Iftheincumbentacceptstheunitwhosenumberwasdrawnandthatunitwasassigneda10%value,thenthedrawingsstop.

3. Iftheincumbentacceptsthedrawnunitwhosenumberwasdrawnandthatunitwasassignedavalueoflessthan10%,thenanother

drawingwillbeheldwithunitswhoseassignedvaluesarelessthanor

equaltothevalueneededfortheincumbenttohave25%ofthe

value. Thisprocesswillberepeateduntiltheincumbenthasbeen

awarded,forfeited,and/oracceptedunitswith25%oftheassigned
