1. Introduction In response to policies such as ‘Asia Silicon Valley Plan’ and

‘Digital Country˙Innovative Economy’ and aiming at ‘Building up a

Global Startup Hub and Establishing International Channels for

Innovation Incubation’, Small and Medium Enterprise Administration,

Ministry of Economic Affairs reconstructed the Universiade Athletes’

Village in Linkou into an international startup hub and promoted the

development of ‘Startup Terrace’ which links the resources and

professional assistance needed in industrial development, marketing

promotion, venture capital and innovation & entrepreneurship to promote

Taiwan to be an important partner in innovative services supply in Asia.

In order to encourage and boost innovative entrepreneurship as well

as promote the development of startups ecological chain in Taiwan, and

further push for industrial transformation and economic development,

Startup Terrace and Amazon Web Services (AWS) jointly establish the

‘Startup Terrace-AWS Joint Innovation Center’ on the basis of ‘mutual

benefit/reciprocity and win-win development’ in hope that innovation and

economic development can be encouraged by means of international

cooperation and leading technology, and meanwhile accelerate startups’

deployment and application of cloud technique.

For this reason, ‘Startup Terrace-AWS Joint Innovation Center’ set

up a structural frame of six dimensions, which are Startup Accelerator、

Digital Transformation Accelerator、AWS Training、International

Program、Startup Competition、Startup Matching Fund, thereby

accelerating idea generation and supporting business model landing in

Taiwan.

Resources such as key-point business training, cloud computing

system structure guidance, international marketing experience

consultation, related seminars and educational courses shall be put into

Accelerator. Special cloud quota shall also be offered to assist startups in

strengthening business constitution and upgrading human resource so as

to quickly get prepared prior to market entry, and further connect with the

ecosystem of international innovative entrepreneurship, by which

exploration and development of global marketing and the catalysis of

industrial innovation and transformation shall be facilitated.

3. Workflow of Residency Application

According to ‘Application Guide for Residency in

Startup Terrace-AWS

Joint Innovation Center’, eligible applicants may

prepare related documents and submit application to the

implementation agency ‘Taipei Computer Association’

during the announced application period.

4. Application Guide

4.1 Target Applicant

4.1.1 Startup: Domestic and international startups in possession of

product prototype, capability of technical development or

innovative business concepts.

4.1.1.1 Qualifications：

4.1.1.1.1 A for-profit enterprise incorporated in

Taiwan or abroad by law, and the core

product or service of which shall be using

AWS cloud services and shall have been

launched. Otherwise the core product or

service shall be migrated to AWS within 3

months after residing.

4.1.1.1.2 Funding stage: before Series B financing

4.1.1.2 Rights & privileges

4.1.1.2.1 An applicant who is approved by the

Review Committee and signs the ‘Startup

Terrace-AWS Joint Innovation Center

Residency Agreement’ is entitled to use the

residency space of Joint Innovation Center.

4.1.1.2.2 Residency is limited to one year, while

extension can be applied if needed. The

duration of residency extension shall be

evaluated by the Residency Review Team

of the Center.

4.1.1.2.3 During the approved duration of residency,

an applicant may apply for

accommodations in Joint Innovation Center.

Fees for accommodation are charged

according to the rent standards set by the

Center.

4.1.1.3 Obligations

4.1.1.3.1 Firms applying for residency should fill in

the residency application form (including

related attachments) with explanations of

the basic information about the firm, its

products or services, its organization, etc.

and lodge its Declaration and the latest

photocopy of its company alteration

registration (Taiwan)/ Certificate of

Incorporation (Offshore). The applying

firm shall submit other required

supplementary documents within 10

working days after being notified by the

Center if deemed necessary by the Center.

4.1.1.3.2 After signing the contract, the applicant

should be stationed in the Center within 30

days; otherwise it shall be disqualified for

residency if failing to register before the

deadline.

4.1.1.3.3 An approved applicant shall sign ‘Startup

Terrace-AWS Joint Innovation Center

Residency Agreement’ before the deadline;

otherwise it shall be deemed to renounce

the right of residency. Guarantee

deposit/bond (please refer to ‘6.

Description of space’ for details), which

serves as a guarantee of fulfilling all

requirements of the agreement, shall be

paid before residing.

4.1.1.3.4 An approved applicant shall duly pay fees

regulated by the Center such as guarantee

deposit/bond, rent, management fee and

other fees according to the Center’s

regulations.

4.1.1.3.5 An approved applicant shall keep the Center

informed in writing of its decision to

withdraw residency 30 days prior to expiry

date of the residency agreement. If the

applicant intends to halfway withdraw

residency, written application shall be made

30 days prior to the date of intended

withdrawal. Residency withdrawal shall

not be processed until the approval of the

Center is received.

4.1.1.3.6 Related laws/regulations and rules for the

management and use of facilities set by the

Center shall be followed; otherwise the

Center may take legal action and the

guarantee deposit/bond can be confiscated.

4.1.1.3.7 Should attend the activities held by Startup

Terrace-AWS Joint Innovation Center.

4.1.1.4 Agreements

4.1.1.4.1 An approved applicant agrees to provide

related descriptions and data of the

company’s operation experiences,

operation performance and funding

progress during the residency in the Center.

4.1.1.4.2 An approved applicant agrees to provide

related information in texts, audio/video,

images, pictures or physical activities.

4.1.1.4.3 An approved applicant agrees to provide the

above mentioned information and authorize

the Center to use them for free in activities

such as performance presentation,

exhibition, promotion and sharing session,

etc.

4.1.2. Other enterprises approved by the Review Committee:

Businesses which do not fit into the aforementioned

categories but work in accordance with government policies

or other related needs are still encouraged. The Center can

separately announce the implementation of such provisions

after they are approved by the Review Committee.

4.2 Application Method and Closing Date Applications shall be accepted on a rolling basis. However,

applicants shall be wait-listed if no residency space is available.

Documents for application shall be submitted either by post or in

person to the Project Office and meanwhile the digital files shall be

e-mailed to [email protected]. Foreign companies shall

submit applications via E-mail with the subject heading “Startup

Terrace-AWS Joint Innovation Center Residency Application-

○○○○Company”.

4.3 Supporting documents required for application

4.3.1 Residency Application Form and related attachments

5. Review Mechanism of application for residency/extension

5.1 Scheduled time for residency/extension application

5.1.1 By application: Applications shall be accepted on a rolling

basis and be jointly reviewed by Startup Terrace and AWS.

The results of review are scheduled to be jointly announced

with the residency review announcement of Startup Terrace

in March, June, September and November.

5.1.2 By invitation: The Center proactively invites potential

startups to reside, while AWS independently reviews the

residency on a rolling basis.

5.2 Qualifications review 5.2.1 Required documents verification:

The Center checks if all the required documents are

presented. If there is any omission, the Center may notify the

applicant to deliver the document(s) before a deadline. The

application shall be reviewed only when all documents are

ready.

5.2.2 Qualification verification:

After confirming the applicant's qualifications and

documents, the Project Office will conduct a preliminary

evaluation on the basis of the number of residing staff,

reasonableness of space use, legality (including but not

limited to Land-use Zoning regulations) and security.

Applications that pass the evaluation will be sent to the

Review Committee for review, while those which do not

pass will be returned.

5.3 The Review Committee

Firms intending to apply for residency shall apply in accordance

with the regulations. The Center shall invite the Review Committee

to conduct the review, which focuses on:

5.3.1 to evaluate the applicant's operating capability and

development potential

5.3.2 to evaluate the applicant's technique and the life cycle of its

product and its market competitiveness.

5.3.3 to evaluate the applicant's core know-how or the marketing

strategy feasibility of the key products

5.3.4 to evaluate the applicant's capability in financial planning

5.4 Approval and contract signing 5.4.1 An enterprise approved by the Review Committee, after

being notified by the Center, shall sign ‘Residency

Agreement on Startup Terrace-AWS Joint Innovation

Center” within 30 days and at the same time pay guarantee

deposit/bond of an amount equivalent to two months’ rent

which serves as a guarantee of fulfilling all requirements of

the agreement; otherwise it shall be deemed to renounce the

right of residency and the residency position shall be taken

by the next applicant on the waiting list.

The payment due date of guarantee deposit/bond can be

extended if reasons are given after being agreed by the

Center. Only one extension is permitted with a maximum

length of 30 days. Applicants shall be disqualified for

residency if failing to pay guarantee deposit/bond within

specified time limits. If applicants intend to halfway

withdraw residency before residency expiry date without

force majeure, the Center may reject their re-applications

within certain duration.

5.4.2 The guarantee deposit/bond of an amount equivalent to two

months’ rent is payable by cash, transfer and credit card, and

shall be returned in full without interest upon residency

withdrawal.

5.4.3 The Agreement shall be executed in triplicate, including two

originals and one duplicate copy. After signing the contract,

Startup Terrace-AWS Joint Innovation Center will return one

original to the resided enterprise.

5.4.4 Handover of keys and access cards for the space.

5.4.5 Resident firms shall pay a move-out guarantee deposit/bond

in the amount of NT$20,000 which shall be returned in full

without interest upon the completion of move-out if no

damage is found in the buildings. This is not applicable to

the case of shared space renting.

5.4.6 Guarantee deposit/bond and a cleaning fee shall be paid to the

management center for the application of

decoration/renovation work according to regulations set by

National Housing and Urban Regeneration Center.

6. Description of space

6.1 Independent office The rent is priced on the basis of ‘pings’ (public areas included),

including air-conditioning equipment and free wireless network

(basic bandwidth). The pricing standards are as follows:

residency shorter than one month. Resided teams shall pay the next-month

rent/fee to the designated account by transfer by the end of the month and

notify the Center of the payment information via email.

5. Guarantee deposit/bond shall be returned when withdrawal process is

completed (including company’s moving-out registration procedure).

6.2 Co-working space Co-working space rates include water, electricity, air conditioning,

basic office furniture and free wi-fi (basic bandwidth). The

application/rent is processed on the basis of numbers of registered

seats. Rent for each seat may be counted on a monthly basis or on a

yearly basis. Rent rates are listed below:

6.3 Accommodation The fee is set based on the number of pings (including public

areas). The accommodation facilities are provided exclusively for

employees and family members of the enterprises residing in

Startup Terrace-AWS Joint Innovation Center. Related lease

agreements shall be signed after the application is approved.

4. Various accommodation regulations and guidelines set by Startup Terrace

shall be followed.

7. Application for residency extension 7.1 Resident firms may apply for extension if needed. The duration of

extension shall be evaluated by the Review Committee of the

Center. Resident firms meeting any one of the three criteria listed

below shall submit application for extension to the Center three

months before the residency expires.

7.1.1 The resident firm proposes plans for new business operation,

new products or new service.

7.1.2 The original plan is extended.

7.1.3 Receive VC funding during residency.

7.1.4 For other specific reasons.

7.2 Resident firms may apply for extension to meet the needs of

development. The maximum duration of each extension is one year

and shall not be applied more than twice.

7.3 A resident firm with actual performances listed below, after being

reviewed, is not subject to the restriction:

7.3.1 Where the enterprise’s products, markets or service mode

has/have the potential to upsize and globalize.

7.3.2 Where the enterprise has shown a remarkable growth in sales

revenues, workforce and working capital over the past

residency.

7.3.3 Where the enterprise, during the extension period of

residency, showed good interactions with Startup Terrace-

AWS Joint Innovation Center and shall be capable of

attracting upstream and downstream enterprises to reside in

the Center and thus creating cluster effect.

7.4 The applicant firm shall fill in the Residency Extension Application

Form and send it to the Center. The extension shall be reviewed by

the Review Team and the Center can also hold meetings for its

assessment and evaluation and requests the applicant firm to be

present and to give presentation on the day when review is being

conducted.

7.5 Upon completion of the panel review, the Center shall summarize

opinions of Review Committee members and reply to the applicant

in writing or by e-mail.

8. Application for residency withdrawal 8.1 Withdrawal application shall be made by filling out the Residency

Withdrawal Application Form which shall be submitted to the

Center 30 days prior to the expiry date of lease agreement. In the

case of halfway withdrawal, written application shall be submitted

to the Center 30 days prior to withdrawal as well. The Center may

confiscate the guarantee deposit/bond in full if the withdrawal is

not processed according to regulations or the handover is not

completed. Besides, where the balance of the guarantee

deposit/bond is inadequate to offset the outstanding rent and fee,

the shortfall shall be made up within 30 days; otherwise it shall be

deemed to be default on payment.

8.2 Upon withdrawal, all keys of startup offices, keys of mailboxes,

employees' access cards, leased machinery & equipment and

books, etc. shall be returned to the Center and all outstanding

rents/fees shall be paid off. If the business is registered here, the

registration shall be removed. 8.3 If any one of the mentioned items is found damaged or lost upon

withdrawal handover, related compensation shall be made

according to the Center’s regulations.

8.4 Where a resided enterprise proves to involve any one of the

following circumstances, the Center may terminate the agreement

before expiry date and ask the resident to withdraw within a

specified time limit:

8.4.1 Where there are outstanding payments overdue for up to 60

days.

8.4.2 Where the resided enterprise involves unlawful practice

which has been proved after investigation.

8.4.3 Where the business lines operated by the resided enterprise

are found inconsistent with the business items shown in the

application.

8.4.4 Where the enterprise has been proved to have repeated

applications or there is falsehood in the application

documents.

8.4.5 Where the enterprise violated the contract and agreement

signed by both parties.

8.4.6 Where the enterprise violated other management directions

and failed to improve on that within the time specified by the

Center.

8.4.7 Other significant matters

9. Others

9.1 The Center reserves the right to change and update any of the

terms of this guide at any time, and shall make it known to

businesses with public postings or emails.

9.2After the application for the residency at Startup Terrace-AWS

Joint Innovation Center is complete, the contact listed in the

application form agrees to receive emails and mails from Amazon

Web Services, Inc., services, activities, and promotion materials

from its partners, and information coming from AWS that fits your

company’s needs. If you no longer want to receive any

information, you can cancel subscription anytime according to the

instructions. The contact information your company provides will

be handled properly according to AWS Privacy Policy.
