over 30 years experience in the finance and investment
industry
• Established the Forsyth Partners Group, a world leader in
fund-of-funds portfolio management in 1991 and was
Chief Executive between 1991 and 2007
• Prior to establishing Forsyth Partners, Paul was managing
director of Fidelity Investments (CI) Ltd, where he
restructured Fidelity’s Jersey offshore funds into a new
Luxembourg UCITS and handled the move of the
operational capability to Luxembourg

Services for Asset Management Companies: Independent DirectorshipsOffshore funds which are established as corporate entities are controlled by a board of directors. A fund board
frequently includes:
• Representatives of the fund promoter or investment manager
• Representatives of the service providers
• The fund’s external legal counsel
• An independent director
However, in practice, the promotor/investment manager “have called the shots“ and other board representatives
have simply paid lip service. This process must change and is changing. The role of the Independent Non-
Executive Director (‘INED’) has traditionally involved attending board meetings. This is changing. Investors now
expect funds boards to feature experienced INEDs, who should provide a strategic overview together with
experienced, intelligent advice. Regulatory requirements facing funds in many jurisdictions require a much more
active hands-on approach from INEDs. The onus on the INED is increasing, and INEDs are now expected to
monitor specific areas of fund activity.
Our principals offer an independent service as INEDs for international offshore funds and asset management

DIFC & DFSA Regulatory Advice
Apache Advisors advises clients who are looking to set-up in the Dubai International Financial Centre
(DIFC). The advice we provide is directly relevant to the requirements of the Dubai Financial Services
Authority (DFSA) for financial services firms setting up and operating in the DIFC.

Apache Advisors are specialists in structuring and arranging private equity for growth businesses. This can involve
introducing companies to suitable venture capital or other capital providers, and providing services in advising

Businesses frequently reach a stage in their development where the introduction of external capital by way of
