Eurogroup statement
The Eurogroup welcomes the agreement reached with the Greek government on a policy package that constitutes the basis for the successor programme. We also welcome the approval of the policy package by the Greek parliament, the identification of additional structural expenditure reductions of 325 million to close the fiscal gap in 2012 and the provision of assurances by the leaders of the two coalition parties regarding the implementation of the programme beyond the forthcoming general elections.
This new programme provides a comprehensive blueprint for putting the public finances and the economy of Greece back on a sustainable footing and hence for safeguarding financial stability in Greece and in the euro area as a whole.
The Eurogroup is fully aware of the significant efforts already made by the Greek citizens but also underlines that further major efforts by the Greek society are needed to return the economy to a sustainable growth path.
Ensuring debt sustainability and restoring competiveness are the main goals of the new programme. Its success hinges critically on its thorough implementation by Greece. This implies that Greece must achieve the ambitious but realistic fiscal consolidation targets so as to return to a primary surplus as from 2013, carry out fully the privatisation plans and implement the bold structural reform agenda, in both the labour market and product and service markets, in order to promote competitiveness, employment and sustainable growth.
To this end, we deem essential a further strengthening of Greece's institutional capacity. We therefore invite the Commission to significantly strengthen its Task Force for Greece, in particular through an enhanced and permanent presence on the ground in Greece, in order to bolster its capacity to provide and coordinate technical assistance. Euro area Member States stand ready to provide experts to be integrated into the Task Force. The Eurogroup also welcomes the stronger on site-monitoring capacity by the Commission to work in close and continuous cooperation with the Greek government in order to assist the Troika in assessing the conformity of measures that will be taken by the Greek government, thereby ensuring the timely and full implementation of the programme. The Eurogroup also welcomes Greece's intention to put in place a mechanism that allows better tracing and monitoring of the official borrowing and internally-generated funds destined to service Greece's debt by, under monitoring of the troika, paying an amount corresponding to the coming quarter's debt service directly to a segregated account of Greece's paying agent. Finally, the Eurogroup in this context welcomes the intention of the Greek authorities to introduce over the next two months in the Greek legal framework a provision ensuring that priority is granted to debt servicing payments. This provision will be introduced in the Greek constitution as soon as possible.
The Eurogroup acknowledges the common understanding that has been reached between the Greek authorities and the private sector on the general terms of the PSI exchange offer, covering all private sector bondholders. This common understanding provides for a nominal haircut amounting to 53.5%. The Eurogroup considers that this agreement constitutes an appropriate basis for launching the

invitation for the exchange to holders of Greek government bonds (PSI). A successful PSI operation is a necessary condition for a successor programme. The Eurogroup looks forward to a high participation of private creditors in the debt exchange, which should deliver a significant positive contribution to Greece's debt sustainability.
The Eurogroup considers that the necessary elements are now in place for Member States to carry out the relevant national procedures to allow for the provision by EFSF of (i) a buy back scheme for Greek marketable debt instruments for Eurosystem monetary policy operations, (ii) the euro area's contribution to the PSI exercise, (iii) the repayment of accrued interest on Greek government bonds, and (iv) the residual (post PSI) financing for the second Greek adjustment programme, including the necessary financing for recapitalisation of Greek banks in case of financial stability concerns.
The Eurogroup takes note that the Eurosystem (ECB and NCBs) holdings of Greek government bonds have been held for public policy purposes. The Eurogroup takes note that the income generated by the Eurosystem holdings of Greek Government bonds will contribute to the profit of the ECB and of the NCBs. The ECBs profit will be disbursed to the NCBs, in line with the ECBs statutory profit distribution rules. The NCBs profits will be disbursed to euro area Member States in line with the NCBs statutory profit distribution rules.
The Eurogroup has agreed that certain government revenues that emanate from the SMP profits disbursed by NCBs may be allocated by Member States to further improving the sustainability of Greece's public debt. All Member States have agreed to an additional retroactive lowering of the interest rates of the Greek Loan Facility so that the margin amounts to 150 basis points. There will be no additional compensation for higher funding costs. This will bring down the debt-to-GDP ratio in 2020 by 2.8pp and lower financing needs by around 1.4 bn euro over the programme period. National procedures for the ratification of this amendment to the Greek Loan Facility Agreement need to be urgently initiated so that it can enter into force as soon as possible.
Furthermore, governments of Member States where central banks currently hold Greek government bonds in their investment portfolio commit to pass on to Greece an amount equal to any future income accruing to their national central bank stemming from this portfolio until 2020. These income flows would be expected to help reducing the Greek debt ratio by 1.8pp by 2020 and are estimated to lower the financing needs over the programme period by approximately 1.8 bn euro.
The respective contributions from the private and the official sector should ensure that Greece's public debt ratio is brought on a downward path reaching 120.5% of GDP by 2020. On this basis, and provided policy conditionality under the programme is met on an ongoing basis, the Eurogroup confirms that euro area Member States stand ready to provide, through the EFSF and with the expectation that the IMF will make a significant contribution, additional official programme of up to 130 bn euro until 2014.
It is understood that the disbursements for the PSI operation and the final decision to approve the guarantees for the second programme are subject to a successful PSI operation and confirmation, by the Eurogroup on the basis of an assessment by the Troika, of the legal implementation by Greece of the agreed prior actions. The official sector will decide on the precise amount of financial assistance

to be provided in the context of the second Greek programme in early March, once the results of PSI are known and the prior actions have been implemented.
We reiterate our commitment to provide adequate support to Greece during the life of the programme and beyond until it has regained market access, provided that Greece fully complies with the requirements and objectives of the adjustment programme.

Erklrung der Eurogruppe
Die Eurogruppe begrt die mit der griechischen Regierung erzielte Einigung auf ein Manahmenpaket, das die Grundlage fr das Nachfolgeprogramm darstellt. Wir begren auch die Verabschiedung des Manahmenpakets durch das griechische Parlament, die Ermittlung zustzlicher struktureller Ausgabenkrzungen in Hhe von 325 Mio. zur Schlieung der Finanzierungslcke 2012 sowie die Zusagen der Vorsitzenden der beiden Koalitionsparteien zur weiteren Umsetzung des Programms nach den bevorstehenden Parlamentswahlen.
Das neue Programm liefert einen umfassenden Plan zur Rckfhrung der ffentlichen Finanzen und der Wirtschaft Griechenlands auf ein tragfhiges Niveau und damit zur Sicherstellung der Finanzstabilitt in Griechenland und in der gesamten Eurozone.
Die Eurogruppe ist sich der betrchtlichen Anstrengungen, die die griechischen Brgerinnen und Brger bereits unternommen haben, bewusst, unterstreicht aber auch die Notwendigkeit weiterer wesentlicher Anstrengungen seitens der griechischen Gesellschaft, damit die Wirtschaft auf einen tragfhigen Wachstumspfad zurckkehren kann.
Die Hauptziele des neuen Programms bestehen darin, die Schuldentrgfhigkeit zu gewhrleisten und die Wettbewerbsfhigkeit wiederherzustellen. Der Erfolg hngt ganz entscheidend von einer umfassenden Umsetzung des Programms durch Griechenland ab. Dies setzt voraus, dass Griechenland die ehrgeizigen aber realistischen Ziele zur Haushaltskonsolidierung erreichen muss, um ab 2013 einen Primrberschuss ausweisen zu knnen; gleichzeitig muss es die Privatisierungsvorhaben vollstndig umsetzen und tiefgreifende Strukturreformen durchfhren, um Wettbewerbsfhigkeit, Beschftigung und nachhaltiges Wachstum zu frdern.
Hierzu halten wir eine weitere Strkung der institutionellen Kapazitten Griechenlands fr unerlsslich. Wir bitten daher die Kommission, ihre Task Force fr Griechenland betrchtlich aufzustocken, insbesondere durch eine strkere und dauerhafte Prsenz vor Ort in Griechenland, um die technische Hilfe besser leisten und koordinieren zu knnen. Die Mitgliedstaaten der Eurozone sind jederzeit bereit, Sachverstndige fr die Task Force bereitzustellen. Die Eurogruppe begrt auch die verstrkte Vor-Ort-berwachungskapazitt der Kommission zur engen und fortlaufenden Zusammenarbeit mit der griechischen Regierung mit dem Ziel, die Troika bei der Beurteilung der Konformitt der von der griechischen Regierung ergriffenen Manahmen zu untersttzen und somit die zeitnahe und vollstndige Umsetzung des Programms zu gewhrleisten. Darber hinaus begrt die Eurogruppe den Plan Griechenlands zur Schaffung eines Mechanismus, der eine bessere Nachverfolgung und berwachung der fr den griechischen Schuldendienst bestimmten staatlichen Kreditaufnahme und selbst erwirtschafteten Mittel ermglicht, indem unter Aufsicht der Troika ein dem Schuldendienst des kommenden Quartals entsprechender Betrag unmittelbar auf ein Sonderkonto der griechischen Zahlstelle eingezahlt wird. Nicht zuletzt begrt die Eurogruppe in diesem Zusammenhang auch die Absicht der griechischen Regierung, in den nchsten zwei Monaten

eine Bestimmung im griechischen Rechtsrahmen zu verankern, die sicherstellen soll, dass Schuldendienstzahlungen Vorrang eingerumt wird. Diese Bestimmung wird so bald wie mglich in die griechische Verfassung aufgenommen.
Die Eurogruppe bekundet ihre Anerkennung der zwischen den griechischen Behrden und dem Privatsektor erzielten Einigung ber die allgemeinen Bedingungen fr ein Angebot zum Anleihetausch, das smtliche privaten Anleiheglubiger umfasst. Diese Einigung sieht einen Schuldenschnitt in Hhe von 53,5 % des Nennwerts vor. Nach Auffassung der Eurogruppe stellt diese Einigung eine geeignete Grundlage fr die Vorlage eines Tauschangebots an die Glubiger griechischer Staatsanleihen dar (Beteiligung des Privatsektors). Die erfolgreiche Beteiligung des Privatsektors ist eine notwendige Voraussetzung fr ein Nachfolgeprogramm. Die Eurogruppe erwartet eine hohe Beteiligung der privaten Glubiger an dem Anleihetausch, was einen wichtigen positiven Beitrag zur Schuldentragfhigkeit Griechenlands leisten drfte.
Nach Auffassung der Eurogruppe wurden nun die erforderlichen Voraussetzungen geschaffen, damit die Mitgliedstaaten ihre jeweiligen nationalen Vorkehrungen treffen knnen, um der EFSF die Bereitstellung folgender Elemente zu ermglichen: (i) Rckkaufprogramm fr griechische marktfhige Schuldtitel fr geldpolitische Operationen des Eurosystems, (ii) Beitrag des Euro-Whrungsgebiets zur Beteiligung des Privatsektors, (iii) Rckzahlung der aufgelaufenen Zinsen fr griechische Staatsanleihen sowie (iv) Restfinanzierung (nach Beitrag des Privatsektors) fr das zweite griechische Anpassungsprogramm, einschlielich der notwendigen Finanzierung zur Rekapitalisierung griechischer Banken bei Bedrohung der Finanzstabilitt.
Die Eurogruppe stellt fest, dass die Bestnde des Eurosystems (EZB und nationale Notenbanken) an griechischen Staatsanleihen zu Zwecken der ffentlichen Ordnung gehalten werden. Die Eurogruppe nimmt zur Kenntnis, dass die aus dem Bestand des Eurosystems an griechischen Staatsanleihen erzielten Ertrge zum Gewinn der EZB und der nationalen Notenbanken beitragen. Der Gewinn der EZB wird gem ihren gesetzlichen Bestimmungen zur Gewinnausschttung an die nationalen Notenbanken ausgezahlt. Die Gewinne der nationalen Notenbanken werden gem ihren gesetzlichen Bestimmungen zur Gewinnausschttung an die Mitgliedstaaten des Euro-Whrungsgebiets ausgezahlt.
Die Eurogruppe hat vereinbart, dass bestimmte Staatseinnahmen, die aus von nationalen Notenbanken ausgezahlten Gewinnen aus Sekundrmarktkufen stammen, von den Mitgliedstaaten zur weiteren Verbesserung der Tragfhigkeit der griechischen Staatsschulden eingesetzt werden knnen. Alle Mitgliedstaaten haben einer weiteren rckwirkenden Senkung der Zinsen der griechischen Darlehensfazilitt zugestimmt, so dass der Aufschlag 150 Basispunkte betrgt. Es wird keine zustzliche Entschdigung fr hhere Finanzierungskosten geben. Damit wird die Schuldenquote 2020 um 2,8 Prozentpunkte gesenkt und der Finanzierungsbedarf whrend der Programmdauer um ca. 1,4 Mrd. verringert. Die einzelstaatlichen Verfahren zur Ratifizierung dieser nderung der Vereinbarung ber eine griechische Darlehensfazilitt mssen unverzglich eingeleitet werden, damit die nderung so bald wie mglich in Kraft treten kann.
Des Weiteren verpflichten sich die Regierungen der Mitgliedstaaten, deren Notenbanken derzeit griechische Staatsanleihen in ihrem Anlageportfolio halten, bis 2020 an Griechenland einen Betrag zu berweisen, der den von ihrer jeweiligen Notenbank aus diesem Portfolio knftig

erzielten Gewinnen entspricht. Diese Gewinnzuflsse sollten zu einem Abbau der griechischen Schuldenquote bis 2020 um 1,8 Prozentpunkte beitragen und werden den Finanzierungsbedarf whrend der Programmdauer voraussichtlich um ca. 1,8 Mrd. verringern.
Die entsprechenden Beitrge des privaten und ffentlichen Sektors drften sicherstellen, dass die griechische Schuldenquote kontinuierlich zurckgefhrt wird und bis 2020 bei 120,5 % des BIP liegen drfte. Auf dieser Grundlage und vorausgesetzt, dass die im Programm vorgesehenen Auflagen fortlaufend erfllt werden, besttigt die Eurogruppe die Bereitschaft der Mitgliedstaaten des Euro-Whrungsgebiets, ber die EFSF und in Erwartung eines betrchtlichen IWF-Beitrags bis 2014 ein weiteres offizielles Programm in Hhe von bis zu 130 Mrd. bereitzustellen.
Es herrscht Einigkeit darber, dass die Auszahlungen fr die Beteiligung des Privatsektors und der endgltige Beschluss zur Genehmigung der Garantien fr das zweite Programm einen erfolgreichen Beitrag des Privatsektors voraussetzen sowie die auf eine Beurteilung der Troika gesttzte Besttigung der Eurogruppe, dass Griechenland die vereinbarten Vorleistungen rechtswirksam umgesetzt hat. Der ffentliche Sektor wird Anfang Mrz ber den genauen Betrag der im Rahmen des zweiten Griechenlandprogramms zu leistenden Finanzhilfe befinden, sobald die Ergebnisse der Beteiligung des Privatsektors vorliegen und die Vorleistungen erbracht wurden.
Wir bekrftigen unsere Bereitschaft, Griechenland whrend der Programmdauer und darber hinaus bis zur Wiedererlangung des Marktzugangs ausreichend zu untersttzen, sofern Griechenland die Voraussetzungen und Ziele des Anpassungsprogramms uneingeschrnkt erfllt.

MEMORANDUM OF UNDERSTANDING
BETWEEN
THE EUROPEAN COMMISSIONACTING ON BEHALF
OF THE EURO AREA MEMBER STATES,
AND
THE HELLENIC REPUBLIC

Whereas:
Council Decision 2011/734/EU of 12 July (which recast Council Decision 2010/320/EC of 10 May 2010) was adopted on the basis of Articles 126(9) and 136 of the TFEU with a view to reinforcing and deepening fiscal surveillance and giving notice to Greece to take measures for the deficit reduction judged necessary to remedy the situation of excessive deficit;
The European Financial Stability Facility (EFSF) has been incorporated on 7 June 2010 for the purpose of making stability support to euro-area Member States. The euro-area Member States and EFSF have entered into a Framework Agreement to set out the terms and conditions upon which EFSF may make such stability support;
The Heads of State or Government of the euro area and EU institutions of 21 July and 26/27 October 2011, decided to use the European Financial Stability Facility (EFSF) as the financing vehicle for the future disbursements to the Hellenic Republic under the financial assistance of the euro area Member States;
The parties hereto have agreed as follows:
1. Loans from the EFSF shall be subject to compliance with the conditions of the Memorandum of Understanding (MoU), originally signed on 3 May 2010 as last amended by the Supplemental Memorandum of Understanding (Fifth Addendum) of 6 December 2011, as may be amended or supplemented from time to time, and the proceeds shall be used in line with this MoU, as may be amended or supplemented from time to time, and a Financial Assistance Facility Agreement or Agreements (FAFA) to be signed between the EFSF and the Hellenic Republic, including in the context of the debt exchange for the purposes of i) payment to bond holders participating in the debt exchange, ii) paying accrued interest to bondholders participating in the debt exchange, iii) a buy-back scheme to ensure eligibility for Eurosystem refinancing operations of Greek government securities, and iv) preserving financial stability of the Greek banking system in the context of the debt exchange.
2. The parties have agreed to attach to this MoU the letters of the leaders of the political parties forming the government of the Hellenic Republic to Mr. Juncker committing themselves to policies in line with the staff level agreement on the second adjustment programme for Greece.
3. This MoU may be amended upon mutual agreement of the parties in the form of an addendum. The addendum will be an integral part of the memorandum and will become effective upon signature.

MEMORANDUM OF UNDERSTANDING
On 21 July 2011 and reiterated on 26/27 October 2011, Heads of States and Governments of the euro area (HoSG EA) called for a voluntary participation of private sector creditors of the Hellenic Republic in financing a second structural adjustment and financial assistance programme for the Hellenic Republic.
The overarching objective of this voluntary participation of private sector creditors is to ensure that a government debt level of around 120% of GDP will be reached by 2020. To facilitate this, the Hellenic Republic will launch a debt exchange.
A. The debt exchange
The Hellenic Republic will launch an exchange offer for outstanding eligible bonds with a view to reduce the nominal value by 53.5%. Bondholders will be offered to exchange existing bonds into new bonds of the Hellenic Republic with a new nominal value of 31.5% of the original nominal value. In addition, 15% of the original nominal value will be provided to bondholders in the form of notes. Accrued interest on bonds taking part in the debt exchange will be calculated as of the settlement date of the debt exchange. The Eurogroup Working Group (EWG) will be informed of the details of the exchange offer. It is foreseen to announce the results on the exchange offer on 9 March 2012.
The new bonds will bear a coupon of 2.0% per annum to payment date in 2015, 3.0% per annum to payment date in 2020, 4.3% per annum thereafter.
The new bonds will have a maturity of up to 30 years and an amortization period commencing on the 11th anniversary of the issue date. The new bonds will be governed by English law and will contain standard market clauses such as pari passu, negative pledge, events of default, collective action clauses and a waiver of immunity. The EWG will be informed of the terms and conditions of the new bonds.
Holders of the new bonds will be entitled to the benefit of a co-financing agreement amongthe Hellenic Republic, the new bond trustee and the EFSF linking the servicing of the new bonds to the servicing of the loan from the EFSF of up to EUR30 billion (as set out under point B.1) by the appointment of a common paying agent, the inclusion of a turnover covenant and the payment of principal and interest on the new bonds and the EFSF loan on the same dates and on a pro rata basis.
Each participating bondholder will also receive detachable GDP-linked securities which will allow bondholders to benefit from an economic performance of the Greek economy above programme projections, by payment of an additional coupon. In calculating the additional coupon, a multiplier of 1.5 will be applied to the excess of real GDP growth over program projections. The size of the additional coupon will be capped at 1%. The EWG will be informed of the terms and conditions of the GDP-linked security.
B. EFSF loans to the Hellenic Republic
To facilitate the envisaged debt exchange with a view to ensure voluntary participation of bondholders in financing the second structural adjustment and financial assistance programme for the Hellenic Republic, loans to be provided by the EFSF to the Hellenic Republic will amount to up to a total of EUR 93.5 bln. The proceeds of these loans will be applied as follows:

1. An amount up to EUR 30 bln will be used by Greece for the sole purpose ofpaying to bondholders 15% of the nominal value of eligible bonds taking part in the debt exchange. These funds may be provided in the form of notes with a maturity of up to 24 months. The maturity structure of the loan will match the maturity structure of new bonds to be issued within the framework of the debt exchange and will have a maturity of 30 years, a grace period of 10 years and an amortization period of 20 years;
2. An amount up to EUR 5.5 bln will be used for the sole purpose of paying accrued interest on eligible bonds taking part in the debt exchange calculated as of the settlement date of the debt exchange. These funds may be provided in the form of bills with a maturity of 6 months. The maturity of the related EFSF loan will be 25 years, with a grace period of 10 years and an amortization period of 15 years;
3. An amount up to EUR 35 bln will be used to facilitate the maintenance of eligibility, as collateral for Eurosystem monetary policy operations, of marketable debt instruments issued or guaranteed by the Greek government. This will be achieved by putting in place a buy-back scheme for as long as a default or selective default rating is assigned to the Hellenic Republic or her bonds as a result of the debt exchange offer. The funds for the purpose of buy-back scheme may be provided in the form of notes with a maturity of 12 months. The maturity of the related EFSF loan will be 25 years, with a grace period of 10 years and an amortization period of 15 years. When the buy-back scheme is no longer required, the EFSF commitment to disburse will be canceled;
4. The EFSF will sign a Financial Assistance Facility Agreement (FAFA) through which it will commit to disburse, if required, up to EUR 23 bln for the sole purpose of preserving the stability of the Greek banking system before the second adjustment programme is established. The commitment will only be called if the funds available to the Hellenic Financial Stability Fund (HFSF)were not sufficient to preserve financial stability. The disbursement of funds will be made upon the request of the Bank of Greece and with the approval of the EWG based on a report by the European Commission together with the ECB and the IMF confirming the need of such disbursements and the amounts required.The funds will be disbursed via the Greek state to the HFSF. The HFSF will only be able to use the funds to finance bank recapitalizations or resolutions either directly through equity injections or by financing the Resolution Part of the Hellenic Deposit and Investment Guarantee Fund (TEKE), as needed. The procedures and the conditions for the capital injections will be governed by the HFSF and Banking Law. The related EFSF loan will have a maturity of 25 years,a grace period of 10 years and an amortization period of 15 years. No disbursement under the FAFA for bank recapitalisation facility will be made and the commitment to disburse will terminate once the second adjustment programme for Greece, defining the modalities of the restructuring of the Greek banking sector, is in place. Any disbursement already made will be netted out with funds foreseen for the financial sector under the second programme, if any.

C. Conditionality
The draw down of any funds foreseen by this MoU under the facilities mentioned in section B. is subject to:
1. An implementation of the debt exchange which reduces public debt of the Hellenic Republic to a sustainable level as defined by the EWG.
2. An agreement by the Hellenic Republic with the European Commission, ECB and IMF, at staff level, on the terms and conditions of the second adjustment programme.
3. The prior actions, which are included in the Memorandum of Understanding concerning the second programme, to be implemented by end of February. This condition does not apply to the draw down of funds under the facility mentioned in section B.3 above.

In Erwgung nachstehender Grnde:
Der Beschluss des Rates 2011/734/EU vom 12. Juli (zur nderung des Beschlusses des Rats 2010/320/EU vom 10. Mai 2010) wurde auf der Grundlage von Artikel 126 Absatz 9 und Artikel 136 AEUV zwecks Ausweitung und Intensivierung der haushaltspolitischen berwachung und zur Inverzugsetzung Griechenlands mit der Magabe, die zur Beendigung des bermigen Defizits als notwendig erachteten Manahmen zu treffen, angenommen.
Die Europische Finanzstabilisierungsfazilitt (EFSF) wurde am 7. Juni 2010 zum Zweck der Gewhrung von Stabilittshilfe an die Mitgliedstaaten des Euro-Whrungsgebiets gegrndet. Die Mitgliedstaaten des Euro-Whrungsgebiets und die EFSF haben eine Rahmenvereinbarung geschlossen, um die Bedingungen fr die von der EFSF zu gewhrende Stabilittshilfe festzulegen.
Die Staats- und Regierungschefs des Euro-Whrungsgebiets und die EU-Institutionen haben am 21. Juli und am 26./27. Oktober 2011 beschlossen, die Europische Finanzstabilisierungsfazilitt (EFSF) als Finanzierungsinstrument fr die zuknftigen Auszahlungen an die Hellenische Republik im Rahmen der Finanzhilfe der Mitgliedstaaten des Euro-Whrungsgebiets zu verwenden
haben die Parteien dieser Vereinbarung Folgendes vereinbart:
1. Die Darlehen der EFSF unterliegen der Einhaltung der Bedingungen der ursprnglich am 3. Mai 2010 unterzeichneten und zuletzt durch die ergnzende Absichtserklrung (fnfter Nachtrag) vom 6. Dezember 2011 genderten Absichtserklrung (Memorandum of Understanding MoU) in der jeweils geltenden Fassung; die Darlehensbetrge werden gem dieser Vereinbarung in der jeweils geltenden Fassung und einer zwischen der EFSF und der Hellenischen Republik zu schlieenden Vereinbarung bzw. Vereinbarungen ber eine Finanzhilfefazilitt (Financial Assistance Facility Agreement FAFA) auch im Rahmen des Anleihetauschs fr folgende Zwecke verwendet: i) Zahlungen an am Anleihetausch teilnehmende Anleiheglubiger, ii) Auszahlung aufgelaufener Zinsen an am Anleihetausch teilnehmende Anleiheglubiger, iii) Rckkauf von Anleihen zur Gewhrleistung der Zulassung griechischer Staatspapiere zu den Refinanzierungsgeschften des Eurosystems und iv) Wahrung der Finanzstabilitt des griechischen Bankensystems im Zusammenhang mit dem Anleihetausch.
2. Die Parteien sind bereingekommen, dieser Vereinbarung die an Herrn Junker gerichteten Schreiben der Vorsitzenden der Regierungsparteien der Hellenischen Republik beizufgen, in denen diese sich zu den in der Vereinbarung zum zweiten Anpassungsprogramm fr Griechenland auf Arbeitsebene festgelegten Manahmen verpflichten.
3. Diese Vereinbarung kann von den Parteien in gegenseitigem Einvernehmen in Form eines Nachtrags gendert werden. Der Nachtrag ist wesentlicher Bestandteil der Vereinbarung und tritt bei Unterzeichnung in Kraft.

VEREINBARUNG
Die Staats- und Regierungschefs des Euro-Whrungsgebiets haben am 21. Juli 2011 und erneut am 26./27. Oktober 2011 eine freiwillige Beteiligung der privaten Glubiger der Hellenischen Republik an der Finanzierung des zweiten strukturellen Anpassungs- und Finanzhilfeprogramms fr die Hellenische Republik gefordert.
Das bergeordnete Ziel dieser freiwilligen Beteiligung der privaten Glubiger ist es zu gewhrleisten, dass bis 2020 ein Staatsschuldenstand von circa 120 % des BIP erreicht wird. Um dies zu erleichtern, wird die Hellenische Republik einen Anleihetausch auflegen.
A. Anleihetausch
Die Hellenische Republik wird ein Tauschangebot fr ausstehende zulssige Anleihen mit dem Ziel der Verringerung des Nennwerts um 53,5 % vorlegen. Den Anleiheglubigern wird angeboten, bestehende Anleihen gegen neue Anleihen der Hellenischen Republik mit einem neuen Nennwert von 31,5 % des ursprnglichen Nennwerts zu tauschen. Zustzlich werden den Anleiheglubigern 15 % des ursprnglichen Nennwerts in Form von Schuldscheinen bereitgestellt. Die aufgelaufenen Zinsen fr die an dem Anleihetausch teilnehmenden Anleihen werden zum Abwicklungstermin des Anleihetausches berechnet. Die Eurogruppen-Arbeitsgruppe (EAG) wird ber die Einzelheiten des Tauschangebots unterrichtet. Die Ergebnisse des Tauschangebots sollen am 9. Mrz 2012 bekannt gegeben werden.
Die neuen Anleihen sind mit einem Kupon von 2,0 % per annum bis zum Zahltag 2015, 3,0 % per annum bis zum Zahltag 2020 und danach 4,3 % per annum ausgestattet.
Die neuen Anleihen haben eine Laufzeit von bis zu 30 Jahren und eine Tilgungsdauer, die am 11. Jahrestag des Ausgabetages beginnt. Die neuen Anleihen unterliegen dem englischen Recht und enthalten marktbliche Klauseln wie die Gleichrangerklrung (Pari-Passu-Klausel), Negativerklrung, Ausfallereignisbestimmungen, Umschuldungsklauseln und Immunittsverzicht. Die EAG wird ber die Bedingungen der neuen Anleihen unterrichtet.
Die Glubiger der neuen Anleihen haben Anspruch auf eine Kofinanzierungsvereinbarung zwischen der Hellenischen Republik, dem Treuhnder der neuen Anleihen und der EFSF, die die Bedienung der neuen Anleihen mit der Bedienung des Darlehens der EFSF von bis zu 30 Mrd. EUR (gem Abschnitt B.1) durch die Benennung einer gemeinsamen Zahlstelle, die Aufnahme einer Umsatzklausel und die jeweils anteilige Zahlung der Schuldsumme und Zinsen fr die neuen Anleihen und das EFSF-Darlehen zu denselben Terminen verknpft.
Alle teilnehmenden Anleiheglubiger erhalten darber hinaus abtrennbare, an das BIP gekoppelte Wertpapiere, womit ihnen die Zahlung eines zustzlichen Kupons zusteht, wenn die Leistung der griechischen Wirtschaft ber den Programmprognosen liegt. Zur Berechnung des zustzlichen Kupons wird auf den ber den Programmprognosen liegenden berschuss des realen BIP-Wachstums ein Multiplikator von 1,5 angewendet. Die Hhe des zustzlichen Kupons ist auf 1 % begrenzt. Die EAG wird ber die Bedingungen des an das BIP gekoppelten Wertpapiers unterrichtet.
B. EFSF-Darlehen an die Hellenische Republik
Zur Erleichterung des vorgesehenen Anleihetauschs, der eine freiwillige Beteiligung der Anleiheglubiger an der Finanzierung des zweiten strukturellen Anpassungs- und

Finanzhilfeprogramms fr die Hellenische Republik sicherstellen soll, werden die vom EFSF an die Hellenische Republik ausgegebenen Darlehen sich auf einen Gesamtbetrag von bis zu 93,5 Mrd. EUR belaufen. Die Betrge dieser Darlehen werden wie folgt verwendet:
1. Einen Betrag von bis zu 30 Mrd. EUR wird Griechenland ausschlielich dafr verwenden, Anleiheglubigern 15 % des Nennwerts der am Anleihetausch teilnehmenden zulssigen Anleihen zu zahlen. Diese Mittel werden in Form von Schuldscheinen mit einer Laufzeit von bis zu 24 Monaten bereitgestellt. Die Laufzeitstruktur des Darlehens entspricht der Laufzeitstruktur der im Rahmen des Anleihetauschs zu emittierenden neuen Anleihen mit einer Laufzeit von 30 Jahren, einer tilgungsfreien Zeit von 10 Jahren und einer Tilgungsdauer von 20 Jahren;
2. Ein Betrag von bis zu 5,5 Mrd. EUR wird ausschlielich fr die Zahlung der zum Abwicklungstermin des Anleihetausches aufgelaufenen Zinsen fr die an dem Anleihetausch teilnehmenden zulssigen Anleihen verwendet. Diese Mittel knnen in Form von Schatzwechseln mit einer Laufzeit von 6 Monaten bereitgestellt werden. Die Laufzeit des betreffenden EFSF-Darlehens betrgt 25 Jahre, mit einer tilgungsfreien Zeit von 10 Jahren und einer Tilgungsdauer von 15 Jahren.
3. Ein Betrag in Hhe von bis zu 35 Mrd. EUR wird verwendet, um die Eignungsfhigkeit der vom griechischen Staat begebenen oder garantierten marktfhigen Schuldtiteln als Sicherheit fr geldpolitische Operationen des Eurosystems wahren zu knnen. Dies wird durch Einfhrung einer Rckkaufregelung erreicht, die solange Anwendung findet, wie die Hellenische Republik oder ihre Anleihen infolge des Angebots zum Anleihetausch mit einem Zahlungsausfall- oder teilweisen Zahlungsausfall-Rating belegt ist. Die Mittel fr den Anleihe-Rckkauf knnen in Form von Schuldscheinen mit einer Laufzeit von 12 Monaten bereitgestellt werden. Die Laufzeit des betreffenden EFSF-Darlehens betrgt 25 Jahre, mit einer tilgungsfreien Zeit von 10 Jahren und einer Tilgungsdauer von 15 Jahren. Wenn die Rckkaufregelung nicht mehr bentigt wird, erlischt die Auszahlungsverpflichtung der EFSF.
4. Die EFSF wird eine Vereinbarung ber eine Finanzhilfefazilitt (FAFA) unterzeichnen, mit der sie sich verpflichtet, bei Bedarf bis zur Aufstellung des zweiten Anpassungsprogramms bis zu 23 Mrd. EUR ausschlielich fr die Wahrung der Stabilitt des griechischen Bankensystems auszuzahlen. Die Verpflichtung wird nur eingelst, wenn die dem griechischen Finanzstabilittsfonds HFSF zur Verfgung stehenden Mittel fr die Wahrung der Finanzstabilitt nicht ausreichen sollten. Die Auszahlung der Mittel erfolgt auf Antrag der griechischen Zentralbank und mit Zustimmung der Eurogruppen-Arbeitsgruppe auf der Grundlage eines von der Europischen Kommission zusammen mit der EZB und dem IWF erstellten Berichts, in dem die Notwendigkeit der Auszahlung und der erforderlichen Betrge besttigt wird. Die Mittel werden ber den griechischen Staat an den HFSF ausgezahlt. Der HFSF darf die Mittel nur zur Finanzierung der Rekapitalisierung oder Abwicklung von Banken einsetzen, sei es unmittelbar mittels Kapitalspritzen oder ggf. durch Finanzierung der Abwicklungskomponente des griechischen Einlagen- und Anlagensicherungsfonds (TEKE). Die Verfahren und Bedingungen fr die Kapitalspritzen unterliegen dem HFSF- undKreditwesengesetz. Die Laufzeit des betreffenden EFSF-Darlehens betrgt 25

Jahre, mit einer tilgungsfreien Zeit von 10 Jahren und einer Tilgungsdauer von 15 Jahren. Es erfolgen keine Auszahlungen im Rahmen der FAFA zur Bankenrekapitalisierung und die Auszahlungsverpflichtung erlischt, sobald das zweite Anpassungsprogramm fr Griechenland mit Festlegung der Modalitten fr die Umstrukturierung des griechischen Bankensektors aufgestellt wurde. Bereits erfolgte Auszahlungen werden ggf. mit den im zweiten Programm fr den Finanzsektor vorgesehenen Mitteln verrechnet.
C. Konditionalitt
Die Inanspruchnahme von in dieser Vereinbarung vorgesehenen Mitteln im Rahmen der in Abschnitt B genannten Fazilitten setzt Folgendes voraus:
1. Eine Umsetzung des Anleihetausches, durch den die Staatsverschuldung der Hellenischen Republik auf ein von der EAG festgelegtes tragfhiges Niveau zurckgefhrt wird;
2. Eine Einigung der Hellenischen Republik mit der Europischen Kommission, EZB und dem IWF auf Arbeitsebene ber die Bedingungen des zweiten Anpassungsprogramms.
3. Die in der Absichtserklrung zum zweiten Programm aufgefhrten Vorleistungen, die bis Ende Februar umzusetzen sind. Diese Voraussetzung gilt nicht fr die Inanspruchnahme vom Mitteln im Rahmen der unter Abschnitt B.3 genannten Fazilitt.
