NOTICENotice is hereby given that the Fifty First Annual General Meeting of the Basic Chemicals,Pharmaceuticals and Cosmetics Export Promotion Council, Mumbai will be held on Friday the26th September, 2014 at 3.30 pm in the Conference room of the Council (Jhansi Castle, 4th floor,7 Cooperage Road, Mumbai-400 001) to transact the following as per Article 34.2 of the Byelaws ofthe Council.

1. Chairman’s address

2. To receive, consider and adopta. Annual Report of the Working Committee for the year ended as on 31st March, 2014.b. The Audited Income and Expenditure Accounts for the year ended as on 31st March,

2014.c. Balance Sheet as on 31st March, 2014.

3. To place on record the names of the Members of the Committee under Para 34.2 (b)

4. To appoint and fix the remuneration of the Auditors as required under Para 34.2 (c) to holdOffice the conclusion of the next Annual General Meeting & to fix remuneration thereof.

N.B. Any member desirous of asking questions on the accounts of the Council or any other queriesduring the meeting, is requested to give such questions in writing to the Acting Executive Director,on or before 3.30 pm on 22nd September, 2014.

The soft copy of the Fifty First Annual Report is attached herewith and is also uploaded on the websiteof the CHEMEXCIL (https://chemexcil.in). Any member willing to see the hard copy of the AnnualReport can visit the Council’s library in Mumbai Office during office hours (Monday to Friday 9.30 amto 6.00 pm).

Dear Esteemed Member Exporters,

All of you may be aware that the year 2013 was very important in the history of CHEMEXCIL as wehad completed our Golden Jubilee year (i.e. 50th Anniversary of its establishment) on 11th July, 2013.During the last 50 years of its functioning, CHEMEXCIL had implemented a lot of export promotionalactivities for the benefit of its member-exporters which included participation in Exhibitions/Buyer SellerMeets both abroad and in India, conducting of Educative Seminars like Skill Development Programme,Open House Meets with DGFT in various regions, Building up of Indian Chemical Inventory,Registration of Substances of firms in European Countries (i.e. REACH), etc., details of which areenumerated elsewhere in the Report.

I am happy to inform you that CHEMEXCIL had successfully organized its 39th & 40th Export AwardFunction on 30th of August, 2013 at the Trident Hotel, Mumbai by honouring 75 outstanding exporterswho had excelled in their export performance during the years 2009-10 and 2010-11. The Chief Guestat the function was the Hon’ble Union Minister of Commerce & Industry, Shri Anand Sharma.

As you are aware, due to the withdrawal of GSP scheme by the EU countries w.e.f. January 01,2014, Indian products especially Organic & Inorganic Chemicals have become uncompetitive due toincidence of High Customs Tariffs. CHEMEXCIL had timely taken up the matter with the Ministry ofCommerce & Industry requesting to extend some benefit to the member-exporters concerned underthe Focus Market-linked Scheme or any other Scheme which is deemed fit to improve thecompetitiveness of Indian exporters.

CHEMEXCIL had already taken up the matter of the removal of duty inversion on DTA sales of FattyAlcohols by EOUs, with the Central Board of Excise & Customs as the said issue remains unresolvedand was seriously affecting the economic viability of our member exporters.

As the member-exporters are aware, CHEMEXCIL has been authorised by the Ministry of Commerce& Industry as a Nodal Agency for compliance of REACH and for providing services to the industryconcerned. Accordingly, CHEMEXCIL had taken up the matter of disbursement of 50% of ECHA Regn.fee incurred to the firms concerned with the Ministry of Commerce & Industry under REACH MAI. Iam happy to inform the member-exporters that the Ministry had considered our request and sanctioned/released 50% of the ECHA Registration fee incurred to the firms concerned which had already been

disbursed to all the concerned firms who had registered their substances in the EU during the 1stphase of Registration deadline, i.e in 2010 and who had submitted their Registration claims throughCHEMEXCIL.

CHEMEXCIL has already recommended to the Ministry of Commerce & Industry to considerdisbursement of 50% of ECHA Regn. fee incurred to the firms who had registered their substancesin the EU during the 2nd phase of Registration deadline, i.e. in May 2013 and who had submittedtheir documents of the same through CHEMEXCIL under REACH MAI, outcome of which is awaitedfrom the Ministry.

With regard to the Indian Chemical Inventory, I am happy to inform the member-exporters thatCHEMEXCIL has also prepared a Model Chemical Inventory of 4600 substances by collecting dataalready available from DGCI&S, substances pre-registered under REACH, Public Liability InsuranceAct, etc. Several meetings were convened jointly with the Ministry of Commerce & Industry and theMinistry of Chemicals & Fertilizers by making Presentations on Inventory which also shown toSecretaries of both the Ministry of Commerce & Industry and the Ministry of Chemicals and Fertilizers.A Budget proposal towards the expenses incurred by CHEMEXCIL for inventorisation of the saidsubstances had already been submitted to the Ministry of Chemicals & Fertilizers on 15th July, 2013and the outcome of which is awaited from the Ministry also invite suggestions/views, if any, from ourmember-exporters on the export promotional activities of the Council so as to improve it further forthe benefit of all of you.

Some of the major points discussed/decisions taken in the above meetings are listedbelow :1. CHEMEXCIL has disbursed 50% of ECHA fee incurred to the concerned member-exporters who

had registered their substances in the 1st phase of Regn. deadline ( i.e. in 2010) under REACHMAI.

2. CHEMEXCIL had taken up the matter of withdrawal of GSP Scheme by EU with the Ministry ofCommerce & Industry along with details of High Custom duty imposed on Indian Exports with arequest to give some kind of benefit to the member-exporters concerned under the Focus Market-linked Scheme or any other Scheme, which will improve the competitiveness of Indian exporters.

3. CHEMEXCIL has taken up the issue with the Government on increase in the prices ofintermediates for Agrochemicals where the Industry is heavily depending on China, to regainthe advantage we have lost in the EU.

4. CHEMEXCIL has taken up the issue on the ambiguity in the Notification No.27(RE-2012)/2009-2014 dated 28-12-2012 as well as Notification No. 44 dated 25.9.2013, both issued by the DGFTwith regard to Incremental Export Incentivization Scheme.

5. As per the decision of the Committee, the Council has issued letters to all its members informingthat those who are interested to pay their membership fee for 5 years in advance, they will get10% discount on their total membership fee. Further, in case the Council increases themembership subscription during that 5 years’ time, then the Council can collect whatever thedifference in the said amount between the old membership and the new membership from themembers concerned.

6. The Committee, after taking into account the history of Chennai Office and evaluation of itspotential, unanimously decided to close down the Chennai Office of the Council and retrenchthe service of its Regional Director along with other employees posted there.

7. The Committee decided to deeply go-through the existing byelaws, make necessary suggestions/amendments, if any in the same and finally send to the Ministry of Commerce & Industry fortheir approval.

OTHER ACTIVITIES:

REACH:

1. CHEMEXCIL had already taken up the matter of disbursement of 50% of ECHA Registrationfee incurred to the firms concerned, during the 1st phase of Registration deadline ( i.e. in 2010)with the Ministry of Commerce & Industry under REACH MAI. The Ministry had thereafter,sanctioned and released 50% of the ECHA Registration fee which has already been disbursedto all the concerned firms who had registered their substances in the EU during the saidRegistration deadline and who had submitted their Registration claims through CHEMEXCIL.

2. CENTRAL EXCISE & CUSTOMS :During the year 2013-14, the Council had received several representations from our member-exportersregarding issues faced with refund of Terminal Excise Duty, Duty inversion on EOU sales to DTA,Data leaking from Customs Server, Renewal of C.E bond and other technical issues. We havescrutinized the cases and appropriately recommended to the respective offices of Central Excise &Customs.

Council also takes up exporters grievances in the Grievance Committee meetings being held fromtime to time.

In addition to the above, the Council circulates Trade Notices/Central Excise Notifications etc. fromthe concerned departments to our member exporters from time-to-time.

TRADE DISPUTES :The Council attends trade disputes viz Non-payment of overseas commission, supply of sub-standardmaterials etc., and makes its efforts to settle the same amicably with the help of Indian Missionsabroad. Wherever settlement could not be arrived at, such cases were referred to the Trade DisputeSettlement Cell in the DGFT, New Delhi. During the period under review, Council processed six casesof Complaints/Arbitrations.

EXPORT ASSISTANCE :The Council received following applications for fixation/modification of Input Output Norms etc., &policy matters from the member exporters.

INTERNATIONAL TRADE ENQUIRIES:Overseas Trade enquiries received through Faxes/Letters/Mails both from potential importers/IndianMissions were directly disseminated by Emails/Mass mails to the appropriate manufacturers. Theseenquiries were published in Chemexcil Bulletin also.

NON PREFERENTIAL CERTIFICATE OF ORIGIN:A number of Member-Exporters had approached the Council for issuance of Certificates of Originand attestations on connected documents like Export Invoice in respect of different products exportedby them to various overseas countries. The Council scrutinized the applications received from thesemember-exporters and issued certificates accordingly. During the year under review, 168 Certificatesof Origin were issued to the Member-exporters.

VISA RECOMMENDATION LETTERS:A number of applications were received by the Council from Member-Exporters for recommendationsletters to overseas missions located in India for issuance of Visa. The applications were duly scrutinizedand recommendation letters totaling 235 were issued to Embassies/Consulates & High Commissionsin favour of our Member-Exporter.

LIBRARY :The Council has been maintaining Trade Information Library having collection of Technical publicationsviz. Handbook of Chemical Technology, Colour Index, Kirk-Othmer Encyclopedia of ChemicalTechnology and other informative books of Dyes, Cosmetics, Chemicals & Essential Oils.

The Council also maintains Various Indian / International Magazines received from differentAssociations and Organizations for reference purpose of Member-Exporters as well as to the visitors.

During the year under review, a number of parties visited the Council Library. MBA Students of MumbaiUniversity, Jamnalal Bajaj Institute, Narsi Monji College of Commerce & Economics had visited theCouncil and took advantage of the Library. Council officers also gave presentations on activities ofthe Council to the students.

Services of the Council’s Library are also utilized by Member Exporters, Research Students, OverseasBuyers, new entrepreneurs etc.

1. CHEMSPEC INDIA EXHIBITION, GOREGAON, INDIA HELD ON 11TH & 12TH APRIL, 2013.

CHEMEXCIL had participated in the CHEMSPEC India Exhibition, which was one of India’s dedicatedfine and Speciality Chemicals Event, organized by CHEMSPEC India Expo Pvt. Ltd., Mumbai on11th and 12th April, 2013. The said expo was inaugurated by Shri Satish Wagh - Chairman,CHEMEXCIL, Mr. Steve Diprose, Vice-President, Quartz Business Media, UK along with Mr. JohnLane, Sales Director of Quartz Chemicals UK. Total 14 member-exporters participated in the aboveexpo under the umbrella of CHEMEXCIL. Altogether 77 officials visited CHEMEXCIL’s Stall at thesaid Expo which included Indian manufacturers/exporters as well as a few importers/buyers of variouschemical products from abroad.

2. INDIAN CHEMICALS AND COSMECTICS EXHIBITION IN LAGOS, NIGERIA, HELD ON16th-17th JULY, 2013

This exhibition was held at 10 Degree Event Centre, Ikeja, Lagos, Nigeria. This exhibition wasinaugurated by Shri. S.K. Makhijani – Dy. High Commissioner, Nigeria. There were total 80 Indianparticipants from Chemicals, Dyes & Dye Intermediates, Agro Chemicals & Pigments industury. Theresponse was overwhelming as over 204 local manufacturers/traders visited the exhibition. The majorvisitors were in the field of Agro Chemicals & Fertilizers as Nigerian Government is supporting thefarming industry because they have vast barren land which needs to be cultivated. Our memberexporters in the field of Agro Chemicals, Pesticides and Fertilizers were able to generate goodenquiries. The second biggest beneficiary of the above exhibition were Food & Detergent colours.

Soap and Detergent Industries are on the upswing in this market and Dyes/Fragrance required forthis industry were in demand. Food Colours business enquiries were also generated along with flavourbusiness. We were expecting good business also from oil drilling Industry as Nigeria is one of thebiggest oil producers in the world. However, it seems that Oil drilling specialty chemicals business isdone mainly by American & European companies. Certain local Nigerian companies were interestedin JV to manufacture Soda Ash. Local decorative paint manufacturers also visited which generatedorders for pigments and paint additives. Overall the business opportunities are good in Nigeria, but,one should ensure payment security before commencing the business.

3. BSM AT HOTEL HILTON, ADDIS ABABA, ETHIOPIA, HELD ON 19TH JULY, 2013

After having a successful exhibition at Nigeria, Council had organised a Buyer Seller Meet in Ethiopiaon 19th July-2013. The delegation comprised of 42 delegates from all the products coming underChemexcil’s purview. The Inauguration was held in the same hotel and graced by Mr. Utpal Aich –Second Secretary – Commercial and Press Info, Embassy of India. His Excellency Mr. BhagwantSingh Bishnoi – The Ambassador of India to Ethiopia was travelling to India so was not available. Inthis BSM, the major beneficiary of inquiry generation where plastic based products- Master batches.Dyes industry also generated good business enquiries. However, Vat dyes business was negligiblewhich reflects the quality of textile industry in Ethiopia. The textile industry in Ethiopia prefers dyeswhich are low priced (cotton) dyes rather than VAT dyes which are in the category of premium pricing.The local decorative paint industry in Ethiopia also attended the BSM which generated businessenquiries for pigment manufacturers and other solvents along with paint additives. In this country,manufacturers are shifting from solvent based paints to water based paints. Manufacturers ofsurfactants also generated good enquiries along with Agro Chemicals and fertilizers. The total localparticipants visiting the BSM exceeded 95 numbers. The Market size of Ethiopia is smaller comparedto Nigeria and Tanzania. As Ethiopia is a land locked country, the nearest port is over 1000 km awayfrom the main city. The Custom clearance is also a big issue in this country.

4. BSM AT HOTEL AFRICA. DAAR-E-SALAM, TANZANIA, HELD ON 23RD JULY, 2013

After completion of BSM at Ethiopia, the next BSM was in Tanzania on 23rd July 2013. Here, thedelegation strength was of only 31 delegates. H.E. Shri Debnath Shaw, High Commissioner and ShriKunal Roy Counselor [E&C] & HOC were present for the Inauguration. Manufacturers of chemicalsfrom India generated good orders as Tanzania is the net importer of chemicals. Dyes & DyeIntermediates also generated good enquiries for textile industry except VAT dyes. Local paint industryin Tanzania also attended the BSM which generated business enquiries for pigment manufacturers,paint additives and other solvents. In these countries also, manufacturers are shifting from solventbased paints to quality based paints. Tannery industry is also on upswing in this country but needsto be further developed. Tannery chemical manufacturers from India took this opportunity to convincethe local tannery industry to further develop the manufacturing of leather which will be a value addedproduct. The inquiries of Chemicals required for mining Industry (Gold) were also generated. As wedid not have any manufacturer from India in this BSM, we have noted the details and will inform theIndian manufacturer of Sodium Cyanide. Cosmetic industry is fairly less developed but certain Indianmanufacturers are developing Tanzanian industry and enquires were generated for cosmetic basedcolour and chemicals. Total number of local business companies were 45 and almost 70 visitorsattended this meet.

5. INDIA TRADE FAIR DUBAI 2013 HELD AT DUBAI FESTIVAL CITY, DUBAI, DURING3RD – 5TH SEPTEMBER, 2013.

India Trade Fair Dubai 2013 was held during 3-5 September, 2013 at Hotel Inter-Continental, FestivalCity Dubai and was organized by M/s. Silver Star Corporation. CHEMEXCIL took part in this exhibitionwith 21 Indian member exporters. The show was inaugurated by H.E. Mr. M.K. Lokesh, Ambassadorof India to UAE.

6. INDIAN CHEMICALS AND COSMETICS EXHIBITION IN SYDNEY, AUSTRALIA, HELD ON24TH-25TH SEPTEMBER, 2013

The exhibition was inaugurated by Hon. Mr. Arun Kumar Goel, Consul General of India, Sydney andDr. Geoff Lee, Member of Parliament, Parramatta. The event was a key milestone in furthering bilateralrelations between India and Australia. Mr. Arun Kumar Goel, Consul General of India and Chief Guestat the ceremony spoke about how the bilateral trade has grown with India being the 4th largest partnerof Australia. He also mentioned that this delegation will further strengthen the bi-lateral partnership.Dr. Geoff Lee, Member of Parliament, Parramatta and Guest of Honour, threw light on the NSW-India perspective. He said, “The trade relations between NSW and India are growing and definingthe future of the Australia-India relationship”. There were total 47 participants from India. Theseparticipants were from Chemicals, Dyes & Dye Intermediates, Agro Chemicals, & Cosmetics. Theresponse was however moderate. 103 companies visited this exhibition apart from the walk-ins onthe next days as it was laid open for one and all. The major visitors were from Chemicals who currentlyplay a very important role in the Chemical Industry. Our member exporters in the field of AgroChemicals, Pesticides and Fertilizers have a long way to go as registration for Agrochemicals ismandatory. Cosmetics market has excellent potential as no registration is required to export.

7. CHEM ASIA 2013, KUALA LUMPUR, MALAYSIA HELD ON 8TH-9TH OCTOBER, 2013

Chem Asia 2013 exhibiton was held during 8-9 October, 2013 at the Hotel Putra World Trade Centre,Kuala Lumpur, Malaysia. CHEMEXCIL took part in this exhibition with 15 Indian member exporters.The show was inaugurated by Ms. Yang Berhormat Datuk Dr. Ewon Ebin; Honorable Minister ofScience & Technology & Innovation. Total 50 to 60 visitors visited the show during the exhibition

8. 15TH REVERSE BUYER SELLER MEET IN AHMEDABAD AT HOTEL COURTYARD MARRIOT,AHMEDABAD ON 25TH OCT, 2013.

15TH Reverse Buyer Seller Meet coinciding with INDIA CHEM 2013 was inaugurated by Hon’ble ChiefGuest Shri Maheshwar Sahu, IAS, Addl. Chief Secretary, Government of Gujarat on 25TH OCT, 2013at Ahmedabad. Dr. A. J. V. Prasad, IAS, Jt Secretary, Ministry of Chemicals & Fertilizers, New Delhiwas the Guest of Honour. The same was attended by 35 foreign delegates and 90 Indian participants.

9. IN-COSMETICS ASIA 2013, THAILAND HELD ON 29TH-31ST OCTOBER 2013

10. INDIAN CHEMICAL AND COSMETICS EXHIBITION, 2014 AT MEXICO CITY, MEXICO HELDON 11th - 12TH FEBRUARY, 2014

CHEMEXCIL had organized the prestigious INDIAN CHEMICAL AND COSMETICS EXHIBITION atMEXICO CITY, MEXICO on 11th and 12th February, 2014 with 500 sq. mtr. space. The said exhibitionwas inaugurated by the Chief Guest- H.E. Shri. Sujan R. Chinoy, Ambassador of India to Mexico.Total 46 member-exporters exhibited in the above exhibition under the umbrella of CHEMEXCIL.Altogether 250 foreign visitors visited this exhibition which included importers/buyers of variouschemical products. CHEMEXCIL had deputed Mr. S.G. Bharadi, Acting Executive Director and Mr.Prafullla Walhe, Dy. Director to look after the entire arrangements of the event.

11. BUYER SELLER MEET, 2014 AT GUATEMALA CITY, GUATEMALA HELD ON 14thFEBRUARY,2014

CHEMEXCIL had organized Buyer Seller meet at Guatemala City Guatemala 14th February, 2014 atReal Intercontinental, 14 Calle 2-51, Zona 10, Guatemala. The said BSM was inaugurated by H.E.Shri. Subrata Bhattacharjee - The Ambassador to Embassy of India in Guatemala. Total 15 member-exporters participated in the above buyer seller meet under the umbrella of CHEMEXCIL. Altogether80 foreign visitors visited the BSM which included importers/buyers of various chemical products.CHEMEXCIL had deputed Mr. Prafullla Walhe, Dy. Director to look after the entire arrangements ofthe event.

12. 13TH CHINA INTERNATIONAL DYE INDUSTRY, PIGMENTS AND TEXTILE CHEMICALSEXHIBITION SHANGHAI, CHINA HELD ON 17TH-19TH APRIL 2013

The Council’s participation in the China Interdye exhibition was significant and successful. TheExhibition could provide the exhibitors a platform to introduce and promote their products, technologiesand also enhance co-operation in the trade and know-how. Further, the Organizers had warmlywelcomed all the exhibitors and also provided satisfactory service. H.E. Mr. Naveen Srivastava, Hon’bleConsul General, Consulate General of India inaugurated the Indian Pavilion. Total 24,369 visitorsregistered their visit to the show, out of which 3,098 where international visitors and 21,271 domesticvisitors. Altogether 93 member-exporters of the Council participated in the above Exhibition by bookingindividual stalls.

13. 17TH BEAUTY WORLD MIDDLE EAST DUBAI AT DUBAI INTERNATIONAL CONVENTIONAND EXHIBITION CENTRE, DUBAI, UAE HELD ON 29TH-31ST MAY 2013

Council had participated in 17th Beauty World Middle East Dubai, UAE held at Dubai InternationalConvention and Exhibition Centre, Dubai from 29th May to 31st May, 2013. Total 25 Member exportersparticipated in the said expo under the umbrella of CHEMEXCIL. Around 200 representatives visitedthis expo.

14. CHEMSPEC EUROPE, 2013 AT MUNICH, GERMANY HELD ON 5TH - 6TH JUNE, 2013

CHEMEXCIL had participated in the prestigious CHEMSPEC EUROPE 2013 fair at Munich, Germanyon 5th and 6th June, 2013 by organizing an INDIA Pavilion with 717 sq.mtr. space. Total 36 member-exporters participated in the above expo under the umbrella of CHEMEXCIL. Altogether 50 foreignofficials visited the CHEMEXCIL’s Stall at the CHEMSPEC EUROPE 2013 Fair which includedimporters/buyers of various chemical products. CHEMEXCIL had deputed Mr. Prafullla Walhe, Dy.Director, Mr. K.S. Gopalakrishnan, Assistant Director and Ms. Amrita Sharma, Regulatory Officer tolook after the CHEMEXCIL’s stall and for the other arrangements.

15. FARM CHEMICALS INTERNATIONAL TRADE SUMMIT 2013 AT MIAMI, USA HELD ON5TH-7TH AUGUST, 2013.

CHEMEXCIL had participated in FARM CHEMICALS INTERNATIONAL TRADE SUMMIT 2013 atHyatt Regency, Miami, United States of America on 5th – 7th August, 2013. Total 25 member-exportersexhibited in the above exhibition under the umbrella of CHEMEXCIL. Altogether 250 foreign visitorsvisited the CHEMEXCIL’s Stall in the exhibition which included importers/buyers of various Agrochemical products. CHEMEXCIL had deputed Mr. Prafullla Walhe, Dy. 16. CHEMSPEC ASIA AT BITEC, BANGKOK, THAILAND HELD ON 19TH-21ST SEPTEMBER 2013.

Chemspec Exhibition was held in Thailand for the first time. The major partner nation was India andexhibitors from Europe and speakers from Thailand and USA were amongst the invitees. The showwas inaugurated on 19th September by His Excellency Mr. Anil Wadhwa, Ambassador of India toThailand. This opening function was also graced by Mr. Steve Diprose, VP Quartz Chemicals alongwith other dignitaries from local Chamber of Commerce and Industry. Total 23 Indian exhibitorsparticipated from the fields of Speciality Chemicals, Dyes and Intermediates, Antioxidants and manyother. The total visitors were not more than 350 for both the days. However, the presentation sessionconsisted of Safety and Responsible care, Green Chemistry, Risk and Opportunities which addedsome flavour to the exhibition.

17. INTERDYE ASIA, INDONESIA HELD ON 24TH-26TH OCTOBER 2013

INTERDYE ASIA was the perfect place where all the stake holders related to the dye, pigmentationand textile chemical industries had come on a common platform and exhibitors could reach the globalattendees and proceed with business dealings with them. In view of the importance of Indonesia asa growing market for Dyes Products, the Council’s participation in this event was very significant.Apart from the dyes and pigments, the show also exhibited advanced technology aided textile printingequipments and spare parts. Under the umbrella of CHEMEXCIL, 56 Member-exporters took activepart in the said exhibition.

18. 16TH REVERSE BUYER SELLER MEET IN GOA AT HOTEL NOVOTEL HELD ON 28TH-29TH

16TH REVERSE BUYER SELLER MEET was held in Goa at Hotel Novotel on 28th-29th Jan, 2014.Foreign Delegates from various Focus countries such as Focus Africa, Focus Asean, Focus CIS aswell as from Bangladesh. Saudi Arabia, Sri Lanka, Nepal and Dubai dealing in business of Dyes,Dye Intermediates, Chemicals and Cosmetics were invited. Nearly 60 Indian Manufacturers andExporters attended the Meet.

The Buyer Seller Meet was inaugurated by Hon’ble Chief Minister of Goa, Shri Manohar Parrikar bylightning the auspicious lamp thereafter felicitating the foreign delegates.

19. 15TH CAC EXHIBITION IN SHANGHAI, CHINA HELD ON 6TH-8TH MARCH, 2014

CHEMEXCIL had participated in the 15th China International Agrochemical & Crop Protection Exhibitionheld from 6th to 8th March, 2014 at the New International Expo Centre, Shanghai, China. Altogether33 member-exporters participated in the above expo under the umbrella of CHEMEXCIL.Mr. Li Yongwu, Chairman of China Petroleum and Chemical Industry Federation (CPCIF) along withMr. Zhao Jungui, Vice Chairman and Secretary General of CPCIF, inaugurated the opening ceremonyof the above Expo. The organiser of the said expo was CCPIT Sub-Council of Chemical Industry,Shanghai, China. CHEMEXCIL’s stall was visited by about 50 Officials who included importers aswell as dealers of various chemical items. CHEMEXCIL had deputed Shri Prafulla Walhe, Dy. Directorand Shri K.S. Gopalakrishnan, Asstt. Director to look after the CHEMEXCIL’s stall and co-ordinatewith its other participant-members.

BENGALURU:During the period under review, the Regional Office of the Council provided effective service to themember exporters of the region on the export forefront in close co-ordination with other Governmentbodies, Trade Associations, Chambers of Commerce and Industry and other organizations connectedto export trade. During the period under review, a number of visitors called on the office and sought clarification onvarious export related matters. These visitors were promptly attended and their queries suitablyclarified. The Regional Office also disseminated information relating to MDA /MAI schemes to member-exporters and urged them to participate in council sponsored events. Member-exporters/ newentrepreneurs visiting the Regional Office were briefed on the role of the council in the export frontand assisted in locating overseas buyers / indigenous sourcing.

In concurrence with a decision taken by the Council’s Secretariat to increase the membership of theCouncil, the Regional office initiated a sustained action plan which resulted in addition of 45 newmembers.

During the review period, the Regional Office of the Council ensured submission of monthly statementof accounts for the funds received from Head Office and the amount expended with supportingdocuments including Bank statements.

During the period under review, the Regional Office mass mailed various circulars issued by the HeadOffice in respect of export promotional events to all members and ensured successful implementationof the projects.

Registration Cum Membership CertificateThe Regional Office received 71 applications for issue of registration-cum-membership certificate outof which 48 applications were for fresh issue and balance 23 for revalidation.

KOLKATA:During the period under review, the member-exporters of this region were provided effective servicein the export forefront. A close knit relationship was maintained with different Government bodies,Trade Associations, Chambers of Commerce & Industry and other sister organizations related toexports. Trade information received from these organizations was disseminated to all the member-exporters of the region from time to time.

Registration Cum Membership Certificate

During the review period, the Regional Office received 21 applications for issue of RCMC/Revalidation.The applications received were scrutinized, processed, and recorded in the register before issuance.During the period communication was also sent to registered exporters holding valid registrationcertificate to renew their membership with the Council so as to retain the validity of the RCMC. Anumber of registered exporters renewed their RCMC on its expiry.

Visitors / Intending Exporters

During the period under review, a number of intending exporters and new entrepreneurs called onthe office and sought information relating to exports. These visitors were courteously attended andtheir queries suitably clarified. Assistance was given to the intending exporters in regard to locatingoverseas buyers/indigenous sourcing etc. The intending exporters were also assisted with Statisticaldata wherever product specific export potentiality was desired. The Council also assisted intendingexporters/ members in sourcing Indian manufacturers of specific products. Apart from this, the roleof the Council and the Government Schemes viz. MAI / MDA were also explained.

Membership of the Region

In order to increase membership of the Council and generate revenue concerted efforts were madeand the same resulted into 10 new members during the period under review.

Statistics

During the period under review, the Regional Office collected the monthly statistics of Foreign Trade(Principal Commodities and Countries) from the Office of the Directorate General of Commercial

Intelligence and Statistics, Kolkata regularly and forwarded the same to Head Office. Similarly, monthlystatistics of Foreign Trade of India both imports and exports were collected and forwarded to Headoffice.

The Regional Office of the Council compiled comparative statistics port wise in respect of council’sbasket of items and forwarded to Head office.

Statement Of Accounts

The Regional office ensures submission of monthly statement of accounts showing the funds receivedand expended supported by relevant cash memos and vouchers. Quarterly statement of accountsfor the respective months obtained from our Bankers is also forwarded to the Council’s Head Office.

Membership Renewal Collection Initiative

In order to ensure maximum collection of membership renewal from the members of this region, theRegional Office initiated a massive mass contact programme of contacting individual member-exporters of the region. Circulars and letters were issued to individual members and regular followup action was done. This exercise yielded quite an encouraging response and membership renewalcollections were received at the Regional Office Kolkata. The membership renewals collected at thisoffice were duly recorded in the register separately maintained for the purpose and the cheques/demand drafts as the case may be were sent to Head Office for their further action. As on date, theRegional Office had forwarded to Head Office an amount of Rs. 8 lakhs approximately excludingmembership and entrance fees received from new members enrolled.

In order to ensure timely renewal of membership / registration certificate, this office had issued acircular to members whose registration expired on 31.3.2014.

Export Promotional Activities

Regional Office is constantly on the look out to organize export promotional programmes for the benefitof the member exporters of this region.

During the review period, the Regional Officer was assigned an overseas project work relating to12th Dye + Chem Exhibition in Dhaka, Bangladesh.

Important circulars received from other Trade promotion organization were also mailed to memberexporters of the region to keep them abreast on various issues concerning exports.

During the period under review, the Regional Office organized and interactive meeting of exporterson 17/01/2014. The meeting was attended by Shri Satish Wagh, Chairman of the Council and ShriSuhas Bharadi, Acting Executive Director. Apart from this, the meeting was addressed by the Asst.Director General of Foreign Trade, The Regional Manager of ECGC and Shri Sudhakar Kasture,Consultant of the Council.

Report on the Financial StatementsWe have audited the accompanying financial statements of Basic Chemicals, Pharmaceuticals andCosmetics Export Promotion Council (hereinafter referred as “the Council”), which comprise theBalance Sheet as at 31st March , 2014 and the Statement of Income and Expenditure for the yearthen ended, and a summary of the significant accounting policies and other explanatory information.

Management’s Responsibility for the Financial StatementsThe Council’s Management is responsible for the preparation of these financial statements that givea true and fair view of the financial position and financial performance of the Council in accordancewith the Accounting Standards referred to in sub-section (3C) of section 211 of the Companies Act,1956 (“the Act”) read with the General Circular 15/2013 dated 13th September, 2013 of the Ministryof Corporate Affairs in respect of section 133 of the Companies Act, 2013.This responsibility includesthe design, implementation and maintenance of internal control relevant to the preparation andpresentation of the financial statements that give a true and fair view and are free from materialmisstatement, whether due to fraud or error.

Auditors’ ResponsibilityOur responsibility is to express an opinion on these financial statements based on our audit. Weconducted our audit in accordance with the Standards on Auditing issued by the Institute of CharteredAccountants of India. Those Standards require that we comply with the ethical requirements and planand perform the audit to obtain reasonable assurance about whether the financial statements arefree from material misstatement.

An audit involves performing procedures to obtain audit evidence about the amounts and thedisclosures in the financial statements. The procedures selected depend on the auditors’ judgment,including the assessment of the risks of material misstatement of the financial statements, whetherdue to fraud or error. In making those risk assessments, the auditor considers the internal controlrelevant to the Council’s preparation and fair presentation of the financial statements in order to designaudit procedures that are appropriate in the circumstances, but not for the purpose of expressing anopinion on the effectiveness of the entity’s internal control. An audit also includes evaluating theappropriateness of accounting policies used and the reasonableness of the accounting estimatesmade by the Management, as well as evaluating the overall presentation of the financial statements.

We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basisfor our audit opinion.

OpinionIn our opinion and to the best of our information and according to the explanations given to us, thesaid financial statements give the information required by the Act in the manner so required and givea true and fair view in conformity with the accounting principles generally accepted in India:

i. In the case of the Balance Sheet, of the state of affairs of the Council as at 31st March, 2014;and

ii. In the case of the Statement of Income and Expenditure, of the surplus of Income overexpenditure of the Council for the year ended on that date.

Emphasis of MatterWithout qualifying, we draw your attention to:

a) Note No. 18.2 regarding premises occupied by the Council, in respect of which chequesaggregating to Rs. 21,00,655 for 71 months rent payment have not been deposited by thelandlord.

b) Note no. 18.5 regarding adjustment as may be necessary on Government audit observations/non – partial fulfillment of certain eligibility conditions, in respect of such grant received / utilizedfrom time to time, and

c) In our opinion, the internal control procedures, financial accounting/reporting activities and internalaudit system need to be strengthened to be commensurate with the activities of the Councilincluding that the Council needs to regularise its statutory compliances; to have the InformationSystems Audit to ensure the security, authenticity etc. of the various data, documents and recordsmaintained by the Council and disaster management of the data system.[Refer Note No.18.14(a)and (b)of Notes to Financial Statements]

Report on Other Legal and Regulatory Requirements1. As the Council is registered under section 25 of the Act, the Companies (Auditor’s Report) Order,

2003 is not applicable.

2. As required by Section 227(3) of the Act, we report that:

(a) we have obtained all the information and explanations which to the best of our knowledgeand belief were necessary for the purposes of our audit;

(b) in our opinion, proper books of account as required by law have been kept by the Councilso far as it appears from our examination of those books;

(c) the Balance Sheet and the Statement of Income and Expenditure dealt with by this Reportare in agreement with the books of account;

(d) in our opinion, the Balance Sheet and the Statement of Income and Expenditure complywith the Accounting Standards referred to in sub-section (3C) of section 211 of the Act readwith the General Circular 15/2013 dated 13th September, 2013 of the Ministry of CorporateAffairs in respect of section 133 of the Companies Act, 2013;

Notes forming Part of Financial Statements

1. SIGNIFICANT ACCOUNTING POLICIES:

1.1 Council’s Information:

The Council is registered under section 25 of the Companies Act, 1956 with the objective ofpromoting export activities in specified industries such as organic and inorganic chemicals,dyes, cosmetics and other allied products.

1.2 General:

a) The financial statements are prepared on the basis of historical cost convention, inaccordance with applicable accounting standards and on the principle of a goingconcern.

b) All income and expenses to the extent considered receivable and payable, respectivelywith reasonable certainty are accounted for on accrual basis.

c) Membership subscription which remains unpaid as at the close of the year is notaccounted for except the amount actually received out of such unpaid subscriptionsapproximately one month prior to the approval of the financial statements by theCommittee of Administration.

d) Entrance Fees receipts are credited to General Reserve.

e) Library books are charged to Income & Expenditure Account in the year of purchase.

1.3 Use of Estimates:

The preparation of financial statements is in conformity with Generally Accepted AccountingPrinciples (GAAP). It requires Management to make estimates and assumptions that affectsthe reported amounts of assets and liabilities and the disclosure of contingent liabilities onthe date of financial statements and reported amounts of revenue and expenses for that year.Actual results could differ from these estimates. Any revision to accounting estimates isrecognized prospectively.

1.4 Fixed Assets (Tangible and Intangible):

Fixed Assets are stated at cost of acquisition less accumulated depreciation/amortisation withoutany adjustment for Government Grant received, if any, for their purchase.

1.5 Depreciation/Amortisation and Impairment:

a) Depreciation on Fixed Assets is provided on written down value method at the ratesand in the manner as prescribed in Schedule XIV to the Companies Act, 1956(hereinafter referred to as the ‘Act’).

b) Impairment of Assets:

i. The Council assesses the carrying amount of assets at each Balance Sheet dateto determine whether there is any indication of impairment. If such indication

exists, the Council estimates the recoverable amount of the assets. Therecoverable amount is estimated as the higher of the net realizable value andthe value in use with an impairment loss being recognized whenever the carryingamount exceeds the recoverable amount.

ii. A previously recognized impairment loss on assets is reversed if there has beena change in the estimates used to determine the recoverable amount, howevernot to the extent higher than the carrying amount that would have beendetermined had no impairment loss been recognized in prior years.

1.6 Investments:

Non-current Investments are stated at cost less provision made for permanent diminution intheir carrying value.

1.7 Revenue Recognition:

a) Contribution from Members:

Contributions receivable from Members for participation in Exhibition, Delegation,Seminar, Pre-Registration, Late Pre-Registration and Annual Maintenance Fees arerecognized as income as and when the respective activities are completed and/or onreceipt basis in view of uncertainty. The cost of Publications of the Council is chargedto Statement of Income and Expenditure in the year of incurrence of such expensesand the income in respect of the same is taken into account as and when their sale isaffected.

b) Government Grants:

Grants from Government are credited to Income and Expenditure Account on receiptbasis as it is not possible to ascertain, the quantum of Grant due & receivable from/refundable to the Ministry of Commerce and Industry with reasonable certainty/accuracy.

1.8 Transaction in Foreign Currency:

Transactions in foreign currency are recorded at the rate of exchange in force at the time ofoccurrence of the transaction.

Monetary - Current assets and current liabilities in foreign currency at the year-end are statedat the rate of exchange in force as on that date and the resultant gain / (loss) is recognizedin the Income and Expenditure Account.

1.9 Employee Benefits:

a) Contribution for Provident Fund (based on a certain percentage of salary) is fundedinto an approved Trust.

b) Gratuity is charged to Income and Expenditure Account on the basis of actuarial valuationas at the year end and funded into an approved Trust.

c) Leave Entitlement Benefits are provided for on the basis of actuarial valuation as atthe year end.

1.10 Provision and Contingent Liabilities:

a) Provisions are recognized for liabilities that can be measured only by using a substantialdegree of estimation, if

a. The Council has a present obligation as a result of a past event;

b. A probable outflow of resources is expected to settle the obligation; and

c. The amount of the obligation can be reliably estimated.

b) Where some or all of the expenditure required to settle a provision is expected to bereimbursed by another party, such reimbursement is recognized to the extent of provisionor contingent liability as the case may be, only when it is virtually certain that thereimbursement will be received.

c) Contingent liability, if material, is disclosed in the case of:

a. A present obligation arising from a past event, when it is not probable that anoutflow of resources will be required to settle the obligation.

b. A possible obligation, unless the probability of outflow of resources is remote.

18. Notes to Financial Statements:

18.1 The Council has been registered as a Company under the provisions of the ‘CompaniesAct, 1956 (hereinafter called as the “Act”). By virtue of the licence granted to theCouncil by the Central Government under Section 25 of the ‘Act’ the word “LIMITED” isnot required to be suffixed to its name. Further, the Council is continuing to hold theregistration certificate under Section 12AA of the Income Tax Act, 1961. Even after theamendment in Section 2(15) of Income Tax Act, 1961 modifying the meaning of theword ‘Charitable Objects and Public Utility Services’, the assessment of the Council hasbeen done under scrutiny for the assessment year 2009-10 during the current financialyear, wherein no demand of income tax has been raised on the Council. Accordingly,no provision has been made in financial statements for the current financial year andin respect of earlier financial years.

18.2

a) The Council is occupying premises at Jhansi Castle (5th Floor), Mumbai since1971 and is a statutory tenant. It has been sending cheques to M/s Prakriti TradingCo. Private Limited but the same have not been yet deposited by them. An amountof ` 2,100,665 (Previous Year ` 1,967,155) is lying as stale cheques accountbeing rent payment for 71 months is included in Other Current Liabilities – NoteNo. 3 hereof.

b) The Council has decided to create sufficient funds for buying its own offices inMumbai, Delhi and Bengaluru and accordingly, ` 35,000,000 (Previous Year Nil)transferred to Chemexcil Building Fund from Surplus.

18.3 Contingent Liabilities not provided for in respect of :(Amount in `)

18.5 The expenses in respect of code-activities are subject to sanction / confirmation of theGovernment of India and Grant-in-aid received from the Ministry of Commerce andIndustry is subject to adjustments as may be necessary in view of any GovernmentAudit observations, non/partial fulfillment of certain conditions for eligibility of such Grant-in-aid, clarifications by the Council and final decision of the Ministry.

18.6 The Council generally classifies its expenditure in accordance with the format given byMinistry Of Commerce and Industry, Government of India.

18.7 Pursuant to the approval by the Ministry of Commerce and Industry for grant of MarketingDevelopment Assistance (MDA) to individual exporters under certain eligible schemes,the amount being disclosed as ‘Amount due to members/Government’ under otherCurrent Liabilities is as follows:

18.8 ` 535,500 (Previous Year ` 523,500) being the amount of membership subscriptionreceivable as on 31st March, 2014 and which was received subsequently up to cut-offdate 15th July 2014 (Previous Year 31st July, 2013) has been included in theReceivables.

18.9 During the year, only three Committee of Administration ( COA) meetings were held asagainst four specified in sub clause (d) of clause 26 of Articles of Association (AOA) ofthe Council.

18.10 During the year, ` Nil (Previous year ` 600,000) was paid to Directorate General ofCommercial Intelligence & Statistics (DGCI & S) for obtaining import-export statistics ofCouncil’s items to be supplied by them as and when asked for by the Council and wasdebited to “Books & Periodical Account”. An aggregate expensed out balance of` 416,520 (Previous year ` 475,607) as at the year end is still lying with them whichwould be utilized in due course of time.

18.11 Pay and Allowances’ in Note 16 ‘Establishment Expense’ includes ` 430,328 (Previousyear ` 190,572) being payments made to certain persons employed on consolidatedpay – basis/contract.

18.12 The Council has not received any intimation from suppliers regarding their status underthe Micro, Small and Medium Enterprises Act, 2006 and hence disclosure, if any, relatingto amounts unpaid as at the year-end together with interest paid/payable as requiredunder the said Act has not been given.

18.13

a) The accounts of certain Receivables, Payables & Advances are subject toconfirmation, reconciliation and adjustments, if any, having consequential impacton the surplus for the year, assets and liabilities, the amount whereof is presentlynot ascertainable. The management, however, does not expect any materialdifference affecting the current year’s financial statements.

b) In the opinion of the Committee of Administration, the assets other than FixedAssets and non-current investments are approximately of the value stated, ifrealized in the ordinary course of business unless otherwise stated. The provisionfor depreciation and other known liabilities is adequate and not in excess of whatis required.

18.14

a) Internal Audit System is in the process of being strengthened in terms of scopeand extent of verification and various reconciliations.

b) Internal Control and financial Accounting/Reporting Activities Procedures will bestrengthened including in respect of statutory compliances and securedinformation technology system.

c) Physical verification of fixed assets at its registered office were carried out duringthe current financial year and no discrepancies were noticed.

d) The management has not come across, noticed or reported during the year anyinstance of fraud on or by the Council.

18.15 Disclosure in Respect of Operating Leases:

a) The Council has taken various commercial premises under cancelable OperatingLeases. The Lease Agreements are usually renewable by mutual consent onmutually agreeable terms.

b) The rental expenses in respect of Operating Leases are charged as rent underNote 17-Other expenses.

18.20 Employee Benefit-Gratuity :

In terms of the Council’s gratuity plan, on leaving of service every employee who hasrendered continuous service of not less than 5 years but less than 10 year shall getgratuity at the rate of 15 days total salary as per the Payment of Gratuity Act, 1972(as amended from time to time) and those employees on leaving of service afterrendering continuous service of not less than 10 years shall pay gratuity at the rate ofone month’s salary based on the rate salary drawn by the employee concern. TheGratuity Scheme of the Council is funded in Government Securities, SBI Special DepositScheme and other Bonds. The Disclosure is based on Actuarial Valuation detailsprovided by M/s. K.A.PANDIT (Consultants & Actuaries).
