• Super Food Stores (SFS) is a chain based in Florida with

operations throughout south east US.

• SFS has a venture in Venezuela but the operation has not

started because of permitting problems, and there are

concerned about their next expansion.

• SFS looking at potential expansion in Canada and Mexico.

• Globalaw US law firm has researched the clients business,

litigation history and international media coverage.

• Globalaw US law firm is here to talk on how to achieve

international expansion objectives and address previous

problems to make sure they are resolved and to avoid the

same in other jurisdictions.

• The intent is for Globalaw law firm to be a partner and use

its member firms and their connections and local knowledge

to achieve the client’s long term vision.

• Globalaw main contact firm can set up a team of attorneys

from each market SFS may be interested in, to obtain critical

local data to allow the client to make decisions and focus its

expansion efforts.

• By engaging a Globalaw member firm SFS can be assured

that experiences in each jurisdiction will be taken into

account when expanding to other jurisdictions.

• Also, by engaging a Globalaw member firm SFS will have

experienced and well connected local attorney working on

its case, avoiding lengthy research processes and taking

advantage of local know-who.

• SFS can basically hit the ground running in every

jurisdiction.

• Based on member firms in each market, key players

(vendors, distributors, suppliers) will be identified and

assembled for SFS to consider.

• Globalaw can provide examples of success stories in each

market SFS is looking into and key aspects relating to them.

• Coordinating preliminary discussions with specific

questions with local firms without charge.

• All the foregoing taken together, Globalaw will deliver the

following to SFS:

• Local knowledge of challenges and opportunities in each

jurisdiction of interest.

• Realistic timeframes for project development in each

jurisdiction, taking into account permitting and local

regulatory and compliance issues.

• Local laws and customs relating to labor, permitting and

construction, financing, suppliers and distribution networks.

• Involvement of attorneys trusted by SFS in its jurisdiction

teaming up with local experts on each market.

•SFS decides the extent to which US law firm is involved in

supervision of Globalaw firms in other jurisdictions.

•Existing relationship and previous experiences between

Globalaw firms helps coordination efforts to be kept to a

minimum and avoid long learning curves.

•Billing can be coordinated though one lawfirm.

D. RETAINER ARRANGEMENTS AND FEES

( IF RELEVANT)

• Will not charge for initial sessions prior to formal

engagement.

• Would be flexible on fee arrangements, offering fixed fees

per store after initial set up, with US law firm involvement

reduction as company progresses in the market.
