The Terms & Conditions of Tender in respect of grant of license for Installation/erection of ATM Counters
1. Tender/Negotiation Notification & Mode of Submission of Tenders/bids

6. The time limit fixed for remitting the balance security deposit towards BMTC is 20 days from the date of communication of the acceptance of the bid. The communication of acceptance of the bid shall complete on posting the acceptance by Registered Post A/D to the address furnished in the bid documents. For the purpose of computing the said 20 days the registered letter shall be deemed to be served within seven days from the date of posting. Non receipt of the letter shall not be a ground to extend the time. In case of failure to pay the security deposit it shall be deemed that the bidder has withdrawn his bid and all consequences which is liable to as per clause above shall follow with regard to forfeiture of the EMD and liable to pay damages. The EMD will not carry any interest and would be returned to the unsuccessful bidders after completion of selection procedure.
7. BMTC takes no responsibility for the delay, loss or non-receipt of any submission
due to technical problems in case of e-tender.
8. The license period commences from the date of agreement.
9. In the case of the firms registered under the Indian Partnership Act and Companies registered under the Companies Act, the person signing the tender shall state the Authority under whom he is signing/acting on behalf of the Partnership Firm/Company and send the certified copy of the Partnership Deed and in case of the Memorandum of Association and Articles of Association issued by the Authorities authorizing him to act in that capacity and failure to annex the above document will entitled to the rejection of such tender. Such tenders shall be treated as invalid.
10. The successful tenderer shall at his own cost execute the agreement in the prescribed form on requisite valued stamp paper as per Karnataka Stamp Act. A draft copy of the deed of license will be available for inspection at the office of the Chief Traffic Manager, BMTC, Central Offices, Bangalore-27 during the office hours. It shall be clearly understood that no license will be granted unless the deed of agreement is executed by the tenderer in favor of Corporation. In case of failure on his/her part to execute the agreement by paying security deposit amount and start the establishment within the reasonable time, say about 20 days from the date of allotment letter, the corporation reserves its right to cancel the acceptance and to forfeit the EMD remitted to the corporation.
11. The Security Deposit would be refunded to the Licensee after the completion of the contract after recovering all the charges/dues payable to the corporation by the licensee.
12. The area of open space for running ATM counters is 10’x10’ (NOT EXCEEDING 100 SQ FT).
13. The suitable area will be allotted after identification with mutual consent in the bus station/TTMCs.
14. The Successful bidder shall have to erect temporary structure at his own cost on the allotted Place. After Completion of Contract Period, the temporary structure should be dismantled at his own cost.
15. Gestation period of 90 days shall be provided from the date of agreement for erection/installation works. The payments of license fee will start after expiry of 90 days gestation period or from the date of commencement of ATM whichever is earlier.
16. The bank shall provide money-changing machine along with the ATM in the allotted premises.
17. The successful bidder shall have to erect ATM structure at his own cost on the allotted place, which will be identified on mutual inspection.
18. The tenderer shall quote their offer exclusive of all taxes in Rs. Per month for each bus stand/location.
19. Highest offer received in the tender shall be the criteria for selection of bidder.
20. The selected bidder shall pay applicable goods & service tax, electricity charges along with monthly license fee/quoted amount.
21. The licensee shall abide by all rules, regulation and orders that the licensor or his authorized representatives may from time to time make or adopt for the care, protection and administration of the bus station and the general welfare and comfort of its passengers, employees and others.
22. a) The successful tender shall pay monthly license fee for the completed month in cash/DD on or before 5th of next month. For eg: License fee for the completed month of January-2020 shall be paid on or before 5th of February-2020.
b) In case if the successful tenderer fails to pay the monthly license fee as prescribed above the tenderer is liable to pay a interest at 18% per annum on the sums which have been due and payable, not paid to the corporation.
c) The license fee shall be paid every month regularly. In case of nonpayment of license fee consecutively for three months, the agreement may be terminated by the licensor.
d) The license fee shall start immediately from the expiry of the gestation period of 90 days.
e) The selected licensee shall enter into an agreement within 20 (Twenty) working days from the date of intimation of selection to the successful bidder.
f) The licensee shall pay the charge of Electricity consumed as per the bill raised by the supplying authority and shall not allow any arrears to accrue.
23. The license shall be liable to pay the cost of any damages caused by him or his servants to the premises for the establishment.
24. The licensee shall place and continue to keep in the aforesaid premises all-necessary equipments required to run the ATM counter.
25. The licensee and his servants, agents or his authorized representatives shall have ingress and egress at all reasonable time, to as from the premises for purpose herein before mentioned.
26. The licensee shall cater to the needs of travelling public.
27. The licensor shall provide no security and BMTC is not responsible for any theft/burglary of the assets of the licensee and shall not be liable for any damage to the property of the licensee from any cause whatsoever.
28. The overall control of the premises and supervision of the said premises shall remain vested with licensee during the license period.
29. In case of unauthorized use of extra space pro rate charges @ 50% above the Prorate rate per month, shall be levied as license fee, in addition to removing
the encroachment.
30. During the tenure of the agreement if it appears to the LICENSOR that the open space is required for the use of LICENSOR for its development works, the LICENSOR will issue one month’s advance notice to the LICENSEE and the LICENSEE have to vacate the allocated open space by removing its belongings.
31. The licensee shall close down his business and remove all his belongings immediately after his license is terminated or an expiry term of license.
32. The successful licensee shall remit the Security Deposit equivalent to 06(SIX) times the offered monthly amount before entering into the agreement. This deposit does not carry any interest and returnable after successful completion of license period subject to the adjustment of arrears if any.
33. The selected licensee shall not display or exhibit pictures, posters, statues or other articles, which are repugnant to the morale or of indecent, immoral or other improper characters. It is expressly agreed that the decision of the Licensor in this behalf shall be conclusive and binding on the Licensee and shall not be a subject matter of dispute.
34. The selected licensee shall not display or exhibit any advertisement or place in any part of the interior or exterior walls of the ATM Counter other than those permitted by the Licensor.
35. The selected licensee shall have no interest in the property of said open space nor shall he be deemed to have exclusive possession thereof, except the right of use of the premises during the stipulated period and the Licensee shall not be deemed to be the tenant of the Licensor.
36. The successful licensee shall comply with all the provisions of prevailing Contract Labour (Regulation and Abolition) Act, Workmen’s Compensation Act. Provision of Hours of Employment Regulation Act, Payment of Wages Act, Factories Act, Employees PF Act, Bonus Act, Payment of Gratuity Act, Equal remuneration Act, ESI Act, Industrial Disputes Act, Employment of Children Act, MV Act and Regulation of Employment and Welfare Act or any other Act. In case of consumer Forum case the liability will rest with the successful licensee/licensee.
37. The Licensee shall be responsible for payment of wages to the employees engaged by the licensee and also responsible for payment of any statutory recoveries like PF, ESI, VAT, Luxury Tax etc.,
38. The selected licensee shall make arrangements to dispose the waste generated.
39. He shall not dump the waste in BMTC/KSRTC premises. The Waste/Garbage disposed as segregated dry & wet waste. The Waste/garbage shall be disposed through the BBMP authorised waste disposal agency only. Or the Waste/garbage shall be disposed through the waste disposal agency selected by BMTC at their own cost of Licensee.
40. In case the premises is destroyed or damaged by natural calamity or riot or civil disturbances or war or by dept civil work so as to make it unfit for use by the Licensee, the license shall stand determined automatically.
41. Vending of Tobacco based products, BMTC restricted items and Engaging Child labour is strictly PROHIBITED.
42. It shall be the responsibility of the licensee to provide address and Contact details if there is any change.
43. Any individual or individuals signing the application forwarding the letter or other documents connected with this tender shall specifically mention that he is so signing in individual capacity as:
a. A sole proprietor of the firm or his attorney. Or b. A registered active partner or its attorney. In the case of the firms
registered under the Indian Partnership Act and Companies registered under the companies Act, the person signing the tender shall state the Authority under whom he is signing/acting on behalf of the Partnership Firm/Company and send the certified copy of the Partnership Deed and in case of the Memorandum of Association and Articles of Association issued by the Authorities authorizing him to act in that capacity and failure to annex the above document will entitled to the rejection of such tender. Such tenders shall be treated as invalid.
44. The selected licensee shall remove all his belongings from the place given to him on license immediately on revocation or termination of the license. If the licensee fails to remove all his belongings as per this clause in that event the licensor shall be entitled to remove all such belongings and auction them at the cost of the licensee and after deducting all the arrears of license fee the surplus amount shall be paid the licensee.
45. The bidder shall upload the ID proof, address proof and Pan card in e-procurement website.
46. All Communications to the successful bidders/licensee through
email/fax/letters/SMS to their contact details given in the tender submission documents & agreement shall be deemed as valid for any purpose under this tender.
47. Smoking shall not be allowed on the licensed premises.
48. Dispute Resolution/ Arbitration Clause: In case of any dispute arising
between the parties in respect of the interpretation or performance of any terms and conditions of this License the same shall be referred to the Managing Director, BMTC who’s decision shall be final or Managing Director, BMTC may appoint arbitrator to resolve the issue in accordance with the provisions of the Arbitration & Conciliation Act 1996. The decision of the Arbitrator thereon shall be final and binding on both the parties.
49. DAMAGES CLAUSE: In case of unauthorized use of extra space, a penalty of
double the rate of the agreed rates including specified escalation per month shall be levied as damages and recovered as license fee in addition to removal of encroachment at the cost and risk of the successful licensee.
50. The BMTC does not bind itself to accept highest offer or any other offer and
reserves the right to reject or all offers without assigning any reasons thereof
without being answerable to the bidder in any manner of whatsoever. BMTC also
reserves the right to re-notify or to select any party without Notification.

The selected licensee shall remit balance security deposit & enter into agreement within 20 days from the date of issue of allotment letter, failing which, Earnest Money Deposit will be forfeited and allotment will be cancelled by duly black listing the agency and the licensee/agency will not be permitted to participate in any of the tenders of BMTC for a period of three (3) years from the date of such black listing.
d. Earnest Money deposit of the bidders will stand forfeited by black listing the bidder for a period of 3 years in case:
i. Withdraws the tender/bids after opening of the tender or during the validity period of the tender.
ii. Makes false representations with regard to the eligibility criteria.
iii. Fails to keep up to commitments made in the bid.
iv. Submits more than 1 bid in the same name.
v. Fails to furnish the required security deposit within the specified time limit.
vi. Withdraws or amends tender/bids or derogates the tender in any aspects in such case, the Earnest Money Deposit will be forfeited.
e. The previous earnest money submitted in connection with any other tender will not be adjusted towards the present tender. f. Security Deposit: After Selection, the successful bidder has to remit 11(Eleven)
months offered license fee as interest free Security Deposit through Demand Draft before entering into the agreement. This deposit does not carry interest and returnable after successful completion of license period subject to the adjustment of arrears if any. The time limit fixed for remitting the security deposit is 20 days from the date of communication of allotment. The licensee shall remit additional security deposit every year for the escalated amount.
g. In case of any short fall legal proceedings will be initiated to recover such short fall from the licensee.
h. No interest will be paid on EMD/Security Deposit or any other deposits.
6. Mode of Payment of License fee:
a. The successful tender shall pay monthly license fee for the completed month in cash/DD on or before 5th of next month. For eg: License fee for the completed month of January-19 shall be paid on or before 5th of February19.
b. In case if the successful tenderer/bidder fails to pay the monthly license fee as prescribed above the tenderer is liable to pay a interest at 18% per annum on the sums which have been due and payable, not paid to the corporation.
c. The license fee shall be paid every month regularly. In case of nonpayment of
license fee consecutively for three months, the agreement may be terminated by the licensor. The license fee shall start from the date of agreement OR as stipulated therein.
d. The selected bidder shall pay applicable Goods & service tax, electricity and
water charges along with monthly license fee/quoted amount.
e. Escaltion Clause:
I. The license fee will be escalated by 10% every year and the successful licensee have to pay proportionate (Eleven times of escalated amount) additional Security Deposit for each subsequent year in the form of Demand Draft drawn from any Nationalized or scheduled bank only.
II. The monthly License fee is escalated annually by 10% over the existing license fee from January of every year from Second year onwards till the end of the license period
III. In respect of New Licensees selected in the middle of the year, the first escalation will be at the rate of 1% of the initial license fee for every completed month of the license period upto December 31st , subject to a maximum of 10%.
7. Electricity & Water Charges: a. The licensee shall pay the charge of Electricity consumed as per the bill raised
by the supplying authority and shall not allow any arrears to accrue.
b. In case water is supplied by BWSSB the licensee shall pay the charges of water consumed proportionate to the units consumed (as per the meter / sub-meter readings) as per the bill raised by BWSSB.
c. Whenever the water is supplied from BMTC from its own sources the licensee
shall pay the charges of water consumed for the proportionate units consumed as per the reading of the meters installed for the purpose at BWSSB rates.
d. If electricity/ Water is supplied by BMTC, the licensee shall pay the charge of electricity/ Water consumed as per the bill raised by the jurisdictional Depot Manager/ Bus stand in-charges on completion of the month.
e. Delay and part payment shall lead to simple penal interest at 18% per annum.
8. Termination/Cancellation/Forfeiture of EMD/Security Deposit: a. The BMTC shall have the right to rescind the contract/license at the cost and
risk of the licensee in the event of breach of any of the terms and conditions of the contract (Terms and conditions of the executed agreement) and in such case the Security Deposit will be forfeited.
b. In the event of termination of license due to the successful licensee failing to complete the stipulated license period, any losses incurred by the BMTC for the balance period of the contract/ agreement period, shall be borne by the successful licensee and in case licensee fails to pay the loss incurred by the BMTC, legal proceedings shall be initiated to recover such losses incurred.
c. If the contract is terminated for the reasons what so ever, such licensee is not entitled to participate in any of the tenders of BMTC for the period of 3 years from the date of termination.
d. If the licensee discontinues the agreement for whatsoever reasons before completion of one year of the agreement period, the entire security deposit will
be forfeited. The Licensor reserves the right to terminate the agreement by giving one month’s notice.
e. The licensee may get the agreement terminated prematurely by issuing 3 month’s advance notice to BMTC after completion of one year license or by paying 3 month’s license fee equivalent to 3 months notice period for termination.
f. In the event of continuous breach the licensee even after two notices, the Corporation can terminate the license with immediate effect.
g. The delegated authorities of acceptance of bid are the only authorities who can terminate the license in both the cases.
9. Prohibition Clause for Black Listed /Default Licensees / Disqualification:
a. The licensees who have been black listed or terminated or a defaulter in any departments of State Governments or Government of India or in any public sector undertakings or in any corporate for any reason what so ever are not eligible for participating in the tender.
b. The licensee shall furnish a self declared certificate for not having been black listed or terminated or being a defaulter in any departments of State Governments or Government of India, public sector undertakings or in any corporate for any reason what so ever and this shall be uploaded in e-portal along with tenders.
10. The time limit fixed for remitting the balance security deposit towards BMTC is 20 days from the date of communication of the acceptance of the bid. The communication of acceptance of the bid shall complete on posting the acceptance by Registered Post A/D to the address furnished in the bid documents. For the purpose of computing the said 20 days the registered letter shall be deemed to be served within seven days from the date of posting. Non receipt of the letter shall not be a ground to extend the time. In case of failure to pay the security deposit it shall be deemed that the bidder has withdrawn his bid and all consequences which is liable to as per clause above shall follow with regard to forfeiture of the EMD and liable to pay damages. The EMD will not carry any interest and would be returned to the unsuccessful bidders after completion of selection procedure.
11. BMTC takes no responsibility for the delay, loss or non-receipt of any submission due to technical problems in case of e-tender.
12. The selected bidder is permitted to run Coffee shop along with items like snacks biscuits cakes and puffs.
13. The selected bidder shall not vend items/products such as liquors, Mutton,
recreationclub, cement, Iron & steel, hair dressing saloon, explosives, Travel Agencies/seat booking office, Non-vegetarian food items and any other prohibited items. He shall vend only designed items for which offers are invited.
14. The selected bidder is permitted to run Coffee Shop except items which are illegal and prohibited by the Corporation. The Tenderer is not permitted to run Hopcoms, Nandhini Milk Parlors, Dormitory/Lodging, Luggage/Clock room, Coin booth, Digital Persons Weighing Machine, ATM Counter, Telephone booth and Parking as Coffee shop.
15. The successful tenderer shall have to obtain the required permission from the Municipal Authority concerned before starting the establishment.
16. In case of unauthorized use of extra space pro rate charges @50% above the
prorata rate per month, shall be levied as license fee, in addition to removing the encroachment. 17. During the tenure of the agreement if it appears to the licensor that the space is
required for the use of LICENSOR for its development works, the LICENSOR will issue one month’s advance notice to the LICENSEE and the LICENSEE have to vacate the allocated open space by removing its belongings.
18. The licensee shall close down his business and remove all his belongings immediately after his license is terminated or an expiry term of license. 19. The BMTC does not bind itself to accept highest offer or any other offer and
reserves the right to reject or all offers without assigning any reasons thereof without being answerable to the offerer in any manner of whatsoever.
20. The selected licensee shall not display or exhibit pictures, posters, statues or
other articles, which are repugnant to the morale or of indecent, immoral or other improper characters. It is expressly agreed that the decision of the Licensor in this behalf shall be conclusive and binding on the Licensee and shall not be a subject matter of dispute.
21. The selected licensee shall not display or exhibit any advertisement or place in
any part of the interior or exterior walls of the Coffee Shop other than those permitted by the Licensor.
22. The selected licensee shall have no interest in the property of Coffee Shop nor
shall he be deemed to have exclusive possession thereof, except the right of use of the premises during the stipulated period and the Licensee shall not be deemed to be the tenant of the Licensor.
23. The successful licensee shall comply with all the provisions of prevailing Contract Labour (Regulation and Abolition) Act, Workmen’s Compensation Act. Provision of Hours of Employment Regulation Act, Payment of Wages Act, Factories Act, Employees PF Act, Bonus Act, Payment of Gratuity Act, Equal remuneration Act, ESI Act, Industrial Disputes Act, Employment of Children Act, MV Act and Regulation of Employment and Welfare Act or any other Act. In case of consumer Forum case the liability will rest with the successful licensee/licensee.
24. The Licensee shall be responsible for payment of wages to the employees engaged by the licensee and also responsible for payment of any statutory recoveries like PF, ESI, VAT, Luxury Tax etc.,
25. The selected licensee shall make arrangements to dispose the waste generated.
He shall not dump the waste in BMTC/KSRTC premises. The Waste/Garbage
disposed as segregated dry & wet waste. The Waste/garbage shall be disposed
through the BBMP authorised waste disposal agency only. Or the
Waste/garbage shall be disposed through the waste disposal agency selected by
BMTC at their own cost of Licensee.
26. In case the premises is destroyed or damaged by natural calamity or riot or civil disturbances or war or by dept civil work so as to make it unfit for use by the Licensee, the license shall stand determined automatically.
27. Vending of Tobacco based products, BMTC restricted items and Engaging Child labour is strictly PROHIBITED. 28. It shall be the responsibility of the licensee to provide residential address and
Contact details if there is any change. 29. Any individual or individuals signing the application forwarding the letter or
other documents connected with this tender shall specifically mention that he is so signing in individual capacity as:
a. A sole proprietor of the firm or his attorney. Or b. A registered active partner or its attorney. In the case of the firms
registered under the Indian Partnership Act and Companies registered under the companies Act, the person signing the tender shall state the Authority under whom he is signing/acting on behalf of the Partnership Firm/Company and send the certified copy of the Partnership Deed and in case of the Memorandum of Association and Articles of Association issued by the Authorities authorizing him to act in that capacity and failure to annex the above document will entitled to the rejection of such tender. Such tenders shall be treated as invalid.
30. The selected licensee shall remove all his belongings from the place given to him
on license immediately on revocation or termination of the license. If the licensee fails to remove all his belongings as per this clause in that event the licensor shall be entitled to remove all such belongings and auction them at the cost of the licensee and after deducting all the arrears of license fee the surplus amount shall be paid the licensee.
31. Smoking shall not be allowed on the licensed premises.
32. Dispute Resolution/ Arbitration Clause: In case of any dispute arising
between the parties in respect of the interpretation or performance of any terms and conditions of this License the same shall be referred to the Managing Director, BMTC who shall be sole arbitrator or Managing Director, BMTC may appoint
arbitrator to resolve the issue in accordance with the provisions of the Arbitration & Conciliation Act 1996. The decision of the Arbitrator thereon shall be final and binding on both the parties.
33. DAMAGES CLAUSE: In case of unauthorized use of extra space, a penalty of double the rate of the agreed rates including specified escalation per month shall be levied as damages and recovered as license fee in addition to removal of encroachment at the cost and risk of the successful licensee.
34. The BMTC does not bind itself to accept highest offer or any other offer and reserves the right to reject or all offers without assigning any reasons thereof without being answerable to the bidder in any manner of whatsoever. BMTC also reserves the right to re-notify or to select any party without Notification.

Terms & Conditions:-
1. The Space accommodation for Commercial/ Office purpose under “as is where is basis” condition.
2. The License period is for 6 (six) years from the date of agreement.

4. BMTC does not bind itself to provide the exact area tendered and reserves the right to extend or
decrease the area without assigning any reasons thereof without being answerable to the offer in
any manner whatsoever. Prorate license fee will be fixed for the actual area provided.
5. Sub-letting is prohibited.
6. The monthly License fee is subjected to annual escalation by 10% over the existing License fee
from January of every year till the end of License period. However, for the license period
commencing in the middle of the year the first escalation shall be on the 1st of fore coming
January at the rate of 1% per month for every completed month up to December 31st subject to
maximum of 10%. On escalation an amount equivalent to 11 (eleven) times of escalated amount
shall be remitted as additional security deposit upto the end of contract.
7. The Licensee shall pay the license fee for the completed month on or before the 5th day of next
month for which, the license fee is payable along with the applicable Goods & Service Tax,
Electricity Charges and Water Charges and other charges. In case the Licensee fails to pay the
monthly fees as prescribed above or in case the Licensee commits breach of any of the terms and
conditions aforesaid, the Licensor may notify the Licensee about the amount due including
interest at 18% per annum or details of breach of conditions as the case may be, by serving a
notice on the Licensee and obtaining the written acknowledgement. In the event of the Licensee
failing to pay the arrears within a fortnight of such notification or continue to commit the breach
of the agreement the license granted should stand terminated and the entire Security Deposit shall
be forfeited/adjusted towards the unpaid license fee.
8. The license fee shall be paid every month regularly. In case of non-payment of license fee
consecutively for three months, the agreement will be terminated by the licensor whereby the
security deposit is forfeited/ adjusted towards unpaid arrears/ damages and the licensee will be
evicted from the site.
9. The tenderer/ bidder shall quote their offer in terms of Rupees as monthly license fee exclusive of
GST and all other applicable taxes. Selected bidder shall pay monthly license fees along with
GST and all other such applicable taxes.
10. The bidder shall upload the scanned copies of the following documents:-
a. ID proof with photo.
b. Proof of Address.
c. Pan Card
d. Experience Certificate if any (optional).
e. Company registration certificate if any (optional).
11. The non-compliance of 10 (a) (b) (c) by the bidder will entitle the Corporation to reject the
tender.
12. The successful bidder shall submit the original copies of the documents as detailed in Para. 10 for
verification before entering into an agreement
13. In addition to monthly license fee/ offered amount the successful tenderer/ bidder shall pay
Electricity and Water consumption charges etc.
a) The Licensee shall pay the charges of Electricity consumed as per the bill raised by the
supplying authority and shall not allow any arrears to accrue.
b) Whenever water is supplied from BMTC from its own source the Licensee shall pay the
charges of water consumed for the proportionate units consumed as per the reading of the meters
installed for the purpose at BWSSB Commercial rates for Commercial space and BWSSB
domestic rates for Office space and toilets.
c) In case water is supplied by BWSSB, the Licensee shall pay the charges of water consumed
for the proportionate units consumed (as per the meter/ sub-meter reading) as per the bill raised
by BWSSB.
14. The Licensee shall be liable to pay the cost of any damages caused by him or his servants to the
premises of the establishment.
15. The selected bidder shall enter into agreement within 20 (Twenty) days from the date of intimation
of selection to the successful bidder.
16. The License shall execute the agreement on his/ her cost on requisite valued stamp paper as per
Karnataka Stamp Act 1957.
Any individual/ individuals signing the application forwarding the letter or documents connected with
this tender shall specifically mention that he is so signing in individual capacity as:
A Sole Proprietor of the firm or his attorney.
OR
A registered active partner or its attorney
17. In the case of the firms registered under the Indian Partnership Act and Companies registered
under the Companies Act, the person signing the tender shall state the authority under which he is
signing/ acting on behalf of the partnership Firm/ Company and send the certified copy of the
partnership deed and in the case of companies, the memorandum of association and articles of
association issued by the authorities authorizing him to act in that capacity and failure to annex
the above documents will entail to the rejection of such tender. Such tenders should be treated as
invalid.
18. BMTC takes no responsibility for the delay, loss or non-receipt of any submission due to technical
problems in case of e-tender.
19. The licensee shall not conduct any kind of unlawful and prohibited business such as carrying on
traveling agency business or any kind of business which is against to the interest of the licensor or
KSRTC/ BMTC. In the event of breach of any of the above terms the licensor reserves the right to
terminate the license.
20. (a). The licensee shall not display or exhibit pictures, posters, statues or other articles which are
obscene, indecent, immoral or otherwise improper. It is expressly agreed that the decision of the
Licensor in this behalf shall be conclusive and binding on the licensee and shall not be a subject
matter of dispute.
(b).The Licensee is however entitled to put up name board/signage pertaining to the office being
carried on in the inside premises in question, without in any way affecting the design and beauty
of the building. However, if the licensee desires to display on any other part of the Office Space,
he shall obtain prior written permission from the Licensor.
21. The Licensee shall not display or exhibit any advertisement, erect hoarding in any part of the
exterior wall of the Office premises. No displays on the interior wall/ glass which are visible
outside will be allowed as all advertisement rights vest with BMTC. Further BMTC will have
exclusive rights to display or lease space to display any advertisements on such exterior glass/
walls.
22. In the event of BMTC proposing to construct upper floors, it shall be at liberty to do so without
any hindrance by the licensee and without affecting the business of the licensee.
23. The license will be Terminated / Revoked in case the performance of the licensee is found
unsatisfactory in the matter of payment of license fee, manner of catering, complaints from the
staff / public, violation of the terms and conditions of the agreement etc.
24. The tenderers/ bidders shall upload all information, documents, rates, etc., in the e-Procurement
website only (i.e., https://eproc.karnataka.gov.in ). No documents shall be accepted in person
manually and the bidders shall confirm themselves for up-loading of all the Documents.
25. The tenderers/ bidders shall remit entire Tender processing fee and Earnest Money Deposit (EMD)
for the tender through e-Procurement platform, Government of Karnataka using any of the
following payment modes:
• Credit Card.
• Direct Debit.
• National Electronic Fund Transfer (NEFT)
• Over the Counter (OTC)
26. The EMD shall be forfeited on the following occasions, in case, the bidder:-
a. withdraws the tender after the opening of tender during the period of tender validity i.e.,
from the date of notifying of the tender to the date of allotment of the tendered establishment
(As per Rule 12 & 22 of KTPP Rules 2000).
b. makes false representations with regard to eligibility criteria.
c. fails to keep up to the commitments made in the bid.
d. submits multiple proposals/ bids or if, common interests are found in two or more bidders, the
bidders are likely to be disqualified and liable to be black listed by the Corporation, unless
additional proposals/ bidders are withdrawn upon notice immediately.
e. fails to furnish the required security deposit within the specified time limit.
f. withdraws or amends its tender or derogates the tender in any aspect.
27. After selection, the successful bidder shall pay eleven (11) times the monthly offered amount as
interest free Security deposit through Demand Draft (Cheque will not be accepted) drawn in
favour of “Chief Accounts Officer, BMTC Bangalore”.
28. The time limit fixed for remitting the balance security deposit towards BMTC is 20 days from the
date of communication of the acceptance of the bid. The communication of acceptance of the bid
shall complete on posting the acceptance by Registered Post A/D to the address furnished in the
bid documents. For the purpose of computing the said 20 days the registered letter shall be

carry any interest and would be returned to the unsuccessful bidders after completion of selection
procedure.
29. The successful bidder shall deposit the interest free Security deposit amount within 20 days from
the date of allotment of the space otherwise the bid will be rejected and EMD paid by the
successful bidder will be forfeited. The security deposit will not carry any interest and would be
refunded after adjusting the dues on Successful completion of the period of contract.
30. In case, the successful bidder fails to fulfill the requirements as stated above, within the stipulated
time, the entire EMD shall be forfeited and allotment shall be cancelled by duly black listing the
concerned bidder for a period of 3 years.
31. Each tender must be accompanied with the following documents.
i. ID Proof with photo for individual and profile.
ii. Proof of Address for both permanent and temporary/ present.
32. Gestation Period: The selected licensee will be provided with rent free gestation period of one
month to carry out interior works. The flooring work is already completed. The space will be
provided under “as is where basis” condition. The permanent structures installed/erected/
constructed by the licensee will become property of BMTC after expiry/ termination of license.
The civil works shall be carried out with pre-obtained approval of plans from the Civil
Engineering Department of BMTC and under their supervision. However, if the above works are
completed for the entire or part of the area allotted before the closure of gestation period and the
operations/ business is commenced then the payment of license fee will commence from that date
for the proportionate space on pro-rate basis. The payment of license fees commences after expiry
of gestation period irrespective of occupation or not.
33. Licensee shall not display advertisements of any sort on the outer side or building facing the
outside.
34. Evaluation Criteria: - Among the valid offers received, the highest offer made excluding taxes
will be considered for selection.
35. The licensee shall pay applicable Goods & service Tax along with the license fee and any other
taxes payable to local bodies, Government or any other authorities.
36. BMTC does not bind itself to accept highest offer and reserves the right to reject all Offers without
assigning any reasons thereof without being answerable to the offered in any manner whatsoever.
BMTC also reserves the right to re-notify or to select any Party without notification.
37. If the Commercial/ Office space mentioned increases or decreases after joint measurement then
the license fee will be fixed on prorate basis accordingly for the actual space available. The
selected bidder will have no right to dispute the same. The bidders are advised to do due diligence
before submitting their offers.
38. BMTC reserves right to license full or part of any area being part of this notification to any party
before acceptance of bids received under this notification & only the remaining area on pro-rata
license fee basis will be licensed to the selected bidder.
39. The licensee while handing over Office premises to the licensor shall have to hand over the same
in sound condition. In case of any damages to the main structure, the proportionate cost will be
recovered from the security deposit.
40. BMTC will engage an agency for Comprehensive management services for the said Bus Stand
Complex area. The licensee shall bear the maintenance charges for the common area usage on
prorate basis. The licensee shall make their own arrangement of housekeeping for the licensed
area allotted.
41. The Tender shall remain open for a period of 3 months. The bidders shall not with draw or revise
the Tender during this period. In case any bidder reviews or withdraws his tender during this
period, the EMD shall be forfeited. In addition to the forfeiture of the EMD the BMTC shall be
entitled to claim all losses which it may suffer due to withdrawal or alteration of the bid.
42. The successful bidder shall at his own cost execute the agreement in the prescribed form on
requisite valued stamp paper as per the Karnataka Stamp Act. It shall be clearly under stood that
no bidder will be granted license unless the deed of agreement is executed by the bidder in favor
of Corporation. In case of failure on his/her part to execute the agreement and start the business
with in a period of 20 days from the date of acceptance of the bid the corporation reserves its right
to cancel the acceptance and to forfeit the EMD remitted to the corporation apart from claiming
all other damages from the bidder. The liability to pay the license fee by the licensee shall
commence immediately on expiry of 20 days from the date of acceptance of the bid.
43. Under no circumstances, the licensee will be permitted to terminate the contract and close down
the establishment within the first year of the license period. In case the licensee decides/proposes
to terminate the agreement within the first year, the security deposit remitted by the licensee shall
be forfeited. After one year of license, the licensee can terminate the agreement by serving three
months due notice in advance. In such case, dues if any would be deducted from the security
deposit and balance would be refunded to the licensee.
44. The successful tenderer shall obtain the required permission from the Municipal Corporation of
Bangalore City and other statutory authorities where ever necessary. Without obtaining necessary
license if any the licensee shall not commence his business.
45. The successful licensee shall be in compliance with the ESI/ PF Act and all other such labour laws
for the time being in force. Any untoward incident/ harm caused to the employees of the Licensee
during the term of the license, the Licensee/ its Sub-Licensee is to be held directly liable for the
same and BMTC would have no part in it.
46. The selected licensee shall keep and maintain the licensed premises and the surrounding premises
in clean, proper, decent and hygienic condition. The licensee shall equip the premises with good
furniture and shall not cause any damage to the structure, fixtures and fittings available in the
licensed premises.
47. The selected licensee shall be liable to pay the cost of damages, if any caused by him or his
servants to the licensed premises.
48. The selected licensee shall place and continue to keep in the aforesaid premises all necessary
equipment's required to run the licensed premises and shall not remove them without the previous
approval of the Licensor.
49. The selected licensee and his servants or his agents or his authorized representatives shall have
access at all reasonable time to and from the premises for the purpose herein before mentioned.
50. The selected licensee shall not display or exhibit pictures, posters, statues or other articles, which
are repugnant to the morale or of indecent, immoral or other improper characters. It is expressly
agreed that the decision of the Licensor in this behalf shall be conclusive and binding on the
Licensee and shall not be a subject matter of dispute.
51. The selected licensee shall not display or exhibit any advertisement or place in any part of the
interior or exterior walls of the licensed premises other than those permitted by the Licensor.
52. The selected licensee shall have no interest in the property of the licensed premises nor shall he be
deemed to have exclusive possession thereof, except the right of use of the premises during the
stipulated period and the Licensee shall not be deemed to be the tenant of the Licensor.
53. The selected licensee shall also pay all license fees with other fees, all taxes, goods & service tax
payable to the Government or Municipalities or other local bodies in connection with conducting
business in the licensed premises.
54. The selected licensee shall not be permitted to refrain from carrying on business for which period
the license is granted OR resort to premature termination of the contract prior to its expiry. In the
event of the licensee resorts to terminate the contract and close down the business after the
completion of one year of license prior to the expiry of the term of license he may do so by
giving three months notice in advance to the Corporation or by paying an amount equivalent to
three months license fee to the Corporation as was paid at the time of issue of notice or at the time
of termination OR Corporation reserves its right to forfeit three months license fee out of the
Security Deposit held in the Corporation in case of premature closure without intimation.
55. The selected licensee shall make arrangements to dispose the waste generated. He shall not dump
the waste in and around the premises.
56. The common area will be in the possession of BMTC and used by all the occupants/ licensees in
the same building. All the licensees have to share the house-keeping charges for the common
areas on prorate basis according to area occupied by them. If the licensee uses the portion of
common utility for their purpose exclusively, they have to pay the license fee/ rent on pro-rate
basis.
57. The service utilities like staircase, lifts, fire ducts, electrical ducts, sanitary ducts, electrical room
etc shall be used for the purposes they are meant and shall not be used for commercial/ any other
purposes.
58. Permissible Activities and other guidelines:
• Office space.
• Commercial space.
• Retail outlets including shops, kiosks and counters.
• Restaurant, food court, fast food counters and kiosks.
• Dormitory.
• ATM/s or flight reservation online booking counters.
• Any other legally permitted business.
59. The selected licensee has to pay lift and DG, Annual maintenance charges & lift operation and
electricity charges on prorate basis as per the allotted space.
60. The licensee shall not cause any damage or alter to ACP, Structural glazing and other fittings
installed by BMTC.
61. The said bus station complex is provided with 60 KW power sanctioned from Besom. Separate
BESCOM meters will be installed for Commercial shops/Areas.
62. The licensor will provide normal power supply based on the load and phase available at the project
site as on date. Licensee has to make their own arrangements of getting additional power from
BESCOM at their own cost and they are entitled to withdraw the deposit or take away the
installations after their term is over. Necessary NOC will be given from BMTC in this regard.
63. In case the licensee desires to have additional commercial space, licensor in its whole discretion
shall have the right to accept/ reject such proposal. The additional space will be allotted on pro-
rata basis or at the rate decided by licensor.
64. The power supply will be extended by licensee from Licensor’s distribution boards. The length of
cable etc., to be provided by the licensee from distribution board (to be nominated by licensor)
shall depend upon location of individual facility at the project.
65. The selected licensee shall abide by all rules, regulations and orders that the Licensor or his
authorized representatives may from time to time make or adopt for the care protection and
administration of the licensed premises and the general welfare and comfort of its public,
employees and others.
66. The overall control of the licensed premises and supervision of the said licensed premises shall
remain vested with Licensor, whose Officers or Authorized representatives shall have access at
all reasonable hours to the said establishment or part thereof.
67. The Licensor shall have the right to revoke the license in the event of breach of any of the terms
and conditions of this agreement on the part of the Licensee & to revoke it in the best interest of
the corporation.
68. The Licensor shall have a lien on all the belongings and properties of the Licensee for the time
being in or upon the premises of the Licensor.
69. On the expiry of the period fixed in the license or on revocation of the license under the terms and
conditions thereof, any belongings of the Licensee found in the licensed premises shall be liable
to be auctioned unless claimed within a fortnight of the expiry of the license period or revocation
of the license as the case may be. The Licensor shall be entitled to appropriate out of the proceeds
of such sale, the amount due to the Licensor from the Licensee and the balance if any shall be
paid over to the Licensee or his legal representative after deducting the cost of auction.
70. The Licensor shall have the right to terminate the license giving one month notice, without
assigning any reasons thereof if the licensor desire to revoke the license during the currency of
the license.
71. In case the premises is destroyed or damaged by natural calamity or riot or civil disturbances or
war or by dept civil work so as to make it unfit for use by the Licensee, the license shall stand
terminated automatically.
a. Any departmental Civil Work means and includes the demolition or renovative work
of the licensed premises to be undertaken by the licensor.
b. The licensee also agrees not to approach the Civil Court on any account without the
written consent of the licensor and he expressly understands that the premises licensed
is a public license coming within the definition of the Karnataka Public Premises
(Eviction of Unauthorized Occupants) Act 1974 and the licensor is at liberty to invoke
the provisions of the KPP Act, 1974, in case of breach of any of the conditions.
72. In case of any dispute arising between the Licensor and the Licensee in respect of the
interpretation or performance of any terms and conditions of this License the same shall be
referred to the Managing Director, BMTC for resolution who shall be sole Arbitrator as per the
Arbitration and Conciliation Act 1996. The decision of the Arbitrator thereon shall be final and
binding on both the parties.

Terms and Conditions for selection of licensee to operate maintain and manage Commercial/
Office space at various Bus Stations Of BMTC.
Procedure to Quote And Terms & Conditions:-
1. The Space accommodation is for Commercial/ Office purpose under “as is where is basis”
condition.
2. The License period is for 12 (twelve) years from the date of signing of the agreement.
3. BMTC does not bind itself to provide the exact area tendered and reserves the right to
extend or decrease without assigning any reasons thereof without being answerable to the
offered in any manner whatsoever. Prorate license fee will be fixed for the actual area
provided.
4. The monthly License fee is subjected to annual escalation by 5% over the existing
License fee from January of every year till the end of License period. However, for the
license period commencing in the middle of the year the first escalation shall be on the 1st
of fore coming January at the rate of 0.5% per month for every completed month up to
December 31st subject to maximum of 5%. On escalation an amount equivalent to 06
(Six) times of escalated amount shall be remitted as additional security deposit upto the
end of contract.
5. The Licensee shall pay the license fee for the completed month on or before the 5th
day of
next month for which the license fee is payable along with the applicable Goods
&Service Tax, Electricity Charges and Water Charges and other charges. In case the
Licensee fails to pay the monthly fees as prescribed above or in case the Licensee
commits breach of any of the terms and conditions aforesaid, the Licensor may notify the
Licensee about the amount due including interest at 18% per annum or details of breach
of conditions as the case may be by serving a notice on the Licensee and obtaining the
written acknowledgement. In the event of the Licensee failing to pay the arrears within a
fortnight of such notification or continue to commit the breach of the agreement the
license granted should stand determined and the entire Security Deposit shall be forfeited
towards the unpaid license fee.
6. The license fee shall be paid every month regularly. In case of non-payment of license fee
consecutively for three months, the agreement will be terminated by the licensor whereby
the security deposit is forfeited/ adjusted towards unpaid arrears/ damages and the
licensee will be evicted from the site.
7. The tenderer/ bidder shall quote their offer in terms of monthly license fee exclusive of
Goods & Service Tax and all other applicable taxes. Only Property Tax is payable from
Licensor.
8. In addition to monthly license fee/ offered amount the successful tenderer/ bidder shall
pay housekeeping charges for common area maintenance, Electricity and Water
consumption charges, etc.
9. The Licensee shall arrange for fire-fighting works with equipments fully operational/
functional before commencement of the office at its cost as per the requirement/norms
after execution of interior works.
10. The Licensee shall be liable to pay the cost of any damages caused by him or his servants
to the premises of the establishment.
a) The Licensee shall pay the charges of Electricity consumed as per the bill raised by the
supplying authority and shall not allow any arrears to accrue.
b) Whenever water is supplied from BMTC from its own source the Licensee shall pay
the charges of water consumed for the proportionate units consumed as per the reading of
the meters installed for the purpose at BWSSB rates.
c) In case water is supplied by BWSSB the Licensee shall pay the charges of water
consumed for the proportionate units consumed (as per the meter/ sub-meter reading) as
per the bill raised by BWSSB.
11. The selected tenders shall enter into the agreement within 20 (Twenty) days from the date
of intimation of selection to the successful bidder.
12. The License shall execute agreement on his/ her cost on requisite valued stamp paper as
per Karnataka Stamp Act 1957.
12. Any individual/individuals signing the application forwarding the letter or documents
connected with this tender shall specifically mention that he is so signing in individual
capacity as:
A Sole Proprietor of the firm or his attorney. OR
A registered active partner or its attorney.
13. In the case of the firms registered under the Indian Partnership Act and Companies
registered under the Companies Act, the person signing the tender shall state the
authority under which he is signing/ acting on behalf of the partnership Firm/ Company
and send the certified copy of the partnership deed and in the case of companies, the
memorandum of association and articles of association issued by the authorities
authorizing him to act in that capacity and failure to annex the above documents will
entail to the rejection of such tender. Such tenders should be treated as invalid.
14. BMTC takes no responsibility for the delay, loss or non-receipt of any submission due to
technical problems in case of e-tender.
15. The Licensee shall while executing shall engage any/ third party or sub licensee
obtaining a no objection certificate from the relevant sub licensee or third party to the
effect that BMTC shall not be liable for any claims of the sub licensee or third party
during or after the Period of license. In case of termination, BMTC may at its sole
discretion execute independent arrangements with the sub-licensees or third parties on
mutually agreeable terms and conditions. The Licensee shall be liable to refund all
deposits or rents received in advance from the third parties/ sub licensees in case of
termination of the Project for any reason whatsoever.
16. The licensee shall not conduct any kind of unlawful and prohibited business such as
carrying on traveling agency business or any kind of business which is against to the
interest of the licensor or KSRTC/ BMTC. In the event of breach of any of the above
terms the licensor reserves the right to terminate the license.
17. (a). The licensee shall not display or exhibit pictures, posters, statues or other articles
which are obscene, indecent, immoral or otherwise improper. It is expressly agreed that
the decision of the Licensor in this behalf shall be conclusive and bring on the licensee
and shall not be a subject matter of dispute.
(b).The Licensee is however entitled to put up name board/signage pertaining to the
office being carried on in the inside premises in question, without in any way affecting
the design and beauty of the building. However, if the licensee desires to display on any
other part of the Office Space, he shall obtain prior written permission from the Licensor.
18. The Licensee shall not display or exhibit any advertisement, erect hoarding in any part of
the exterior wall of the Office premises. No displays on the interior wall/ glass which are
visible outside will be allowed as all advertisement rights vest with BMTC. Further
BMTC will have exclusive rights to display or lease space to display any advertisements
on such exterior glass/ walls.
19. In the event of BMTC proposing to construct upper floors, it shall be at liberty to do so
without any hindrance by the licensee and without affecting the business of the licensee.
20. a) The license will be Terminated / Revoked in case the performance of the licensee is
found unsatisfactory in the matter of payment of license fee, manner of catering,
complaints from the staff / public, violation of the terms and conditions of the agreement
etc.
b) In case the licensee decides/ propose to terminate the agreement within the first year,
the Interest free Security Deposit remitted by licensee shall be forfeited. After completion
of one year, the Licensee can terminate agreement by serving four-month advance notice.
21. After selection, the successful bidder shall pay SIX times the monthly offered amount as
interest free Security deposit through Demand Draft (Cheque will not be accepted) drawn
in favour of Chief Accounts Officer & FA, BMTC Bangalore.
22. The time limit fixed for remitting the balance security deposit towards BMTC is 20 days
from the date of communication of the allotment. The communication of allotment shall
complete on posting the allotment by Registered Post A/D to the address furnished in the
bid documents. For the purpose of computing the said 20 days the registered letter shall be
deemed to be served within seven days from the date of posting. Non receipt of the letter
shall not be a ground to extend the time. In case of failure to pay the security deposit it
shall be deemed that the bidder has withdrawn his bid and all consequences which is liable
to as per clause above shall follow with regard to forfeiture of the EMD and liable to pay
damages.
The EMD will not carry any interest and would be returned to the unsuccessful bidders
after completion of selection procedure.
23. The successful bidder shall deposit the interest free Security deposit amount within 20
days from the date of allotment of the space otherwise the bid will be rejected and EMD
paid by the successful bidder will be forfeited. The security deposit will not carry any
interest and would be refunded after adjusting the dues on Successful completion of the
period of contract.
24. In case, the successful bidder fails to fulfill the requirements as stated above, within the
stipulated time, the entire EMD shall be forfeited and allotment shall be cancelled by
duly black listing the concerned bidder for a period of 3 years.
25. The EMD shall be forfeited on the following occasions, in case, the bidder:-
a. withdraws the tender after the opening of tender during the period of tender validity
i.e., from the date of notifying of the tender to the date of allotment of the tendered
establishment (As per Rule 12 & 22 of KTPP Rules 2000).
b. makes false representations with regard to eligibility criteria.
c. fails to keep up to the commitments made in the bid.
d. submits multiple proposals/ bids or if, common interests are found in two or more
bidders, the bidders are likely to be disqualified and liable to be black listed by the
Corporation, unless additional proposals/ bidders are withdrawn upon notice
immediately.
e. fails to furnish the required security deposit within the specified time limit.
f. withdraws or amends its tender or derogates the tender in any aspect.
26. Each tender must be accompanied with the following documents.
i. EMD paid towards e-portal.
ii. ID Proof with photo for individual and profile for companies.
iii. Proof of Address for both permanent and temporary/ present.
27. Gestation Period: The bidder shall submit their specific requirement of rent free gestation
period from the date of signing of the agreement maximum upto 3 (three) months. The
bidder shall specifically mention the scope of works which will be taken up in the
scheduled premises such that it shall explain the details to decide the quantum of rent free
gestation period to be allowed to the particular allotment. The gestation period shall also
include time for (i) preparation of plans. (ii) time for obtaining approval of plans from
BMTC (15 days) and (iii) carrying out interiors, electrical, fire fighting, interior plumbing
& sanitation and other works as required by the licensee at their own cost. The submission
will be verified and accordingly required period of rent free gestation period will be fixed
from BMTC and will be intimated along with allotment letter. The space will be provided
under as is where basis condition is. The permanent structures installed/erected/
constructed by the licensee will become property of BMTC after expiry/ termination of
license. The works shall be carried out with pre-obtained approval of plans from BMTC
Civil Engineering Department and under their supervision. However, if the above works
are completed for the entire or part of the area allotted before the closure of gestation
period and the operations/ business is commenced then the payment of license fee will
commence from that date for the proportionate space on pro-rate basis.
28. Licensee shall not display advertisements of any sort on the outer side or building facing
the outside.
29. Evaluation Criteria: - Among the offers received, highest offer made will be selected.
30. The licensee shall pay applicable Goods & Service Tax along with the license fee and any
other taxes payable to local bodies, Government or any other authorities.
31. BMTC does not bind itself to accept highest offer and reserves the right to reject all Offers
without assigning any reasons thereof without being answerable to the offered in any
manner whatsoever. BMTC also reserves the right to re-notify or to select any Party
without notification.
32. If the Commercial/ Office space mentioned increases or decreases then the license fee will
be fixed on prorate basis accordingly. The selected bidder will have no right to dispute the
same. The bidders are advised to do due diligence before submitting their offers.
33. BMTC reserves right to license full or part of any area being part of this notification to any
party before acceptance of bids received under this notification & only the remaining area
on pro-rata license fee basis will be licensed to the selected bidder.
34. The licensee while handing over Office premises to the licensor shall have to hand over the
same in sound condition. In case of any damages to the main structure, the proportionate
cost will be recovered from the security deposit.
35. Licensor agrees to allot one free car parking space as a facility for every 1,000 sft of super
built up area of the premises allotted in TTMC and limited to space allotments in TTMC
building. In case more parking slots are required, other than the allotted parking slots, the
licensee shall have to tie up with the licensee who runs the parking slots at the complex
and shall have to obtain prior permission from the licensor. The licensee shall also be
entitled to appoint one employee at his own cost to have control over the parking vehicles
to ensure the exclusive nature of the parking space allotted to the licensee.
36. BMTC will engage an agency for Comprehensive management services for the said Bus
Stand Complex area. The licensee shall bear the maintenance charges for the common area
usage on prorate basis. The licensee shall make their own arrangement of housekeeping for
the licensed area allotted.
37. The Tender shall remain open for a period of 3 months. The bidders shall not with draw or
revise the Tender during this period. In case any bidder reviews or withdraws his tender
during this period, the EMD shall be forfeited. In addition to the forfeiture of the EMD
the BMTC shall be entitled to claim all losses which it may suffer due to withdrawal or
alteration of the bid.
38. The successful bidder shall at his own cost execute the agreement in the prescribed
form on requisite valued stamp paper as per Karnataka Stamp Act. It shall be clearly
under stood that no bidder will be granted license unless the deed of agreement is
executed by the bidder in favor of Corporation. In case of failure on his/her part to
execute the agreement and start the business with in a period of 20 days from the date
of acceptance of the bid the BMTC reserves its right to cancel the acceptance and to
forfeit the EMD remitted to the corporation apart from claiming all other damages
from the bidder. The liability to pay the license fee by the licensee shall commence
immediately on expiry of 20 days from the date of acceptance of the bid.
39. Under no circumstances, the licensee will be permitted to terminate the contract and close
down the establishment within the first year of the license period. In case the licensee
decides/proposes to terminate the agreement within the first year, the security deposit
remitted by the licensee shall be forfeited. After one year the licensor and licensee can
terminate the agreement by serving four months due notice.
40. The successful tenderer shall obtain the required permission from the Municipal
Corporation of Bangalore City and any all other Statutory Authorities wherever
necessary. Without obtaining necessary license if any the licensee shall not commence his
business.
41. The successful licensee shall be in compliance with the ESI/ PF Act and all other such
labour laws for the time, being in force. Any untoward incident/ harm caused to the
employees of the Licensee during the term of the license, the Licensee/ its Sub-Licensee
is to be held directly liable for the same and BMTC would have no part in it.

The decision of the Arbitrator thereon shall be final and binding on both the parties.

1. Tender/Negotiation Notification & Mode of Submission of Tenders

In case any tenderer reviews or withdraw his tender during this period, the amount paid by the bidder (EMD/SECURITY DEPOSIT) shall be forfeited in addition to other remedies open to the Corporation in respect of the loss which may be caused due to such withdrawal of alteration.
2. The License fee shall be exclusive of the Corporation Tax. All statutory liabilities and other taxes, duties levies and penalties, if any payable to Central Government, State Government, Local body/authorities etc., shall be borne by the licensee. It is the responsibility of the licensee to obtain necessary permission from local bodies.
3. Period of License: The period of License is signing of agreement.

e. The non-compliance of the conditions of at 4 (d) by the bidder will entitle the corporation to reject the tender.
f. The Successful bidder shall be issued with allotment letter as per the existing norms of the Corporation. The selected bidder has to execute the license agreement as per the Karnataka Stamp Act on payment of stamp duty at their own cost.
g. BMTC reserves the right to accept or reject any offer without assigning any reasons thereof. Conditional tenders will be rejected summarily.
h. The successful bidder shall submit the original copies of the documents as
detailed in Para.4(d) for verification before entering into an agreement
5. EMD & Security Deposit :
a. EMD/tender processing fee shall be paid in the E-Procurement portal through Credit Card, Direct Debit, NEFT or over the counter (OTC) / RTGS only.
b. The EMD do not carry any interest. The Earnest Money deposit furnished by
the bidder will be forfeited in the event of the bidder withdrawing the tender
at any time before acceptance. The EMD of the successful tenderer will be
refunded only after completion of the contract period.
c. The EMD of the successful licensee will be adjusted towards security deposit. The selected licensee shall remit balance security deposit & enter into agreement within 20 days from the date of issue of allotment letter, failing which, Earnest Money Deposit will be forfeited and allotment will be cancelled by duly black listing the agency and the licensee/agency will not be permitted to participate in any of the tenders of BMTC for a period of three (3) years from the date of such black listing.
d. Earnest Money deposit of the bidders will stand forfeited by black listing the bidder for a period of 3 years in case:
i. Withdraws the tender after opening of the tender or during the validity period of the tender.
ii. Makes false representations with regard to the eligibility criteria.
iii. Fails to keep up to commitments made in the bid.
iv. Submits more than 1 bid in the same name.
v. Fails to furnish the required security deposit within the specified time limit.
vi. Withdraws or amends tender or derogates the tender in any aspects in such case, the Earnest Money Deposit will be forfeited.
e. The previous earnest money submitted in connection with any other tender will not be adjusted towards the present tender.
f. Security Deposit: After Selection, the successful bidder has to remit 11(Eleven) months offered license fee as interest free Security Deposit through Demand Draft before entering into the agreement. This deposit does not carry interest and returnable after successful completion of license period subject to the adjustment of arrears if any. The time limit fixed for remitting the security deposit is 20 days from the date of communication of allotment. The licensee shall remit additional security deposit every year for the escalated amount.
g. In case of any short fall legal proceedings will be initiated to recover such short fall from the licensee.
h. No interest will be paid on EMD/Security Deposit or any other deposits.
6. Mode of Payment of License fee:
a. The successful tender shall pay monthly license fee for the completed month in cash/DD on or before 5th of next month. For eg: License fee for the completed month of January-18 shall be paid on or before 5th of February18.
b. In case if the successful tenderer fails to pay the monthly license fee as prescribed above the tenderer is liable to pay a interest at 18% per annum on the sums which have been due and payable, not paid to the corporation.
c. The license fee shall be paid every month regularly. In case of nonpayment of license fee consecutively for three months, the agreement may be terminated by the licensor.The license fee shall start from the date of agreement OR as stipulated therein.
d. The selected bidder shall pay applicable Goods & service tax, electricity and water charges along with monthly license fee/quoted amount.
e. Escaltion Clause: I. The license fee will be escalated by 10% every year and the
successful licensee have to pay proportionate (six times of escalated amount) additional Security Deposit for each subsequent year in the form of Demand Draft drawn from any Nationalized or scheduled bank only.
II. The monthly License fee is escalated annually by 10% over the existing license fee from January of every year from Second year onwards till the end of the license period
III. In respect of New Licensees selected in the middle of the year, the first escalation will be at the rate of 1% of the initial license fee for every completed month of the license period upto December 31st, subject to a maximum of 10%.
7. Electricity Charges:
a. The licensee shall pay the charge of Electricity consumed as per the bill raised by the supplying authority and shall not allow any arrears to accrue.
b. If electricity/ Water is supplied by BMTC, the licensee shall pay the charge of electricity/ Water consumed as per the bill raised by the jurisdictional Depot Manager/ Bus stand in-charges on completion of the month.
c. Delay and part payment shall lead to simple penal interest at 18% per annum.
8. Termination/Cancellation/Forfeiture of EMD/Security Deposit:
a. The BMTC shall have the right to rescind the contract/license at the cost and risk of the licensee in the event of breach of any of the terms and conditions of the contract (Terms and conditions of the executed agreement) and in such case the Security Deposit will be forfeited.
b. In the event of termination of license due to the successful licensee failing to complete the stipulated license period, any losses incurred by the BMTC for the balance period of the contract/ agreement period, shall be borne by the successful licensee and in case licensee fails to pay the loss incurred by the BMTC, legal proceedings shall be initiated to recover such losses incurred.
c. If the contract is terminated for the reasons what so ever, such licensee is not entitled to participate in any of the tenders of BMTC for the period of 3 years from the date of termination.
d. If the licensee discontinues the agreement for whatsoever reasons before completion of one year of the agreement period, the entire security deposit will be forfeited. The Licensor reserves the right to terminate the agreement by giving one month’s notice.
e. The licensee may get the agreement terminated prematurely by issuing 3 month’s advance notice to BMTC after completion of one year license or by paying 3 month’s license fee equivalent to 3 months notice period for termination.
f. In the event of continuous breach the licensee even after two notices, the Corporation can terminate the license with immediate effect.
g. The delegated authorities of acceptance of bid are the only authorities who can terminate the license in both the cases.
9. Prohibition Clause for Black Listed /Default Licensees / Disqualification:
a. The licensees who have been black listed or terminated or a defaulter in any departments of State Governments or Government of India or in any public sector undertakings or in any corporate for any reason what so ever are not eligible for participating in the tender.
b. The licensee shall furnish a self declared certificate for not having been black listed or terminated or being a defaulter in any departments of State Governments or Government of India, public sector undertakings or in any corporate for any reason what so ever and this shall be uploaded in e-portal along with tenders.
10. The time limit fixed for remitting the balance security deposit towards BMTC is 20 days from the date of communication of the acceptance of the bid. The communication of acceptance of the bid shall complete on posting the acceptance by Registered Post A/D to the address furnished in the bid documents. For the purpose of computing the said 20 days the registered letter shall be deemed to be served within seven days from the date of posting. Non receipt of the letter shall not be a ground to extend the time. In case of failure to pay the security deposit it shall be deemed that the bidder has withdrawn his bid and all consequences which is liable to as per clause above shall follow with regard to forfeiture of the EMD and liable to pay damages. The EMD will not carry any interest and would be returned to the unsuccessful bidders after completion of selection procedure.
11. BMTC takes no responsibility for the delay, loss or non-receipt of any submission due to technical problems in case of e-tender.
12. The selected bidder is permitted to run General Stall (Except items which are illegal and prohibited by the corporation).
13. The selected bidder shall not vend items/products such as liquors, Mutton, recreationclub, cement, Iron & steel, hair dressing saloon, explosives, Travel Agencies/seat booking office, Non-vegetarian, Fast food items and any other prohibited items. He shall vend only designed items for which offers are invited.
14. The selected bidder is not permitted to run Hopcoms, Nandhini Milk Parlors, Dormitory/Lodging, Refreshment room, Luggage/Clock room, Coin booth, Digital Persons Weighing Machine, ATM Counter, Telephone booth and Parking as General Stalls.
15. The successful tenderer shall have to obtain the required permission from the
Municipal Authority concerned before starting the establishment.
16. In case of unauthorized use of extra space pro rate charges @50% above the prorata rate per month, shall be levied as license fee, in addition to removing
the encroachment.
17. During the tenure of the agreement if it appears to the licensor that the space is required for the use of LICENSOR for its development works, the LICENSOR will issue one month’s advance notice to the LICENSEE and the LICENSEE have to vacate the allocated open space by removing its belongings.
18. The licensee shall close down his business and remove all his belongings immediately after his license is terminated or an expiry term of license.
19. The BMTC does not bind itself to accept highest offer or any other offer and reserves the right to reject or all offers without assigning any reasons thereof without being answerable to the offerer in any manner of whatsoever.
20. The selected licensee shall not display or exhibit pictures, posters, statues or other articles, which are repugnant to the morale or of indecent, immoral or other improper characters. It is expressly agreed that the decision of the Licensor in this behalf shall be conclusive and binding on the Licensee and shall not be a subject matter of dispute.
21. The selected licensee shall not display or exhibit any advertisement or place in any part of the interior or exterior walls of the General Stall other than those permitted by the Licensor.
22. The selected licensee shall have no interest in the property of General Stall nor shall he be deemed to have exclusive possession thereof, except the right of use of the premises during the stipulated period and the Licensee shall not be deemed to be the tenant of the Licensor.
23. The successful licensee shall comply with all the provisions of prevailing Contract Labour (Regulation and Abolition) Act, Workmen’s Compensation Act. Provision of Hours of Employment Regulation Act, Payment of Wages Act, Factories Act, Employees PF Act, Bonus Act, Payment of Gratuity Act, Equal remuneration Act, ESI Act, Industrial Disputes Act, Employment of Children Act, MV Act and Regulation of Employment and Welfare Act or any other Act. In case of consumer Forum case the liability will rest with the successful licensee/licensee.
24. The Licensee shall be responsible for payment of wages to the employees engaged by the licensee and also responsible for payment of any statutory recoveries like PF, ESI, VAT, Luxury Tax etc.,
25. a. The cleaning contractor/licensee shall make use of their own equipment, machineries and materials for the purpose of cleaning of the premises and also make their own arrangements to shift the garbage at their own cost. The garbage/ Waste shall not be dumped in any KSRTC/BMTC Premises.
b. The Waste/garbage generated at the Bus stand premises shall be disposed as segregated dry & we waste. The waste/garbage shall be disposed through the BBMP authorized waste disposal agency only. Or the waste/garbage shall be disposed through the Waste disposal agency selected by BMTC.
26. In case the premises is destroyed or damaged by natural calamity or riot or civil disturbances or war or by dept civil work so as to make it unfit for use by the Licensee, the license shall stand determined automatically.
27. Vending of Tobacco based products, BMTC restricted items and Engaging Child labour is strictly PROHIBITED.
28. It shall be the responsibility of the licensee to provide residential address and Contact details if there is any change.
29. Any individual or individuals signing the application forwarding the letter or other documents connected with this tender shall specifically mention that he is so signing in individual capacity as:
a. A sole proprietor of the firm or his attorney. Or b. A registered active partner or its attorney. In the case of the firms
registered under the Indian Partnership Act and Companies registered under the companies Act, the person signing the tender shall state the Authority under whom he is signing/acting on behalf of the Partnership Firm/Company and send the certified copy of the Partnership Deed and in case of the Memorandum of Association and Articles of Association issued by the Authorities authorizing him to act in that capacity and failure to annex the above document will entitled to the rejection of such tender. Such tenders shall be treated as invalid.
30. The selected licensee shall remove all his belongings from the place given to him on license immediately on revocation or termination of the license. If the licensee fails to remove all his belongings as per this clause in that event the licensor shall be entitled to remove all such belongings and auction them at the cost of the licensee and after deducting all the arrears of license fee the surplus amount shall be paid the licensee.
31. Smoking shall not be allowed on the licensed premises.
32. Dispute Resolution/ Arbitration Clause: In case of any dispute arising
between the parties in respect of the interpretation or performance of any terms and conditions of this License the same shall be referred to the Managing Director, BMTC who shall be sole arbitrator or Managing Director, BMTC may appoint arbitrator to resolve the issue in accordance with the provisions of the Arbitration & Conciliation Act 1996. The decision of the Arbitrator thereon shall be final and binding on both the parties.
33. DAMAGES CLAUSE: In case of unauthorized use of extra space, a penalty of double the rate of the agreed rates including specified escalation per month shall be levied as damages and recovered as license fee in addition to removal of encroachment at the cost and risk of the successful licensee.
34. The BMTC does not bind itself to accept highest offer or any other offer and reserves the right to reject or all offers without assigning any reasons thereof without being answerable to the bidder in any manner of whatsoever. BMTC also reserves the right to re-notify or to select any party without Notification.

b. The EMD do not carry any interest. The Earnest Money deposit furnished by the
bidder will be forfeited in the event of the bidder withdrawing the tender at any
time before acceptance. The EMD of the successful tenderer will be refunded
only after completion of the contract period.
c. The EMD of the successful licensee will be adjusted towards security deposit. The selected licensee shall remit balance security deposit & enter into agreement within 20 days from the date of issue of allotment letter, failing which, Earnest Money Deposit will be forfeited and allotment will be cancelled by duly black listing the agency and the licensee/agency will not be permitted to participate in any of the tenders of BMTC for a period of three (3) years from the date of such black listing.
d. Earnest Money deposit of the bidders will stand forfeited by black listing the
bidder for a period of 3 years in case:
i. Withdraws the tender after opening of the tender or during the validity period of the tender.
ii. Makes false representations with regard to the eligibility criteria.
iii. Fails to keep up to commitments made in the bid.
iv. Submits more than 1 bid in the same name.
v. Fails to furnish the required security deposit within the specified time limit.
vi. Withdraws or amends tender or derogates the tender in any aspects in such case, the Earnest Money Deposit will be forfeited.
e. The previous earnest money submitted in connection with any other tender will not be adjusted towards the present tender. f. Security Deposit: After Selection, the successful bidder has to remit 06(SIX)
months offered license fee as interest free Security Deposit through Demand Draft before entering into the agreement. This deposit does not carry interest and returnable after successful completion of license period subject to the adjustment of arrears if any. The time limit fixed for remitting the security deposit is 10 days from the date of communication of allotment. The licensee shall remit additional security deposit every year for the escalated amount.
g. In case of any short fall legal proceedings will be initiated to recover such short fall from the licensee.
h. No interest will be paid on EMD/Security Deposit or any other deposits.
6. Mode of Payment of License fee:
a. The successful tender shall pay monthly license fee for the completed month in cash/DD on or before 5th of next month. For eg: License fee for the completed month of January-18 shall be paid on or before 5th of February18.
b. In case if the successful tenderer fails to pay the monthly license fee as prescribed above the tenderer is liable to pay a interest at 18% per annum on the sums which have been due and payable, not paid to the corporation.
c. The license fee shall be paid every month regularly. In case of nonpayment of
license fee consecutively for three months, the agreement may be terminated by the licensor.The license fee shall start from the date of agreement OR as stipulated therein.
d. The selected bidder shall pay applicable service tax, electricity and water charges
along with monthly license fee/quoted amount.
e. Escalation Clause:
I. The license fee will be escalated by 10% every year and the successful licensee have to pay proportionate (six times of escalated amount)
additional Security Deposit for each subsequent year in the form of Demand Draft drawn from any Nationalized or scheduled bank only.
II. The monthly License fee is escalated annually by 10% over the existing license fee from January of every year from Second year onwards till the end of the license period
III. In respect of New Licensees selected in the middle of the year, the first escalation will be at the rate of 1% of the initial license fee for every completed month of the license period upto December 31st , subject to a maximum of 10%.
7. Electricity Charges: a. The licensee shall pay the charge of Electricity consumed as per the bill raised
by the supplying authority and shall not allow any arrears to accrue.
b. If electricity/ Water is supplied by BMTC, the licensee shall pay the charge of electricity/ Water consumed as per the bill raised by the jurisdictional Depot Manager/ Bus stand in-charges on completion of the month.
c. Delay and part payment shall lead to simple penal interest at 18% per annum.
8. Termination/Cancellation/Forfeiture of EMD/Security Deposit: a. The BMTC shall have the right to rescind the contract/license at the cost and
risk of the licensee in the event of breach of any of the terms and conditions of the contract (Terms and conditions of the executed agreement) and in such case the Security Deposit will be forfeited.
b. In the event of termination of license due to the successful licensee failing to complete the stipulated license period, any losses incurred by the BMTC for the balance period of the contract/ agreement period, shall be borne by the successful licensee and in case licensee fails to pay the loss incurred by the BMTC, legal proceedings shall be initiated to recover such losses incurred.
c. If the contract is terminated for the reasons what so ever, such licensee is not entitled to participate in any of the tenders of BMTC for the period of 3 years from the date of termination.
d. If the licensee discontinues the agreement for whatsoever reasons before completion of one year of the agreement period, the entire security deposit will be forfeited. The Licensor reserves the right to terminate the agreement by giving one month’s notice.
e. The licensee may get the agreement terminated prematurely by issuing 3 month’s advance notice to BMTC after completion of one year license or by paying 3 month’s license fee equivalent to 3 months notice period for termination.
f. In the event of continuous breach the licensee even after two notices, the Corporation can terminate the license with immediate effect.
g. The delegated authorities of acceptance of bid are the only authorities who can terminate the license in both the cases.
9. Prohibition Clause for Black Listed /Default Licensees / Disqualification:
a. The licensees who have been black listed or terminated or a defaulter in any departments of State Governments or Government of India or in any public sector undertakings or in any corporate for any reason what so ever are not eligible for participating in the tender.
b. The licensee shall furnish a self declared certificate for not having been black listed or terminated or being a defaulter in any departments of State Governments or Government of India, public sector undertakings or in any corporate for any reason what so ever and this shall be uploaded in e-portal along with tenders.
10. The area of open space for running General Stall is 8’X6’ (NOT Exceeding 48Sq ft)
& the Maximum permissible head room height is 10 feet.
11. The Successful bidder shall have to erect temporary structure at his own cost on the allotted Place. After Completion of Contract Period, the temporary structure should be dismantled at his own cost.
12. The Licensee is permitted to sell the products at M.R.P rates only and at the rates prescribed by the local municipal body or any other authorities concerned.
13. The selected bidder is permitted to run General Stall (Except items which are illegal and prohibited by the corporation).
14. The selected bidder shall not vend items/products such as liquors, Mutton, recreationclub, cement, Iron & steel, hair dressing saloon, explosives, Travel Agencies/seat booking office, Non-vegetarian & Fast food items and any other prohibited items. He shall vend only designed items for which offers are invited.
15. The selected bidder is permitted to run General Stall except items which are illegal and prohibited by the Corporation. The Tenderer is not permitted to run Hopcoms, Nandhini Milk Parlors, Dormitory/Lodging, Refreshment room, Luggage/Clock room, Coin booth, Digital Persons Weighing Machine, ATM Counter, Telephone booth and Parking as General Stalls.
16. The successful tenderer shall have to obtain the required permission from the Municipal Authority concerned before starting the establishment.
17. In case of unauthorized use of extra space pro rate charges @50% above the
prorata rate per month, shall be levied as license fee, in addition to removing the encroachment.
18. During the tenure of the agreement if it appears to the licensor that the space is required for the use of LICENSOR for its development works, the LICENSOR will issue one month’s advance notice to the LICENSEE and the LICENSEE have to vacate the allocated open space by removing its belongings.
19. The licensee shall close down his business and remove all his belongings immediately after his license is terminated or an expiry term of license. 20. The BMTC does not bind itself to accept highest offer or any other offer and
reserves the right to reject or all offers without assigning any reasons thereof without being answerable to the offerer in any manner of whatsoever.
21. The selected licensee shall not display or exhibit pictures, posters, statues or
other articles, which are repugnant to the morale or of indecent, immoral or other improper characters. It is expressly agreed that the decision of the Licensor in this behalf shall be conclusive and binding on the Licensee and shall not be a subject matter of dispute.
22. The selected licensee shall not display or exhibit any advertisement or place in
any part of the interior or exterior walls of the General Stall other than those permitted by the Licensor.
23. The selected licensee shall have no interest in the property of General Stall nor
shall he be deemed to have exclusive possession thereof, except the right of use of the premises during the stipulated period and the Licensee shall not be deemed to be the tenant of the Licensor.
24. The successful licensee shall comply with all the provisions of prevailing Contract Labour (Regulation and Abolition) Act, Workmen’s Compensation Act. Provision of Hours of Employment Regulation Act, Payment of Wages Act, Factories Act, Employees PF Act, Bonus Act, Payment of Gratuity Act, Equal remuneration Act, ESI Act, Industrial Disputes Act, Employment of Children Act, MV Act and Regulation of Employment and Welfare Act or any other Act. In case of consumer Forum case the liability will rest with the successful licensee/licensee.
25. The Licensee shall be responsible for payment of wages to the employees engaged by the licensee and also responsible for payment of any statutory recoveries like PF, ESI, VAT, Luxury Tax etc.,
26. The selected licensee shall make arrangements to dispose the waste generated.
He shall not dump the waste in BMTC/KSRTC premises. The Waste/Garbage
disposed as segregated dry & wet waste. The Waste/garbage shall be disposed
through the BBMP authorised waste disposal agency only. Or the
Waste/garbage shall be disposed through the waste disposal agency selected by
BMTC at their own cost of Licensee.
27. In case the premises is destroyed or damaged by natural calamity or riot or civil disturbances or war or by dept civil work so as to make it unfit for use by the Licensee, the license shall stand determined automatically.
28. Vending of Tobacco based products, BMTC restricted items and Engaging Child labour is strictly PROHIBITED. 29. It shall be the responsibility of the licensee to provide residential address and
Contact details if there is any change. 30. Any individual or individuals signing the application forwarding the letter or
other documents connected with this tender shall specifically mention that he is so signing in individual capacity as:
a. A sole proprietor of the firm or his attorney. Or b. A registered active partner or its attorney. In the case of the firms
registered under the Indian Partnership Act and Companies registered under the companies Act, the person signing the tender shall state the Authority under whom he is signing/acting on behalf of the Partnership Firm/Company and send the certified copy of the Partnership Deed and in case of the Memorandum of Association and Articles of Association issued by the Authorities authorizing him to act in that capacity and failure to annex the above document will entitled to the rejection of such tender. Such tenders shall be treated as invalid.
31. The selected licensee shall remove all his belongings from the place given to him
on license immediately on revocation or termination of the license. If the licensee fails to remove all his belongings as per this clause in that event the licensor shall be entitled to remove all such belongings and auction them at the cost of the licensee and after deducting all the arrears of license fee the surplus amount shall be paid the licensee.
32. All Communications to the successful bidders/licensee through email/fax/letters/SMS to their contact details given in the tender submission documents & agreement shall be deemed as valid for any purpose under this tender.
33. Smoking shall not be allowed on the licensed premises.
34. Dispute Resolution/ Arbitration Clause: In case of any dispute arising
between the parties in respect of the interpretation or performance of any terms and conditions of this License the same shall be referred to the Managing Director, BMTC who shall be sole arbitrator or Managing Director, BMTC may appoint arbitrator to resolve the issue in accordance with the provisions of the Arbitration & Conciliation Act 1996. The decision of the Arbitrator thereon shall be final and binding on both the parties.
35. DAMAGES CLAUSE: In case of unauthorized use of extra space, a penalty of double the rate of the agreed rates including specified escalation per month shall
be levied as damages and recovered as license fee in addition to removal of encroachment at the cost and risk of the successful licensee.
36. The BMTC does not bind itself to accept highest offer or any other offer and reserves the right to reject or all offers without assigning any reasons thereof without being answerable to the bidder in any manner of whatsoever. BMTC also reserves the right to re-notify or to select any party without Notification.

f. The selected bidder shall pay applicable service tax, electricity charges along with

8. Prohibition Clause for Black Listed /Default Licensees / Disqualification:
I. The EMD shall also be forfeited on the following occasions, in case the bidder:- a. Withdraws the tender after the opening of tender during the period of tender
validity i.e., from the date of notifiying of the tender to the date of allotment of the tendered establishment (As per Rule 12 & 22 of KTPP Rules 2000).
b. Makes false representation with regard to eligibility criteria. c. Fails to keep up to the commitments made in the bid. d. Submits multiple proposals/ bids or if, common interests are found in two or
more bidders, the bidders are likely to be disqualified and liable to be black listed by the Corporation, unless additional proposals/ bidders are withdrawn upon notice immediately.
e. Fails to furnish the required security deposit within the specified time limit. f. Withdraws or amends its tender or derogated the tender in any aspect.
II. The licensees who have been black listed or terminated or a defaulter in any departments of State Governments or Government of India or in any public sector undertakings or in any corporate for any reason what so ever are not eligible for participating in the tender.
III. The licensee shall furnish a self declared certificate for not having been black listed or terminated or being a defaulter in any departments of State Governments or Government of India, public sector undertakings or in any corporate for any reason what so ever and this shall be uploaded in e-portal along with tenders.
9. The time limit fixed for remitting the balance security deposit towards BMTC is 20 days from the date of communication of the acceptance of the bid. The communication of acceptance of the bid shall complete on posting the acceptance by Registered Post A/D to the address furnished in the bid documents. For the purpose of computing the said 20 days the registered letter shall be deemed to be served within seven days from the date of posting. Non receipt of the letter shall not be a ground to extend the time. In case of failure to pay the security deposit it shall be deemed that the bidder has withdrawn his bid and all consequences which is liable to as per clause above shall follow with regard to forfeiture of the EMD and liable to pay damages. The EMD will not carry any interest and would be returned to the unsuccessful bidders after completion of selection procedure.
10. BMTC takes no responsibility for the delay, loss or non-receipt of any submission due to technical problems in case of e-tender.
11. The successful bidder shall have to obtain the required permission from the
BBMP/Municipal Authority concerned before starting the establishment. In case the bidder fails to obtain license from the BBMP/Municipal authority concerned, within one month from the date of commencement of business, Corporation reserves the right to terminate the contract and security deposit will be forfeited.
12. In case of unauthorized use of extra space pro rate charges @50% above the prorate rate per month, shall be levied as license fee, in addition to removing the encroachment.
13. During the tenure of the agreement if it appears to the licensor that the space is
required for the use of LICENSOR for its development works, the LICENSOR will issue one month’s advance notice to the LICENSEE and the LICENSEE have to vacate the allocated open space by removing its belongings.
14. The licensee shall close down his business and remove all his belongings immediately after his license is terminated or an expiry term of license. 15. The selected licensee shall not display or exhibit pictures, posters, statues or other
articles, which are repugnant to the morale or of indecent, immoral or other improper characters. It is expressly agreed that the decision of the Licensor in this behalf shall be conclusive and binding on the Licensee and shall not be a subject matter of dispute.
16. The selected licensee shall not display or exhibit any advertisement or place in any part of the interior or exterior walls of the Parking Lot other than those permitted by the Licensor.
17. The licensee is not entitled to provide parking to any individual/agency/company vehicles which are operated to pick up BMTC passengers or conducting parallel transport business alike BMTC/KSRTC.
18. The selected licensee shall have no interest in the property of Parking lot nor shall
he be deemed to have exclusive possession thereof, except the right of use of the premises during the stipulated period and the Licensee shall not be deemed to be the tenant of the Licensor.
19. The successful licensee shall comply with all the provisions of prevailing Contract Labour (Regulation and Abolition) Act, Workmen’s Compensation Act. Provision of Hours of Employment Regulation Act, Payment of Wages Act, Factories Act, Employees PF Act, Bonus Act, Payment of Gratuity Act, Equal remuneration Act, ESI Act, Industrial Disputes Act, Employment of Children Act, MV Act and Regulation of Employment and Welfare Act or any other Act. In case of consumer Forum case the liability will rest with the successful licensee/licensee.
20. The Licensee shall be responsible for payment of wages to the employees engaged by the licensee and also responsible for payment of any statutory recoveries like PF, ESI, VAT, Luxury Tax etc.,
21. In case the premises is destroyed or damaged by natural calamity or riot or civil
disturbances or war or by dept civil work so as to make it unfit for use by the Licensee, the license shall stand determined automatically.
22. Vending of Tobacco based products, BMTC restricted items and Engaging Child labour is strictly PROHIBITED. 23. It shall be the responsibility of the licensee to provide residential address and

documents connected with this tender shall specifically mention that he is so signing in individual capacity as:
a. A sole proprietor of the firm or his attorney. Or b. A registered active partner or its attorney. In the case of the firms registered
under the Indian Partnership Act and Companies registered under the companies Act, the person signing the tender shall state the Authority under whom he is signing/acting on behalf of the Partnership Firm/Company and send the certified copy of the Partnership Deed and in case of the Memorandum of Association and Articles of Association issued by the Authorities authorizing him to act in that capacity and failure to annex the above document will entitled to the rejection of such tender. Such tenders shall be treated as invalid.
25. The selected licensee shall remove all his belongings from the place given to him on license immediately on revocation or termination of the license. If the licensee fails to remove all his belongings as per this clause in that event the licensor shall be entitled to remove all such belongings and auction them at the cost of the licensee and after deducting all the arrears of license fee the surplus amount shall be paid the licensee.
26. Smoking shall not be allowed on the licensed premises.
27. The BMTC does not bind itself to accept highest offer or any other offer and reserves the right to reject or all offers without assigning any reasons thereof without being answerable to the bidder in any manner of whatsoever. BMTC also reserves the right to re-notify or to select any party without Notification.
28. In the event of continuous breach the Licensee even after two notices, the Corporation can terminate the license with immediate effect.

30. Under no circumstances, the licensee will be permitted to terminate the contract and close down the establishment within the first year of the license period. In case the licensee decides/proposes to terminate the agreement within the first year, the security deposit remitted by the licensee shall be forfeited. After completion of one year the Licensor and licensee can terminate the agreement by serving three months due notice in advance.
31. The cleaning and maintenance of the licensed parking area shall be done by the selected licensee only. The Licensee shall maintain the parking lot and surrounding premises in clean & hygienic condition and shall confirm to the rules regulation or by laws made in this regard by the local municipal body. b. The Waste/garbage generated at the Bus stand premises shall be disposed as segregated dry & we waste. The waste/garbage shall be disposed through the BBMP authorized waste disposal agency only. Or the waste/garbage shall be disposed through the Waste disposal agency selected by BMTC.
32. Non-payment of license fee by the Licensee for a consecutive three months, the Licensor reserves the right to terminate the contract and the security deposit held in the Corporation shall be forfeited.
33. Dispute Resolution/ Arbitration Clause: In case of any dispute arising between the parties in respect of the interpretation or performance of any terms and conditions of this License the same shall be referred to the Managing Director, BMTC who shall be sole arbitrator or Managing Director, BMTC may appoint arbitrator to resolve the issue in accordance with the provisions of the Arbitration & Conciliation Act 1996. The decision of the Arbitrator thereon shall be final and binding on both the parties.
34. DAMAGES CLAUSE: In case of unauthorized use of extra space, a penalty of double the rate of the agreed rates including specified escalation per month shall be levied as
damages and recovered as license fee in addition to removal of encroachment at the cost and risk of the successful licensee.
35. The selected licensee shall provide suitable place to park the vehicles of PHP’s.
36. The Selected License shall allow The space of 40'*10'=400 sq.ft. is to be reserved for free parking of BMTC staff vehicles (two wheelers).
37. The Licensee shall charge parking fee from the users as prescribed below for parking of vehicles at the parking area.

g. BMTC reserves the right to accept or reject any offer without assigning any
reasons thereof. Conditional tenders will be rejected summarily.
h. The successful bidder shall submit the original copies of the documents as
detailed in Para.4(d) for verification before entering into an agreement
5. EMD & Security Deposit :
a. EMD/tender processing fee shall be paid in the E-Procurement portal through
Credit Card, Direct Debit, NEFT or over the counter (OTC) / RTGS only.
b. The EMD do not carry any interest. The Earnest Money deposit furnished by the
bidder will be forfeited in the event of the bidder withdrawing the tender at any
time before acceptance. The EMD of the successful tenderer will be refunded
only after completion of the contract period.
c. The EMD of the successful licensee will be adjusted towards security deposit. The selected licensee shall remit balance security deposit & enter into agreement within 20 days from the date of issue of allotment letter, failing which, Earnest Money Deposit will be forfeited and allotment will be cancelled by duly black listing the agency and the licensee/agency will not be permitted to participate in any of the tenders of BMTC for a period of three (3) years from the date of such black listing.
d. Earnest Money deposit of the bidders will stand forfeited by black listing the bidder for a period of 3 years in case:
i. Withdraws the tender/bids after opening of the tender or during the validity period of the tender.
ii. Makes false representations with regard to the eligibility criteria.
iii. Fails to keep up to commitments made in the bid.
iv. Submits more than 1 bid in the same name.
v. Fails to furnish the required security deposit within the specified time limit.
vi. Withdraws or amends tender/bids or derogates the tender in any aspects in such case, the Earnest Money Deposit will be forfeited.
e. The previous earnest money submitted in connection with any other tender will not be adjusted towards the present tender. f. Security Deposit: After Selection, the successful bidder has to remit 11(Eleven)
months offered license fee as interest free Security Deposit through Demand Draft before entering into the agreement. This deposit does not carry interest and returnable after successful completion of license period subject to the adjustment of arrears if any. The time limit fixed for remitting the security deposit is 20 days from the date of communication of allotment. The licensee shall remit additional security deposit every year for the escalated amount.
g. In case of any short fall legal proceedings will be initiated to recover such short fall from the licensee.
h. No interest will be paid on EMD/Security Deposit or any other deposits.
6. Mode of Payment of License fee:
a. The successful tender shall pay monthly license fee for the completed month in cash/DD on or before 5th of next month. For eg: License fee for the completed month of January-18 shall be paid on or before 5th of February18.
b. In case if the successful tenderer/bidder fails to pay the monthly license fee as prescribed above the tenderer is liable to pay a interest at 18% per annum on the sums which have been due and payable, not paid to the corporation.
c. The license fee shall be paid every month regularly. In case of nonpayment of
license fee consecutively for three months, the agreement may be terminated by the licensor.The license fee shall start from the date of agreement OR as stipulated therein.
d. The selected bidder shall pay applicable service tax, electricity and water charges
along with monthly license fee/quoted amount.
e. Escaltion Clause: I. The license fee will be escalated by 10% every year and the successful
licensee have to pay proportionate (Eleven times of escalated amount) additional Security Deposit for each subsequent year in the form of Demand Draft drawn from any Nationalized or scheduled bank only.
II. The monthly License fee is escalated annually by 10% over the existing license fee from January of every year from Second year onwards till the end of the license period
III. In respect of New Licensees selected in the middle of the year, the first escalation will be at the rate of 1% of the initial license fee for every completed month of the license period upto December 31st , subject to a maximum of 10%.
7. Electricity & Water Charges: a. The licensee shall pay the charge of Electricity consumed as per the bill raised
by the supplying authority and shall not allow any arrears to accrue.
b. In case water is supplied by BWSSB the licensee shall pay the charges of water consumed proportionate to the units consumed (as per the meter / sub-meter readings) as per the bill raised by BWSSB.
c. Whenever the water is supplied from BMTC from its own sources the licensee
shall pay the charges of water consumed for the proportionate units consumed as per the reading of the meters installed for the purpose at BWSSB rates.
d. If electricity/ Water is supplied by BMTC, the licensee shall pay the charge of electricity/ Water consumed as per the bill raised by the jurisdictional Depot Manager/ Bus stand in-charges on completion of the month.
e. Delay and part payment shall lead to simple penal interest at 18% per annum.
8. Termination/Cancellation/Forfeiture of EMD/Security Deposit: a. The BMTC shall have the right to rescind the contract/license at the cost and
risk of the licensee in the event of breach of any of the terms and conditions of the contract (Terms and conditions of the executed agreement) and in such case the Security Deposit will be forfeited.
b. In the event of termination of license due to the successful licensee failing to complete the stipulated license period, any losses incurred by the BMTC for the balance period of the contract/ agreement period, shall be borne by the successful licensee and in case licensee fails to pay the loss incurred by the BMTC, legal proceedings shall be initiated to recover such losses incurred.
c. If the contract is terminated for the reasons what so ever, such licensee is not entitled to participate in any of the tenders of BMTC for the period of 3 years from the date of termination.
d. If the licensee discontinues the agreement for whatsoever reasons before completion of one year of the agreement period, the entire security deposit will
be forfeited. The Licensor reserves the right to terminate the agreement by giving one month’s notice.
e. The licensee may get the agreement terminated prematurely by issuing 3 month’s advance notice to BMTC after completion of one year license or by paying 3 month’s license fee equivalent to 3 months notice period for termination.
f. In the event of continuous breach the licensee even after two notices, the Corporation can terminate the license with immediate effect.
g. The delegated authorities of acceptance of bid are the only authorities who can terminate the license in both the cases.
9. Prohibition Clause for Black Listed /Default Licensees / Disqualification:
a. The licensees who have been black listed or terminated or a defaulter in any departments of State Governments or Government of India or in any public sector undertakings or in any corporate for any reason what so ever are not eligible for participating in the tender.
b. The licensee shall furnish a self declared certificate for not having been black listed or terminated or being a defaulter in any departments of State Governments or Government of India, public sector undertakings or in any corporate for any reason what so ever and this shall be uploaded in e-portal along with tenders.
10. The time limit fixed for remitting the balance security deposit towards BMTC is 20 days from the date of communication of the acceptance of the bid. The communication of acceptance of the bid shall complete on posting the acceptance by Registered Post A/D to the address furnished in the bid documents. For the purpose of computing the said 20 days the registered letter shall be deemed to be served within seven days from the date of posting. Non receipt of the letter shall not be a ground to extend the time. In case of failure to pay the security deposit it shall be deemed that the bidder has withdrawn his bid and all consequences which is liable to as per clause above shall follow with regard to forfeiture of the EMD and liable to pay damages. The EMD will not carry any interest and would be returned to the unsuccessful bidders after completion of selection procedure.
11. BMTC takes no responsibility for the delay, loss or non-receipt of any submission due to technical problems in case of e-tender.
12. The selected bidder is permitted to run Refreshment room (VEG) (Except items which are illegal and prohibited by the corporation)
13. The selected bidder shall not vend items/products such as liquors, Mutton, recreationclub, cement, Iron & steel, hair dressing saloon, explosives, Travel Agencies/seat booking office, Non-vegetarian food items and any other prohibited items. He shall vend only designed items for which offers are invited.
14. The selected bidder is permitted to run Refreshment room (veg) except items which are illegal and prohibited by the Corporation. The Tenderer is not permitted to run Hopcoms, Nandhini Milk Parlors, Dormitory/Lodging, Luggage/Clock room, Coin booth, Digital Persons Weighing Machine, ATM Counter, Telephone booth and Parking as Refreshment room.
15. The successful tenderer shall have to obtain the required permission from the Municipal Authority concerned before starting the establishment.

The terms and conditions of Tender/Negotiation in respect of allotment of
ready to occupy 2BHK flat no:E-203 & 503 at Ebony of Prestige St.
Johns Woods’ Apartment, Tavarekere Road, Koramangala on license
basis for residential purpose only.
1. The period of license is for three (3) Years.
2. The reserve price fixed is Rs. /- per month per Flat excluding maintenance charges and
other applicable charges.
3. The Earnest Money Deposit is Rs. /- per flat.
4. The tenderers/ bidders shall remit entire Tender processing fee and Earnest Money Deposit
(EMD) for the tender through e-Procurement platform, Government of Karnataka using any of
the following payment modes:
• Credit Card.
• Direct Card.
• Notional Electronic Fund Transfer.
• Over the Counter (OTC)
5. The tenderers/ bidders shall upload all information, documents, rates, etc., in e-Procurement
website only (i.e., https://eproc.karnataka.gov.in ). No documents shall be accepted in person
manually and the bidders shall confirm themselves for up-loading of all the Documents.
6. The EMD of the successful bidder shall be adjusted towards the Security Deposit payable to
BMTC. After which, the selected bidder has to pay the remaining portion of Security Deposit and
fulfill all requirements within the stipulated time of 20 days given by BMTC to execute the
agreement for license as per the norms, for granting of license. Subsequently, BMTC shall
handover the allotted space to the selected bidder for their operations.
7. In case, the successful bidder fails to fulfill the requirements as stated at (06) above, within the
stipulated time, the entire EMD shall be forfeited and allotment shall be cancelled by duly black
listing the concerned bidder for a period of 3 years.
8. If the successful bidder fails as above, the next bidder (i.e., H-2 in case of Tenders if the bid is
above reserved price) has to be provided with an opportunity to take the allotment with
enhancement on the bid submitted. For such provision, the next H-2 EMD shall be retained.
9. However, in addition to the clause no (07), the EMD shall also be forfeited on the following
occasions, in case, the bidder:-
a. withdraws the tender after the opening of tender during the period of tender validity
i.e., from the date of notifying of the tender to the date of allotment of the tendered
establishment (As per Rule 12 & 22 of KTPP Rules 2000).
b. makes false representations with regard to eligibility criteria.
c. fails to keep up to the commitments made in the bid.
d. submits multiple proposals/ bids or if, common interests are found in two or more
bidders, the bidders are likely to be disqualified and liable to be black listed by the
Corporation, unless additional proposals/ bidders are withdrawn upon notice
immediately.
e. fails to furnish the required security deposit within the specified time limit.
f. withdraws or amends its tender or derogates the tender in any aspect.
10. The approx area of each 2-BHK is 1300 sq ft including common utility area.
11. Each flat consists with wardrobes, showcase & kitchen cabinets with a covered car parking in the
basement (one car) & lift facilities.
12. Payment of the monthly license fee for the next month shall be remitted in advance through DD
by 30th
of every month. Any delay shall lead to a penalty of 1.5% per month or part interest for
the number of days delayed.
13. Maintenance charges for the next quarter shall be remitted in advance. Ex. Payment for the Q1-
2020 maintenance is due by 31.03.2020.
14. If license fee and Maintenance charges are not paid continuously for three consecutive months
or nonpayment of arrears equivalent to three (3) months license fee, the licensor reserve the
right to terminate the license by forfeiting the entire security deposit amount after adjusting
dues if any.
15. The monthly maintenance charges are approximately around Rs.5/- per sq. ft. per month (i.e.
Rs. 4,500/- in case of company guest house as against Rs.3.9 per sq.ft. per month in case of
residential purpose or the actual amount charged by the authorities maintaining the premises
viz M/s Prestige St John woods Owners’ association). This will be payable by the licensee along
with GST. Also requires to pay an amount of Rs.1000/-per month as a facilitation charges as per
the actual claims from association.
16. The monthly license fee is subject to annual escalation by 5% over the previous year license fee
for the second year up to the end of the period of license. However, the first escalation of
license fee is fixed at 0.5% per month for every completed month upto Dec-31 subject to
maximum of 5% w.e.f 1st
Jan-2019 and further escalation will be on every January. The Licensee
is liable to pay Additional security deposit over the difference in escalated license fee equivalent
to eleven months license fee shall be remitted by the licensee every year.
17. Selection criteria: The bidder quoting the highest offer above the reserve price (per month) will
be allotted with flat on rental basis.
18. The Successful licensee shall remit the Security Deposit equivalent to 11 (Eleven) times the
offered monthly amount before entering into the agreement. This Deposit does not carry any
interest and returnable after successful completion of License period subject to the adjustment
of arrears if any. The licensee shall remit additional security deposit every year for the escalated
amount.
19. The Tender shall remain open for a period of 3 months. The Tenderer shall not withdraw or
revise the Tender during this period. In case any tenderer reviews or withdrawn his tender
during this period, the amount paid by the bidder (EMD/SECURITY DEPOSIT) shall be forfeited
in addition to other remedies open to the Corporation in respect of the loss which may be
caused due to such withdrawal or alteration.
20. Any individual or individuals signing the application forwarding the letter or other documents
connected with this tender shall specifically mention that he is so signing in individual capacity
as:
a) A sole proprietor of the firm or his attorney.
Or
b) A registered active partner or its attorney.
21. In the case of the firms registered under the Indian Partnership Act and Companies registered
under the Companies Act, the person signing the tender shall state the Authority under whom
he is signing/acting on behalf of the Partnership Firm/Company and send the certified copy of
the Partnership Deed and in case of the Memorandum of Association and Articles of Association
issued by the Authorities authorizing him to act in that capacity and failure to annex the above
document will entitled to the rejection of such tender. Such tenders shall be treated as invalid.
22. The bidder shall upload the address proof with photo ID and Pan card in e-procurement
website.
23. The Forfeiture of amount paid by the bidder as stated in condition (19) above shall be without
prejudice to other remedies open to the Corporation in respect of the loss, if any, which may be
caused to the Corporation by reason of such failure.
24. The successful tenderer shall at his own cost execute the agreement in the prescribed form on
requisite valued stamp paper as per the Karnataka Stamp Act. A draft copy of the deed of
license will be available for inspection at the office of the Chief Traffic Manager (Com), BMTC,
Central Offices, Bangalore-27 during the office hours. It shall be clearly understood that no
license will be granted unless the deed of agreement is executed by the tenderer in favor of
Corporation. In case of failure on his/her part to execute the agreement by paying security
deposit amount and start the establishment within the reasonable time, say about 20 days from
the date of allotment letter, the corporation reserves its right to cancel the acceptance and to
forfeit the EMD remitted to the corporation.
25. The time limit fixed for remitting the balance security deposit towards BMTC is 20 days from the
date of communication of the acceptance of the bid. The communication of acceptance of the
bid shall complete on posting the acceptance by Registered Post A/D to the address furnished in
the bid documents. For the purpose of computing the said 20 days the registered letter shall be
deemed to be served within seven days from the date of posting. Non receipt of the letter shall
not be a ground to extend the time. In case of failure to pay the security deposit it shall be
deemed that the bidder has withdrawn his bid and all consequences which is liable to as per
clause above shall follow with regard to forfeiture of the EMD and liable to pay damages. The
EMD will not carry any interest and would be returned to the unsuccessful bidders after
completion of selection procedure.
26. BMTC takes no responsibility for the delay, loss or non-receipt of any
submission due to technical problems in case of e-tender.
27. The flat shall be used for own residential purpose only.
28. The licensee cannot terminate the license prematurely within one year of license; in case of
termination within one year of license, the security deposit will be forfeited. In case of pre-
mature termination after one year of license, three months advance notice shall be given from
licensee side.
29. Electricity and Water bills shall be borne by the licensee as per the notice of the supplying
Authority and shall not allow any arrears to accrue. Every month proof of such payment shall be
given along with payment of license fees.
30. At the time of termination of occupation, the licensee shall handover the flat premises in vacant
and good condition. Any damage to the structure will be recovered from the security deposit.
31. While vacating the flat after expiry/ termination of the contract the licensee is liable to restore
to its original condition.
32. The corporation is not responsible for any failure or interruption of service to the property or for
any damage disruption or noise caused as a result of repair works being carried out in their part
of building.
33. The staff of the corporation shall have access to the property at all reasonable time for
inspection.
34. The licensee should use the property responsibly and with respect for other licensees and also
shall ensure that no inconvenience is caused to other residents in any manner for e.g. use of
musical instruments, radios, television sets amplifiers etc.
35. The property tax to the local authorities shall be borne by BMTC. All other Taxes and fees shall
be borne by the Licensee.
36. The licensee should obtain and comply with the statutory permission and necessary approvals
and shall abide by the Bylaws of the Association.
37. The licensee is strictly prohibited from illegal conductions and immoral activities in the premises.
If anything reports about this, the license will be terminated without giving any prior notice
besides forfeiting the security deposit and the licensee will be evacuated from the premises.
Besides, the licensee shall alone be liable for all criminal/legal consequences of such illegal
immoral activities.
38. The licensee shall abide by the terms and conditions of Prestige St John’s woods apartments
owners association.
39. The licensee is entitled to use club and other facilities available at Prestige St John Wood
Apartments by satisfying the formalities on payment of requisite charges.
40. The licensee having pets must abide by the association rules for pets and local municipality
regulations. Those having barking dogs shall ensure that peace and serenity of the complex is
not affected.
41. The licensee should ensure that his/her/their children play only at designated places and during
the hours prescribed by the association.
42. The licensee should ensure that the building and common arrears are kept clean and tidy in all
respects and that garbage or trash is thrown only in the disposal installations provided for such
purposes by the Municipal Authorities.
43. The licensee should bear the cost of all repairs to the internal installations of his/her/their
apartments, such as water, light, gas, power, sewage, telephone, air conditioners, sanitary
installations, doors, windows, lamps and all other accessories belonging to the apartment.
44. The licensee shall not make any structural or other modifications which may alter the façade of
the building in any way, whatsoever.
45. The licensee shall not place or cause to be placed in the lobbies, vestibules, stairways and other
areas both common and limited any furniture, packages, cycles or objects of any kind, except
while in normal transit through them.
46. The licensee shall not use any portion of the common areas of the buildings without written
permission.
47. The licensee shall make arrangement of backup power for the flat at his own cost.
48. The licensee shall not park his car or two wheeler except at the place allotted to him. Licensee
having two-wheeler not allotted the parking space he shall park his vehicle inside the boundary
of the Building following the rules made by the association from time to time in this regard.
Visitors Vehicles shall be parked only at designated areas of the building. Only one car shall be
parked in the allotted parking space. The Licensee shall contact security personnel of the
building and obtain pass for parking by fulfilling required formalities.
49. The licensee shall not put up any hoarding, advertisement, notice or poster of any kind, in or on
the building, except as authorized by the association.
50. The licensee shall not hang garments, rugs, etc from the windows, balconies, parapets or from
any of the facades of the building.
51. The licensee shall not use any part of the premises for commercial purpose whatsoever and
shall not use the common areas for any religious purpose.
52. The licensee is governed by the club rules for use of club facilities.
53. The licensee shall not install wiring for electrical, telephone or fax machines, television
antennae, air conditioning units or machines on exterior of the building.
54. In case of any dispute arising between the parties in respect of the interpretation or
performance of any terms and conditions of this License the same shall be referred to the
Managing Director, BMTC who’s decision shall be final or Managing Director, BMTC may appoint
arbitrator to resolve the issue in accordance with the provisions of the Arbitration & Conciliation
Act 1996. The decision of the Arbitrator thereon shall be final and binding on both the parties.
55. The licensee should occupy himself and use the premises for his personal use. Subletting of
premises is barred. In case of subletting the occupants will be evicted besides forfeiting the
security deposit.
56. As per the rules of association you shall make the payment of Rs.1,500/- for each flat towards
moving in/out charges on the occasion of entering into flat initially and on vacation of flat.
