1. Punjab Examination Commission intends to hire services of a well reputed and well equipped Security Company for provision of security guards for a period of One (01) year renewable on yearly basis as per details given below:‐

Note: Besides above mentioned premises, security guards may be employed in more numbers temporarily as per requirement. Instructions for Bidders
1. The Company / Organization should be registered with Home Department, Income and
Sales tax departments and should have proven record of providing security services to large
government / semi government organizations / multinationals / foreign missions (to be verified by
the clients). Bids must be submitted in a sealed envelope clearly marked “Tender for Hiring
Security Services for the Punjab Examination Commission” latest by Monday, June 12, 2017till
10:30 a.m.
2. Proposal submitted must contain company profile, number of years in the business
(companies operating for less than 5 years need not to apply), list of present clients, proof of
company as legal entity, affidavit indicating that the company has never been black listed by any
government organization.
3. Price quoted shall remain valid for a period of 90 days from the closing date of bid
submitted however; bidders are encouraged to extend the validity of their bid. The rates quoted
should be in Pak rupee (PKR) and inclusive of all applicable taxes.
4. Attach detail of offices operating in Pakistan with address & telephone numbers and total
no. of employees.
5. Attach valid copy of Company registration with Home Department.
6. Attach valid list of clients with detail of relevant person and contact number.
7. Bids submitted must accompany with Bid Security (refundable) for an amount of 05% of
total quoted price for the first year in shape of either CDR / Pay Order, Demand Draft from a
Scheduled Bank valid for not less than 6 months in favor of Punjab Examination Commission. Bids
submitted without CDR / Pay Order, Demand Draft will not be considered and rejected straight
away.
8. Bids will be short listed on the basis of financial and technical evaluation.
9. Services contract would be for a period of 1 years.
10. Punjab Examination Commission shall not pay any security deposit or advance payment
against hiring the security services.
11. Company will be bound to arrange the security guards within 7 days after issuance of
work order.
12. Security services are based on 12 hours shift and in case of guard’s absence the
company would be bound to provide immediate replacement
13. Employees of Security Company should have group insurance and company must
be registered with EOBI and social security. Any other benefit provided by the Company
would be considered as an edge.
14. In case of an emergency the company needs to have adequate resources available
to provide back up at desired location(s).
15. Company should have its own RESPONSE UNIT SERVICES in order to deal with any
Emergency situation.
16. Background / personal verifications of the employees through relevant agencies is
mandatory.
17. The upper age limit for guards is 45 years.
18. Guards must be trained for firefighting / Civil Defense.
19. Detail of weapon in use and their licenses are to be provided.
20. Any other scientific solution for enhancing security measures would be considered
as an edge.
21. Separate rates should be quoted for Supervisor / armed / unarmed guards.
22. Company shall also provide Explosive Detector, Hand Held Detector and Mirror for
vehicle inspection (as per location and demand)
23. Company shall also ensure periodic checks of guards deployed at various locations
to ensure quality service at all times.
24. Company will be fully responsible in case of misconduct caused by the security
personnel.
25. The last date for the receipt of tenders is Monday, June 12th, 2017 till 10.30 a.m.
and will be opened the same day at 11.30 a.m. at the office of the Punjab Examination
Commission Wahdat road Lahore in the presence of bidders or their authorized representatives
who may wish to be present.
26. Punjab Examination Commission reserves the right to accept, reject or amend any or all
tenders without assigning any reason.
Procedure for Submission of Bid
27. Bids must be submitted in accordance with PPRA Rules 2014 following Single stage – two
envelop procedure.
28. The following procedure shall be adopted for procurement of services:-
a. The bid shall comprise a single large package containing two separate envelopes. Each envelope shall contain the 1) Financial Proposal and the 2) Technical Proposal marked separately;
b. The envelopes shall be marked as “FINANCIAL PROPOSAL” and “TECHNICAL PROPOSAL” in bold and legible letters;
c. Initially, only the envelope marked “TECHNICAL PROPOSAL” shall be opened;
d. The envelope marked as “FINANCIAL, PROPOSAL” shall be retained in the
custody of the Procuring Agency without being opened;
e. Procuring Agency i.e., Punjab Examination Commission Procurement Committee
will evaluate the technical proposal first without reference to the price and
reject any proposal which does not conform to the specified requirements;
f. During the technical evaluation no amendments in the technical proposal shall
be permitted;
g. The financial proposals of technically qualified bids will be opened publicly at
a time, date and venue announced and communicated to the bidders. h. After the evaluation and approval of the technical proposal, Punjab
Examination Commission, shall at a time within the bid validity period, publicly open the financial proposals of the technically accepted bids only. The financial proposal of bids found technically non‐responsive shall be returned unopened to the respective bidders;
i. The lowest responsive financial bid shall be accepted.
Mandatory Requirements. Bidder must furnish following information;
a. Valid license to operate in the Province of Punjab. b. NOC issued by Government of the Punjab , Home Department.
c. Registration with SECP d. Registration with Social Security e. Copy of NTN certificate
f. Registration with All Pakistan Security Agencies Association (APSAA)
g. Affidavit that the firm has not been blacklisted by any Government / Semi
Government organization
h. Proof of financial soundness from a scheduled bank accompanied with bank
statement for the last one year. i. CDR / Pay order / bank draft of 05% of total quoted price for the first year shall
accompany the financial proposal as Bid Security / Earnest money. Technical proposal must contain a certificate regarding attachment of bid Security along with financial bid. Failing to do so may result in disqualification of bidder.
j. Proof of deployment of at least 50 security guards in Lahore municipal limits. A
certificate to this effect will be furnished along with details of deployment. (Facts shall be verified).
k. A certificate to the effect that all security guards are paid monthly wages, not less than the minimum wages fixed by the Government of Punjab from time to time. Any violation at any stage in this regard will render the Bidder/ security company ineligible to work with Punjab Examination Commission.
l. The bid prices shall not be in violation of minimum wages set by the
Government of Pakistan, otherwise Punjab Examination Commission has the right to reject any such bid or bids.
m. The company should have the valid wireless license and should be able to provide
Walkie Talkie Sets on demand (negotiable).
n. Performance certificates by the major clients where the security company
has been providing security services in last two years.
o. The company should possess valid licenses of automatic weapons and shall
provide at least two automatic weapons along with other weapons on required
basis.
29. Financial bids of only those bidders who qualify technically in the Technical proposals will be opened. The qualified bidder quoting the lowest financial bid will be awarded the contract.
30. If two or more bidders obtain equal marks in Technical proposal, then the contract
will be awarded to the one with lowest financial bid.
31. Compulsory remittance to PESSI and insurance premium against each individual will be
made by the service provider.
32. Evidence of remittance of insurance premium will be submitted on award of security
contract.
33. Responsibility of managing leave of the security guards shall rest with the service
provider.
34. The service provider will be responsible to get each guard medically examined by a
registered medical practitioner and provide medical certificate regarding medical fitness of
each guard employed. The company shall also provide character certificates of each guard with
verified antecedents.
35. Guards provided by the company should fall within the age limits of 25-45 years. The
guards should be professional ly trained and be capable to handle emergent situation /
tasks including but not limited to mob control, bomb blast, firing, earthquakes and events of
fire etc.
36. Evaluation criteria is given in the technical proposal. Minimum threshold for qualifying
in the technical proposal is 60%.
37. During the contract, the firm will provide Security Services as per terms and conditions,
to be settled later, in the shape of contract agreement, with Punjab Examination
Commission, Lahore.
38. An agreement will be made between PUNJAB EXAMINATION COMMISSION and service
provider on judicial paper of 025% of Contract value.
39. Availability of additional guards (if so required) shall be ensured within 24 hours.
40. Interested Security Companies may forward their proposals as per above
instructions to the undersigned latest by 12th June, 2017 till 10:30 a.m.
42. Bid Validity. Bids shall remain valid for 90 days after the date of tender opening.
Earnest money will be returned to the unsuccessful bidders not later than expiry of the Bids.

General Conditions of Contract Annex-C
1. “Contract” means the contract Agreement entered into between the Procurer and Service
Provider together with the contract documents referred to therein, including all
attachments, appendices, and all documents incorporated by reference therein.
2. “Contract Documents” means the documents listed in the Agreement including any
amendments (s) thereto.
3. “Contract Price” means the price payable to the Service Provider as specified in the
Agreement, subject to such additions and adjustments thereto or deductions there from,
as may be made pursuant to the terms of contract.
4. “Day” means calendar day
5. “Completion” means the fulfillment of the service regarding provision / hiring of security
guards as required in accordance with the terms and conditions set forth in the contract.
6. “GCC” means General Conditions of Contract.
7. “SCC” means the Special conditions of Contract.
8. “The Service provider” means the natural person/Joint Venture
(JV)/consortium/Association of person (AOP)/ Group (combination of natural or legal
persons specially bound together to undertake this job), private or government entity, or
a combination of the above, whose bid to perform the Contract has been accepted by the
Procurer and is named as such in the agreement, and includes the legal successors or
permitted assignees of the service provider.
9. Subject to the order of precedence set forth in the Agreement, all documents forming the
contract (and all parts thereof) are intended to be correlative, complementary, and
mutually explanatory.
10. If the Service Provider is a joint venture (JV), consortium or Association of Parties/Persons,
(AOP) Group shall be jointly and severally liable to the Procurer for the fulfillment of the
provisions of the Contact and shall designate one party to act as a leader with authority to
bind the joint venture, consortium group or association of persons. The composition or
the constitution of the joint venture, consortium, or association/group shall not be altered
without the prior consent of the Procurer.
11. Deduction of Income Tax at source or other levies in case of JV/Consortium/AOP/Group
legally not formed would be in the name of lead Bidder. However, in case of legally
formed JV/Consortium, deduction of the Income Tax would be in name of all members in
the proportion as mentioned in their JV Proforma.
12. Bid Security @5% of total value of quantity mentioned against every Bid, in favour of Chief
Executive Officer,PEC Lahore in the shape of CDR/ Pay Order / Bank Draft or CDR issued
any scheduled bank should be attached with the financiall Proposal. The bidder should
affix on the back of the Pay Order / Bank Draft /CDR, the seal /stamp of group lead Bidder,
as case may be.
13. Any notice given by one party to the other pursuant to the contract shall be in writing to
the address specified in the SCC. The term “in writing” means communicated in written
form with proof of receipt.
14. A notice shall be effective when delivered or on the notice’s effective date, whichever is
later.
15. The contract shall be governed by and interpreted in accordance with the Laws of
Pakistan/Punjab.
16. The Procuring Agency and the Service Provider shall make every effort to resolve amicably
by direct informal negotiation any disagreement or dispute arising between them under
or in connection with the contract.
17. If, after twenty eight (28) days, the parties have failed to resolve their dispute or
difference by such mutual consultation, then either the Procurer or the service provider
may give notice to the other party of its intention to commence arbitration, as hereinafter
provided, as to the matter in dispute, and no arbitration in respect of this matter may be
commenced unless such notice is given. Any dispute or difference in respect of which a
notice of intention to commence arbitration has been given in accordance with this clause
shall be finally settled by arbitration. Arbitration may be commenced prior to or after
provision of services under the contract. Arbitration proceedings shall be conducted in
accordance the SCC.
18. Notwithstanding any reference to arbitration herein,
a. The parties shall continue to perform their respective obligations under the
Contract unless they otherwise agreed and
b. The Procurer shall pay the Service Provider any amount due to the services
provided.
19. The service regarding provision / hiring of security guards to be provided shall be as
specified in the services requirements.
20. The Service Provider shall provide all the requirements as included in the scope of
services.
21. The rate per Security Guard quoted for the total mentioned number of Security Guards. In
case of any increase or decrease in number of Security Guards, their rate shall be
calculated on proportionate basis.
22. Prices charged by the Service provider for the provision / hiring of Security Guards under
the contract shall not vary from the prices quoted by the Service provider in its bid.
23. The Service provider shall be entirely responsible for all taxes, duties, license fees, etc.
leviable at the time of submission of bid and incurred until delivery of the contracted
services etc. to the Procurer.
24. The Service provider shall, within seven (7) days of the notification of contract award,
provide a performance security@10% of the value of contact in shape of bank Guarantee/
pay Order issued by scheduled bank. The bid security shall only be released after
submission of performance security. However on written request of the successful bidder
time period may be extended for another 3 days.
25. The proceeds of the performance security shall be payable to the Procurer as
compensation for any loss resulting from the Service provider’s failure to complete its
obligations under the Contract.
26. The Performance security shall be discharged by the Procurer and returned to the Service
Provider on termination of contract.
27. The Procurer and the Service Provider shall keep confidential and shall not, without the
written consent of the other party hereto, divulge to any third party and documents, data
or other information furnished directly or indirectly by the other party hereto in
connection with the Contract, whether such information has been furnished prior to,
during or following completion or termination of the Contract. The Procurer shall not use
such documents, data and other information received from the Service Provider for any
purposes unrelated to the contract. Similarly, the Service Provider shall not use such
documents, data and other information received from the Purchaser for any purpose
other than the performance of the Contract.
28. The Service Provider shall execute a contract agreement with the Procurer on stamp
paper in accordance with stamp duty act.
29. The Service Provider shall ensure that the provision / hiring of Security Guards under this
contract shall conform to the Technical Specifications and standards as required.
30. The Service Provider shall ensure his physical presence in order to check the quality
security services from time to time to ensure the quality of Security Services.
31. If the Service Provider fails to provide the requisite services of Security Guards within the
period specified in the Contract in accordance with requirements and standards given in
the services requirements, following penalties in part or whole shall be imposed on the
Service Provider.
IRREGULARITIES PENALTIES
a. Non-execution of contract agreement
within the stipulated period

32. In case the regime of any tax levied by Government is changed during the currency of the
agreement separate instructions to the extent of such levy will be issued to the Bidder.
Such instructions shall be deemed to be a part of this agreement.
33. Termination for Default
a. The procurer, without prejudice to any other remedy for breach of contract, by
written notice of default sent to the service provider, may terminate the contract
in whole or in part.
b. If the Service Provider fails to deliver any or all of the requisite Security services
within the period specified in the contract or within any extension thereof
granted by the Procurer.
c. If the Service Provider fails to perform any other obligation under the Contract; or
If the Service Provider, in the judgment of the Procurer has engaged in fraud,
misrepresentation and corruption, in competing for or in executing the contract.
d. Termination for Insolvency. The Procurer may at any time terminate the
Contract by giving notice to the Service Provider if the Service Provider becomes
bankrupt or otherwise insolvent. In such event, termination will be without
compensation to the Service Provider, provided that such termination will not
prejudice or affect any right of action or remedy that has accrued or will accrue
thereafter to the Procurer.
34. Neither the Procurer nor the Service Provider shall assign, in whole nor in part, their
obligations under this contract, except with prior written consent to any other party.
Special Conditions of Contract Annex-D The following Special Conditions of Contract (SCC) shall supplement and / or amend the General
Conditions of Contract (GCC). Whenever there is a conflict, the provisions herein shall prevail over
those in the GCC

7. The rules of procedure for arbitration proceedings pursuant to GCC Clause shall be as follow:
The CHAIRPERSON, PEC shall be the sole arbitrator whose award shall be final and binding
on the parties.
8. The scope of services to be provided for the provision / hiring of Security Guards shall be as
specified in Services Requirements and GCC.
9. The method and conditions of payment to be made to the Service Provider under this contract
shall be as follows:
(i) Payment: The bill of Service Provider should be submitted on the monthly basis
through cheque after production of EOBI and ESSI receipts.
(ii) Payment shall be made on submission of bill up to the 10th
day of each month.
10. The amount of the performance security shall be 10% of value of contract. The currency shall
be: Pak Rupees
11. The types of acceptable Performance Securities are: Bank Guarantee/ Pay order issued by any
scheduled bank or cash deposited in PEC account
12. Performance Security shall be released after termination of contract, subject to the successful
completion of work.
13. The inspections shall be conducted at:
(i) The premises of the Services performed by the Service Provider.
14. The penalty(s) shall be As given in GCC
15. The amount of penalties will be calculated as mentioned in GCC
16. The period of validity of the Contract shall be one year.
Annex-E
DRAFT AGREEMENT OF SECURITY SERVICES
This agreement is executed on this day for hiring of Security Guards between M/s ___________________________________________________, a company incorporated under the Companies Ordinance 1984 and having its registered office located at _______________________________________ (hereinafter called “Security Company”)
AND PUNJAB EXAMINATION COMMISSION,
WHEREAS the First Party has security guards fully trained in the field of security has agreed to provide security services for the persons and moveable / immoveable property of Offices of the PUNJAB EXAMINATION COMMISSION near Pilot Secondary School for Boys, Wahdat Colony Lahore, and Punjab Examination Commission Office (old Punjab Education Assessment System office) College Road, Township, Lahore as set out in this Agreement. 1. TERMS OF AGREEMENT
a. Period. 1st July, 2017 to 30th November, 2016.
b. Execution. The security agency will be bound to execute the directives of the PUNJAB EXAMINATION COMMISSION, Lahore.
c. Additional Guards. In case PUNJAB EXAMINATION COMMISSION requires
additional guards, the security company shall provide the same according to requirement on the terms as agreed in the agreement on 24 hours’ notice.
d. Salaries, perks, privileges and work hours of the guards will be governed strictly
according to the government rules / regulations. 2. GUARD SERVICES
a. The Security Agency will be fully responsible to provide satisfactory services at PUNJAB EXAMINATION COMMISSION near Pilot Secondary School for Boys, Wahdat Colony Lahore, and Punjab Examination Commission Office (old Punjab Education Assessment System office) College Road, Township, Lahore.
b. Energetic, smart, literate and healthy (preferably ex‐servicemen) with complete uniform fully conversant with security duties should be deployed at PUNJAB EXAMINATION COMMISSION near Pilot Secondary School for Boys, Wahdat Colony Lahore, and Punjab Examination Commission Office (old Punjab Education Assessment System office) College Road, Township, Lahore in consultation with the Deputy Director (Admin, HR and Finance) PUNJAB EXAMINATION COMMISSION. Guards provided by the company should fall within the age limits of 25 to 45 years. Bulky / overweight persons will not be accepted.
c. Daily attendance will be marked in the register at the point as well as Daily Attendance sheet duly signed for submission to concerned officer / official for
calculation and compilation on monthly basis. Representative from the company / guards supervisor will randomly (at least twice a week) monitor the performance of guards as per terms and conditions and verify the same on attendance register.
d. That M/s_______________________________________ will provide and
ensure that each guard on duty has received and understood written instructions for basic duties, is dressed in proper UNIFORM of the Company and is fully equipped to discharge his duties. Each guard is to be issued with two new uniforms by the Company.
e. The Armed Guards are required to remain alert, carryout patrolling and remain
vigilant throughout their duty hours, and must respond immediately to prevent any breach of security at PUNJAB EXAMINATION COMMISSION office near Pilot Secondary School for Boys, Wahdat Colony Lahore, and Punjab Examination Commission Office (old Punjab Education Assessment System office) College Road, Township, Lahore and any other place for which the security guards have been requisitioned for deployment by Punjab Examination Commission. The Security Agency under all circumstances w i l l b e r e s p o n s i b l e f o r p u r s u i n g a n d completion of all legal proceedings as required by law.
f. The company will be responsible to get each guard medically examined by a
registered medical practitioner and provide medical certificate. Similarly the company shall provide character certificates of each guard with verified antecedents.
g. The company will be responsible to introduce a guard to the in‐charge security/
concerned officer at PUNJAB EXAMINATION COMMISSION respective regional Office and sub-offices before deployment as a substitute.
3. DEPLOYMENT OF GUARDS. Total Five (05) guards will be deployed at respective offices;
4. PAYMENT OF SERVICES CHARGES
a. The PUNJAB EXAMINATION COMMISSION will pay service charges on monthly basis for the year of contract as mentioned below to the Security Agency by 10th
of each month on submission of invoice.
b. PUNJAB EXAMINATION COMMISSION shall not be responsible in any manner to pay either in cash or in kind to other than the amount of salary agreed upon in the agreement for the total strength agreed to be employed.

5. Evidence of remittance of insurance premium will be submitted on award of security contract. Payment will be made on monthly basis by PUNJAB EXAMINATION COMMISSION through cheque after production of EOBI and ESSI receipts.
6. OVERTIME. The PUNJAB EXAMINATION COMMISSION, shall not be responsible for any payment regarding overtime duty of the services provided by Bidder.
7. PRIMARY RESPONSIBILITIES/DUTIES OF SECURITY GUARD
a. Prevention of entry of unauthorized persons in office premises of the PUNJAB EXAMINATION COMMISSION
b. Monitor entrance and exit through proper surveillance c. Identify visitors and ask for appropriate documents d. Guard against theft and maintain security e. Respond to alarms and calls of distress f. Stop suspicious persons and call for identification g. Report any suspicious activity around the premises to the Security-In-charge PEC h. Call for aid , if necessary i. Use fire extinguishers in case of fire j. Use Walkie Talkies & cell phones to remain in touch with other security
personnel k. Report rule infraction , violation of Standard Operating Procedure (SOP) and any
other instruction issued by PEC l. Prevent passage of prohibited items in PEC m. Check purses, pockets and may resort to body search if deemed necessary n. Inspect windows, doors and passageways regularly to ensure no breach has
occurred o. Inspect security equipment and other machinery p. Keep record of each visitor in “Visiting Register” and issue visiting card
accordingly q. Prevent pilferage of items r. Inform concerned authorized officer of PUNJAB EXAMINATION COMMISSION
promptly and accurately any occurrence detrimental to the security of PUNJAB EXAMINATION COMMISSION Offices’ premises placed under charge of M/s ___________________________________.
s. To take appropriate action in case of emergencies like:
(1) Raising of fire alarm and prompt communication to Fire Brigade and
officer in‐charge of the installation and arrange rescue activities. (2) Reporting forced entry to the local police station, Security-in charge and
the Control Office of M/s __________________________________ for appropriate action.
(3) Adverse Law and Order Situation will be promptly reported to the local police station, PEC Security- in-charge and the Control Office of Company for appropriate action. All entry points be closed under such a situation.
(4) To arrange immediate medical coverage of any person injured in the
premises.
(5) To carry out daily checking of all security lights, entry points and locked premises for their effectiveness during off hours.
(6) To properly brief the relieving guard about any situation concerning
security.
t. The guards will perform duties including security of PUNJAB EXAMINATION COMMISSION personnel, installations, its property and fire fighting in case of fire.
u. Take immediate remedial action at the time of any fire incident.
v. During the effectiveness of this agreement in case of damage occurred to the property or personnel due to the outbreak of fire or any other eventually caused by the negligence of security guards, the contracting security company will be wholly responsible and liable for paying f o r all losses occurred to PUNJAB EXAMINATION COMMISSION as a result of their negligence.
X The arms provided to the guards must be examined by a qualified armourer.
8. PERSON PERFORMING SERVICES SPECIFIED HEREIN TO BE EMPLOYEES OF M/s ___________________________________________________________
a. The persons employed by M/s ___________________ who perform the services specified in this agreement shall be the employees of Company and shall not at any time attempt to represent such employees or its offices as employees of the PUNJAB EXAMINATION COMMISSION. It is understood by the parties hereto that neither the PUNJAB EXAMINATION COMMISSION nor any officers of the PUNJAB EXAMINATION COMMISSION are concerned with the terms and conditions of employment and that there is not and shall not be any relationship of employer and employee between the staff of PUNJAB EXAMINATION COMMISSION and employees. Since M/s _______________________ is the employer of all such persons who perform the services specified in this agreement, M/s_ shall pay wages to such person and shall control and supervise the work done by them, shall instruct them as to the manner in which the work has to be done by them as may be warranted. The PUNJAB EXAMINATION COMMISSION shall not interfere with the right of M/s ___________________________ to hire its employee or in the selection or non‐ selection of any person as its employees .
b. If in the opinion of the PUNJAB EXAMINATION COMMISSION the presence
of any employee of Company of any of his acts of omission or commission are prejudicial to the interests of the PUNJAB EXAMINATION COMMISSION to that of any of its officer, the PUNJAB EXAMINATION COMMISSION shall inform Company about such employee where upon will take immediate action against such employee by replacing him to the entire satisfaction of the PUNJAB EXAMINATION COMMISSION.
9. INDEMNITY
a. Company shall at all times during the specified period of this agreement and thereafter indemnify the PUNJAB EXAMINATION COMMISSION and its officers
against all losses and claims for injuries or damage to any person or property arising thereof or in consequence of this agreement or any of its duties to be performed there under, or any act or omission of any of its employees, and against all claims, demands, proceeding, cost, charges and expense whatsoever in respect thereof or in relation thereto and all litigations, court processes and court cases and all proceedings there under filed or instituted by the personnel employed by M/s _______________________________________ or any of them collectively or individually or by any other party subject to completion of legal proceedings as required by law.
b. Company shall obtain from all of its employees who are rendering the services
specified in this agreement, a declaration that they are and shall remain the employees of M/s ______________________________ and shall have no obligation of contract with or claim whatsoever against the PUNJAB EXAMINATION COMMISSION or against any of its officials.
10. CONFIDENTIALITY
M/s __________________________________________________ shall ensure that all of its employees performing services specified in this agreement shall not at any time during the performance of this agreement or thereafter disclose to any person any information as to the affairs of the PUNJAB EXAMINATION COMMISSION or its offices and as to any other matter which may come to their knowledge by reasons of the performance of the services specified in the agreement. If in the opinion of the PUNJAB EXAMINATION COMMISSION there has been any such disclosure the person concerned shall immediately be dismissed from the service.
11. RESPONSIBILITIES OF M/s __________________________________________
a. In addition to the services to be performed by M/s ____________________________ specified above Company shall provide at no additional cost to the PUNJAB EXAMINATION COMMISSION such supervision of its employees as is necessary to adequately fulfill its obligations under the agreement.
b. Company is responsible for ensuring that all its employees performing the
services specified in the agreement are physically fit, have no communicable disease and are healthy in all respects to perform duties.
c. M/s ______________________________________________, is an independent
contractor and accordingly is fully responsible for any accident or injury to its
employees or cause by its employee and agrees that neither the PUNJAB
EXAMINATION COMMISSION nor any of its officers will be held liable for either of
the above in any manner.
d. M/s _____________________________________________ is responsible for
recruitment, discipline and all other service matters of its employee. They will not in any case communicate with the officials of PUNJAB EXAMINATION COMMISSION regarding their service matter, which is the sole responsibility of Security Company.
e. When circumstances warrant, the PUNJAB EXAMINATION COMMISSION may refuse to accept services from any employees of Company whose work has been found unsatisfactory or not in accordance with the requirements of this agreement. In addition, penalties / actions would be initiated in case of unsatisfactory performances and violations that are or equivalent to the ones highlighted below;
(i) Amount of Rs.250/‐ per day per guard will be deducted in case of
minor violations like wearing inappropriate dress / late arrivals/negligence, attending guests during the duty hours, etc. “All fines and penalties will be deducted by PUNJAB EXAMINATION COMMISSION Head Office, Lahore from the monthly payments to the Company.
(ii) Three consecutive violations of same nature on part of an individual will
render him unsuitable for performing duties in PUNJAB EXAMINATION COMMISSION.
(iii) The company would be served with a warning notice in case of
persistent minor violations and non‐attendance of complaints. Three consecutive warnings may render the company unsuitable for performing security duty in PUNJAB EXAMINATION COMMISSION and it may lead to termination of contract agreement.
(iv) Other Violations like unwarranted offensive behavior etc. will lead to
imposition of penalty of up to 05% of the monthly bill. All fines and penalties will be deducted by PUNJAB EXAMINATION COMMISSION, Lahore from the monthly payments of the Company.
(v) Actions like firing of weapons which are not intended for the purpose of
defense and in violation of Security Company’s license may lead to cancellation of the agreement besides involving other legal proceedings as required under law.
h. The process of recruiting, interviewing and hiring employees of Company is the
sole responsibility of Security Company subject to what has been agreed in this agreement.
12. STATUS OF M/s ‐‐‐‐‐‐‐‐‐‐SECURITY COMPANY LTD.
M/s _______________________________________________________ is a bonafide limited company working for i t s own account and acknowledges that this agreement does not confer upon it, or upon any individual employed by it, the status of any employee of the PUNJAB EXAMINATION COMMISSION or that of any of its officers nor grants it, or any individual employed by it, any benefits not specifically provided for herein. 13. SECURITY
Ensuring Security clearance of all employees of Company who are assigned to provide services under this agreement shall be the so le responsibility of M/s .________________
14. TAXES
Company shall be responsible for the taxes required to be paid by it under relevant law and for any necessary withholding of taxes from the salaries of employees of Security Company. Punjab Examination Commission shall deduct (at source) all taxes at prescribed rates as applicable under law.
15. RESTRICTION OF ASSIGNMENTS TAKE OVER
a. M/s ______________________________________________ shall not assign or sub‐contract any of its duties or rights under this agreement, including but not limited to any benefit or interest herein or there under, any such assignment or sub‐ contracting by Company shall entitle the PUNJAB EXAMINATION COMMISSION to terminate this agreement forthwith.
b. If Company enters into c. any arrangement with or assignment in favour of its creditors, or amalgamates
with any other concern or is taken over, the PUNJAB EXAMINATION COMMISSION shall be entitled to terminate this agreement forthwith upon notice.
16. DISPUTES
All questions, disputes, controversies arising directly or consequent to this agreement except matters under the terms of this agreement, shall be settled by mutual negotiations. Should such negotiations fail, the matter, as specified herein before subject to said exception shall be referred to arbitration by two arbitrators, one to be appointed by Company and the other by PUNJAB EXAMINATION COMMISSION whose decisions shall be final and binding and not challengeable in law. 17. EFFECT OF AGREEMENT
This agreement embodies the entire understanding of the parties hereto on this subject and there are no commitments, terms, conditions or obligation, oral or written, express or implied other than those contained therein. 18. COVERING LAW
a. This contract agreement has taken place w.e.f. ‐‐‐‐‐‐‐‐‐‐‐‐‐‐‐‐‐‐‐2017 and will be in force for the period of one year.
b. Both parties have rights to terminate the contract on one month advance notice. In case the services are terminated without notice, second party will have to make the payment equivalent to one month’s salaries of the guards.
