Said corporation, unless soonerdissolved, in accordance with itscharter, shall exist or continue for-the period of ninety-nine years fromand after the date hereof.

PThe president, or in his absence,the vice president, or in the absenceof both, the secretary shall be theproper person upon whom citationor other legal process shall be serv-ed.

ARTICLE II. .The objects and purposes forwhich this corporation is formed andthe nature of the business to becarried on by it, are hereby declaredto be: The operation of a hotel inall of its branches; the leasing orletting of same in whole or in partfor hotel, or commercial purposes,or otherwise; the manufacture of ice,electricity and the production ofwater for the use of said hotel, with

the right to sell said ice, electricityor water to the general public; topurchase for cash or on terms - ofcredit, such lands or buildings, orto cause such buildings to be erect-ed, as shall be necessary to the con-duct of the aforesaid business, andgenerally to do all things incidentalto the proper management or con-trol of said business.

ARTICLE III.The capital stock of this corpora-

tion is hereby fixed at fifty thousand t($50,000.00) dollars, divided into aand represented by five hundred(500) shares of the par value ofone hundred ($100.00) collars each,which stock may be issued at notless than par for cash, or in pay-ment of exchange for property orrights actually received or purchas-ed by said corporation, provided thatno stock shall be issued unless the Iconsideration therefor has been re- tceived by said corporation. All trans- Cfers of stock shall be made on the fbooks of said company at its, office dat Covington, Louisiana, on the sur- nrender of the certificates therefor. INo stockholder shall have authority tor right to sell, or otherwise dispose cof his stock, in whole or in part, awithout first giving the board of di-rectors ten days written notice of 1Fhis intention or desire to dispose of Dhis stock or a part thereof, and al-lowing the board of directors thefirst opportunity of purchasing thestock.

Said corporation shall become agoing concern and be authorized todo business as'soon as $5,000.00 ofthe capital stock shall have beensubscribed for.

The corporate powers of this cor-poration shall be vested in and ex-ercised by a board of three direc- itors, cpnsjting of a president, vice -president, secretary-treasurer, twoof whom shall constitute a quorum Ifor the transaction of business. Saiddirectors shall be elected annually tfrom among the stockholders on thethird Monday of the month of Feb-ruary in each year, commencing onthe 19th day in the month of 1912.

Notice of such election shall begiven by at least five days writtennotice addressed to the stockholdersat his last known place of residence. cAt said election and all other meet-ings of the stockholders the votingshall be by ballot and each share of stock shal be entitled to one vote -by the owner in person, or by writ-ten proxy.

Within one week of their election,above provided for, the board shall 6elect from among their number a Epresident, a vice president, and asecretary-treasurer, and all of saidofficers and directors shall hold their Irespective offices for a period of oneyear from the date of their elec-tion, or until their successors areelected. But the failure to hold an 1annual election, or to elect the of- Ificers as above provided for, shallnot result in a dissolution of thiscorporation, but the then board ofdirectors and officers shall hold theiroffices until their successors are dulyelected.

Any vancancies in said board ofdirectors shall be filled by the re-maining members of the board forthis unexpired terni, at a meetingcalled for that purpose after threedays prior notice in writing sent bymall to *said directors at their lastknown address.

The said board of directors shallhave power to make by-laws, rulesand regulations for the proper man-agement and conduct of the affairsof this corporation, and to change,alter, abolish or amend same atpleasure, and shall have and exer-cise all the powers conferred by lawon this corporation as set forth gen-erally above. It shall be the duty of the presi-dent of this corporation, or in theevent of his inability to act, the vicepresident, to call a meeting of theboard of directors or the stockhold-ers thereof, on the written requestto that effect, signed by two direc-tors, or upon the written reques.tothat effect of fifteen per cent of thecapital stock issued. a

ARTICLFE V.This corporation .znay be dissolved I

by a vote of three-fourths of the Icalpital stock therof issued, at a gen-eral meeting convened for that pur-pose after ten (10) days writtennotice of the objects of said meeting,sent to each stockholder prior tosaid meeting, at his last known placeof residence.

Whenever this corporation is dis-solved, whether by ljmitation orotherwise, its affairs shall be liqui-dated by two liquidating commis-sioners, to be elected at such generalmeeting, and in the case of death orinability to act of any of said com-missioners, the surviving commis- asioner shall appoint a sucessor and ctogether they shall continue suchliquidation to its termination.
