REGISTRATION DOCUMENTATION
IMPORTANT NOTICE
All original documents must be viewed by an Arab Embassy and the Ministry of Foreign Affairs in the country where the original documents were produced. Copies will be taken stamped and sealed as ORIGINAL COPIES. This is also known as Legalization.
STANDARD LEGAL REQUIREMENTS & SUPPORTING DOCUMENTS:
1) INDIVIDUAL SHAREHOLDER(S)
1. Application for Registration2. Personal & Business Profile of each shareholder (CV or Resume)3. Proof of Physical address of each shareholder, i.e. Utility bill (Original) 4. Valid Passport Copy for each Shareholder, Director & Secretary5. Recent UAE Entry Page Copy of Passport or Valid UAE Residence Page Copy6. Personal Bank Reference for each Shareholder - the relevant account should have been maintained for at least two (2) years
2) MULTIPLE SHAREHOLDER(S)
The same is required as above. Every Shareholder and Director must provide the above mentioned documents
COMPANY INCORPORATION: THE PROCESS
Upon agreement of our proposal/quotation, an engagement agreement will be executed between the two parties, and the documents supplied for the shareholder(s), director(s) and secretary(s) will be verified to prepare the documents. The documents will be signed in the presence of the registrar.
After company registration with RAK FTZ, the shareholder(s) and Director(s) can then proceed to obtain a bank account internationally or locally. The documents of corporate kit include:
-Memorandum and Articles of Association [original] -Certificate of Incorporation- Share Certificate - Company Stamp-Disbursements including courier
We will inform you if any unforeseen extra work becomes necessary on this matter, by way of example, any unexpected complexities or difficulties arise, or if you extend the scope of work. We will also inform you of the extra cost(s) of such additional task(s) as soon as practicable.
TIME FRAME
The process (outlined above) takes between 3 to 5 working days (the timeline varies between nationality held by the shareholder(s) and Director(s) of the proposed company).
Local banks take between 8 to 10 working days to incorporate the bank account (the timeline varies between banks and their compliance procedures) while International banks can take between 10 to 15 working days to open a bank account for the offshore company
ASSUMPTIONS
The estimate of our fees for carrying out the scope of work is based on the following assumptions:
(a) There will be no unforeseen complications or delays involved in carrying out the Scope of Work;
(b) We are advising on laws in force in the UAE only.
Ad Hoc Administration Services, if required (charged in advance)
If ADAM Offshore provides Company Secretary administration, operates the bank account and/or provides book-keeping and other administration services, this will be charged in arrears on a time spent basis, at a rate of AED500 per hour.

Annual Government Fees: These fees are paid for the first year upon registration of the company. From the 2nd year onwards, the fees are payable annually in advance when renewing the registration of the company. If these fees are not paid when notified by the Registered Agent, then the company will be liable to penalties and possible strike-off procedures.
Annual Statutory Fees: These fees include the provision of a registered agent/address and secretarial support per RAK IC regulations. The fees must be paid in advance for the first year at the time of registration of the company. Thereafter, the fees are paid annually before the company is due for renewal. If these fees are not paid when notified by the Registered Agent, then ADAM Global has the right to stop providing any services to the company.
Note:
- Annual services paid in advance are not refundable.
ADAM Global is entitled to open and review mail received at the registered office. ADAM Global shall not incur any liability for any prejudice caused by its decision in this respect or for any loss, of whatsoever nature, by reason of delay in the beneficiary receiving mail or other communications forwarded pursuant to this document or matter. Additional fees will be charged for forwarding mail, communications etc. received to the companys registered address or fax or e-mail.
Additional Services Fees will be charged in accordance with the fees specified in the schedule of fees.Foranyotherservicesnotspecifiedinthefeeschedule,pleasecontact ashraf.rahman@adamglobal.com.
Nominee Shareholder & Professional Directors: ADAM Global will appoint a company or a suitable individual to act as a Professional Director(s) and/ or Nominee Shareholder(s). The fees for the provision of these services must be paid in advance for the first year at the time of registration of the company. Thereafter, the fees are paid annually before the company is due for renewal. ADAM Global will not be held responsible for any costs incurred as a result of change in the Professional Director (s) or Nominee Shareholder(s) by the client
All disbursements such as legal, stamp duties, postage, telephone, facsimile, and electronic communication charges will be charged to the company at cost.
The above fee quote remains valid for 3 months from the above date; after this time, we reserve the right to review the fees based on the market conditions prevailing at the time.
