New Delhi – 110 020 Moser Baer (India) Limited (MBIL), headquartered in New Delhi, is one of India's
leading technology companies. Incorporated in 21st March of the year 1983 as a Time
Recorder unit in technical collaboration with Maruzen Corporation, Japan and Moser
Baer Sumiswald, Switzerland. The Company successfully developed cutting edge
technologies to become the world's second largest manufacturer of Optical Storage
media like CDs and DVDs. MBIL also emerged as a leading-edge player in next-
generation of storage formats, especially Blu-ray discs. Recently, the company has also
transformed itself from a single business into a multi-technology organisation,
diversifying into exciting areas of Solar Energy, Home Entertainment and IT Peripherals
and Consumer Electronics. Through its wholly owned subsidiaries, the company
manufactures photovoltaic cells and modules by straddling multiple technologies
including crystalline silicon, concentrator, nano technologies and thin films.

Revenue and Profit Performance
The revenue of the Company increased from ₹ 139.66 crores to
₹ 154.13 crores from quarter ending Sep’15 to quarter ending
Sep’16. The Company made a loss of ₹ 223.63 crores in quarter
ending Sep’16 vis-a-vis making a loss of ₹ 284.98 crores in
quarter ending Sep’15.

Discussion by the Company in quarterly results–
a) The Company has incurred a loss of ₹ 223.63 Cr during the quarter ended 30th September, 2016 (previous quarter ended 30th
June, 2016 ₹ 83.89 Cr), and as of that date, the Company's accumulated losses amounts to ₹ 2,668.04 Cr. (previous quarter
ended 30th June, 2016 ₹ 2,444.40 Cr.) and it has negative net worth of ₹ 2,074.41 Cr (previous quarter ended 30th June, 2016 ₹
1837.83 Cr). Further, as on 30th September, 2016, the Company's current liabilities exceeded its current assets by ₹ 3,040.74 Cr
(previous quarter ended 30th June, 2016 ₹ 2,312.87 Cr).
b) The Company has outstanding foreign currency convertible bonds (FCCBs) with principal value of USD 884 lakhs equivalent to
₹ 588.92 Cr (previous quarter ended 30th June, 2016 USD 884 lakhs equivalent to ₹ 596.82 Cr) which were due for redemption
along with premium on 21st June, 2012. As at 30th September, 2016, accrual for premium on FCCB aggregates ₹ 539.97 Cr. The
Company is in the process of negotiation with the bondholders to re-structure the terms of these bonds; these negotiations
have progressed) and the Company has applied to the RBI and lender banks for requisite approvals.
AUDIT QUALIFICATIONS
Audit Qualifications in last 3 years: The Auditors have not raised any qualifications in FY 2014 & FY 2013. However, in FY 2015-
16 the Auditors have raised qualification on Consolidated Financial Statements of the Company.
Basis for Qualified Opinion in FY 2015-16 (Consolidated Financial Statements):
(a) As explained in note 49(a) to the consolidated financial statements, the Group’s short term borrowings and other current
liabilities include balances payable to various lender banks amounting to ₹ 1,069.82 Cr in respect of one of the subsidiary
company whose account has been exited from Corporate Debt Restructuring (CDR) Cell in the current period. As a result, the
accounting for these balances should be as per the original agreements entered with such lenders banks. However, in absence of
relevant details and information with respect to calculation of interest and loan liability, we are unable to comment upon the
impact of such exit on the carrying value of aforesaid short term borrowings, other current liabilities and interest expense for the
financial period ended March 31, 2016 and the consequential impact on the accompanying consolidated financial statements.
(b) As explained in note 49(b) to the consolidated financial statements, the Group has fixed assets aggregating to ₹ 240.75 Cr in
respect of one of subsidiary company. However, in the absence of sufficient appropriate audit evidence, we are unable to
comment on the carrying value of these assets and the consequential impact on the accompanying consolidated financial
statements.
