I. INTRODUCTION The Massachusetts Port Authority (Authority or Massport) is seeking a qualified vendor to provide and implement a Master Building Control System at Logan International Airport. The vendor must have proven experience in the provision and installation of an enterprise building control management system, and integration of that system with legacy building controls. The vendor must be able to work closely with the Authority and existing Building Management Systems in order to provide such services in a timely and effective manner. The Authority maintains a large campus of buildings at Logan International Airport, East Boston, MA. The Airport is currently equipped with a myriad of legacy building control systems and devices that have been installed over time without a program for central monitoring and control. Centralized monitoring and control is essential to the ability of the Airport Facilities - HVAC Department (Facilities) to effectively manage this large complex facility, respond to alarms, and operate with maximum energy efficiency. Realizing the need to modernize, improve energy efficiency, and increase effectiveness in monitoring and controlling HVAC devices, Massport has undertaken a program to integrate all existing building HVAC management systems into a campus wide Master Building Control System (MBCS), and to standardize Massport’s hardware and controls management system software onto a modern technology platform. It is intended that the MBCS will provide a migration path for Massport to procure standard BACnet control products on future projects. The move to a comprehensive MBCS will be a multi-phased effort. This Request for Proposal (RFP) is for provision of the MBCS and shall include:
• Supporting hardware and software • Installation and implementation of the system • Integration of the “Phase I Buildings” of this multi-phased program • 3-year maintenance and support following the Phase I system implementation • Integration of new facilities brought on line for 3-year period following Final Acceptance of
the MBCS A. Background
The Logan International Airport site currently encompasses 90-plus buildings. These include terminals, Central Heating Plant (CHP), Airport Operations facilities, parking structures, cargo buildings, hangars, substations, pump stations, storage facilities, maintenance facilities, and office buildings. These buildings are controlled by a variety of stand-alone microprocessor based building management systems. Some microprocessor based control systems include pneumatically actuated end devices (i.e. automated control dampers, heating and cooling control valves). The existing control systems range from older legacy Carrier Comfort Network (CCN) control systems, to industrial PLC based controls systems such as those at the CHP, to newer state-of-the-art BACnet and web based control systems. Refer to Exhibit I-A – Building List – Logan International Airport for a full list of buildings and their associated control system manufacturers. Existing building control systems include a mix of different hardware, building control sequence strategies, point naming conventions, alarm management, password protection, etc., that make it difficult for Facilities to standardize on spare parts, operations and maintenance, programming, reporting, service and response.
B. Project Goal
This Project will provide a BACnet management system which will integrate seamlessly to existing legacy Building Automation Systems (BAS) and new BAS in the future. The system will provide appropriate levels of information for the different user groups of the system. The primary users of the MBCS will be:
• Building Control for the monitoring of systems and alarms, and • Airport Facilities - HVAC Department for operations, maintenance, and M&V
Graphic symbols, plant templates and point naming conventions will be standardized to make operation simpler. The MBCS will provide monitoring, adjustment, trending, logging, reporting and alarm management.
The intent for legacy systems is that the integration will be sufficiently rich to allow normal day to day management of each plant from the MBCS, while for more detailed adjustment will be implemented using the legacy system software. The intent for future systems is that the integration will allow for a higher level of management and adjustment of each plant from the MBCS, and a more limited reliance on the host system software. The MBCS shall be capable of interfacing to Enterprise Management Systems to facilitate Airport operations. The Project will be implemented in phases. Integration of Phase I buildings is to be executed within the scope of work of this RFP. The enterprise system provided under the RFP must be robust enough to support future integration of all Airport buildings. It is intended that Phase II work will be performed under a future contract. The scope of this RFP includes MBCS integration to monitor and control HVAC plant in the following Phase I buildings:

Refer to Exhibit I-A - Building List – Logan International Airport for a list BAS legacy system types. The full functional requirements of the MBCS are detailed in the MBCS Technical Specifications in Attachment A. All future new or renovated work will be BACnet based and be competitively bid. It is the intent that the DDC programming will be undertaken by the BAS contractor while the graphical interface will be undertaken by the MBCS Integrator in order to maintain standardization. Rates for performing this role on a $/point basis shall be provided as part of Proposal in the response to this RFP. Refer to Pricing Matrix in Section IV.

II. SYSTEM INTEGRATION CONTRACT OBJECTIVES AND SCOPE OF WORK It is Massport’s intent to select the MBCS Integrator through this RFP process. The MBCS Integrator’s system integration services are to include provision and installation of the required hardware and software, system configuration, programming, and integration of existing controls, programming of reports and graphics, and three-year maintenance and support. A. Overview of the System Integration Scope of Work
The MBCS Integrator is to:
• Provide software related to the new MBCS on hardware servers provided by Massport’s Information Technology Department (IT).
• Provide information, support and access as required for the proposed MBCS to allow evaluation by Massport’s third party representative for security flaws. Respond to conflicts identified and make modifications as required.
• Install and configure the core MBCS in Massport’s Logan Office Center (LOC) data center. This will require working with Massport IT staff. Massport IT plans to virtualize the servers for this system, and will advise the MBCS Integrator on this configuration for the MBCS installation. Massport IT staff will conduct the actual work to install the server blades and chassis, and configure and build the virtual Windows servers. The MBCS Integrator will install and configure the MBCS in a virtualized environment. The core system configuration and buildout will be a team effort subject to Massport’s final decisions on the system structure.
• Once the core system is ready, the MBCS Integrator shall work in various HVAC control and telecommunication rooms throughout the Airport to access BAS system control points and attach these to Massport’s IT office network switches.
• Identify need and location for additional local power and IT connections which will be provided by Massport.
• Acquire the data from the legacy systems in BACnet format.
• Where the legacy systems do not provide data in BACnet format provide protocol converter/driver to convert this data into BACnet.
• Transport data collected via TCP/IP to a central system server using the IT office network infrastructure.
• Provide graphics, software and functionality for the integrated points.
• Complete the integration without disrupting the day to day operation of the Central Heating Plant and Airport services.
• Provide documentation and training.
• Provide three-year maintenance and support
• Integration of new facilities and renovated systems as they come on line in the three (3) year period following Final Acceptance of the MBCS.

B. Data Points to be Integrated
Selected legacy buildings are to be integrated under Phase I. Refer to Exhibit II-A – Phase I Buildings List with Plant Types for buildings, type of BAS, plant types and quantities in each. The manufacturers and BAS types include the following: • Carrier i-Vu • Automated Logic WebCTRL • Schneider Electric Continuum and StruxureWare • Carrier CCN • Siemens
In principle, all hardware points, setpoints, alarms and time schedules for the selected buildings’ BAS are to be integrated to the MBCS. The MBCS Integrator shall allow for the integration of the total quantity of points and functionality as detailed in the Exhibits. The MBCS Integrator shall work with Massport during the Contract to confirm which particular legacy plant to integrate within the total quantity provided for. Any additional points will be costed on a $/point rate basis for each manufacturer type. Rates shall be declared in Exhibits IV-A and IV-B as part of the Proposal in response to this RFP.
C. Requirements of Proposal:
The organization of the Proposal shall be in accordance with Section IV and shall include the following: The responding MBCS Integrator shall provide an Implementation Plan to explain how the proposed MBCS will be implemented in phases, i.e. platform infrastructure followed by migration of legacy BAS product types and buildings. Include all off site engineering and demonstration stages, Integrated System installation and commissioning, plantroom installation and commissioning, training and production of Operation & Maintenance manuals.
The responding MBCS Integrator shall provide a Technical Proposal to explain how each legacy BAS type will be integrated into the proposed MBCS, and identify where technical input will be provided from third party(ies) to complete the interface. Include communications network diagram for the devices included in the Proposal, complete with engineering specifications for all the different items of intelligent equipment. Identify network installation and small power requirements.

Describe any discrepancies between the proposing MBCS Integrator’s solution and the requirements of this RFP. If the MBCS Integrator does not highlight these discrepancies in its Proposal, then it shall be deemed that the responding Integrator complies fully with the Specifications. Unless the MBCS Integrator specifically states to the contrary in the Proposal, it shall be deemed MBCS Integrator has given the following undertakings:
• Ownership of application software shall be retained by Massport. Massport shall require
unrestricted access to carry out modifications and adjustment to programs as necessary. • The Proposal price is deemed to include all royalties and other ownership fees payable for
software. • There shall be no agreements of any kind preventing Massport’s staff from modifying
programs themselves after Substantial Completion.
Conditions within a Software License Agreement which limit the present or future client’s usage of the MBCS may cause the Proposal to be rejected. Clearly describe any work necessary for the proposed completion of the MBCS Integrator’s works not included for in this Proposal and which he may require to be executed and paid for by others. Any such work not specifically stated and described shall be deemed to have been included in this Proposal. Demonstrate capability of integrating legacy BAS products on projects of similar scale and complexity in a “live” environment. Provide a clear product roadmap for the solution going forward and detail additional functionality which can be added at a future date if required or desired. Emphasis is made for the MBCS Integrator to make it clear in the Proposal the basis on which the engineering solution is based and priced.
D. Massport Project Management
Massport will assign a Project Manager within its Capital Program’s Department, to serve as Project Manager on behalf of Massport for this effort. Additional key staff responsible for IT Network and Airport HVAC systems will serve as Massport Project Team members. It is expected that, upon Contract execution, the MBCS Integrator will submit a finalized Work Plan and Schedule for the Project. Bi-weekly project progress meetings will be held with the Massport Project Team and Integrator’s project representatives. It will be the responsibility of the MBCS Integrator to keep and provide minutes of these meetings, documenting any project issues arising and their expected and actual resolution, with adjustment to the Work Plan and Schedule as mutually agreed upon.

B. Written Questions
All questions prior to the Pre-proposal Conference pertaining to this Request for Proposal (“RFP”) shall be submitted in writing (email) to CPBidquestions@massport.com . All questions must be received by Massport by the date and time specified for the last day for written questions in the schedule above. Massport will provide a written summary of the questions and answers which will be sent to the principal representative of each RFP holder.
C. Pre-proposal Conference
This is an optional meeting at which MBCS Integrators may ask Massport personnel questions regarding the MBCS project context and the RFP in particular. The meeting will be held at 11:00 A.M., January 7, 2014, at the Logan Office Center, One Harborside Drive, East Boston, MA (at Logan Airport). The Security Desk personnel in the Lobby will sign attendees in and will direct them to the scheduled conference room.
D. Answers to Questions Regarding the RFP
Clarifications, interpretations, and responses to written questions regarding this RFP, as prepared by Massport, will be issued to the principal representative of each RFP holder. Revisions to the RFP documents will be issued as addenda to the RFP. All Q/A responses and addenda will be issued as specified in the schedule above.
E. Proposal Submission
Massport requires submittal of your complete RFP response in both printed and PDF format. The MBCS Integrator’s response to this RFP (the Proposal) shall be provided as ten (10) copies of a bound document and one PDF version on disc. Submissions shall be printed on both sides of the sheet (8 1/2" x 11"), no acetate covers - each limited to 20 sheets double-sided (40 pages) exclusive of cover letter, price proposal, and proposal appendices (resumes, SDO certification letters, etc.), covers, and dividers. The Vendor shall also provide an original and ten (10) copies of litigation and legal proceedings information, signed under the pains and penalties of perjury, in a separate sealed envelope entitled “Litigation and Legal Proceedings”. F. Proposal Guarantee
A proposal guarantee must be submitted with each proposal in the amount of 5% of the total bid amount in the form of a proposal bond, a certified check or treasurers’ check, issued by a responsible bank or trust company acceptable to the Massachusetts Port Authority, made payable to the Massachusetts Port Authority in the name of the entity under which the contract for the work is to be executed.
G. Evaluation
The Authority is soliciting competitive proposals pursuant to a determination that such a process best serves the interests of the Authority and the general public, and not because of any legal requirement to do so. The Authority reserves the right to accept one or more of the proposals, to award the entire contract or portions of the contract to one or more proposers, to reject any or all proposals, to waive any informality of the proposal or the proposal form, to modify or amend with the consent of the proposer any proposal or prior to acceptance, and to effect any agreements(s) otherwise, all as the Authority in its sole judgment may deem to b in its best interest. Those proposals which meet the requirements of this RFP and which are deemed to represent a beneficial solution to Massport's needs will be further evaluated by criteria identified on the following tables. Proposals which fail to meet the requirements of this RFP or which are otherwise deemed non-responsive shall not receive further consideration. Massport may make such investigations as it deems necessary to determine the ability of the MBCS Integrator to perform the work. The MBCS Integrator shall furnish to Massport all such references, information, and data for this purpose as may be requested. Massport reserves the right to reject any proposal if evidence submitted by, or investigation of, the MBCS Integrator fails to satisfy Massport that such MBCS Integrator is properly qualified to carry out the obligations of the Contract and to complete work contemplated therein. Massport, at its sole direction, may select one or more proposals with which to proceed for further consideration and/or negotiations. In selecting a MBCS Integrator to provide professional services, Massport will consider the information in the proposals and shall include, but not be limited to, consideration of the following evaluation criteria:

G. Facility Tour and Oral Presentations
The MBCS Integrators may be requested to participate in an interview and provide an oral presentation to Massport’s Selection Committee. MBCS Integrators will be required to have a local installation of its MBCS system available for the Massport Selection Committee to tour. MBCS Integrators will be advised of the need for such activities and arrangements by the end of the day January 17, 2014. Oral presentation and interview, and site tours will be scheduled for the week of February 24, 2014.
H. Notification, Negotiation and Award
The selected MBCS Integrator will be notified promptly of its selection by the Selection Committee. The selected MBCS Integrator shall be expected to enter into an agreement with Massport, materially the same as the Draft Contract Agreement provided as Attachment B to this RFP unless the selected MBCS Integrator specifically notes suggested changes to such a contract in its Proposal. Massport will subsequently enter into negotiations with the chosen MBCS Integrator to establish mutually agreeable terms regarding the scope of services and/or compensation. All unsuccessful MBCS Integrators will be notified after the execution of an agreement. Non-acceptance of any proposal will be devoid of criticism and of any implication that the proposal was deficient. Non-acceptance of any proposal will mean only that another proposal was deemed to be more advantageous to Massport. Copies of all proposals and support material will be retained by Massport. If mutually agreeable contract terms cannot be reached after a reasonable length of time, Massport reserves the right to proceed with another bidder’s proposal or reevaluate its options.

IV. PROPOSAL ORGANIZATION A. General Instructions
Proposals shall demonstrate a thorough understanding of the project requirements with emphasis on completeness and clarity of content. Proposals should concisely describe the approach to completing tasks, performing the services and delivering the items described in and required by Section II – System Integration Contract Objectives and Scope of Work of the RFP. Unsubstantiated statements addressing the requirements of this RFP such as "will comply as specified" will be considered non-responsive. Although certain technical explanations may be required, the Proposal language should accommodate a non-technical audience. The response shall be submitted in the format specified in the instructions below and shall include all completed forms required in the Exhibits and Attachments. The Proposal shall include the full legal name and business address of the MBCS Integrator, and shall be signed and dated by the person or persons authorized to contractually bind the MBCS Integrator. The state of incorporation shall be stated for each corporation that is party to the Proposal. The preparation of the Proposal and any subsequent presentations or other activities related to the Proposal shall be at the expense of the MBCS Integrator, and no subsequent compensation will be made. The rejection of any proposal in whole or in part will not render Massport liable for incurred costs and/or damages. B. Proposal Format and Content
All proposals in the response to this RFP are to be presented following the format outlined below. The Proposal must address all of the requirements of this RFP and provide a complete and concise description of how the MBCS Integrator will perform the required project work. In addition to the narrative that comprises the response, the MBCS Integrator shall complete Exhibit D – Certificate of Compliance with Laws, provided in Attachment B – Draft Contract Provisions of this document. The Proposal components shall include the following content: A. Letter of Transmittal
The Letter of Transmittal must consist of a Cover Letter signed by an individual authorized to bind the MBCS Integrator contractually. It shall: • Briefly and concisely identify the services offered in the Proposal. • State that the Proposal will remain in effect for period of 120 calendar days after the
deadline for submission of Proposal. • Include the name, title, address, telephone number, and email address of one or more
individuals who can respond to requests for additional information. • Include the name, title, address, and telephone number of one or more individuals who
are authorized to sign a contract.
B. Executive Summary The Executive Summary should present a clear and concise summary of the MBCS Integrator's background, level of expertise, and direct relevant experience in relation to the MBCS Integrator’s understanding of the scope and requirements of the MBCS Integrator’s work for Massport on this MBCS Project. It should make a case as to why the MBCS Integrator is the best candidate for the job. Please structure the Executive Summary in a manner that allows it to serve as a stand-alone summary when separated from the other sections of the Proposal.

C. Scope of Work Part I: MBCS, System Installation and Implementation
I-1. Understanding of the Project and Approach Provide a concise presentation of the MBCS Integrator’s understanding of issues facing Massport and the MBCS Integrator in implementing the scope of work defined in the RFP. Alert Massport to particular difficulties that may be faced in implementing the work, and management or operational decisions that will need to be made during the Contract. A well-thought-out discussion of the Integrator’s understanding of issues should provide: a. Team organization and project management issues. Include an organization chart
in Appendix 3 of the Proposal. b. Implementation Plan for the staged MBCS installation. c. Technical Proposal for MBCS. d. Logistical issues pertinent to implementation. e. Any other issues deemed pertinent by the MBCS Integrator.
I-2. Proposed Work Plan and Schedule
Present a description of the approach and the tasks that the MBCS Integrator will undertake in order to successfully complete the requested work and to address issues noted in Section I-1 above, and how these tasks will be organized and managed. Provide a proposed schedule by task. MBCS Integrators shall also provide a table showing the level of effort in an estimate of hours by labor category for each task in the proposed Work Plan.
I-3. Price Proposal – Products and Services Costs, and Proposed Total Price
Exhibit IV A - Pricing Summary and Exhibit IV B - Pricing Matrix summate the points to be integrated under this RFP and allow for all costs to be added by the MBCS Integrator. To be responsive to this RFP, proposing MBCS Integrator shall complete the Pricing Summary and Matrix in order to present price information on the hardware and software items required. Please follow the format in the matrix, and only modify it if you deem such modification to be more helpful to Massport in understanding the pricing of your Proposal. Any modifications made to the matrix format shall be accompanied by an explanation. A price for labor costs for the work proposed under Phase I of this Scope is requested. Massport requests that the method by which labor costs have been estimated be explained. Earlier in the Proposal, a Work Plan with a table showing labor estimates will have been presented by MBCS Integrators. As far as possible, Massport requests that labor costs be detailed by showing labor hours by labor category and labor rate for each of the tasks identified in that Work Plan. Identification of proposed staff members for each task in the Work Plan, and their labor category is also requested. Labor costs to be included to Exhibit IV B - Pricing Matrix. The price should also identify and detail the subcontractor costs – if any. Any other costs that will be incurred for completion shall also be estimated and identified, and a total proposed price for the acquisition, installation and implementation work defined for Phase I of this Scope of Work shall be identified.

I-4. Proposed Project Team and Qualifications Identify the key personnel the MBCS Integrator plans to assign to the Project, their intended roles, and the experience and skills that make them appropriate for this Project. Also clearly identify who will be the lead person representing your firm in contract negotiations and the subsequent contract with Massport. Any changes in the project team during the selection process or the course of the Project must be approved by Massport's Project Manager. Include, in Appendix 2 of the proposal, brief resumes for each of the key personnel named above. Include in those resumes the specific relevant projects on which those individuals have worked or are presently working.
I-5. Specific Relevant Experience and References
The MBCS Integrator should describe relevant projects performed by the firm in the past ten (10) years. At a minimum, the MBCS Integrator should:
• Describe the most recent (last ten years) relevant experience of the firm and any
proposed sub-contractors. Clearly state the roles of any sub-contractors used by the MBCS Integrator's organization on each of the projects.
• For each of the relevant experience projects listed, include client names, titles, telephone numbers and the roles of the clients responsible for the contracts.
• Make available visits to client sites which demonstrate the proposed MBCS in operation with integration to legacy BAS, including: Automated Logic WebCTRL, Carrier CCN , Carrier i-Vu, Schneider Electric Continuum, Schneider StruxureWare, Schneider TAC and Siemens.
I-6. Responses to Particular Questions
The MBCS Integrator shall provide responses to the following questions about the proposed system:
a. State how many spare points are available and the expansion capability of any
gateway/router/server at each location.
b. Provide estimated throughput figures for Ethernet based systems, for phases I-A, I-B and II, and the basis for calculating them.
c. State the number of concurrent users that the provided system can support without any license or hardware upgrade, and also the maximum number of concurrent users the system can support via license and/or hardware upgrades.
I-7. Other Relevant Information (optional)
At the discretion of the MBCS Integrator, other additional and relevant information may be included in this section. This would include any exceptions taken to Attachment B - Draft Contract Provisions as provided in this RFP.
D. Scope of Work Part II: System Maintenance and Support
II-1. Understanding of Massport’s Maintenance and Support Needs In this section of the Proposal, identify and describe support issues that will need to be resolved that may have been raised by our description above of the levels of support and response desired by Massport.

Identify any proposed service levels you wish Massport to consider in relation to our needs and costs Massport would incur for such support. The MBCS Integrator may include alternative plans of maintenance that may reduce the “on-site” requirement for technical staff while maintaining an acceptable service response.
II-3. Price Proposal for System Maintenance and Support
Include definition of the costs for MBCS maintenance levels proposed and your organization’s support price for the 3 years of maintenance and support described previously under Sections II-1 and II-2.
II-4. Maintenance Team Organization and Qualifications
Identify the key personnel the MBCS Integrator plans to assign to maintenance and support, their intended roles, and the experience and skills that make them appropriate for this Project. The Integrator should describe relevant maintenance and support efforts performed by the firm in the past five (5) years. At a minimum, the Integrator should:
• Describe the most recent (last five years) relevant experience of the company and
sub-Integrators. Clearly state the roles of any sub-Integrators used by the Integrator's organization on each of the projects.
• For each of the relevant experience projects listed, include client names, titles,
telephone numbers and the roles of the clients responsible for the contracts. II-6. Other Relevant Information (optional)
At the discretion of the MBCS Integrator, other additional and relevant information may be included in this section. This would include any exceptions taken to Attachment B - Draft Contract Provisions as provided in this RFP.
E. Proposal Appendices The MBCS Integrator's Appendices should be presented in the following order: Appendix 1. MBCS Integrator’s Information
• Company Introduction Present an introduction to your company that details its principal business(es), company size and structure, company ownership, etc. If a local office is proposing, describe the attributes of the local office. In particular, the MBCS Integrator should describe its company’s (local office's) system integration services, and how its professional background and expertise is most suited toward meeting Massport's needs.
• Project References Present an overview of prior project experience relevant to the scope and requirements of this MBCS Integration. Provide project examples and owner references.

V. GENERAL PROPOSAL SUBMITTAL CONDITIONS A. Acceptance of the Proposal
It is the intent of Massport to award a contract on the basis of the responses to this RFP. However, Massport, at its sole discretion, reserves the right to accept or reject any or all proposals received in response to this request, to negotiate with any qualified source, or to cancel in part or in its entirety this RFP. Massport may request additional information from the proposers during the course of the selection process. Any proposal determined to be non-responsive to any of the requirements of this RFP may be disqualified without complete evaluation. The Selection Committee may, at its discretion, determine noncompliance is insubstantial and can be corrected or that an alternative proposed by the proposer is an acceptable substitute. In such cases, the Selection Committee may ask for clarifications and/or allow the proposer to make minor changes or corrections to its Proposal. Massport reserves the right to suspend, withdraw, amend, or supplement this RFP including all appendices, exhibits, and addenda, at any time prior to opening the proposals. Massport further reserves the right to accept any proposal, to modify or amend with the consent of the proposer any proposal prior to acceptance, to reject any or all proposals, to waive any informality and to effect any agreement otherwise, all as Massport in its sole judgment may deem to be in its best interest. By submitting a proposal in response to this RFP, the proposer agrees to accept award of the successfully negotiated contract to perform the work described in the submitted proposal. The selected company will be expected to sign an agreement substantially in the form provided in Attachment B - Draft Contract Provisions of this RFP document. If the proposer believes that modification of the RFP or any article contained in Massport's standard contract is necessary, or the proposer takes exception to any portion of this RFP, the proposer shall so indicate, in detail, at the time of proposal submission. Otherwise, it will be assumed that the terms of the contract and RFP are acceptable, and by submission of a signed proposal to Massport, the proposer will be deemed to have accepted in their entirety the terms and conditions of the contract and this RFP. Massport need not select the lowest cost proposal; rather, Massport will select the proposal that is deemed by Massport to be most responsive to its needs.
B. Conflict of Interest
Massport seeks to avoid any conflict of interest, or the appearance of a conflict of interest. Each proposer is advised that its performance of work for Massport may, at any time, raise questions about real or perceived conflicts of interest because of the proposer's relationship to other entities or individuals, including without limitation: (1) private and public owners of companies that may be affected by the Project, and/or (2) other state-created entities with potential conflicting interests and/or concerns. Accordingly, Massport reserves the right to: (1) disqualify any proposer or reject any proposal at any time solely on the grounds that a real or perceived legal or policy conflict of interest is present; (2) require any proposer to take any action or supply any information necessary to remove the conflict, including without limitation, obtaining an opinion from the State Ethics Commission; and (3) terminate any contract arising out of this solicitation if, in the opinion of Massport, any such relationship would constitute or have the potential to create a real or perceived conflict of interest that cannot be resolved to the satisfaction of Massport.

In addition, representatives and/or employees of the successful proposer may be required to certify from time to time, in a form approved by Massport, that in connection with work under any contract arising from this RFP, that they are in full compliance with the provisions of Chapter 268A of Massachusetts General Laws and any other applicable conflict of interest laws. The proposer agrees to disclose in writing any facts Massport may seek in order to resolve questions about potential conflicts of interest occurring during the period of solicitation of performance hereunder and, upon request of Massport, describe on-going relationships between any party to the proposer's team and suppliers and manufacturers of equipment which may be deployed in the work of this project. Proposers are required, as part of the proposal to disclose performance of any work previously completed or ongoing with any member of Massport or Massport itself.
C. Proprietary Information, Non-Disclosure
Massport will seek to hold all RFP's and subsequent submissions in confidence, to the extent consistent with applicable law, until a final decision has been made or the selection process is terminated. Proposers are advised, however, that pursuant to M.G.L.c.66, all materials received by Massport which fall within the definition of "public record" as set forth in M.G.L.c.4.7, cl. (26), shall be disclosed by Massport upon request. Any information given to Massport in any proposer's proposal, or any correspondence, discussion, meeting, or other communications between the proposer and Massport before, with, or after the submission of the proposer's RFP, either orally or in writing, will not be, or deemed to have been, proprietary or confidential, although Massport will use reasonable efforts not to disclose such information to persons who are not employees of or consultants retained by Massport except as may be required by state and federal law. Use or disclosure of such information by Massport may be made without obligation or compensation and without liability of Massport of any kind whatsoever. The foregoing applies to any information, whether or not given at the invitation of Massport. Any statement which is inconsistent with the foregoing provisions of the paragraph whether made as part of, or in connection with, any information received from the Proponent or otherwise made at any time in any fashion, and whether made orally or in writing, shall be deemed null and void and of no force or effect. Massport's receipt or discussion of any information submitted in response to the RFP, including information submitted during discussions after said submittal (including ideas, drawings or other materials communicated or exhibited) does not, and will not impose any obligations whatsoever on Massport, or entitle Proponents to any compensation. Massport reserves the right to use any or all ideas or concepts presented in any proposal submitted in response to the RFP, whether accepted or not. Selection or rejection of the Proposal shall not affect this right.
D. Representations Made by Proposer
By submitting a proposal, a proposer represents that:
• Proposer has read and understands this RFP and proposer's response is made in agreement and compliance with the RFP.
• Except as expressly stated by proposer, all terms and conditions set forth herein are accepted and incorporated in the Proposal.
• Proposer possesses the capabilities, equipment, personnel and financial wherewithal to provide efficient and successful assistance.
• If selected, the RFP response may be incorporated into the final contractual agreement.

• The proposer will enter into an agreement with Massport which will be substantially in the same form as Attachment B of this RFP. Any issues with the terms of this Draft Contract must be identified in the Proposal response in order to be included in subsequent contract negotiations.
E. Insurance
MBCS Integrator shall carry professional liability insurance coverage for errors, omissions and negligent acts in an amount of not less than $1,000,000. Such insurance shall extend to MBCS Integrator and to its legal representatives in the event of death, dissolution or bankruptcy, and shall cover the errors, omissions or negligent acts of MBCS Integrator's agents and employees. Such insurance shall extend to any act, error or omission in the performance of services under the subject contract committed by MBCS Integrator or alleged to have been committed by Integrator or any person for whom Integrator is responsible. MBCS Integrator shall also carry insurance furnishing benefits in accordance with Mass. G.L.c. 152 or such other worker's compensation requirements as may pertain. Integrator shall also carry general liability/automobile liability insurance coverage in an amount of not less than $1,000,000. MBCS Integrator's insurance coverage shall also cover restoration of plans, drawings, field notes or other documents in the event of loss or destruction in the custody of MBCS Integrator. On all liability policies, Massport must be named as Additional Insured.
