1. ABOUT IIFCL
IIFCL was incorporated under the Companies Act 1956 as a wholly-owned Government of India
company in January 2006 and commenced operations from April 2006 to provide long term finance
to viable infrastructure projects through the Scheme for Financing Viable Infrastructure Projects
through a Special Purpose Vehicle called India Infrastructure Finance Company Ltd (IIFCL),
broadly referred to as SIFTI.
The sectors eligible for financial assistance from IIFCL are the Harmonized list of infrastructure
sub-sectors as approved by the Cabinet Committee on Infrastructure on 1st March 2012. These
include transportation, energy, water, sanitation and communication, social and commercial
infrastructure. IIFCL accords overriding priority to Public-Private Partnership (PPP) Projects. The
authorized & paid up capital of the company as on 31st March 2016 was Rs 5,000 crore and
Rs3,900crore respectively.

2.6. GUIDELINES FOR SUBMISSION OF TENDER
The technical and financial bids are to be submitted in separate covers as detailed below:-
a.) Sealed Technical Bid as per format given in technical bid form, along with a Demand Draft
for Rs.50,000/-(Rupees Fifty Thousand only), drawn in favour of INDIA
INFRASTRUCTURE FINANCE COMPANY LIMITED, payable at NEW DELHI, towards
Earnest Money Deposit (EMD) along with other stipulated documents in one sealed
envelope super-scribed "TECHNICAL BID FOR PROVIDINGOUTSOURCED STAFF
FOR SECRETARIAL & SUPPORT SERVICES AT IIFCL". Tender Document received
without EMD will be summarily rejected.
b.) Sealed Financial Bid as per format given in financial bid form placed in a separate envelop
super-scribed: "FINANCIAL BID FOR PROVIDING OUTSOURCED STAFF
FORSECRETARIAL & SUPPORT SERVICES AT IIFCL",
The above mentioned two sealed envelopes should bear the name and complete postal address of
the BIDDER. Sealed envelopes containing Technical Bid and Financial Bid should be placed in a
bigger envelop super-scribed "BID FOR PROVIDINGOUTSOURCED STAFF FOR
SECRETARIAL& SUPPORT SERVICES AT IIFCL"
This bigger envelop, bearing the name & complete postal address of the BIDDER, should be
addressed to the General Manager(GAD),IIFCL, 8th
Floor, Hindustan Times House,
18&20,Kasturba Gandhi Marg,New Delhi-110001 and to be dropped in the Box kept in
Reception of IIFCL on or before13-02-2017 by 05.00 P.M.. At 05.00 P.M. the Box kept in
Reception of IIFCL will be sealed and thereafter, no Bid Documents / Tenders will be received and
the same shall be rejected.
2.7. OPENING OF BIDS
The Technical Bids will be opened on 14-02-2017 at 11.00 a.m.in the office of IIFCL, 8th
Floor,
Hindustan Times House, 18 & 20, Kasturba Gandhi Marg, New Delhi-110001, in the presence of
such Bidders who may wish to be present, either in person or through their authorized
representatives (duly supported with authorization letter).
The Financial Bids of only those Bidders who qualifying in the technical bid will be publicly
opened on 17th
February, 2017 at 3.30 P.M. for further evaluation. The decision of IIFCL in this
regard will be final and no requests etc. will be entertained from the Bidder.
Earnest Money Deposit (EMD) submitted as in form of Demand Draft of the unsuccessful
Bidder/Bidders will be returned, without any interest, within a period of one month from the date of
opening of financial bids.
2.8 PURPOSE OF BID
This bid has been called to award a contract to the successful bidder to provide outsource staff for
secretarial & support services in IIFCL.
2.9. AWARD OF CONTRACT
The contract shall be awarded to that Qualified BIDDER/Contractor who has given the lowest
quote for aggregate of unit price multiplied by rate of handling charges in the financial bid
as per prescribed format. To formalize the Award of Contract an “Agreement for the Supply
of the Outsourced Secretarial and Support Staff in IIFCL (Hereinafter called as
“Agreement”)” shall be executed between the Qualified Bidder/Contractor and IIFCL.
2.10. PERIOD OF AGREEMENT
a) The Agreement shall remain valid initially for a period of two years.
b) However, IIFCL can terminate the Agreement with the contractor during the currency of the
contract if the performance standards of the contractor are found unsatisfactory.
c) The two-year contract period may be renewed by IIFCL on its discretion, on satisfactory
performance on mutually agreed terms and conditions for a further mutually agreed period not
exceeding one year.
2.11. FORFEITURE OF EARNEST MONEY DEPOSIT (EMD)
EMD of the successful bidder shall be liable to be forfeited if the Bidder/Contractor does not fulfill
any of the following conditions:
a. An agreement is not signed in the prescribed form within THREE working days of the receipt of
the Letter of Award of the Contract;
b. The Bidder/Contractor does not commence the contracted services within TEN days of the
receipt of the Letter of Award of the Contract;
c. The Financial Bids submitted by the bidder should be valid till 17-8-2017. In view of this, no
change in the financial bid will be allowed.
d. In case, the successful bidder withdraws or alters the terms of the Bid/Tender during this period.
2.12. PERFORMANCE SECURITY DEPOSIT
a. The successful bidder will be required to submit with IIFCL, a Fixed Deposit
Receipt/Certificate (in original) in the name of ―INDIA INFRASTRUCTURE FINANCE
COMPANY LIMITED‖ for a sum of Rs.4,00,000/- (Rupees Four Lakh only)as Deposit on
account of Performance Security. The Fixed Deposit Receipt, renewed from time to time,
will be retained by IIFCL for the entire period of the contract and on termination of the
contract, IIFCL will refund to the contractor the sum of Rs.4,00,000/- (Rupees Four Lakh
only) along with interest accrued thereon during the entire period of the contract, after
adjusting dues, if any.
b. If the Contract is terminated by the Bidder/Contractor without giving stipulated period of
notice or fails to comply with the terms & conditions of the Tender, Letter of Award for the
Contract and the agreement signed by the Contractor with IIFCL, the Performance Security
Deposit will be forfeited without prejudice to the IIFCL Management's right to proceed
against the contractor for any damages that IIFCL suffers as a result of the breach of the
aforesaid terms and conditions.
2.13. SITE VISIT
Bidders should acquaint themselves with conditions of the premises and take into account in
preparing their Proposals. To obtain first-hand information on the assignment and existing
site conditions, Bidders are encouraged to visit the office of IIFCL, on or before 27-01-
2017on any working day before submitting a proposal. No claim will be entertained on
account of the bidder‘s inability to visit the site or familiarize itself with the requirements of
the contract or scope of services offered under this tender.
3. SCOPE OF WORK FOR PROVIDING SECRETARIAL & SUPPORT SERVICES
AT IIFCL
The Scope of work under this tender document for 'PROVIDING
OUTSOURCED STAFF FOR SECRETARIAL & SUPPORT SERVICES AT IIFCL is
given below. The outsourced staff is to be provided in the office premises of IIFCL, located
at 8th
&10th
floor. Hindustan Times House, 18 & 20, K.G. Marg, New Delhi – 110001 OR
any other part of Delhi/NCR.
PART-A:SECRETARIAL SERVICES
3.1.
The Secretarial and Support Services to be provided by the outsourced staff shall include but
not be limited to the scope of work mentioned below:
3. 1.1 Short Hand and Typing (stenography) Services
Stenographic services including of organizing, retrieving and editing information, checking
of transcript, spelling and correct grammar. Other key competencies should include:
a) Verbal& written communication skills
b) Taking dictation and transcription of the same
c) Typing of essential or confidential documents
d) Fixing up appointments and screening of calls
e) Professional personal presentation
f)Information management
g) Organizing & planning
h)Sending of routine reminders etc.
i) Stress tolerance
j) Any other work assigned.
3.1.2. Data Entry Services
Enter commands, using computer terminal and activate controls on computer and peripheral
equipment to integrate and operate equipment. Monitor the system for equipment failure or
errors in performance. Notify Supervisor or computer maintenance technicians or equipment
malfunctions. Respond to program error messages by finding and correcting problems or
terminating the programme.
3.1.3. HR/IT/Finance/General Administration Generalist/Professional Services
Proficiency in Data analysis/ HR Matters/ IT Matters/ General Administration matters/
Accounts Matters.
3.1.4. Front Office Desk Support Services
Answer calls, direct customers to relevant personnel, book appointment, make schedules,
deliver messages, make plans, inward/outward dak etc.
PART-B
3.2. SUPPORT SERVICES AT IIFCL, NEW DELHI
The Support services to be provided by the outsourced staff shall include but not be limited
to the scope of work mentioned below:
3.2.1. Office upkeep and maintenance/Pantry services
a) To attend to all type of routine works
b)To carry daily Government letters, registered letters, parcels etc. for dispatch
c) To attend to any other official work assigned to him by the officers
d) To distribute officials dak both inside and outside the office
e) To maintain the office clean and tidy.
f) To provide Pantry services
3.2.2. Office Fleet Services
To maintain and manage official vehicle having valid driving license with adequate
experience
3.2.3. Security, Watch and Ward Services – To be defined
4. TERMS AND CONDITIONS
4.1. GENERAL
a. Please read the Terms & Conditions carefully before filling up the documents.
Incomplete Tender Documents will be rejected.
b. Before submitting the tender, details of documents to be attached may be verified from
the Check List given in section 6 of the Tender Documents.
The Bidder, who download the Tender Document from IIFCL‘s website, are required to
submit a separate demand draft for Rs.1,000/-(Rupees One Thousand Only) towards the cost
of the Tender Documents in favour of INDIA INFRASTRUCTURE FINANCE
COMPANY LIMITED payable at New Delhi. The same should be submitted along with
the technical bid. Downloaded Tender Documents submitted without demand draft
towards the cost of Tender Document shall be rejected.
c. The Bidders are also required to submit Letter of Transmittal, PRE-BID
INTEGRITY PACT and Certificate cum declaration of no conflict of interest
attached as Annexure I, III & IV respectively along with the technical bid. d. The Bidders must write the name & complete postal address of the bidding
organization on the reverse side of the Demand Draft(s).
e. All pages of the Tender Documents must be signed by the authorized signatory and
sealed with the stamp of the bidding Company as token of having accepted all the
Terms and Conditions of this Tender.
f. IIFCL reserves the right to obtain feedback from the previous/present clients of the
Bidders and also depute its team(s) to inspect the site(s) at present contract(s) for on-
the-spot first –hand information regarding the quality of services provided by the
Bidder, Decision of IIFCL with regard to award of the contract will depend upon the
feedback received by it from the previous/present clients and also from its team(s)
deputed for the purpose. The decision of IIFCL in this regard will be final and binding
on all bidders.
g. Tender shall be submitted in IIFCL‘s official tender form only and should be
completed in all respect. If submitted in any other manner, the same shall be
summarily rejected.
h. Tenders received without the prescribed Earnest Money Deposit (EMD) of Rs.50,000/-
(Rupees Fifty Thousand Only) shall be rejected.
i. The services to be rendered by the bidders must not be altered by the bidder.
j. No paper shall be detached from the Tender Document.
k. The name and address of the bidder shall be clearly written in the space provided for
the purpose and no over-writing, correction; insertion shall be permitted in any part of
the tender unless duly countersigned by the bidder. The tender should be filled in and
submitted strictly in accordance with the instructions contained herein; otherwise the
Tender is liable to be rejected.
l. The Financial bids submitted by bidder should be valid for at least for a minimum
period of six months from the date of opening of Financial Bids.
m. Person signing the bid or other documents connected with tender must clearly write
his/her name and also specify the capacity in which signing along with the authority
letter.
n. IIFCL reserves the right to reject any or all the tenders without assigning any reason.
o. Before submitting the filled-in Tender Document to the IIFCL, the bidder may seek
clarification, if any, from AGM, GAD on Tel.No.011-23450223 or in person by
visiting IIFCL during working hours by taking prior appointment.
p. IIFCL reserves the right to change any condition of the tender before opening of the
Technical Bids.
q. The successful bidder will have to enter into an agreement with IIFCL (as per draft
agreement) given in Annexure - II within THREE working days of the receipt of the
Letter of Award of the Contract;
r. Canvassing in any form will make the tender liable to rejection.
s. IIFCL reserves the right to postpone and/or extend the date of receipt/opening of Bids
or to withdraw the tender notice, without assigning any reason thereof. In such a case
the Bidders shall not be entitled to any form of compensation from the Company.
t. Only the Company who have their office in Delhi/ NCR are eligible to participate in
the bid.
u. Any change/modification/alteration/corrigendum shall be uploaded on IIFCL website
only. Accordingly, all the prospective bidders are requested to visit IIFCL website
frequently.
4.2. STATUTORY OBLIGATIONS OF THE BIDDER/CONTRACTOR
a. The Bidder/Contractor shall be responsible for engaging adequate number of trained
resource personnel required for providing the services in IIFCL office located in New
Delhi. Presently, IIFCL is having office at 08th
& 10th
Floor of Hindustan Times
House,18 & 20, Kasturba Gandhi Marg, New Delhi -110 001 apart from residential
houses of its Chairman & Managing Director and Deputy Managing Director, in
Delhi/NCR.
b. The employees provided by the Bidder/Contractor to IIFCL, should possess good
health and should be free from any diseases, especially contagious and frequently
recurring diseases.
c. The Bidder/Contractor will, make available to IIFCL the particulars of all its
employees who will be deployed at IIFCL’s premises. Such particulars, inter-alia,
should include age/date of birth, permanent address, profile of the health status
and police verification of the employees, along with supporting documents.
d. The Bidder/Contractor shall be responsible for timely payment of wages to his/her
workers as per Minimum Wages Act and all other statutory obligations applicable,
such as, Provident Fund, ESI, Bonus, Service Tax etc. in force from time to time. The
contractor shall provide documentary evidence of compliance with all its statutory
obligations to IIFCL, as and when demanded by IIFCL.
e. The Bidder/Contractor shall ensure proper discipline among his/her employees and
further ensure that they do not indulge in any unlawful activity.
f. In the event of violation of any contractual or statutory obligations by the
Bidder/Contractor, he/she shall be responsible and liable for the same. Further, in the
event of any action, claim, damages, suit initiated against IIFCL by any individual,
agency or government authority due to acts of the Contractor, the Contractor shall be
liable to make good/compensate such claims or damages to IIFCL. As a result of the
acts of the Contractor, if IIFCL is required to pay any damages to any individual,
agency or government authority, the Contractor would be required to reimburse such
amount to IIFCL or IIFCL reserves the right to recover such amount from the
payment(s) due to the Contractor while settling his/her bills or from the amount of
Security Deposit of the Contractor lying with the IIFCL.
g. The Bidder/Contractor shall at all times keep indemnified the principal employer,
namely, India Infrastructure Finance Co. Ltd., head of IIFCL and its officers and
designated concerned staff for and against all third party claims whatsoever (including
property loss and damage, personal accident, injury or death of any person) and/or the
owner and the Contractor shall at his/her own cost and initiative at all times, maintain
all liabilities under the Contract Labour ( Regulation & Abolition) Act, Workman's
Compensation Act /Fatal Accident Act, Personal Injuries, Employees State Insurance
Act, PF Act, Service Tax etc. in force from time to time. The contractor shall provide
all documentation to IIFCL at its request, pertaining to all statutory
registrations/licenses and payments conforming to such regulations applicable to the
contract offered under this tender.
h. Where applicable, the Bidder/contractor shall provide sufficient sets of Uniforms
and pair of shoes to his employees and shall ensure that they wear them all times
and maintain them properly. The cost towards the same will be reimbursable by
IIFCL to a reasonable extent to be decided with mutual consent.
i. The Bidder/Contractor shall be personally responsible for conduct and behavior of his
staff and any loss or damage to IIFCL's moveable or immoveable property due to the
conduct of the Contractor's staff shall be made good by the contractor. If it is found
that the conduct or efficiency of any person employed by the Contractor is
unsatisfactory, the Contractor shall have to remove the concerned person and engage a
new person within 48 hours of intimation by IIFCL. The decision of IIFCL's
designated officer in this regard shall be final and binding on the Contractor.
j. The Bidder/Contractor shall not appoint any sub-contractor to carry out his obligations
under the contract.
k. All services shall be carried out by the personnel deployed by the bidder/contractor for
undertaking the contract, with due regard to the convenience of IIFCL. The orders of
the concerned authority shall be strictly observed.
l. The Bidder/Contractor will deploy adequate manpower for work during late hours and
on Sundays, including other holidays, according to the requirements of IIFCL.
m. The personnel employed by the Bidder/Contractor shall be directly under the
supervision, control and employment of the Contractor and they shall have no
connection whatsoever with India Infrastructure Finance Company Ltd (IIFCL).
n. IIFCL shall have no obligation to control or supervise such workers or to take any
action against them except as permissible under the law. Such personnel employed by
the contractor shall also not have any claim against IIFCL for employment or
regularization of their services by virtue of being employed by the Contractor, against
any temporary or permanent posts in IIFCL.
o. The Bidder/Contractor shall ensure that either he/she himself/herself or his/ her
representative is available for resolving any dispute that may arise during the currency
of the contract to the entire satisfaction of IIFCL.
p. Storing/supply/sale and consumption of drugs, alcoholic drinks, cigarettes or any other
items of intoxication are strictly prohibited in IIFCL office premises. Any breach of
such restrictions by the Contractor will attract deterrent action against the Contractor
as per statutory norms.
q. No amendment to this agreement shall be valid or binding unless set forth in writing
and duly executed by the parties to this agreement. No waiver of any breach of any
provision of this agreement shall be effective or binding unless made in writing and
signed by the Party purporting to give such waiver and, unless otherwise provided in
the written waiver, shall be limited to the specific breach waived.
r. The BIDDER or his employees and the deputed employees to IIFCL, shall not use
the logo, trademark/name or any other intellectual property of IIFCL under any
circumstances whatsoever.
s. The applicable law for the purpose of this agreement will be Indian Law and courtsat
New Delhi shall have exclusive jurisdiction.
t. In case of any difference of opinion/dispute between the parties regarding any clause
of this agreement, the same shall be referred to the sole arbitrator appointed by the
consent of both the parties. In case no consensus is arrived at for the sole arbitrator, the
provisions of the Arbitration and Conciliation Act 1996 shall apply the jurisdiction for
all the purposes of dispute shall be New Delhi.
u. Any communication addressed to the BIDDER at its registered office address shall be
sufficient service thereof. Any communication addressed to the IIFCL at 8th
Floor,
Hindustan Times House, 18 & 20, Kasturba Gandhi Marg, New Delhi-110 001 shall
be sufficient service thereof.
v. The BIDDER shall bear the cost of preparation of the agreement to be executed
between the bidder and IIFCL.
w. This Agreement shall be executed in two counterparts and each party shall retain the
one original.
x. The bidder should submit the copies of Service Tax returns and Income Tax
Returns for the financial year 2015-16.
y. The bidder should also provide an undertaking (as per format at Annexure V)
that it will comply with all the applicable/prevailing statutory provisions, laws,
acts and Government orders amended/notified during the period of agreement.
Further, the bidder shall be solely responsible for payment of wages/salary and
statutory dues to provide all the benefits as per the prevailing laws, acts and
guidelines.
4.3 OBLIGATIONS OF IIFCL
IIFCL will, subject to compliance of this Contract and all statutory requirements and the
provision of Services to its satisfaction by the Bidder and subject to deduction of tax at
source under the Income tax Act, 1961 or any other provisions of law for the time being in
force, ensure full and timely payments for the Services as provided in this Contract.
The following are the terms and conditions of the engagement of temporary resource
personnel: -
a) The engagement of temporary/resource person who are on the muster roll of the bidder is
purely temporary and on Contract basis.
b) The offer is based on the Contract between IIFCL and Bidder/Contractor for providing
outsourced staff for secretarial &support services which is only for a specified period, which
may however be extended depending on the extension of the Contract and also on the basis
of the performance. The service may be terminated with a notice of one month.
c) The temporary/resource person staff shall at all-time maintain absolute integrity and
devotion to duty and conduct himself in a manner conducive to the best interests, credits and
prestige of IIFCL
d) If by virtue of the services with the IIFCL, bidder and the temporary/resource person
deputed by the bidder comes in possession of certain information and secrets related to
IIFCL, bidder and the temporary/resource person deputed by the Bidder will not divulge any
such secret, recipe or formula or business strategies to any other person or any organization
or individual.
e) The Bidder shall ensure that complete confidentiality is maintained by it and all its
temporaries/ resource persons; with regard to all information relating to IIFCL, its premises,
clients business, assets, affairs and employees and that neither the Bidder nor its persons
will any time divulge or make known to any third parties any trust, accounts, matters or
transactions whatsoever pertaining to IIFCL and its associate entities and which may in any
way come to their knowledge or attention.
f) The Bidder must undertake to indemnify and agrees to keep the IIFCL indemnified and
harm less from and against all disputes, claims, fines, penalties, litigations criminal as well
as civil that may be initiated against the IIFCL on account of and / or arising out of the
failure of the Bidder to adhere to any statutory requirement, or to follow such rules
regulations, guidelines or procedures as may be required under any statute or directive.
4.4 FORCE MAJEURE
The obligations of IIFCL and the Bidder shall remain suspended if and to the extent that
they are unable to carry out such obligations owing to force majeure or reasons beyond their
control. In the event of such inability continuing for more than a week, the other party shall
have the right to terminate this Contract without further obligation.
4.5. PENALTY
a). IIFCL reserves the right to impose a penalty to be decided by the IIFCL authorities on the Contractor
for any serious lapse in maintaining the services willfully or otherwise by the Contractor or his employees.
b) If IIFCL is not satisfied with the services provided or behavior of the bidder/contractor or his/her
employees, the Contractor will be served with 24-hour notice to improve or rectify the defect(s), failing
which the IIFCL will be at liberty to take appropriate necessary steps as deemed fit.
4.6. PAYMENT
(a) The bidder/contractor shall be paid the bill amount, less statutory deductions, within 7 working
days of presentation of monthly bill to IIFCL.
(b) Bills chargeable to the IIFCL shall be paid after every month of services rendered if found in
order. IIFCL will provide Attendance data based on which invoice will be raised by Empanelled
Agency. The payment will be made subsequently based on the invoice data.
(c) The reimbursement of miscellaneous expenses as well as conveyance expenses as may be allowed
by IIFCL based on the original claims, records of which shall be retained by and be the properties
of IIFCL, the same shall be paid to each such candidate within 3 working days by the agency and
the amount reimburse to the agency with monthly wages invoice from IIFCL.
(d) All payments and receipts would be rounded off, i.e. paise 50 or above will be rounded off to the
nearest higher rupee and paise less than 50 shall be ignored.
4.7. TERMINATION OF THE CONTRACT
(a) The Contract can be terminated by either party, i.e., IIFCL or the Bidder/Contractor, after giving
One month notice to the other party extendable by mutual agreement till alternate arrangements
are made. However, IIFCL reserves the right to terminate the contract without giving any notice in
case the Bidder/Contractor commits breach of any of the terms of the contract. IIFCL's decision in
such a situation shall be final and shall be accepted by the Contractor without any objection or
resistance.
(b) The contractual appointment shall cease to exist automatically at the end of the date mentioned in
the contract agreement without any separate notice to the candidate.
(c) The IIFCL shall terminate the services of the Outsource Staff without any prior notice, if IIFCL is
satisfied on Medical grounds that the candidate is unfit and is likely for consideration to continue to
be unfit for reasons of ill-health for the discharge of his/her duties. Provided always that the
decision of the IIFCL shall be final and binding on the candidate.
(d) The IIFCL or its officers having proper authority, shall terminate the services, without any prior notice to
the candidate found to be prima–facie guilty of any in‐subordination, intemperance, moral turpitude or
other misconduct, participation in strikes/ agitations/ Union/ Association or of any breach or
non‐performance of any of the provisions of these conditions or if otherwise found unsuitable for the
efficient performance of his/her duties.
(e) In case of dispute, interpretation /decision of IIFCL will be treated as final. IIFCL reserves the right to
accept or reject in part or full any or all the Bids without assigning any reason whatsoever .
(f) Holidays shall be applicable according to Company‘s rules and regulation.
(g) Other matters like issue of offer letters, Identity Cards, Pay Slips, issue of service certificates, etc. shall be
handled by the agency.
(h) On termination of the contract, the Bidder/Contractor will hand over all the
equipment‘s/furniture/articles etc., supplied by IIFCL, in good working condition, back to IIFCL.
4.8. JURISDICTION
Dispute, if any, arising out of the Contract, shall be settled by mutual discussion, alternatively by legal
recourse under jurisdiction of Delhi courts only.
5. BID FORMS
5.1. TECHNICAL BID
The technical bid forms shall be used by the bidder to submit their technical bids in a separate envelope
along with requisite documents and Demand Drafts marked "TECHNICAL BID FOR PROVIDING
SECRETARIAL & SUPPORT SERVICES AT IIFCL". Responses received after the stipulated time
period will not be entertained and will be out rightly rejected.
TECHNICAL QUALIFICATION CRITERIA FOR BIDDER
a) Corporate bodies, Manpower service provider, placement agencies, autonomous bodies, companies and
societies are eligible to participate in the bid.
b) The bidder desires to submit response to this bid/tender must be providing services of outsourced staff
to at least five Central Public Sector Enterprises (CPSEs) on 31st March, 2016. Necessary documents in
this regard to be attached with the technical bid form.
c) The bidder should have a minimum turnover of Rs. 10.00 crore (RupeesTen crores only) in India in all
the last three consecutive financial years i.e. 2013-14, 2014-15 and 2015-16 in the particular field as
manpower placement agency/service provider.
d) Audited financial statements for last consecutive three financial year i.e. 2013-14, 2014-15 and
2015-16, should be submitted along with the BID.
e) The bidder should have EPF code, ESI registration no., PAN, Service tax registration and
registration under applicable labour laws and should submit copy of the same.
f) Consortium bidding to fulfill the eligibility criteria of this bid shall not be allowed at any stage
(g) The bidder shall be able to provide copies of Form –16 issued to its employees whenever asked for
during the valuation process.
(h) Bidder should have of at least 03 years continuously experience of the areas as above in which services
are to be availed.
(i) The bidder should submit the satisfactory performance report as of 31st March, 2016 from their
existing clients from Govt. /PSUs /Reputed organizations. Such report should be at least from three
clients, where the bidder had deployed at least 50 employees per month. .
(j) The bidder should ensure before deploying an outsource resource personnel regarding his satisfactory
character & antecedent records.
(l) IIFCL reserves the right to modify, expand, restricts, scrape and refloat the bid without assigning any
reasons.
(m) Bidder with proven track records in their areas may send their responses along with required
documents to qualify themselves as detailed in prequalification criteria within the stipulated time frame in
the prescribed format.

5. The wage rate shall be in compliance of Minimum Wages act and other statutory
compliances.
6. Bid must be unconditional. Each bidder should submit only one bid.

AGREEMENT
1. This Agreement made this day the _________between India Infrastructure Finance Co

110001 (hereinafter called ‘IIFCL') of one part and Shri/Mrs/Ms(through their
Authorized signatory) of M/s__________________________ of the other part
(hereinafter called the Bidder/Contractor) and whereas IIFCL needs a contractor for
providing Secretarial & Support services at IIFCL, New Delhi mentioned in the Tender
Document invited by IIFCL. Whereas it is thought desirable to grant a Contract to the
contractor to provide Secretarial & Support services at IIFCL, New Delhi. The terms
and conditions mentioned hereinafter, it is hereby confirmed as having been agreed to
between the respective parties as under:
2. That the bidder/contractor has been granted the contract to provide Secretarial &
Support services at IIFCL, New Delhi, initially for a period of two years w.e.f. [---------
-----] on the terms & conditions contained in the Tender Document, IIFCL‘s Letter of
Award of the Contract and this agreement read together. If during this period, the
performance is found satisfactory, the contract may be renewed for further specified
period not exceeding one year on the existing or mutually agreed to terms& conditions.
The contract is also terminable on one-month notice by either side.
3. That the services provided by the Bidder/Contractor shall be as per the scope of work
given in section 3 of the tender document." If, however, the performance standards are
unsatisfactory. IIFCL reserves the right to impose financial penalty as decided by the
IIFCL or the contract may he cancelled/terminated without giving any notice.
4. The monthly handling charges amount payable to the contractor towards providing all
services will be as quoted in the financial bid by the bidder.
5. That the Contractor has agreed to provide sufficient temporary resource personnel to
IIFCL and shall take all reasonable precautions to ensure that these personnel attire
themselves properly while on duty and are civil, polite, sober and honest in their
dealings with IIFCL's staff. He shall also employ only those workers whose
antecedents have been verified by the police and are medically fit in all respects.
6. That any employee deployed by the Bidder/Contractor in the premises becomes liable
for removal by IIFCL due to his actions, disobedience or misconduct, the contractor
shall accept the decision of IIFCL as final and abide by such decision. In such an event.
IIFCL shall not in any way be liable for any claim made by the concerned employee of
the contractor for, wages or damages and the contractor shall keep IIFCL indemnified.
IIFCL will have the right to review the working of this contract from time to time and
if at any time it is found that the bidder/contractor has failed to fulfill any of the
conditions of this contract or that his working is unsatisfactory, IIFCL may terminate
the contract after giving the contractor one-month notice. However, IIFCL can
terminate the contract with the contractor during the currency of the contract if the
performance standards of the contractor are found unsatisfactory.
7. That the bidder/contractor will not transfer or assign any part of his interest under this
contract and that this contract shall also be liable to be terminated by the death or
insolvency of the contractor before the expiry of the period of this contract.
8. That it is agreed between the parties that no interest whatsoever in the premises has
been assigned by IIFCL to the bidder/contractor and the possession of the premises will
always that of IIFCL.
9. The contractor shall also be responsible for the upkeep of equipment provided by
IIFCL. In case of any damage to the furniture and equipment by any person, he will
immediately inform in writing the concerned authorities of IIFCL, for recovery of such
losses/damages from the defaulters, failing which the contractor shall himself be liable
to pay the cost as decided by IIFCL.
10. All the equipment, furniture/fixtures, including gas and electrical installation of the
Pantries shall be given to Contractor in good working condition. These will be used
carefully & cautiously by his employees.
11. That the Contractor shall maintain a Suggestion Book for recording suggestions for
improvement of the Services. Such suggestions, as approved by IIFCL, shall be
forthwith acted upon. The suggestion book shall be kept open for inspection by IIFCL's
designated authorities.
12. No amendment to this agreement shall be valid or binding unless set forth in writing
and duly executed by the parties to this agreement. No waiver of any breach of any
provision of this agreement shall be effective or binding unless made in writing and
signed by the Party purporting to give such waiver and, unless otherwise provided in
the written waiver, shall be limited to the specific breach waived.
13. The BIDDER or its employees shall not use the logo, trademark/name or any other
intellectual property of IIFCL under any circumstances whatsoever.
14. The applicable law for the purpose of this agreement will be Indian Law and courts at
New Delhi shall have and exclusive jurisdiction.
15. In case of any difference of opinion/dispute between the parties regarding any clause of
this agreement, the same shall be referred to the sole arbitrator appointed by the
consent of both the parties. In case no consensus is arrived at for the sole arbitrator, the
provisions of the Arbitration and Conciliation Act 1996 shall apply. The jurisdiction
for all the purposes of dispute shall be New Delhi.
16. Any communication addressed to the BIDDER at its registered office
address……………..shall be sufficient service thereof. Any communication addressed
to the IIFCL at 8th
Floor, Hindustan Times Building. 18 & 20, Kasturba Gandhi Marg,
New Delhi — 110 001 shall be sufficient service thereof.
17. This Agreement shall be executed in two counterparts and each party shall retain the
one original.
18. The BIDDER shall be liable for and pay all wages, salaries etc. and also undertake
to comply all statutory liabilities like PF, compensation etc. including
payment/contribution towards all statutory dues connected and / or related to
resource/personnel sent to IIFCL, and shall keep IIFCL indemnified at all times
against all claims, liabilities, losses and consequences in relation thereto and
complying with all statutory requirements and subject to deduction of any tax or
other amounts as required by law or as provided herein.
19. The consideration aforesaid will be paid by IIFCL to the BIDDER, against monthly
invoices raised at the end of each month, by the BIDDER in duplicate, such payments
shall be made within seven days of receipt of the said invoices. The consideration
aforementioned is all-inclusive and no other amounts will be payable to the BIDDER
by IIFCL on any account whatsoever, unless otherwise specifically agreed to by it in
writing.
20. The BIDDER agrees that if' and when so requested by IIFCL, it will provide the
manpower services at the premises of IIFCL, as may be required by IIFCL. Amount
payable to the BIDDER shall be calculated on the basis of the wages rates set by IIFCL
along with handling charge subject to compliance of Minimum wages and other
statutory compliance.
21. The employees of the BIDDER shall never under any circumstances whatsoever be
entitled to claim themselves to be the employees of IIFCL. The BIDDER shall execute
Personal Guarantee in favour of IIFCL for due compliance of statutory obligations and
liabilities to its employees.
22. The BIDDER will, for the purpose, continuously monitor the Services being rendered
by it to unsure that these are up to the standards required by IIFCL.
23. The BIDDER would comply with the statutory requirements; rules and regulations
applicable to temporaries/ resource persons engaged by the client and shall obtain all
necessary registrations, licenses, approvals and sanctions under the laws applicable.
24. The BIDDER shall adhere to and comply with all the laws that may be applicable
to them and will extend all the benefits/privileges as applicable to persons
engaged/employed by them including that of Provident Fund, ESI, Workmen's
Compensation Act, Bonus, Gratuity, Minimum Wages Act and Leave, etc. In case
of any breach of any law, rules, notifications applicable to the employees of the
BIDDER, the BIDDER alone shall be responsible and liable for any act(s) of
omission and/or commission committed by any employee, agent, representative,
attorney, person(s) engaged/employed by them for discharging the obligations
under this Contract.
25. No relationship of employer and employee shall be created between the IIFCL and the
employees engaged by the BIDDER. The BIDDER shall ensure that all persons
employed by them shall be efficient, skilled, honest and conversant with the nature of
work.
26. The BIDDER, being the employer in relation to persons engaged/employed by them
for providing the services, under this Contract, shall alone be responsible and liable to
pay wages/salaries to such persons which in any case will not be less-than the
minimum wage as fixed or prescribed for the category of workers employed by them
from time to time or by the State Government and/or any authority constituted by or
under any law.
27. All employees of the BIDDER shall be issued with identity cards bearing their
photographs. Cost of identity cards and photographs for identity cards shall be borne
by the BIDDER. The BIDDER shall have the identity card format approved from the
IIFCL.
28. The BIDDER alone shall have the right to take disciplinary action against any
person(s) engaged/employed by them; while no right whatsoever shall vest in any such
person(s) to raise any dispute and/or claim whatsoever against the IIFCL. The IIFCL
shall, under no circumstances be deemed or treated as the employer in respect of any
person(s) engaged/employed by the BIDDER for any purpose whatsoever of any
person(s) of the BIDDER.
29. The BIDDER shall obtain appropriate license under the Contract Labour
(Regulation and Abolition) Act, 1970 and the Rules as amended up to date and
shall comply with all terms and conditions thereof strictly, and shall keep such
license duly validated and/or renewed from time to time throughout the currency
of this Contract.
30. The BIDDER shall maintain all registers required under various Acts which may be
inspected by the IIFCL as well as the appropriate authorities at any time.
31. The BIDDER will have to produce the Register of Wages or the Register of Wages-
cum-Muster Roll of the preceding month along with the bill to be submitted on or
before the 3rd day of every calendar month for verification, to the nominated official of
the IIFCL. The BIDDER shall ensure that payment to its employees is made in the
presence of au authorized representative of the IIFCL every month regularly.
32. The BIDDER shall give an undertaking by the 25th of the following month in
favour of the IIFCL that they have complied with all their statutory obligations.
33. The BIDDER shall depute its supervisory staff to ensure proper monitoring & control
of its employees deputed at IIFCL to ensure performance of this contract.
34. Upon a written / oral request being made by IIFCL in that regard the BIDDER will,
within 48 hours of receipt of such request, discontinue the Services found to be
unsatisfactory or otherwise objected to by IIFCL for any reason and shall promptly
take action with a view to continue rendering satisfactory services. On receipt of this
request. IIFCL will not be obliged to pay the amount in respect of the discontinued
Services.
35. Notwithstanding anything herein contained, the BIDDER will be liable to adequately
compensate IIFCL for any toss or damage occasioned by any act, omission or lapse on
the part of the BIDDER or of any persons deployed by it pursuant to this Contract.
36. The BIDDER is aware that Services similar to those covered by this Contract are being
or may hereafter be rendered in the premises by other entities also and will not, at any
time, object to or interfere in any manner with the rendering of such Services by any
such other entities.
37. The BIDDER shall ensure character verification and antecedents of the
temporary/resource persons, before deploying the same on the IIFCL offices.
38. The BIDDER must also be able to arrange for the replacement of the existing
temporary/ resource person, as per the instructions of IIFCL.
39. The BIDDER provides shall provide adequate insurance cover to all the resource
persons deployed by it at IIFCL, for death, disability, sickness etc,
40. Where applicable, the Bidder/contractor shall provide sufficient sets of Uniforms and
pair of shoes to his employees and shall ensure that they wear them all times and
maintain them properly. The cost towards the same will be reimbursable by IIFCL to a
reasonable extent to be decided with mutual consent.

This pre-bid pre-contract Agreement (hereinafter called the Integrity Pact) is made on

(hereinafter called the "SERVICE RECEIVER", which expression shall mean and include,
unless the context otherwise requires, his successors in office and assigns) of the First
Part and M/s ____________________________represented by Shri
___________________________________________ (hereinafter called the "BIDDER"
Which expression shall mean and include, unless the context otherwise requires, his
successors and permitted assigns) of the Second Part.
WHEREAS the SERVICE RECEIVER proposes to procure the outsource services staff
and BIDDER is willing to offer/has offered to provide the outsourced staff.
WHEREAS the BIDDER is a private company/public company/Government
undertaking/Partnership, constituted in accordance with the relevant law in the matter
and the SERVICE RECEIVER is a wholly owned Government Company performing
its functions as a registered Public Financial Institution regulated by RBI in terms of
SIFTI.
NOW, THEREFORE,
To avoid all forms of corruption by following a system that is fair, transparent and free
from any influence/prejudiced dealings prior to, during and subsequent to the tenor of the
contract to be entered into with a view to :-
Enabling the SERVICE RECEIVER to obtain the desired services at a competitive price
in conformity with the defined specifications by avoiding the high cost and the distortionary
impact of corruption on public procurement, and
Enabling BIDDERs to abstain from bribing or indulging in any corrupt practice in
order to secure the contract by providing assurance to them that their competitors will
also abstain from bribing and other corrupt practices and the SERVICE RECEIVER will
commit to prevent corruption, in any form, by its officials by following
transparent procedures.
The parties hereto hereby agree to enter into this Integrity Pact and agree as follows:
41. Commitments of BIDDERS
a. The BIDDER commits itself to take all measures necessary to prevent
corrupt practices, unfair means and illegal activities during any stage of its
bid or during any pre-contract or post-contract stage in order to secure the
contract or in furtherance to secure it and in particular commit itself to the
following:-
b. The BIDDER will not offer, directly or through intermediaries, any bribe, gift,
consideration, reward, favour, any material or immaterial benefit or other
advantage, commission, fees, brokerage or inducement to any official of the
SERVICE RECEIVER, connected directly or indirectly with the bidding
process, or to any person, organization or third party related to the contract in
exchange for any advantage in the bidding, evaluation, contracting and
implementation of the contract.
c. The BIDDER further undertakes that it has not given, offered or promised to
give, directly or indirectly any bribe, gift, consideration, reward, favour, any
material or immaterial benefit or other advantage, commission, fees,
brokerage or inducement to any official of the SERVICE RECEIVER or
otherwise in procuring the Contract or forbearing to do or having done any act
in relation to the obtaining or execution of the contract or any other contract
with the Government for showing or forbearing to show favour or disfavour to
any person in relation to the contract or any other contract with the
Government.
d. B1DDERs shall disclose the name and address of agents and representatives
and shall disclose their foreign principals or associates.
e. BIDDERs shall disclose the payments to be made by them to agents/brokers
or any other intermediary, in connection with this bid/contract.
f. The BIDDER further confirms and declares to the SERVICE RECEIVER that
the BIDDER is the original integrator and has not engaged any individual or
firm or company whether Indian or foreign to intercede, facilitate or in any
way to recommend to the SERVICE RECEIVER or any of its functionaries,
whether officially or unofficially to the award of the contract to the BIDDER,
nor has any amount been paid, promised or intended to be paid to any such
individual, firm or company in respect of any such intercession, facilitation or
recommendation.
g. The BIDDER, either while presenting the bid or during pre-contract
negotiations or before signing the contract, shall disclose any payments he has
made, is committed to or intends to make to officials of the SERVICE
RECEIVER or their family members, agents, brokers or any other
intermediaries in connection with the contract and the details of services
agreed upon for such payments.
h. The BIDDER will not collude with other parties interested in the contract to
impair the transparency, fairness and progress of the bidding process, bid
evaluation, contracting and implementation of the contract.
i. The BIDDER will not accept any advantage in exchange for any corrupt
practice, unfair means and illegal activities.
j. The BIDDER shall not use improperly, for purposes of competition or
personal gain, or pass on to others, any information provided by the SERVICE
RECEIVER as part of the business relationship, regarding plans, technical
proposals and business details, including information contained in any
electronic data carrier. The BIDDER also undertakes to exercise due and
adequate care lest any such information is divulged.
k. The BIDDER commits to refrain from giving any complaint directly or
through any other manner without supporting it with full and verifiable facts.
l. The BIDDER shall not instigate or cause to instigate any third person to
commit any of the actions mentioned above.
m. If the BIDDER or any employee of the BIDDER or any person acting on
behalf of the BIDDER, either directly or indirectly, is a relative of any of the
officers of the SERVICE RECEIVER, or alternatively, if any relative of an
officer of the SERVICE RECEIVER has financial interest/stake in the
BIDDER's Company, the same shall be disclosed by the BIDDER at the time
of filing of tender.
n. The term 'relative' for this purpose would be as defined in Section 6 of the
Companies Act 1956.
o. The BIDDER shall not lend to or borrow any money from or enter into any
monetary dealings or transactions, directly or indirectly, with any employee of
the SERVICE RECEIVER.
42. Previous Transgression
a. The BIDDER declares that no previous transgression occurred in the last three
years immediately before signing of this Integrity Pact, with any other
company in any country in respect of any corrupt practices envisaged
hereunder or with any Public Sector Enterprise in India or any Government
Department in India that could justify BIDDER's exclusion from the tender
process.
b. The BIDDER agrees that if it makes incorrect statement on this subject,
BIDDER can be disqualified from the tender process or the contract, if
already awarded, can be terminated for such reason.
43. Sanctions for Violations
a. Any breach of the aforesaid provisions by the BIDDER or any one employed
by it or acting on its behalf (whether with or without the knowledge of the
BIDDER) shall entitle the SERVICE RECEIVER to take all or any one of the
following actions, wherever required:-
i. To immediately call off the pre contract negotiations without
assigning any reason or giving any compensation to the BIDDER.
However, the proceedings with the other BIDDER(S) would continue.
ii. Performance Bank Guarantee (after the contract is signed) shall
stand forfeited either fully or partially, as decided by the
SERVICE RECEIVER and the SERVICE RECEIVER shall not
be required to assign any reason therefore.
iii. To immediately cancel the contract, if already signed, without
giving any compensation to the BIDDER.
iv. To recover all sums already paid by the SERVICE RECEIVER
(if applicable), and in case of an Indian BIDDER with interest
thereon at 2% higher than the prevailing Bench mark Rate of
IIFCL, while in case of a BIDDER from a country other than
India with interest thereon at 5% higher than the LIBOR. If any
outstanding payment is due to the BIDDER from the SERVICE
RECEIVER in connection with any other contract, such
outstanding payment could also be utilized to recover the
aforesaid sum and interest.
v. To encash the Performance bank guarantee if furnished by the
BIDDER, in order to recover the payments, already made by
the SERVICE RECEIVER, along with interest.
vi. To cancel all or any other Contracts with the BIDDER. The
BIDDER shall be liable to pay compensation for any loss or
damage to the SERVICE RECEIVER resulting from such
cancellation/rescission and the SERVICE RECEIVER shall be
entitled to deduct the amount so payable from the money(s) due
to the BIDDER.
vii. To debar the BIDDER from participating in future bidding
processes of the Government of India for a minimum period of
five years, which may be further extended at the discretion of
the SERVICE RECEIVER.
viii. To recover all sums paid in violation of this Pact by
BIDDER(s) to any middleman or agent or broker with a view to
securing the contract.
ix. In cases where irrevocable Letters of Credit have been received
in respect of any contract signed by the SERVICE RECEIVER
with the BIDDER, the same shall not be opened.
x. Forfeiture of Performance Bank Guarantee in case of a deci sion
by the SERVICE RECEIVER to forfeit the same without
assigning any reason for imposing sanction for violation of this
Pact.
b. The SERVICE RECEIVER will be entitled to take all or any of the actions
mentioned at para 6.1(i) to (x) of this Pact also on the Commission by the
BIDDER or any one employed by it or acting on its behalf (whether
with or without the knowledge of the BIDDER), of an offence as defined
in Chapter IX of the Indian Penal code, 1860 or Prevention of Corruption
Act, 1988 or any other statute enacted for prevention of corruption.
c. The decision of the SERVICE RECEIVER to the effect that a breach of
the provisions of this Pact has been committed by the BIDDER shall be
final and conclusive on the BIDDER. However, the BIDDER can
approach the Independent Monitor(s) appointed for the purposes of this
Pact.
44. Fall Clause
The BIDDER undertakes that it has not provided/providing similar services at a
price lower than that offered in the present financial bid in respect of any other
Ministry/Department of the Government of India or PSU and if it is found at any
stage that similar services provided by the BIDDER to any other
Ministry/Department of the Government of India or a PSU at a lower price, then
that very price, with due allowance for elapsed time, will be applicable to the
present case and the difference in the cost would be refunded by the BIDDER to
the SERVICE RECEIVER, if the contract has already been concluded.
45. Independent Monitors
a. The SERVICE RECEIVER has appointed Independent Monitors
(hereinafter referred to as Monitors) for this Pact in consultation with
the Central Vigilance Commission (Names and Addresses of the
Monitors to be given).
b. The task of the Monitors shall be to review independently and
objectively, whether and to what extent the parties comply with the
obligations under this Pact.
c. The Monitors shall not be subject to instructions by the representatives
of the parties and perform their functions neutrally and independently.
d. Both the parties accept that the Monitors have the right to access all the
documents relating to the project/procurement, including minutes of
meetings.
e. As soon as the Monitor notices, or has reason to believe, a violation of
this Pact, he will so inform the Authority designated by the SERVICE
RECEIVER.
f. The BIDDER(s) accepts that the Monitor has the right to access without
restriction to all Project documentation of the SERVICE RECEIVER
including that provided by the BIDDER. The BIDDER will also grant
the Monitor, upon his request and demonstration of a valid interest,
unrestricted and unconditional access to his project documentation. The
same is applicable to Subcontractors. The Monitor shall be under
contractual obligation to treat the information and documents of the
BIDDER/Subcontractor(s) with confidentiality.
g. The SERVICE RECEIVER will provide to the Monitor sufficient
information about all meetings among the parties related to the Project
provided such meetings could have an impact on the contractual
relations between the parties. The parties will offer to the Monitor the
option to participate in such meetings.
h. The Monitor will submit a written report to the designated Authority of
SERVICE RECEIVER/Secretary in the Department/ within 8 to 10
weeks from the date of reference or intimation to him by the SERVICE
RECEIVER / BIDDER and, should the occasion arise, submit proposals
for correcting problematic situations.
46. Facilitation of Investigation
In case of any allegation of violation of any provisions of this Pact or payment of
commission, the SERVICE RECEIVER or its agencies shall be entitled to
examine all the documents including the Books of Accounts of the BIDDER and the
BIDDER shall provide necessary information and documents in English and shall
extend all possible help for the purpose of such examination.
47. Law and Place of Jurisdiction
This Pact is subject to Indian Law. The place of performance and jurisdiction is New-
Delhi.
48. Other Legal Actions
The actions stipulated in this Integrity Pact are without prejudice to any other legal
action that may follow in accordance with the provisions of the extant law in force
relating to any civil or criminal proceedings.
49. Validity
a. The validity of this Integrity Pact shall be from date of its signing and
extend up to 3 years or the complete execution of the contract to the
satisfaction of both the SERVICE RECEIVER and the BIDDER, including
warranty period, whichever is later. In case BIDDER is unsuccessful, this
Integrity Pact shall expire after six months from the date of the signing of
the contract.
b. Should one or several provisions of this Pact turn out to be invalid; the
remainder of this Pact shall remain valid. In this case, the parties will strive
to come to an agreement to their original intentions.
50. Notice Clause
Any notices or correspondence to be given hereunder by either Party to the other may be
effected either by personal delivery in writing, pre-paid registered post with
acknowledgement due, courier, facsimile or electronic mail and shall be addressed to the
Parties at the addresses specified below. Notices will be deemed communicated even if
acceptance is refused.

SPECIAL TERMS AND CONDITIONS
1. The Bidder should submit Technical Bid and Financial Bid only as per format along with all
Annexure (each page is to be duly signed by the authorized signatory of the bidder) and information
as per bid document format is to be furnished. Financial bid should be submitted in a separate
sealed cover strictly as per the Annexure.
2. IIFCL reserves the right to verify the credentials of the Bidder from the third party.
3. Bidders submitting a bid would be presumed to have considered and accepted all the terms and
conditions. No inquiry, verbal or written, shall be entertained in respect of acceptance/rejection of
the Bid. Bidder shall have to furnish an undertaking as per the format prescribed in Annexure. Bids
received on Condition basis (Conditional Bid) shall be summarily rejected
4. Initially the contract will be awarded for a period of 2 years, which can be extended for a further
period of 1 year on the same terms and conditions based upon mutual consent.
5. The agency shall not charge any fees for transfer of manpower from existing agency(ies)
6. IIFCL shall have the option to increase the CTC payable to the outsource staffs subject to minimum
salary/wages payable under applicable Govt. guidelines/Statutory provisions. The agency shall
provide the change in CTC as per the advice of IIFCL
7. In case of the agency backs out on award of work, the EMD paid by the agency shall be forfeited.
8. Any act or the part of the Bidder to influence anybody in IIFCL at any stage is liable to rejection of
the Bid or termination of contract.
9. That the Agency shall comply with all the legal requirements including provisions under Minimum
Wages Act, 1948, obtaining license under Contract Labour (R&A) Act, 1970, registration with EPF
and ESIC as may be applicable from time to time.
13. The Agency is required to get ESI card made for each person deployed to work with IIFCL as
Outsource staff within 1(one) month of the joining of such a person. In case ESI card is not made
and there is any medical emergency, expenditure incurred by the staff shall be deducted from the
payment to be made to the Agency.
14. The law which is to apply to the Contract and under which the Contract is to be constructed
shall be Indian Law. The Courts of Delhi shall have exclusive jurisdiction in all the matters
arising in the Contract including the Arbitration process.
15. The Outsource Staff upon joining, shall submit himself /herself to the orders of the IIFCL and
of the Officers/Authorities under whom he/she may from time to time be placed by the IIFCL
during the period of contract and shall at all times obey the rules prescribed and shall whenever
required to perform such duties as may be assigned to the candidate by officer of IIFCL.
16. The Outsource Manpower shall work efficiently and diligently and to the best of his/her ability
as a part of IIFCL and that he/she will devote his/her whole time to the duties of the service and
shall notengage directly or indirectly in any trade/business or occupation on his/her own
account that he/she shall not (except in case of accident or sickness certified by a Civil
Surgeon/Authorized Medical Officer) abstain from duties without having first obtained
permission from the concerned controlling officer or any other authorized Officer. The
OutsourceStaff shall not be entitled for remuneration for the period of absence.
17. The IIFCL reserves the right to redeploy the services of the candidate within the Company
during the currency of this agreement depending upon the requirement of the IIFCL. The
candidate has agreed to work wherever his/her services are required by the IIFCL for executing
various projects.
18. All OutsourceStaff are expected to wear prescribed dress code. Jeans, Skirts, T-shirt, Middy,
Maxi, shorts are strictly not allowed
19. The Agency shall provide Outsource Staff whose age shall be more than 18 years and other
mandatory compliance as per the prevailing law is to be complied that the Outsource Staff shall
work under overall supervision and direction of IIFCL.
20. That the Agency shall be solely responsible for payment of wages/ salaries and statutory dues
to provide all the benefits viz. PF, ESI, Bonus, etc., to the eligible staff engaged by the agency
for IIFCL‘s work.
21. Bid must be unconditional. Each Bidder should submit only one bid. No alternate bids from the
same Bidder will be considered. In such a case all the bids of the Bidder will be rejected
outright.
22. Temporary/ Outsourcemanpower shall carry out such other duties as are entrusted to them from
time to time.
23. IIFCL may extend these services to its subsidiary companies IIFCL Projects Limited (IPL) and
IIFCL Asset Management Company Limited (IAMCL). The agency empanelled should be
willing to extend the same as per requirements on the same terms and conditions from time to
time with the separate billings.

(e) If the above declaration is found incorrect, the present engagement would be terminated and
