Corporate governance is a complex, multi‐faceted subject matter involving not only legislation and
regulation but also what is usually known as ‘best practice’, which is very much a matter of corporate
culture, mind‐set and education.
Corporate governance is concerned with the way the power is exercised over corporate entities. All
corporate entities need governing — listed companies, wholly‐owned subsidiaries, subsidiaries with
minority interests, family‐dominated companies, joint ventures, not‐for‐profit entities, and the rest.
Corporate governance needs to be distinguished from management: management runs the enterprise,
while the governing body ensures that it is being well run and is heading in the right direction.
The steps that companies and their boards could take towards better corporate governance include
recognizing that good corporate governance is about the effectiveness of the governing body — not
about compliance with codes; reviewing board processes including the chairman’s leadership role, the
balance and style of the board, the caliber and contribution of the outside directors, and monitor the
board’s performance; and improving directors’ knowledge of the business and ensure that they have the
information they want. Other steps involve ensuring that directors’ remuneration packages are
justifiable and justified; reviewing relations between the company and shareholders, particularly
institutional investors, and with auditors, regulators, and other stakeholders; and, ensuring that the
company secretary along with legal professionals provides value to the Stakeholders.
In view of the above Dr. Ram Manohar Lohiya Law University, Lucknow and Northern India Regional
Council of ICSI are organizing a National Conference on “Corporate Governance in the context of
changing socio‐economic imperatives”. We hope that the deliberations shall immensely benefit the
Academicians, Professionals and Students of this field.
Apart from hard controls as embodied in Companies act, 2013, soft controls are indispensable for better
corporate governance.

Conference Schedule
The conference will be divided into technical sessions, each of will be chaired by academia/company
secretaries. The Conference venue will be equipped with LCD projector.
Submission Guidelines
Submission must be in 3000 to 4000 words. The text should be in Times Roman 12 font size, with
headings in 14 font size. The abstract should be printed on A4 size paper, author’s complete details
(designation, address, telephone, fax and email). Only those papers that adhere to the guidelines will be
considered for review. All papers are to be submitted by electronic mail to corpconf2014@gmail.com.
The last date for submission of full papers is 16th September 2014. Acceptance is subject to review.
Registration Information
Filled in registration forms along with the scanned copy of demand draft drawn in favour of
“REGISTRAR, DR. RAM MANOHAR LOHIYA NATIONAL LAW UNIVERSITY” payable at Lucknow should
be sent by electronic mail to corpconf2014@gmail.com. Participants shall mail a scanned copy of filled
in registration form and demand draft on/before 16th September, 2014. The originals of Registration
Form, Demand Draft and hard copy of papers shall be submitted prior to the commencement of
Conference. Registration fee will include admission to all technical sessions, working lunch and
refreshments.
Registration fee for students is ₹500/‐
Registration fee for Academicians is ₹1000/‐
Conference Proceedings
All selected papers will be uploaded on the evening of 19th September, 2014 on Dr. Ram Manohar
