APPLICATION OF MULTINATIONAL COMPANY FORREGISTRATION AND LICENSE TO ESTABLISH A

REGIONAL OPERATING HEADQUARTERS IN THE PHILIPPINES

Thehereby applies with the Securities and Exchange Commission underExecutive Order No. 226 otherwise known as the OmnibusInvestments Code of 1987, as amended by R.A. 8756 and itsimplementing rules and regulations, for registration and license toestablish a regional operating headquarters in the Philippines, andsubmits the following statements, undertaking and accompanyingdocuments:

6. The applicant shall notify the Board of Investments and theSecurities and Exchange Commission, the Bangko Sentral ngPilipinas, as the case maybe, of any decision to close down or suspendoperation of its headquarters at least fifteen (15) days before the sameis effected.

7. That the applicant shall initially remit into the country withinthirty (30) days from receipt of Certificate of Registration from theSecurities and Exchange Commission, an amount of at least TWOHUNDREDTHOUSANDU.S. DOLLARS(US$200,000) or its equivalentin other foreign currencies and converted the same to the Philippinepeso. The corresponding Certificate of Inward Remittance from localbank showing that it has remitted the said amount shall be submittedto the Securities and Exchange Commission and the Board ofInvestments.

In case thecertification is issued by the equivalent office

d. A duly authenticated certification from theprincipal officer of the foreign entity to theeffect that the said foreign entity has beenauthorized by its board of directors orgoverning body to establish its regional orarea headquarters in the Philippines.
