    Well, Harley's 2015 final quarter and full year results areout, and while on face value at least it can be argued thatthey are not as bad as might have been feared (and someanalysts have indeed tried to argue that), there is

    nonetheless still much to be feared.Many a learned treatise has been published down the years trying to figure outjust what exactly it is that markets really do measure through the mechanismof share price.On a simplistic level share price is a measure of the value that a stock marketplaces on a corporation - its market capitalization (or market 'cap' as it is knowncolloquially).This conventional wisdom presupposes that there is some kind of quantifiableumbilical cord between share price performance and the performance of a givenindividual company.So, as a second tier of analysis, the share price is traded in the context of theperformance of other shares relative to the available capital being invested inshares on any given day, week, month or year.If all else fails, markets fall back on what is euphemistically called "marketsentiment" - which is code for "don't ask me, I've no ideawhat is going on"!Analysts who are heard blaming overall marketperformance in the context of a foolishly claimedunderstanding of what is going on with so-called "macroeconomic" issues are fooling nobody except themselves.In reaching for "macro economic issues" as part of theexplanation for what is happening to Harley's businessfortunes, is Harley's senior management saying that they don't understand whathas happened to them?Has complacency and arrogance blindsided them to the changes that have takenplace around them?The investor issues they are trying to grapple with are robbing them of theresources they need to be able to kick-start the selling of more metal. Simple.The company is so fixated on being a performing stock that it has lost sight ofwhat has happened in its own eco-sphere of the motorcycle industry this pastdecade.Avoiding this conundrum is not easy. It is a problem that often affects many topperforming corporations - indeed in the post Steve Jobs era, maybe Apple isabout to succumb to the same psychosis.Addressing the concerns of investors often militates directly against being ableto address long-term core business needs. One way or another, satisfyinginvestors is all about sending money out of the company. In Harley's case thisis clearly happening as an alternate to spending it on equipping the balancesheet to survive - to survive in the context of a motorcycle market that just couldnot be more different to the one Harley grew fat on.In that market investors were quite happy to see dividends driven by sales oflow grade Asian made riding leathers and aftershave.However, at that stage Harley sat back and assumed that being able to gougebrand loyalists for premium prices was a safe foundation for the future. It mayhave been a safe foundation for management share options, but clearly was

    fools gold in the long-term motorcycle industry context.The first law of business opportunity tells us that if demand has gotten to thepoint where consumers are future trading wait-list options on your products,then it isn't going to be long before someone comes along and offers a bettercheese grater, or worse, that your cheese falls out of favor altogether. Othersnack foods are available.The 35 percent increase in product development spending is a drop in the bucketwhen it comes to the nature of product that Harley needs to be fielding. In thatcontext, what sense does it make to increase the marketing spend by 65 percenton products that customers are clearly saying are past top-dead-center?The fixation with investor value has left Harley in a fix. We can now see why theboard has been so obsessed with trying to return share holder value throughthe mechanism of share buy-back schemes. Even though it has involved loadingthe balance sheet with medium and long-term debt, it has been deemed anecessary pre-emptive strike to the declining earnings per share that wereheaded down the pike.With cash-flow, balance sheet, margin and earnings squeezed, the wiggle roomleft to be able to either raise the money needed for decisive and convincing rapid

    new product development or acquisitions of otherpeople's cheese graters is hugely diminished.The word "vulnerable" doesn't begin to cut it whereHarley is concerned at this time.In the three months between the third quarter 2015 filingand the January 29th unveiling of its final quarter and fullyear fiscals, Harley's share price had lost over 33 percentof its value; in the 12 months since the 2014 fiscals were

    released it lost over 40 percent; in the less than 20 months since its five yearhigh it has lost nearly 50 percent of its value.Harley's results, as released, were not in fact as scary as the background moodmusic of the markets might have suggested. Indeed the initial release wasgreeted by an almost instantaneous $3 spike - what Reuters reported at thetime as being a "surge" in response to the better than expected profits.However, that lasted all of a nano-second once the surface was scratched andthe hard reality of there needing to be sustainability to those profits hit home.As this edition went to press, the Harley share price looked set to tank.In fact, these results could indeed have been way worse, but there's no questionthat there has been some "smoke and mirrors," copious use of exotic massageoils and blatant misdirection in the forms of words and data selected.But, regardless, they at least don't show a company irretrievably headed in thewrong direction, but they do show a company in need of help.I think we have now transitioned from a position of outside involvement inHarley's fortunes being a threat, to it potentially being an advantage.

    DynoJet, the Las Vegas, Nevadaheadquartered dynamometer andPower Commander manufacturer,has new owners. Two US privateequity firms (Irving Place Capitaland New Value Capital) acquiredthe company in November 2015for an undisclosed sum. Inaddition to its Las Vegas facility,the company, which was foundedin 1972 by Mark Dobeck, also hasa manufacturing facility atBelgrade, Montana, and a salesoffice and distribution centre inThe Netherlands. Dynojet CEORobert Vleck said that "our newpartnerships provide us withgreater resources and capabilitiesto continue to advance ourtechnical expertise and supplyinnovative new products."

    Indian Motorcycle has launched"Project Scout - Build a Legend",a custom build program wherebyselected dealers will showcase theflexibility of the Scout platform ina no-holds-barred competition.The only 'small print' is thatdealers must use a minimum ofthree parts from the IndianMotorcycle accessory catalog -beyond that they are free to useproduct from any vendor or theirown parts designs. The top fivefinalists will be announcedFebruary 20th, with the builders ofthe top-three (as voted for byenthusiasts) receiving an expensespaid weekend for two to the 75thannual Daytona Bike Week wherea special award ceremony willhonor a winner selected by apanel of celebrity judges.

    The 58 acre west campus ofHarley-Davidson's York,Pennsylvania site has beensold for $4.5m by the YorkCounty IndustrialDevelopment Authority to aKansas based developer thatplans to build a 750,000 sqft industrial building on theproperty. The development isexpected to cost $40m andgenerate up to 650 jobs. Theauthority purchased the siteas part of its strategy tokeep Harley-Davidson inPennsylvania.

    Bill Melvin buysremaining EBR assetsIs the saga of the EBR (Eric BuellRacing) assets sale finally over? Well,yes and no. The sale of the assets inquestion, the intellectual property andremaining tooling and equipment leftafter India's Hero Motorcorp (a majorEBR investor and shareholder) hadbought the assets they laid claimed to,has now been finalized.At the third time of asking, BillMelvin's Liquid Asset Partners (LAP)have successfully bid $2.05 million,outmanoeuvring Bruce Belfer (AtlanticMetals Group, New Jersey), the firstauction winner, and another potentialbidder (US Heritage Powersports). LAPis the company that Harley-Davidsonused to sell off the assets of BuellMotorcycles when it closed thebusiness in 2010, and have previouslybeen involved in several otherpowersports industry asset disposals,such as "Gilroy" Indian, AmericanIronhorse and Cannondale.However, there will now therefore befurther twists to come in this tale withMelvin now seeking buyers for theassets he has acquired, and havingstated that he hoped to be able to see

    some kind of further reincarnation ofthe business building bikes again atsome stage in the future.

    Vance & Hinesupdates MAP policyIn January Vance & Hines announcedrevisions to its unilateral MinimumAdvertised Price (MAP) policy, alongwith updates to its ManufacturersSuggested Retail Price (MSRP)schedule.Retailers were given the month ofJanuary to review and make changesto their advertisements, withenforcement of the revised changesstarting on February 1, 2016.The most notable change was therequirement that prices listed in aretailers advertisement be no lower

    than MSRP. In the previous revision ofthe MAP policy, a retailers advertisedprice was allowed to be as much as10% below MSRP.     Californian exhaust andaccessory specialist CobraEngineering is among thelatest vendors to implementa MAP policy for its dealers,retailers, distributors andresellers, including catalogand online retailers. CobraPresident Tim McCool saidthat the policy will be"equally and aggressivelyenforced."

    Brembo reported +15.6 percentgrowth in global sales revenuesacross the group for the ninemonths to September 2015; themotorcycle market is 9.7 percentof Brembo's total sales revenueand was +10.6 percent for thefirst nine months of 2015.

    Harley-Davidson is to co-host a $2,495 a head "SmartManufacturing Summit" inMilwaukee in April accordingto a local media outlet. CEOMatt Levatich will deliverthe keynote.

    According to the AMA, the EPAin the United States has "bowedto pressure from the ethanolindustry" in agreeing to a 50percent increase in thepercentage of ethanol that ismixed with US pump gas, fromthe E10 blend that has been inuse for many years to E15. TheAMA says that none of the 22million motorcycles and ATVs inuse in the US is EPA approved tooperate on ethanol blends higherthan 10 percent. Its use wouldtherefore be illegal and couldcause engine damage and voidmanufacturer warranties.

    Western Power Sports (WPS,of Boise, Idaho), which sellsHarley aftermarket andcustom v-twin parts andaccessories under theHardDrive brand, opened anew 180,000 sq ftdistribution center inNovember - its sixth in theUnited Sates - at Midlothian,in the DFW area of Texas. Thecompany says it has nowadded some 400,000 sq ft ofspace nationwide in the past18 months.

    Suspension makerMarzocchi savedItalian suspension specialist Marzocchihas been saved from liquidation. American owner Tenneco (the $8.4 bnturnover owner of Monroe shocks andother automotive interests) had beenintending to close the business, butItalian automotive engineer VRMS.p.A., also based near Bologna, hasacquired the business for anundisclosed sum in a deal brokered bylocal government and trade unionofficials.VRM is a precision engineeringcompany with chassis componentcontracts with the likes of BMW,Ducati and MV Agusta among others.The deal does not include Marzocchi'sbicycle/MTB suspension programs -

    those assets were sold to Fox inOctober 2015. The deal will save some70 remaining jobs, and reportssuggest that production of some of theproduct lines that Marzocchi producedfor major motorcycle OEs willrecommence quickly. Founded in 1949, Marzocchi's coremarket for motorcycle suspensions hasalways been 'metric' front ends, butthe brand has always been a popularchoice with Harley-Davidsonaftermarket customizers and builderslooking for beefed-up andperformance-capable suspensions. Tenneco acquired Marzocchi in 2008,just as the bottom started to fall out ofMarzocchi's market. It is believed that

    the changes taking place in thesuspension industry, with the spreadof electronically controlled andadjusted and semi-active electronicsuspension systems rapidly becominga de facto standard requirement for OEproduct, meant that the hugeinvestment that would have beenrequired to allow Marzocchi tocompete became untenable for theAmerican parent company. It isbelieved that Tenneco was facing a billof close to $30m for closure ofMarzocchi.

    increase its "customer-facing"marketing investment, starting in2016, by approximately +65 percentover 2015 levels, and to increase itsinvestment in new productdevelopment by approximately +35percent from 2015. These changes [funded in part by lay-offs] represent an approximate $70million increase in investments todrive demand compared to 2015. Theincreased investments are beingfocused in four key areas identifiedby Levatich - increasing product andbrand awareness; growing newridership in the U.S.; increasing andenhancing brand access; andaccelerating the "cadence andimpact" of new products. Harley-Davidson says it expects tosh ip 269 ,000 to 274 ,000motorcycles in 2016, an approximate1 percent to 3 percent increase from2015 shipments. In the first quarterof 2016, the company expects to ship78,000 to 83,000 motorcyclescompared to 79,589 motorcyclesshipped in the year-ago period. During the fourth quarter, revenuefrom motorcycles and relatedproducts was down versus the prioryear on unfavorable mix [Touringmodel sales were -13.2 percent forthe final quarter and -6.3 percent forthe full year] and currency exchange,partially offset by the benefit ofhigher shipments. The decrease in operating income forthe quarter was primarily driven byhigher SG&A spending [Selling,Genera l and Admin is t rat iveexpenses], partially offset by a stronggross margin percent.     Polaris 2015 Q4 and full-year resultsPolaris Industries Inc. hasreported that its sales for thefull year 2015 totaled a record$4,719.3 million, an increase of+5 percent compared to sales of$4,479.6 million for the full year2014.Sales for the fourth quarter of2015 totaled $1,105.6 million, adecrease of -13 percent overlast year's fourth quarter salesof $1,275.0 million. Includingtheir respective PG&A relatedsales, motorcycle sales were+33 percent for the fourthquarter at $162.6 million and+67 percent for the full year at$698.3million. The growth was primarily dueto continued strong retail salesfor Indian motorcycles and theSlingshot "moto-roadster."North American consumer retaildemand for the Polarismotorcycle segment, includingVictory, Indian Motorcycle andSlingshot, was up low-singledigits percent during the fourthquarter, while overallmotorcycle industry retail salesof 900cc and above declinedhigh-single digits percent in thefourth quarter.
