1. BACKGROUND

1.1. NQ is the governing body for netball in Queensland and conducts the League.

1.2. NQ determines the Competition Rules in respect of the League which are binding on all Players and Teams taking part in the League.

1.3. The Club has been granted a licence by NQ to field the Team in the League.

1.4. The Player is a skilled netball player who is eligible to play for the Team in the League.

1.5. The Competition Rules allow for the movement of players between a Club’s teams competing in the Sapphire Series and Ruby Series competitions based on performance, injuries, and availability and as such the terms and conditions of this document apply to all players selected in a Club’s squad of players regardless of which specific team they are initially selected into at the start of the season. In cases where there are variations in the terms and conditions between the Sapphire Series and Ruby Series players it is noted within the specific clause in this document.

It is agreed as follows:

2. DEFINITIONS

In this agreement, unless expressly stated to the contrary, the following capitalised terms shall have the following meanings when used in this agreement:

ANL means the national underpinning competition conducted by NA known, as at the date of this agreement, as the Australian Netball League, and any successor or replacement competition.

ANPA means Australian Netball Players’ Association (ABN 66 082 067 113).

Appearances means the personal appearances of players to assist in promoting the Club, the League or the game of Netball as coordinated by the Club or by Netball Queensland

ASADA means the Australian Sports Anti-Doping Authority, or any such successor agency or authority established by the Commonwealth of Australia.

Business Day means a day other than a Saturday, Sunday or public holiday in Brisbane.

Club means the netball entity who has been awarded a license to enter a team or teams in the Sapphire and or Ruby Series Competitions (League) in accordance with this Agreement

Club Owners means the Club and the other owners of teams granted licences to participate in the League by NQ.

Code of Conduct means the code of conduct for Players as developed, promulgated and amended by NQ from time to time with the agreement of NQ, the Team Owners, the Teams and ANPA. The Code of Conduct will be distributed to the players electronically and must be completed prior to the start of the Regular Season.

Commercial Arrangement means any sponsorship, endorsement, appearance, public relations, media or similar commercial arrangement.Commencement Date means the commencement date of this agreement set out in Appendix 1.

Competition Rules means the rules of the League as determined by NQ from time to time (including the Code of Conduct and Disciplinary Code).

Final Squad means a Team’s “Final Squad” of ten (10) Players notified to NQ and amended in accordance with Rule 3.2 of the Competition Rules for either the Sapphire or Ruby Series Leagues.

Finals Series the semi-finals, preliminary final and grand final of the League or any other configuration as NQ decides.

GST means the goods and services tax implemented under the GST Laws.

GST Laws means a New Tax System (Goods and Services Tax) Act 1999 (Cth) and all related Commonwealth legislation, and includes all regulations, determinations and rulings associated with or made under any such legislation.

Health Care Professional includes doctors, specialists, consultants, psychologists, physiotherapists and any other professionals or practitioners who provide services related to physical and mental health.

Health Condition means an injury, illness or other condition (excluding pregnancy) that may impact on the Player's ability to perform her duties under this agreement.

Home and Away Rounds means Rounds 1-14 of the League.

League refers to the collective competitions and management of the two competitions, individually known as the Sapphire Series and the Ruby Series (North and South) as delivered by NQ (and any subsequent, substantially similar replacement League), including all Pre-season matches, the Home and Away Rounds, the Finals Series, and any charitable or promotional matches involving the Teams that is organised or sanctioned by NQ.

League Manager (LM) means the person appointed by NQ as the League Manager in accordance with the terms of the Competition Rules to review compliance by Clubs, Teams and Players with the rules and regulations of the League.

Match means all netball matches played between Teams as part of the League and any other netball matches played between some or all the Teams referred to in the definition of “League”.

Medical Information relates only to information collected on the player or provided by the player that relates to their performance or capacity to perform their duties as a netballer. This will include, but not exclusively the following information; daily wellness, training Load data, data from movement tracking devices, injuries, soreness, sleep patterns, motivation levels and stress levels

Minimum Standard of Fitness means the minimum standards of fitness and physical condition that the Player is required to satisfy and maintain whilst named in the Team’s Final Squad (which may include recommendations, mandatory standards, training programs and similar programs and requirements as defined by the Club prior to the start of the pre-season training period), as developed, promulgated and amended by the Team from time to time.

Member Organisation means the Associations who are the Member Organizations of Netball Queensland and their respective successors or assigns.

Minor means a person under the age of 18 years.

NQ means Netball Queensland Limited (ABN 58 429 487 881).

Operations Manager means the person appointed by NQ and the Club to manage the day to day Operations of the Club

Player Points Cap is the competitive balance mechanism described in the Competition Manual

Player's Property means any and all indicia of the Player’s identity, including, without limitation, the Player’s name, nickname, image, number, voice, signature, likeness, caricature, performance, biographical facts, character, mannerisms, reputation, trademarks, and idiosyncrasies; whether or not used commercially or non-commercially, including, without limitation, in connection with media, products, games, websites, services, causes, advertising, merchandising, promotions, sponsorships, and/or uses that may not now exist or be known.

Players means the Player and the other netball players who have current signed Standard Player Contracts with Team Owners to play for Teams.

Pre-season means the period between the commencement of the Pre-season for the Team and the commencement of the Regular Season.

Regular Season means the Home and Away Rounds and the Finals Series in any season.

Sponsor means any person or entity which becomes a sponsor of or enters into a sponsorship agreement with NQ, the League, the Club or any Team during the Term

Standard Player Contract means this document in its entirety.

Team Coach means the coach of the Team.

Team Manager means the manager of the Team.

Teams means the Team and the other teams that participate in the League which at the date of this agreement, are:

Termination Date means the expiry date of this agreement set out in Appendix 1.

Term has the meaning set out in clause 1.1 of this agreement.

3. TERM AND STATUS OF AGREEMENT

3.1. This agreement will commence on the Commencement Date and terminate on the Termination Date, unless terminated earlier in accordance with clause 11 of this agreement (Term).

3.2. The Player acknowledges that:

(a) her contract with the Club will end at the conclusion of the Term and that this does not constitute termination at the initiative of the Team Owner; and

(b) the Club has the unfettered right to manage and administer the Team selection for both Sapphire and Ruby Series Competitions on a week to week basis, including the removal of Players from and adding of Players to these Teams or moving players between these Teams from time to time in line with the Competition Rules.

4. PLAYER’S RELATIONSHIP WITH THE TEAM, WARRANTIES AND REPRESENTATIONS

4.1. Upon execution of this agreement and during the Term, the Player will provide the playing and other services described in this agreement to the Club in accordance with the terms of this agreement. The Club will contract the Player. Neither the Club nor NQ will have an employment relationship with the Player.

4.2. If the Player is a Minor, the player and her parent or guardian must execute the signature page of this agreement.

4.3. The Player represents and warrants that:

(a) she can perform her obligations under this agreement, subject to unforeseen changes to her other employment or educational obligations which may affect her capacity to perform her obligations on limited occasions;

(b) she will meet all eligibility requirements for any League in which she participates under this agreement;;

(c) she is a current financial member of a Member Organisation and, therefore, of NQ. The Player will ensure this membership and details are up to date;

(d) in entering this agreement and in performing her obligations under this agreement, she will not be in breach of any obligations owed to any person or infringe any right of any person;

(e) she understands that the nature of her contract with the Club, and the nature of the League and the nature of other requirements of the Teams and Players will necessitate work on nights, weekends and public holidays.

5. WARRANTIES OF THE TEAM OWNER

5.1. The Club represents and warrants that it can perform its obligations under this agreement, subject to unforeseen changes which may prevent it from complying with its obligations.

6. GENERAL DUTIES AND OBLIGATIONS OF THE PLAYER

6.1. During the Term, the Player agrees to:

(a) play netball for the Team or other team as directed by the Club to the best of her ability and skill and in accordance with the rules and requirements of the International Netball Federation (INF) as adopted by NQ for the League;

(b) comply with the Competition Rules;

(c) comply with all lawful and reasonable directions of the Club or the Team, which may be given through their Operations Manager or their nominees, the Team Coach or the Team Manager;

(d) act in the best interests of the Club, Team and NQ always;

(e) comply with the constitution, by-laws and policies of NQ as amended from time to time;

(f) comply with the constitution, by-laws and policies of the Club and Team as amended from time to time;

(g) attend and participate in all Matches as directed by the Team, Team Coach or Team Manager, and to provide such services at such locations required by the Team, Team Coach or Team Manager;

(h) attend all Team meetings or other appointments as reasonably arranged by the Team Coach, Team Manager or the Team;

(i) do everything reasonably possible in and out of training sessions to obtain and maintain the fitness level as specified and expected by the Team Coach and the Team Manager to render the most efficient service to the Team

(j) wear the playing and training apparel or other team apparel as directed by the Team (including the Operations Manager, the Team Coach and the Team Manager);

(k) keep the playing and training apparel or other team apparel and any equipment issued by the Team in good condition and not sell or otherwise dispose of them without the prior consent of the Team;

(l) in accordance with this agreement:

participate in all activities reasonably required by the Club or the Team for the promotion of the Team, NQ, the League or the game of netball generally; and

travel to and from any Match or function as directed by the Team;

the Player will not be obliged to participate in a promotional activity if the promotional activity is during working hours, or important study commitments, or would result in a loss of wages to the Player, or would be otherwise detrimental to the Player's employment or academic commitments;

(m) not, without first obtaining the written consent of the Club or Team:

engage in any dangerous or hazardous activity (which would include flying in an aeroplane, helicopter or other airborne machine or device unless it is a commercial flight being operated by a major domestic or international airline, “extreme sports”, any form of rugby, rugby league, gridiron, soccer or Australian Rules football, indoor or outdoor rock climbing, hang gliding, parachuting or bungy jumping); or

engage in any activity which in the reasonable opinion of the Club or Team represents a risk of injury to the Player or may otherwise affect the Player's ability to perform her obligations under this agreement; and

(n) read, understand, be familiar with and comply with the Netball Integrity Framework policies and rules at http://netball.com.au/integrity-framework-policies/, noting that these policies and rules contain important rules regarding betting, gambling, inside information, match-fixing, anti-doping, self-injection, supplements, illicit substances and reporting obligations which are designed to protect the integrity of netball.

7. PLAYER OBLIGATIONS – MEDICAL

7.1. The Player acknowledges that she is sufficiently fit and capable to participate in the League and the associated training requirements of her Team.

7.2. Injury and illness:

(a) The Player acknowledges that she has disclosed to the Club the full details of any Health Condition which has affected her training or performance in League in the past or may affect her training or performance in the future.

(b) If the Player has or incurs a Health Condition (whether at work or otherwise) during the Term, the Player must notify the Team Coach as soon as practicable and in, any case, no later than 48 hours after she becomes aware of that Health Condition.

(c) Should the Club wish to request the Player’s Health Care Professional to provide a report in relation to such Health Condition, and any recommended treatment, the Club shall obtain the Player's prior written authorisation, which will not be unreasonably withheld.

(d) The Player is required to follow any treatment or rehabilitation recommended to her by her Team’s Health Care Professional to the best of her ability.

7.3. Pregnancy

(a) If the Player becomes aware that she is pregnant during the Term, the Player should notify her Team’s Health Care Professional in accordance with the Netball Australia Pregnancy and Parental Management Policy.

7.4. Medical Information

(a) The Club agrees that neither it nor the Team will disclose any information provided under this clause to any third party (other than the Team Coach, the Team’s Health Care Professional, the Team’s Operations Manager and/or their respective nominees or otherwise than in accordance with clause 6 of this agreement), unless such disclosure is required by law or the Club has the written consent of the Player, which will not be unreasonably withheld.

(b) The Club may retain any medical information obtained in respect of the Player and the results of any tests or examinations carried out on the Player for its records and for use in research and publication in medical or scientific papers provided that such publication is done in such a way that the Player's identity is not disclosed.

(c) The Player will be able to access her health information through the Club upon reasonable notice.

7.5. Continuum of Care between Programs

(a) The Player certifies and agrees to permit the communication of medical information between the State Program and her Team consisting of:

Netball Queensland Psychologist(s) (relevant for State 17U, 19U and Fusion Team players only)

Netball Queensland Doctor (relevant for State 17U, 19U and Fusion Team players only);

Netball Queensland Physical Performance Manager (relevant for State 17U, 19U and Fusion Team players only);

Netball Queensland Performance Pathways Manager (relevant for State 17U, 19U and Fusion Team players only);

State Team Head Coach; State Team Doctor; State Team Strength and Conditioning Coach; State Team Manager; State Team Physiotherapist; SS Team Coach; SS Team Physiotherapist; SS Team Doctor (when applicable); SS Team Manager; and SS Team Operations Manager, Staff appointed to an Australian Netball League team that a player may be

selected into

(b) For the purposes of:

ensuring continuum of care between the State program and her Team; ensuring that Team management have timely and accurate information

pertaining to any injuries/medical conditions that affect the Player’s ability to train and/or play and the treatment rendered; and

meeting the requirements of State selection criteria. The Player agrees to the following information being communicated between

the programs: any medical information pertaining to the Player’s ability to train and/or play; details on the any treatment rendered to the Player; any modification to training programs to assist with recovery/maintenance of

condition; and any further information deemed necessary by support personnel. Standard medical confidentiality will apply in all circumstances.

(c) The Player acknowledges and agrees that:

NQ may retain any medical information obtained in respect of the Player and the results of any tests or examinations carried out on the Player for its records and for use in research and publication in medical or scientific papers provided that such publication is done in such a way that the Player's identity is not disclosed;

NQ may appoint research providers to undertake such research and publications on its behalf and that anonymised performance data and Medical Information may be provided for the purpose of research; and

the Player will be able to access her Medical Information through NQ upon reasonable notice.

8. PLAYER OBLIGATIONS - ANTI-DOPING

8.1. The Player will not consume or otherwise encourage the consumption of any drugs, stimulants or other substances which are prohibited by law or by ASADA, NQ, the League or the Team.

9. CLUB OBLIGATIONS

9.1. During the Term, the Club agrees to:

(a) Coordinate access to the services of a qualified physiotherapist to provide physiotherapy treatment and provide advice to the Player to assist the Player to render the most efficient service as a netball player for the Team during the Term;

(b) work collaboratively with the State program in delivery of the daily training environment; and

(c) not charge any additional nomination or registration fee to Sapphire Series Final Squad members. The Club may charge Ruby Series Final Squad Members a Club registration or nomination fee.

(d) comply with the Competition Rules.

10. REMUNERATION FOR CONTRACT SERVICES AND OTHER BENEFITS

10.1. In consideration of the Player’s provision of services under this agreement, the Club may pay or provide the Player the remuneration, benefits and allowances specified in Appendix 1 of this agreement if applicable

10.2. The parties agree that any remuneration (and other monetary and non-monetary entitlements, benefits and allowances provided to the Player) is provided to the Player in satisfaction of any and all entitlements to which the Player may now or will be entitled under any industrial instrument or law (should such instrument or law become applicable to the Player’s contract), including (without limitation):

minimum weekly wages; allowances; overtime; loadings and penalty rates; and annual leave loading.

10.3. The Club is responsible for internally managing any changes to remuneration schedules in the situation where players move between Sapphire Series and Ruby Series teams.

11. TERMINATION

11.1. The Club may terminate this agreement by giving at least 14 days’ notice in writing or a remuneration payment (if applicable and consistent with the remuneration terms outlined in Appendix 1) is made in lieu of any period of notice to the Player if:

(a) the Player is in breach of any of her obligations under this agreement and the breach continues for a period of fourteen days after notice in writing by the Club to the Player requiring the breach to be remedied;

(b) the Club, acting reasonably, determines that the Player is not playing the game or training conscientiously and to the best of her ability and skill and this continues for a period of fourteen days after notice given in writing by the Club to the Player;

(c) the Team’s Health Care Professional determines that a Player is unfit to play netball and will be likely to remain unfit for the remainder of the Term;

(d) the Player breaches or violates the constitution, by-laws, policies of the Club, Team, NQ or the League or the Competition Rules;

(e) the Player engages in proven serious or repeated misconduct;

(f) the Player breaches the Code of Conduct;

(g) the Player behaves in a manner which, in the reasonable opinion of the Club or NQ, adversely affects the public reputation or image of the Club, Team, NQ, the League, any Sponsor or the game of netball generally;

(h) the Club ceases to be licensed by NQ to field the Team in the League;

(i) the League ceases to exist;

(j) the Club's circumstances change to the extent that it affects the Team Owner's ability to field the Team in the League; or

(k) the Player ceases to be a financial member of a Member Organisation.

(l) The Player and the Club may agree to terminate this agreement on such terms as they may negotiate between themselves.

(m) The Player may terminate this agreement by giving at least 14 days’ notice in writing to the Operations Manager of the Club if the Player wishes to retire or withdraw from the Team’s Final Squad.

(n) In the situation where a player’s contract is terminated, the rules with respect to replacing this player in the Final Squad are outlined in the Competition Rules.

12. EFFECT OF TERMINATION

12.1. Upon termination of this agreement, the Club will pay the Player any part of the remuneration and allowances due to the Player at the date of termination.

12.2. Upon termination of this agreement, the Player must:

(a) return all property belonging to the Club or Team; and

(b) pay or repay to the Club all sums which are owing by the Player to the Club whether they are due to be paid on that day or not.

12.3. The parties acknowledge that they continue to be bound by those clauses of this agreement which by their nature survive termination including clauses 10, 12.4, 13, 19 and 24.

12.4. The parties reserve their rights following termination of this agreement.

13. RESTRAINT

13.1. The Player is not permitted to participate in or be involved in any other netball League or any other sporting code during any Pre-season or Regular Season (other than matches

involving State, State or Territory representative sides and conducted under the auspices of NQ and/or the Team Owners or Teams or Teams and/or Member Organisations, including the ANL and any State League) without the prior written consent of the Club and NQ (such consent not to be unreasonably withheld) or as permitted within the Competition Rules. Suncorp Super Netball Contracted Players maintain their right to participate in the Suncorp Super Netball Competition.

13.2. It is a condition of this agreement that, if the Player is removed, retires or withdraws from the Team’s Final Squad, or this agreement is terminated for any reason, the Player agrees that she will not play for any of the other Teams in the League for the remainder of the relevant League season without written approval from the Club the player was previously contracted to, which will not be unreasonably withheld.

14. RELEASE AND INDEMNITY

14.1. To the extent permissible by law, the Player indemnifies and releases the Club, the Team and NQ in relation to any loss, damage, liability, costs or expense suffered by the Club, Team or NQ in respect of an injury, illness, loss or damage suffered by the Player while participating in:

(a) a League other than the League: or

(b) any other sporting or commercial activities for a third party that are not undertaken at the request of the Club, Team or NQ in accordance with this agreement.

15. CONFIDENTIALITY

15.1. The terms of this agreement and the financial and business affairs of the parties are confidential and shall not be disclosed by either party to any person or entity other than:

(a) for the purposes of obtaining legal, financial or taxation advice;

(b) for the purposes of the disclosure of this agreement to ANPA (but not to any other third party) for the purposes of negotiating the terms and conditions of this agreement on behalf of the Player;

(c) as required by law or the Competition Rules; and

(d) in the case of the Club, for administrative or regulatory purposes, including by not limited to disclosure to NQ, insurers, auditors and any related body corporate of the Team Owner.

16. PRIVACY STATEMENT

16.1. The Club, Team and NQ require personal information (as that term is defined in the Privacy Act 1988 (Cth) (including medical information) of the Player for use in relation to

her participation as a member of the Team’s Final Squad and for the purposes of this agreement.

16.2. The Player consents to the collection of such personal information and use of that information in accordance with the objects of NQ, the League, the Club, the Team and their authorised employees and agents for the purposes of this agreement and for any other reason permitted or required by law.

16.3. The Player acknowledges that her personal information may be forwarded to ASADA, NQ, League organisers, Member Organisations and other parties for the purposes of this agreement.

16.4. The Player will be able to access her personal information from the Club, Team and/or NQ upon reasonable notice.

17. TAXATION

17.1. If required by law, the Club will withhold income tax from any payment made to the Player and remit such tax to the Australian Taxation Office. All payments specified in this agreement, from which income tax must be withheld, are inclusive of the amount of taxation to be withheld.

17.2. All payments specified in this agreement to be made by the Club to the Player are inclusive of GST, if any.

18. LEGAL AND FINANCIAL ADVICE

18.1. The Player represents and warrants that she has taken, or had the opportunity to seek, independent legal, financial and taxation advice in relation to the nature, effect and extent of this agreement.

19. REASONABLE RESTRICTIONS

19.1. The Player agrees that the Competition Rules are necessary and reasonable for the proper protection of the legitimate interests, sustainability and integrity of NQ, the Club Owners, the Teams and the League and that any restrictions contained in the Competition Rules are necessary and reasonable for this purpose.

20. NOTICES

20.1. A notice or other communication required or permitted to be given by one party to another must be given in writing.

21.1. Each party will from time to time do all things (including executing all documents) necessary or desirable to give full effect to this agreement.

22. WHOLE AGREEMENT

22.1. In relation to the subject matter of this agreement:

(a) this agreement and any other incorporated or referenced documents constitute the whole agreement between the parties; and

(b) this agreement supersedes all oral and written communications by or on behalf of any of the parties, including, without limitation, the terms of the Interim Player Contract.

23. COUNTERPARTS

23.1. This agreement may be executed in any number of counterparts each of which will be an original, but such counterparts together will constitute one and the same instrument and the date of the agreement will be the date on which it is executed by the last party.

24. GOVERNING LAW AND JURISDICTION

24.1. This agreement is governed by the laws of the state or territory in which the Club has its registered office.

24.2. Each party irrevocably submits to the non-exclusive jurisdiction of the courts of that jurisdiction.

25. PARENT AND GUARDIAN CONSENT (WHERE PLAYER IS UNDER 18 YEARS OF AGE)

25.1. The undersigned parent or legal guardian (Guardian) acknowledges and agrees that they are the Player's parent and/or legal guardian.

25.2. The Guardian acknowledges and agrees that the Player has received independent legal advice on the contents of this agreement or has had a reasonable opportunity to take that advice, but has declined to do so, and that this agreement is for the benefit of the Player and that the Player is bound by this agreement.

25.3. If requested by the Club or NQ, the Player agrees that upon turning 18 years of age the Player will execute a further agreement confirming the terms of this agreement.

26. APPENDIX 1 – CONTRACT DETAILS & REMUNERATION

Term

Remuneration

NQ will pay the Player’s Registration Fee for the calendar year of this Agreement. HART Sapphire Series Partner Mizuno will provide the Player with one pair of Mizuno Netball

Shoes for the 2019 season. Players are not obliged to wear Mizuno shoes to play in the competition.

NQ will share additional benefits with Clubs and the Player where appropriate as part of any future sponsorship arrangements with the League

Club to add any additional benefits being provided to the player

Additional Services Agreements and Education Grants

The Player will contribute to the Club providing 400 hours of Appearances to Aligned Associations as defined in the Club Participation Agreement. The Club Operations Manager will manage the allocation of hours to each player based on player availability. Clubs may specify a minimum requirement of hours for each player, however the Club must deliver at least 400 hours of unpaid appearances as per the Club Participation Agreement

The Player will actively promote the Club and the League via their own social media channels during the Contract Period with simple content related to the Clubs recent or upcoming games, Clubs sponsors or Club events.
