Alliance Dr. Olga Mohan High School Friday, September 25th, 2015
The quarterly meeting of the Board of Directors of Alliance Dr. Olga Mohan High School (the “corporation”), a California nonprofit corporation, was held at 2:15 PM on Friday, September 25th, 2015. Attendance for school board directors and guests present and absent was as follows:

Board President, Howard Lappin, called the meeting to order at 2:15 PM. The role was called and all present were welcomed. Mr. Lappin encouraged all board members to actively participate in the meeting. The minutes from the June 4th 2015 were approved as read. Dr. David Medina provided a brief overview of the 2014-15 Achieve3000 lexile report for all students at Alliance Dr. Olga Mohan High School and stressed that most schools Alliance-wide showed consistent growth by sub group and across grade levels. The pre and post-test scores for Alliance Dr. Olga Mohan High School are as follows:
• Pre-test for 9th Graders 854; Post-test for 9th Graders 1,030
• Pre-test for 10th Graders 1,088; Post-test for 10th Graders 1,1111
• Pre-test for 11th Graders 1,037; Post-test for 11th Graders 1,077
• Pre-test for 12th Graders 1,072; Post-test for 12th Graders 1,087 Mike Krutz provided an overview of last year’s budgeted revenue and expenditures vs. actual revenue and expenditures. On June 4, 2015 the school board approved the budget for 2015-16 and since that time the state has increased school funding in the form of two one-time block grants to be used for general school spending and the second for professional development for certificated personnel. Mr. Krutz encouraged Alliance Dr. Olga Mohan High School to submit a budget plan for professional development. This plan needs to be approved by the school board before the money can be spent over the course of three years. Ms. Cynthia Leonard provided a brief update regarding the modifications to the 2015-16 Alliance Parent-Student Handbook to reflect the latest federal, state, and local requirements. Revisions and additions were made to certain policies to make them more robust and clear for parents and students. The Alliance handbook serves as a supplement to the existing school handbook; English and Spanish versions can be accessed on Alliance’s website. Howard reviewed how information and topics of interest should flow between Alliance governing bodies. Town hall meeting attendees can recommend key items for the school coordinating council to discuss and vote. School coordinating council members can recommend both discussion and action agenda items for inclusion on future school board agendas. Principals were asked to forward proposed agenda items to Mary Silva two weeks prior to each scheduled school board meeting. Schools coordinating council members were encouraged to report back to the school coordinating council regarding final school board decisions. Mr. Lappin also shared that school board meetings have been lengthened to allow board members more time to review and discuss agenda items. Mr. Lappin introduced the resolution for the re-election of officers for the school board. The officers are as follows:

RESPONSE TO NOTICE TO CURE: FURTHER ACTION ON GOVERNANCE
Mr. Cole-‐Gutiérrez,
Thank you for the time that you and your team have spent clarifying the content of the Notice
to Cure recently sent to Alliance Dr. Olga Mohan High School. As I shared, I am disappointed
that your concerns over governance were approached in this formal and urgent fashion given
our ongoing commitment to addressing previous issues raised and your earlier verbal
agreement to hold off on addressing additional concerns for the time being.
As you know, we are committed to providing a world-‐class college preparatory education for
our students and have consistently provided a high quality and effective learning
environment. As a result, Alliance Dr. Olga Mohan High Schools has received a California
Distinguished School Award and has consistently ranked in the top five high schools in Los
Angeles based on state exams and has been named among the best schools in the nation by
both U.S. News and World Report and Newsweek.
Given tight budgets, we understand the district wants to ensure taxpayer dollars are spent
wisely, and we couldn’t agree more, which is why we’re so diligent in making sure everything
we do is aimed at making success possible for our students. We are financially strong and
well run, and our results speak for themselves.
We remain committed to working with your office to develop rational solutions to address
your concerns and continue to serve the needs of our students and families. To that end, this
document outlines our plan to address the observations and required actions included within.
Response to observations included in the Notice to Cure:
Observation #1: Lack of systems for directing, evaluating, and holding the school’s staff and
vendors accountable
Response: The school’s principal and assistant principals are charged with directing,
evaluating and holding the staff of the school accountable. There is a comprehensive
evaluation system in place for the school’s staff. This has never been and should not be
the direct responsibility of the school board. The principal of the school attends all

school board meetings and are available to address any staff concerns that the school
board might have. Please also see related response to required action #6.
A detailed vendor approval process is utilized by the Director of Procurement, who
works with the school to secure all vendors. A description of that process can be
provided upon request. By utilizing this process, Alliance achieves economies of scale
and establishes higher standards to be met by the vendors to our school and all
Alliance schools. The board and/or leadership of our school can and has exercised
independent discretion in hiring vendors other than those recommended.
Observation #2: Staff of Alliance governing the direction of the school instead of the school’s
governing board
Response: Both by law and in reality, it is clear that the school’s board is the
governing body of the school. Each board member has been made fully aware of his or
her governing and fiduciary duties as a board member. The Alliance staff can make
recommendations to the board and is called on to make reports at the request of the
board, but the board is totally independent. The Alliance staff also provides support to
school leadership and staff. This support is similar to that provided by all back office
providers such as ExED or EdTec.
Observation #3: Governing board not receiving, reviewing or discussing complete financial
reports for the school
Response: The school board has historically been provided summary reports.
Effective as of the December 2015 school board meeting, full financials will be
submitted to the school board for their review. A designated Alliance finance staff
member charged with supporting the school will also be present to review and discuss
the financial statements and address any questions or concerns raised by the school
board.
Observation #4: Holding board meetings as part of a set of Alliance back-‐to-‐back board
meetings that last 15-‐30 minutes with little to no discussion or inquiry by board members
Response: Board meetings for Alliance schools are currently held back to back to
allow optimal participation by members who serve on multiple boards and are not
school-‐based. This year, based on feedback from the Charter Schools Division, we have
taken active steps to extend meetings over multiple days, lengthen the time for each
school board meeting and broaden membership. As stated earlier, it was our
understanding that you agreed to these interim changes and that they would suffice
until we resumed conversations at a less politically sensitive time. We feel it would be
irresponsible to take rushed actions based on the unexpected Notice to Cure and the
immediate deadlines included within. We are, however, committed to continuing to

work with you toward further resolution. In the meantime, we have assurance from
our legal counsel that our current school board is acting within the law as it relates to
the structure of board meetings.
As to the point on discussion and participation, for every meeting there is time given
for discussion during each item and time at the end for public comment. While
discussion is welcome and often occurs, it cannot be forced. I will, however, commit to
working on strategies to encourage more robust engagement from board members
whenever possible.
Observation #5: Governing boards not conducting closed session to discuss and decide on
items appropriate to such format
Response: California has an open-‐meetings law and closed sessions can occur only
upon the meeting of certain legal requirements. Our school board will hold closed
sessions when appropriate. Suggesting that more closed sessions need to be held is
unfounded and contrary to the law. Closed sessions are not required at every board
meeting. They can only be held if needed and if certain conditions are met. If the
school board has no need for a closed session, it does not have one. If your observers
have not seen one for our school, it means that no issues have come up that require
one. We are committed to ensuring that all legal requirements with regard to the
open-‐meetings laws continue to be met.
Response to immediate requests due November 6, 2015 (extension given by CSD from
original November 2, 2015 deadline):
Request #1: Name of the governing board’s designee who will serve as the point person to
assist the school’s board in making the expected transition so that the board is implementing
its full role in governing the school by January 1, 2016
Response: In her role as Director of School Development and District Affairs, Laura
Galvan will work closely with me and appropriate board members and staff to support
this effort.
Request #2: Name and contact information of the new board president
Response: Not applicable at this time. Please see response to required action #3 in
the section that follows.
Request #3: The school’s detailed action plan to complete all of the steps outlined above.
Response: This document should be considered an initial action plan sent to meet the
short turnaround time required by the Notice to Cure. At the scheduled December

meeting, the school board will review the Notice to Cure and make recommendations
on the action plan for the school.
Response to actions required before January 1, 2016:
Required Action #1: Provide in-‐depth training to all members of its governing board so that
the board members are fully aware that, as board members, they (and not Alliance) are
responsible for the governance, academic, legal and financial oversight of the school, and hold
the ultimate responsibility for fulfilling the charter. This instruction also must provide
substantial training in conflicts of interest requirements and Brown Act compliance, including
the requirements for closed meetings
Response: In depth training on roles and responsibilities and on Brown Act was
developed, approved by legal counsel, and given to all school board members online
and/or in person at the beginning of the current school year. As of today, 100% of
school board members have completed this designated training.
While specific training on conflict of interest requirements has not been provided, the
school board has reviewed and voted to approve the conflict of interest policy. We will
work to develop related training with the support of legal counsel prior to January 1,
2016 and commit to completing the training for all board members by January 31,
2016.
Moreover, we will ensure that clear roles and responsibilities are shared when
recruiting any new school board members. We will also ensure that a detailed review
of the roles and responsibilities of members is conducted with all board members –
new and returning -‐ at the first school board meeting of every school year.
Required Action #2: Ensure that composition of the school’s governing board includes
members with educational expertise at the secondary level, fiscal, business,
stakeholder/community expertise, and that the board members includes or has access to legal
expertise to address the school’s legal matters.
Response: The composition of the school’s governing board already meets what we
agree are important criteria. Current membership includes:
• two teachers with both educational expertise at the secondary level and a deep
commitment to student outcomes;
• two parents who represent our most valuable stakeholders and who have long
established roots within the community we serve;
• a lifelong educator and a product of LAUSD with a deep understanding of sec-‐
ondary education and school management;
• a successful 25-‐year strategic and financial advisor to large corporations;

• a former Urban Fellow for the NYC Board of Education and former corps mem-‐
ber and recruiter for TFA, who also has strong experience in human capital and
in developing, assessing and monitoring strategic plans;
• the founder and CEO of successful insurance, wealth management and data sys-‐
tems companies with a wealth of expertise in business development, opera-‐
tions, finance, and human resources; and
• the current Professor of Clinical Education at USC’s Rossier School of Education
who also served at Superintendent of the Los Angeles County Office of Educa-‐
tion and was a 30-‐year teacher and administrator in California.
Full resumes for members of the school board are part of the materials included in the
oversight binders each year.
The school board also has access to legal counsel from Young, Minney and Corr, LLP
and Musick, Peeler & Garrett LLP. This has always been the case.
Required Action #3: To avoid conflict of interest and incompatible offices, remove from the
school’s governing board the current Board President, who also currently serves as Chief of
Schools for Alliance, or otherwise provide an explanation of how the conflict can and will be
resolved. Send the CSD the agenda and minutes of a board meeting prior to January 2, 2016 in
which this was discussed and action was taken by the board.
Response: To ensure objectivity, I have asked legal counsel to provide an initial
response to this proposed action. The provided response is as follows: Requiring the
board president be replaced unless wrongdoing can be shown is not an appropriate
action. If the District feels a board president is guilty of something inappropriate or
criminal, it should disclose it to the board and let the board take the action it should as a
board. Under California nonprofit law, the board is responsible for electing and, if
necessary, removing the board chair. The District has claimed the board president has a
conflict of interest because he is an employee of Alliance but the District has not offered
any indication or evidence of any violation of applicable conflict of interest laws or
policies. There is no conflict legally and he is fully aware of his fiduciary duties as a board
member. He has executed his obligations as board president fairly and in the interests of
the schools on whose boards he serves.
I would also like to reiterate that I do not serve as a member of the Alliance College-‐
Ready Public Schools Board of Directors, am not on the payroll of this or any Alliance
school, and do not evaluate any school leaders or school staff. I am also well aware of
and committed to acting in accordance with the following language drawn from our
most recently approved charter petitions, “Alliance Chief Schools Officer, as a paid
employee of Alliance, is recused under Government Code 1090 and the Political
Reform Act from discussing and voting on decisions related to contracts, financial
dealings, and transactions between Charter School and related entities.”

Required Action #4: In a manner consistent with the terms of the school’s charter, the
governing board must select its board president and determine the frequency and calendar of
meetings based on the school’s needs. The school cannot and shall not be required by Alliance
to select a specific member as board president. Describe how the board meeting agendas will
be established by the governing board.
Response: The school board voted in favor of the resolution to appoint the current
board president at its September 2015 meeting. We can provide the tally of yay/nay
votes if desired.
Per the approved charter, the board meets quarterly. The dates are typically within the
same timeframe each year and coincided with budget, testing and compliance issues
that need to be reviewed by the board. We will include the review and approval of
dates on the December 2015 school board meeting.
School board agendas are developed primarily by including the relevant and timely
compliance, financial and academic assessment items that require board review and
approval. We have instituted a process for developing agendas based on input from
school leadership, coordinating councils and board members and will formalize and
submit this to the school board for consideration by the first 2016 board meeting.
Required Action #5: Specify in writing how the governing board will communicate its plans,
policies, goals and other key information to Alliance staff, and how the governing board holds
Alliance staff accountable for providing services and fulfilling the board’s goals.
Response: The board president keeps Alliance staff informed of the governing board’s
actions. Agendas and minutes are also posted on the school website. Key finance, data
and compliance staff and the school’s assigned Area Superintendent participate
regularly in board meetings and receive questions and feedback directly from school
board members. The school board monitors services provided via CSD’s Compliance
Monitoring Certification process as well as through reports and quarterly board
meetings, review of the school’s LCAP, etc. School leadership also provides feedback
on services provided via an annual customer satisfaction survey.
Required Action #6: Identify the personnel positions that the governing board evaluates,
frequency of such evaluations, and the manner in which they are discussed with the entire
board.
Response: The Area Superintendent has been given the responsibility for evaluating
the principal of the school. The principal is charged with evaluating all other school
staff, with support from the assistant principals when warranted.

Moving forward, the Area Superintendent’s evaluation of the principal will be shared
with members of the school board in closed session for their discussion and
approval. Matters relating to principal hiring and termination will also be handled in
similar fashion. Any members who are considered interested parties with a conflict of
interest will be excused from closed session related to these matters. This revised
policy will begin effective immediately.
Required Action #7: Provide a written assurance to the CSD that the school’s governing
board will obtain and review all financial reports for the school (e.g. cash flows, budget to
actual reports, etc), select its auditor, and review the auditor’s report, in accordance with legal
requirements and the school’s charter substantiated with board agenda and minutes.
Response: The school board reviews and approves the school budget and LCAP each
year. The Alliance’s Director of Finance provides a budget-‐to-‐actual report and cash
report at each school board meeting. As addressed in response to observation #3,
summaries have typically been given, but the full reports will be shared as of the
December 2015 school board meeting. Additionally, the school board will be
reviewing the auditor’s report annually. They will also select auditors or designate
audit committee members who will be tasked with selecting auditors for the 2016-‐17

Required Action #8: Provide the CSD a copy of the service agreement between Alliance and
the charter school, which needs to specify services provided, fees for such services, and
include the appropriate executed signatures of both parties. As well as the board agendas and
minutes verifying transparency of the process.
Response: An executed management service agreement is available for the school and
will be sent prior to the January 1 deadline. The management fee associated with the
service agreement is also included in the budget that is reviewed and approved by the
school board annually. If there is need for a change in the service provider, it will also
be handled by the school board.
Required Action #9: Describe in writing how the school’s governing board meetings will be
conducted in a matter that embodies and demonstrates the appropriate line of authority of
the governing board over the school as well as the school’s relationship to Alliance.
Response: It is our belief that this action will be met through the plan set forth in this
document, together with additional changes made over the past two years and legally
sound practices already in place.
As stated in response to request #3, this document should be considered our initial action
plan sent to meet your rapid deadline. As president of the school’s board, I felt it was my
responsibility to consult with legal counsel, seek clarification from CSD staff and LAUSD board

formally addressing this issue with our school board. This was not done to remove school
board members from the process, but rather to ensure a more informed and meaningful
review and conversation.
Because of the urgent nature of your timeline, I was not able to complete this process in time
to hold a board meeting prior to the submission of this response. As stated earlier, the school
board will review the Notice to Cure at their December 2015 meeting and I will share any
modifications to this plan as they relate to the school board’s feedback following that meeting.

En el 4 de junio del 2015, el consejo escolar aprobó el presupuesto para 2015-16 y desde entonces el estado ha aumentado el financiamiento escolar en forma de dos subvenciones en bloque de una sola vez que se utilizará para los gastos de la escuela en general y la segunda para el desarrollo profesional de personal certificado. Sr. Krutz alentó Alliance Dr. Olga Mohan High School a presentar un plan de presupuesto para desarrollo profesional. quelosfondosdelpréstamoseinvirtieron,yquetipodepréstamoseacreditarámedianteunpagaréevidenciandolos
términosanterioresyquecontienetalesotrostérminosydisposicionesquelosfuncionariosdelaCorporaciónse
estimeconveniente.
Sección3.LosFuncionariosdelaCorporación,ycadaunodeellosdeformaindividual,estánautorizadosydirigidosa
tomartalacciónyejecutartalesacuerdos,certificados,ootrosdocumentosqueseanrazonablementenecesariospara
queelpréstamodelproyectoLLCestéenlostérminosdescritosenelpresentedocumento.
