BARRY M. KAZAN, being duly sworn, upon his oath, deposes and says:

I am a partner of the law firm of Thompson Hine LLP ("Thompson Hine"), which

maintains an office at 335 Madison Avenue, New York, New York 10017,

Neither I, Thompson Hine, nor any partner, associate or other member thereof, insofar as

I have been able to ascertain, has any connection with Getty Petroleum Marketing Inc., or its

debtor subsidiaries, as debtors and debtors-in-possession (the "Debtors"), their creditors, any

other party in interest, their respective attorneys and accountants, the United States Trustee or

any person employed in the Office of the United States Trustee, except as set forth in this

affidavit.

Thompson Hine, through myself and other attorneys at the Firm, has represented and

advised the Debtors with respect to corporate matters and litigation involving environmental

disputes, franchise disputes, landlord/tenant matters and other matters of Debtors' business.

The Debtors have requested, and Thompson Hine has agreed, to continue to represent the

Debtors pursuant to Section 327 of Chapter 11 of Title 11 of the United States Code (the

"Bankruptcy Code") with respect to such matters. Additionally, the Debtors have requested, and

Thompson Hine proposed to render the following services to the Debtors:

Legal counsel pertaining to insurance recoveries, trademark disputes and litigation arisingout of Debtors' business operations.

Thompson Hine's current customary hourly rates are:

In the normal course of business, Thompson Hine revises its regular hourly rates on

December 31st of each year and requests that, effective January 1st of each year, the

aforementioned rates be revised to the regular hourly rates which will be in effect at that time.

In connection with these matters, Thompson Hine has rendered services to the Debtors

that have not yet been billed or have been billed but for which payment has not been received.

The value of such services rendered pre-petition to Debtor up to December 4, 2011 were

$222,679.89. The rendered services to Debtor for the billing period of December 5, 2011 to

January 31, 2011 are $23,776.00.

Except as set forth herein, no promises have been received by Thompson Hine as to

compensation in connection with these Chapter 11 cases other than in accordance with the

provisions of the Bankruptcy Code, the Federal Rules of Bankruptcy Procedure, the Local Rules

and orders of this Court.

Thompson Hine has no agreement with any entity to share any compensation received

from the Debtors.

Thompson Hine and its partners and other members may have in the past represented,

currently represent, and may in the future represent entities that are creditors of the Debtors in

matters totally unrelated to the matters with respect to which Thompson Hine is to be engaged by

the Debtors. Thompson Hine searched its client database to identify any connection or

relationship with the potential parties in interest listed on Schedule 1 hereto. A summary of

those current potential relationships that Thompson Hine was able to identify using its

reasonable efforts is reflected in Schedule 2 attached hereto. The specific nature of our

representation cannot be disclosed due to our professional and ethical duties of confidentiality to

these clients. However, we do not represent any of the entities listed on Schedule 2 ("Schedule 2

Entities") in connection with any pending or threatened litigation or claims between any of the

Schedule 2 Entities and the Debtors. On an ongoing basis, Thompson Hine will conduct further

reviews of its professional contacts as it becomes aware of new parties of interest. Neither I,

Thompson Hine, nor any partner or other member thereof, insofar as I have been able to

ascertain, holds or represents any interest adverse to the Debtors or their estates in the matters

upon which Thompson Hine is to be engaged.

The foregoing constitutes the statement of Thompson Hine pursuant to Bankruptcy Code

Sections 329 and 504 and Fed. R. Bankr. P. 2014 and 2016(b).
