BACKGROUND: Staff recommends that the Board of Supervisors approve the budget adjustments as stated below.

BA-11007147 This budget adjustment estimates and appropriates $19,701.36 of grant revenue in the General Fund from the Virginia Department of Health, Office of Emergency Medical Services for Loudoun County Fire and Rescue. This funding will be used to equip each of Loudoun County Fire and Rescue’s EMS licensed vehicles with Naloxone kits. No local match is required.

BA-11063392 This budget adjustment estimates and appropriates $1,246 in federal funding from the Department of Health and Human Resources in the General Fund for the Department of Family Services. The funds will be used for Title IV-E Foster Parent Training. No local match is required.

BA-11095230 This budget adjustment estimates and rescinds the appropriation for the FY 2018 Virginia Litter Prevention and Recycling Program in the amount of $3,098 in the General Fund in the Department of General Services to reflect the actual award amount.

BA-11102016 This budget adjustment transfers $5,707,678.75 from the CIP Contingency Account to the Project Management and Consulting Services project in the Capital Projects Fund.

BA-11185306 This budget adjustment transfers $500,000 from the CIP Contingency Account in the Capital Projects Fund and estimates and appropriates that amount in the General Fund. These funds will be distributed to Fairfax County as a contribution to conduct a bridge assessment to support a joint economic development opportunity.

BA-11062304 This budget adjustment estimates and appropriates $7,021 in donations in the Animal Shelter Trust Fund and transfers those funds to the General Fund for the Department of Animal Services. These funds will be used to purchase portable radios for staff in the animal shelter.

BA-11104367 This budget adjustment transfers $3,398,133.61 in remaining balance of general obligation bond financing from the Loudoun County Parkway Interchange capital project in the Capital Projects Fund and estimates and appropriates those funds in the Debt Service Fund. The remaining proceeds

are part of the 2007B bond issue which will be retired as of December 1, 2017, and will be applied towards the final debt service payment.

BA-11108626 This budget adjustment transfers $371,557.98 from the Government Support Center Infrastructure project to the Eastern Loudoun Animal Shelter project in the Capital Projects Fund. The funds will be used for the design and construction of the Eastern Loudoun Animal Shelter.

BA-11111534 This budget adjustment estimates and appropriates $10,285 of state funding from the Office of Children's Services in the Children's Services Act (CSA) Fund to reflect the actual award for administrative costs, and $9,454 of prior year CSA fund balance for the required local match. This action will reduce CSA Fund balance by $9,454.

BA-11118609 This budget adjustment estimates and appropriates $4,155 of Federal and State funding from the Virginia Department of Social Services in the General Fund for the Department of Family Services. These funds will be used for the Fostering Futures adoption subsidy. No local match is required.

BA-11120241 This budget adjustment transfers $6,545,963 in federal TIFIA funds from the Capital Financing Fund and estimates and appropriates the funds in the Capital Projects Fund through the Transportation District Fund.

BA-11145749 This budget adjustment transfers $44,004 from Litigation Contingency in the Non-Departmental Budget of the General Fund to the County Attorney's Office for litigation expenses.

BA-11145748 This budget adjustment transfers $3,000,000 from the Claude Moore Recreation Center Pool Seating Expansion project to the Claude Moore HVAC Replacement project in the Capital Projects Fund.

BA-11093429 This budget adjustment estimates and appropriates $39,780 of state grant revenue from the Virginia Department of Criminal Justice Services in the General Fund for the Department of Community Corrections. These funds will be used for rapid screening and referral for substance abuse treatment. A local match of $7,020 is required and is available in the Department's FY 2018 operating budget.

BA-11093320 This budget adjustment estimates and appropriates $75,000 in revenue collected from electronic monitoring fees in the Department of Community Corrections in the General Fund. These funds will be used to purchase electronic monitors to maintain the electronic monitoring program.

FISCAL IMPACT: Budget adjustments presented for the Board’s consideration have an impact on the County’s expenditure and revenue budgets of the following funds in FY 2018:

Increase the General Fund by $643,805.36; Increase Children’s Services Act Fund revenue by $10,285 and expenditures by $19,739;

Increase the Animal Shelter Fund by $7,021; Increase the Transportation District Fund by $6,545,963; Increase the Capital Projects Fund by $6,545,963; and

Increase the Debt Service Fund by $3,398,133.61.

Therefore, there is no impact on General Fund Balance and a $9,454 impact on Children’s Services Act Fund Balance. DRAFT MOTION: I move that the Board of Supervisors 1) approve the budget adjustments as set out in the December 5, 2017 Administrative Items Report; 2) recognize an increase in the revenue and expenditure budgets of $643,805.36 in the General Fund, $7,021 in the Animal Shelter Fund, $6,545,963 in the Transportation District Fund, $6,545,963 in the Capital Projects Fund, $3,398,133.61 in the Debt Service Fund, and increase the revenue budget of the Children’s Services Act Fund by $10,285 and expenditure budget by $19,739.

BACKGROUND: The Loudoun County Land Subdivision and Development Ordinance (LSDO) Section 1246.03 establishes an Advisory Plans Examiner Board (APEB) which shall make recommendations to the Board of Supervisors on the general operations of the Designated Plans Examiner (DPE) and Plans Reviewer Specialist Program (PRS). This program, as stated in LSDO Section 1246.01, establishes a separate processing procedure for the review of certain land development plans. Its purpose is to expedite the County's review of staff approved plans. Persons who meet the qualifications set forth in LSDO Section 1246.02(2) for DPE and Section 1246.02(3) for PRS are eligible to submit plans for expedited review only upon their designation (DPE or PRS) following their recommendation to be so designated by the APEB. Said DPE or PRS status remains in effect as long as participants attend continuing education courses and are consistent in preparing and submitting plans which meet all applicable ordinances and regulations. BACKGROUND: The recorded Special Exception Plat for Scott Jenkins Memorial Park as associated with SPEX-2009-0004 and SPEX-2009-0015, depicted several Tree Conservation Easements on the parcel. Specifically, Special Exception Conditions #3 and #4 state in part:

3. Tree Conservation Areas The development of the Special Exception use shall ensure sustainability of the Tree Conservation Areas, identified on the Special Exception plat and inclusive of, at minimum, "Individual Tree to be Preserved in situ" on the Special Exception Plat and the large pin oak at the northwestern corner of the site near the Existing Irrigation Well A. Removal of Tree Conservation Areas will be permitted only if recommended by a certified arborist. Maintenance of the Tree Conservation Areas shall be actively provided by the Applicant in conformance with Virginia Forestry guidelines.

4. Moon Tree To ensure preservation onsite there shall be:

a. No future site alteration or land disturbance within 30 feet of the tree in accordance

with Section 7.303 of the Facilities Standards Manual addressing critical root zone preservation with the exception of the retaining wall area. No land disturbance shall occur within 20 feet of the tree in the retaining wall construction area;

b. A plaque explaining the tree's significance and history; c. 4-foot welded wire tree protection fence during construction with "Tree Protection"

signage in English and Spanish spaced no more than 30 feet apart all the way around the tree protection fence;

In association with the Site Plan for the project, STPL-2009-0011 (Scott Jenkins Memorial Park Phases I and 2), the attached Deed of Easement prepared by Mr. John R. Powell, Assistant County Attorney, and its plat are submitted for approval and signature. e. EXCEPTION TO COURTHOUSE GROUNDS RULES / USE OF ELECTRICITY

ELECTION DISTRICT: Leesburg

STAFF CONTACT: Emily Watkins, County Administration

BACKGROUND: The Board’s adopted rules regarding use of the courthouse grounds prohibit the use of electricity, including the outlets that are part of the old courthouse, as a general safety precaution. There is a pending request for the annual Martin Luther King (MLK) march to use electricity during the event in 2018. At staff’s request, the organization submitted technical information regarding the equipment they will be using. This information was evaluated by staff of General Services and it was determined that the electrical outlets could safely supply sufficient power to the equipment. Therefore, staff is recommending that the Board adopt an exception to the policy and permit the MLK organizers to use the electrical outlets on the courthouse.

DRAFT MOTION: I move that the Board of Supervisors approve an exception to the rules regarding use of the courthouse grounds that allows the MLK organizers to use the electrical outlets on the courthouse grounds.

Guidelines for Use of the Courthouse Grounds

(adopted April 20, 2010; last amended November 4, 2015)

Use of the Loudoun County Courthouse Grounds for public gatherings must follow rules below, which

are meant to provide equal access, to protect sensitive areas, and to respect the nature of the

courthouse and its grounds.

General Rules

Applications must be submitted ad approved by the Office of the County Administrator prior to use

of the grounds for gatherings.

Applications are processed on a first-come, first-serve basis.

If an activity is not in compliance with these rules, the county reserves the right to terminate the

use.

Applicants are responsible for restoring the site and grounds to their condition before use and for

cleaning the premises after the use. Applicants must make appropriate provisions for trash removal.

If staff time is used for restoration of the site and grounds to its original condition, the applicant will

be billed for the staff time and the applicant will be denied usage until the bill is paid in full.

No activity shall pose a risk to public safety.

No activity shall impede court business or proceedings.

Use of the courthouse (internal and external areas, such as the steps) and all other facilities falls

under the authority of the courts and must be approved for use through a separate request to the

courts.

No fees will be charged to use the grounds.

Firearms, candles, other incendiary devices, fireworks, alcoholic beverages and illegal drugs and the

use of vehicles are prohibited.

The use of poles, stakes, tents, digging or excavation is prohibited.

The use of electricity through outlets on the court buildings is prohibited

Nothing, including displays, banners, signs, lighting, equipment, etc., shall be affixed to poles,

fences, signs, buildings, trees or any other structure.

Gambling, raffles, games of chance and sporting activities (including football, frisbee, etc.) are

prohibited.

Benches or other equipment shall not be moved or removed.

The brick walk-ways shall be used for pedestrian traffic only.

The user must make every effort to protect the trees, grass or other vegetation.

Gatherings

All gatherings must be in compliance with the general rules above.

Use of the grounds for gatherings (without application) is limited to 20 or fewer people for short

periods of time. Gatherings of more than 20 people require advance application.

The application for a gathering should indicate the general area(s) to be used for the gathering. The

county reserves the right to restrict the specific locations of gatherings.

The Loudoun County Sheriff will determine the appropriate level of security, if any, needed for

gatherings, depending on circumstances. Applicants may be required (at their own expense) to

provide additional security if deemed necessary.

No bathrooms are provided.

The applicant is responsible for naming the County of Loudoun as additionally insured on any

insurance policy.

Rain dates for events will not be given.

Authorization for County Administrator to Execute a Virginia Department of Transportation (VDOT) Project Administration Agreement (UPC 108486) for Preparation of Loudoun County Parkway/Route 606 Conceptual Interchange Design, Analysis of Access Options to Metropolitan Washington Airports Authority’s (MWAA) Western Lands and Level of Service Analysis for Loudoun County Parkway Improvement Alternatives

ELECTION DISTRICTS: Blue Ridge and Dulles STAFF CONTACTS: Susan Glass, Transportation and Capital Infrastructure Joe Kroboth, III, Transportation and Capital Infrastructure BACKGROUND: The Route 606 Widening project is currently under construction to widen Route 606 to a four-lane median divided roadway between the Dulles Greenway and Evergreen Mills Road. The project is being funded by the Virginia Department of Transportation (VDOT), Loudoun County and the Metropolitan Washington Airports Authority (MWAA). The County funded its portion of the project, $46,500,000, in the FY 2015-2020 Capital Improvement Program (CIP) budget. On July 17, 2013, the Board of Supervisors (Board) approved the Standard Project Administration Agreement with VDOT to administer this project on behalf of the County (8-0-1: Delgaudio absent)1. Due to funding constraints, the scope of the Route 606 Widening project was initially reduced to eliminate certain elements of the project. At their September 18, 2013 Business Meeting, the Board unanimously endorsed a design for the widening of Route 606 (Old Ox Road) between Route 267 (Dulles Greenway) and Route 621 (Evergreen Mills Road)2. This action excluded among other elements, the design of the intersection at Route 606/Loudoun County Parkway/Arcola Boulevard. These exclusions were necessary in order to bring the project within the VDOT estimate and the available funding. Hence, a decision was made to eliminate the Route 606/Loudoun County Parkway/Arcola Road intersection because Brambleton had not yet commenced construction of Loudoun County Parkway since they had not achieved the level of development that required them to act upon their proffer obligation. Loudoun County Parkway At the July 18, 2013 Transportation Summit, the Board verbally directed staff to include funding in the Proposed FY 2015-2020 CIP (February 2014) to advance the construction and completion of Loudoun County Parkway from Creighton Road to Old Ox Road (Route 606). The Board, concerned with traffic congestion and connectivity of the transportation network, directed staff to include the project in the CIP and identify a funding source to accelerate the completion of the project. At their April 2, 2014 Business Meeting, the Board adopted their FY 2015-2020 CIP, which included $51 million of planned Northern Virginia Regional Transportation Authority (NVTA) regional funds for Loudoun County Parkway. (70%) as planned in the Adopted FY 2015-2020 CIP (April 2014). The request was originally proposed over three fiscal years: $7 million in FY 2015 and $24 million in FY 2016, with an additional planned appropriation of $20 million in FY 2017. On March 25, 2015, NVTA awarded Loudoun County $31 million for the Loudoun County Parkway project, which matched the amounts estimated for FY 2015 and FY 2016 in the Adopted CIP (April 2014). The NVTA funding provides for the design, land acquisition, utility relocations and construction of Loudoun County Parkway from Creighton Road to Route 50. The planned funding in FY 2017 of $20 million was determined not to be needed on the Loudoun County Parkway project; therefore staff did not apply for the funds for this project. The developer of Brambleton decided to accelerate the completion of Loudoun County Parkway from Creighton Road to Old Ox Road. This decision required coordination between the Route 606 Widening Project and Brambleton’s Loudoun County Parkway project. To minimize the disruption to the traveling public and to avoid significant demolition and reconstruction, the County, VDOT and Brambleton agreed that the intersection of Route 606/Loudoun County Parkway/Arcola Boulevard will be constructed by VDOT’s design/build contractor for the Route 606 Widening Project (Dewberry and Shirley Contracting) through a contract change order. As a starting point, Dewberry used the intersection design plan previously prepared by Brambleton and updated the plans to include additional turn lanes. Subsequent to VDOT’s “Pardon Our Dust” meeting for the Route 606 Widening Project, concerns were raised about southbound Route 606 traffic backing up at the traffic signal at the Loudoun County Parkway intersection. VDOT had its consultant HNTB, update the traffic operational analysis incorporating traffic volume projection from the recently updated and refined transportation network model for Loudoun County, which was not available at the time when the Route 606/Loudoun County Parkway intersection initial design was prepared. When the additional turn lane movements were included in the intersection, acceptable traffic operations were achieved for approximately five (5) years after opening of the intersection. If a free-flowing, fly-over ramp was provided for southbound Route 606, then acceptable traffic operations were achieved for an estimated eight (8) to thirteen (13) year period after opening. At their June 17, 2015 Business Meeting, the Board authorized staff to do the following (8-0-1: Letourneau absent)3:

Request VDOT to issue a change order in the amount not to exceed $11.2 million for the design and construction of the Route 606 and Loudoun County Parkway intersection with a triple left turn movement for the westbound Route 606 (Old Ox Road) approach.

Contract for a conceptual design of an interchange at Route 606 and Loudoun County Parkway, in an amount not to exceed $100,000, with both items being funded with NVTA regional funds (70%) appropriated on the Loudoun County Parkway project.

Work collaboratively with VDOT to develop a prioritized list of potential improvements and cost estimates for Loudoun County Parkway between Creighton Road and John Mosby Highway (Route 50) for the use of the remaining FY 2015 and FY 2016 regional funds awarded to Loudoun County Parkway for Board endorsement.

Staff presented a conceptual design for the Route 606/Loudoun County Parkway interchange to the Board at its February 18, 2016 Business Meeting (Attachment 2). During this meeting, the Board also unanimously approved a funding request, in an amount not to exceed $213,585, for a task order to HNTB to analyze access options to MWAA’s Western Lands once the future Route 606/Loudoun County Parkway interchange is in place4. On November 1, 2016, staff presented the Board with the findings of the Route 606 at Loudoun County Parkway Interchange Study Final Report. On February 23, 2017, staff presented the Board with alternatives that could be designed and/or constructed with the balance of the NVTA funds. The alternatives for consideration are:

1. Design the Route 606/Loudoun County Parkway/Arcola Boulevard Interchange 2. Design the Route 50/Loudoun County Parkway Interchange 3. Design and construct a third northbound lane on Loudoun County parkway from Route

50 to Route 606 4. Design and construct two additional lanes on northbound Loudoun County parkway

from Route 50 to Route 606 5. Design and construct one additional lane on southbound Loudoun County Parkway

from Route 606 to Loudoun County Parkway 6. Design and construct one additional southbound lane and two additional northbound

lanes on Loudoun County Parkway between Route 50 and Arcola Boulevard/Route 606 7. Design and construct a flyover ramp from westbound Route 606 to southbound

Loudoun County parkway 8. Purchase right-of-way for future widening of Loudoun County Parkway and

interchanges based on conceptual design During the February 23, 2017 meeting, the Board directed staff to conduct additional level of service analysis and cost refinement for the options that were identified in the spending plan for the remaining NVTA funds (8-0-1: Meyer absent)5. The Countywide Transportation Plan prescribes the ultimate configuration for the segment of Loudoun County Parkway between Route 50 and Route 606 to be an eight lane median divided limited access urban arterial highway that has 200 feet of right-of-way. Grade-separated interchanges are planned at the intersections of Loudoun County Parkway and Route 606 (Old Ox Road) and US Route 50 (John Mosby Highway. The existing conditions on this segment of Loudoun County Parkway consist of three southbound lanes and two northbound lanes. In November 2015, DTCI commenced work on a conceptual design for the Route 50/Loudoun County Parkway interchange. The goal of the study was to ensure that appropriate land dedication and access management could be requested as part of the development review process. Staff presented a conceptual design for the Route 50/Loudoun County Parkway interchange to the Board

at its September 22, 2016 Business Meeting; the Board endorsed the full cloverleaf design (8-0-1: Randall absent )6. Since that time, the County has acquired right-of-way on the southern portion of the future interchange from one property owner. Additionally, the County has begun designing a road that will provide access to the southwestern quadrant of the interchange. The cost estimate to design and construct the Loudoun County Parkway/Route 50 interchange access road is $12.5 million; the NVTA regional funds that were awarded to the County for Loudoun County Parkway will be used to fund this effort. Route 606 Widening Project Standard Project Administration Agreements VDOT establishes project IDs that begin with “UPC” for each project. They also develop project administration agreements that stipulate the responsibilities for VDOT (the Department) and Loudoun County (the County). Appendix A to the agreement provides the funding arrangement for the project. Appendix B to the agreement provides the project scope. On July 21, 2016, the Board authorized the County Administrator to execute the Revised Appendix A between the County and VDOT for the Route 606 Widening Project, UPC 97529 (9-0)7. VDOT established a separate project code, UPC 107953, for costs that are associated with the at-grade Loudoun County Parkway intersection improvements that are being designed and constructed in conjunction with the Route 606 Widening project. On June 17, 2015, the Board authorized a change order in an amount not to exceed $11,200,000 for the design and construction of the intersection of Loudoun County Parkway and Old Ox Road, with a triple left-turn movement from westbound Old Ox Road to southbound Loudoun County Parkway (8-0-1 Letourneau absent)8. On February 23, 2017, the Board authorized the County Administrator to execute a revision to Appendix A for the Route 606/Loudoun County Parkway intersection, which included $270,000 for costs associated with the interim Route 606/Loudoun County Parkway intersection improvements; the total amount of Appendix A was $11,470,000 (8-0-1: Meyer absent)9. VDOT established a new project code, UPC 108486, to fund the preparation of the conceptual interchange for Route 606/Loudoun County Parkway, including access options to MWAA’s Western Lands, and to fund the preparation of a level of service analysis for Loudoun County Parkway as previously directed by the Board. This item presents UPC 108486 to the Board for approval. The preliminary engineering tasks included in UPC 108486 are:

i. Develop a conceptual design layout of improvements/interchange at the intersection of Route 606 Old Ox Road, Route 607 Loudoun County Parkway and Arcola Blvd, that would provide acceptable traffic operation through 2040.

Prepare a Benefit-cost index (BCI) for each alternative project that reflects the project cost and value of time savings for facility users computed based on projected reduction in delay. Prepare a matrix to summarize traffic operations, cost and programming data for each alternative project.

The cost for the above tasks is $323,585 which will be paid from the NVTA 70% funds that have been awarded for Loudoun County Parkway. The Board previously authorized a total of $313,585 for the majority of the tasks that are included in UPC 108486: $100,000 for the conceptual design of the Route 606/Loudoun County Parkway interchange at the June 17, 2015 Business Meeting and $213,585 to analyze access to MWAA’s Western Lands once the Route 606/Loudoun County Parkway interchange is in place at the February 18, 2016 Business Meeting. The VDOT project administration agreement was not available when the Board authorized funding. UPC 108486 also contains $10,000 for VDOT’s oversight costs. VDOT’s consultant, HNTB, has already prepared the conceptual design for the Route 606/Loudoun County Parkway and analyzed access to MWAA’s Western Lands (tasks i. and ii. listed above). VDOT has capacity in its contract with HNTB to have the level of service analysis prepared for Loudoun County Parkway. Since HNTB already has much of the base data that is needed to perform this analysis, staff recommends that VDOT to continue working with HNTB on the task iii.

THIS AGREEMENT, made and executed in triplicate on this the day of ____, 2017, between the COMMONWEALTH OF VIRGINIA

DEPARTMENT OF TRANSPORTATION, hereinafter referred to as the "DEPARTMENT" and the COUNTY OF LOUDOUN, hereinafter

referred to as the "COUNTY."

WITNESSETH

WHEREAS, the COUNTY has expressed its desire to have the DEPARTMENT administer the work as described in Appendix B, and such work for each improvement shown is hereinafter referred to as the Project; and

WHEREAS, the funds as shown in Appendix A have all been allocated by the COUNTY to finance the project; and

WHEREAS, the COUNTY has requested that the DEPARTMENT design and construct this project in accordance with the scope of work described in Appendix B, and the DEPARTMENT has agreed to perform such work; and

WHEREAS, both parties have concurred in the DEPARTMENT's administration of the project identified in this Agreement and its associated Appendices A and B in accordance with applicable federal, state, and local law and regulations; and

WHEREAS, the County's governing body has, by resolution, which is attached hereto, authorized its designee to execute this Agreement; and

WHEREAS, Section 33.2-338 of the Code of Virginia authorizes both the DEPARTMENT and the COUNTY to enter into this Agreement;

NOW THEREFORE, in consideration of the promises and mutual covenants and agreements contained herein, the parties hereto agree as follows:

A. The DEPARTMENT shall:

1. Complete said work as identified in Appendix B, advancing suchdiligently, and all work shall be completed in accordance with theschedule established by both parties.

2. Perform or have performed, and remit all payments for, allpreliminary engineering, right-of-way acquisition, construction,contract administration, and inspection services activities for theproject(s) as required.

3. Provide a summary of project expenditures to the COUNTY for charges of actual DEPARTMENT cost. 4. Notify the COUNTY of additional project expenses resulting from unanticipated circumstances and provide detailed estimates of additional costs associated with those circumstances. The DEPARTMENT will make all efforts to contact the COUNTY prior to performing those activities. 5. Return any unexpended funds to the COUNTY no later than 90 days after the project(s) have been completed and final expenses have been paid in full. B. The COUNTY shall:

1. Provide funds to the Department for Preliminary Engineering (PE), Right of Way (ROW) and/or Construction (CN) in accordance with the payment schedule outlined in Appendix A.

2. Accept responsibility for any additional project costs resulting from unforeseeable circumstances, but only after concurrence of the COUNTY and modification of this Agreement.

C. Funding by the COUNTY shall be subject to annual appropriation or other lawful appropriation by the Board of Supervisors.

D. The Parties mutually agree and acknowledge, in entering this Agreement, that the

individuals acting on behalf of the Parties are acting within the scope of their official authority and the Parties agree that neither Party will bring a suit or assert a claim against any official, officer, or employee of either party, in their individual or personal capacity for a breach or violation of the terms of this Agreement or to otherwise enforce the terms and conditions of this Agreement The foregoing notwithstanding, nothing in this subparagraph shall prevent the enforcement of the terms and conditions of this Agreement by or against either Party in a competent court of law.

E. The Parties mutually agree that no provision of this Agreement shall create in the

public, or in any person or entity other than the Parties, rights as a third party beneficiary hereunder, or authorize any person or entity, not a party hereto, to maintain any action for, without limitation, personal injury, property damage, breach of contract, or return of money, or property, deposit(s), cancellation or forfeiture of bonds, financial instruments, pursuant to the terms of this Agreement or otherwise. Notwithstanding any other provision of this Agreement to the contrary, unless otherwise provided, the Parties agree that the County or the Department shall not be bound by any agreements between either party and other persons or entities concerning any matter which is the subject of this Agreement, unless and until the

F. Nothing in this Agreement shall be construed as a waiver of the LOCALITY’s or the

Commonwealth of Virginia’s sovereign immunity. G. Should funding be insufficient and county funds be unavailable, both parties will

review all available options for moving the project forward, including but not limited to, halting work until additional funds are allocated, revising the project scope to conform to available funds, or cancelling the project.

H. Should the project be cancelled as a result of the lack of funding by the COUNTY,

the COUNTY shall be responsible for any costs, claims and liabilities associated with the early termination of any construction contract(s) issued pursuant to this agreement.

I. This Agreement may be terminated by either party upon 60 days advance written notice. Eligible expenses incurred through the date of termination shall be reimbursed to the DEPARTMENT subject to the limitations established in this Agreement. THE COUNTY and DEPARTMENT acknowledge and agree that this Agreement has been prepared jointly by the parties and shall be construed simply and in accordance with its fair meaning and not strictly for or against any party. THIS AGREEMENT, when properly executed, shall be binding upon both parties, their successors and assigns. THIS AGREEMENT may be modified in writing upon mutual agreement of both parties.
