This agreement ("Agreement") is executed between the customer ("Customer") whose details

appear at the Account Opening Agreement - Client Information, and BH Mubasher Financial Services

P.S.C., P.O. Box 26730, Dubai, United Arab Emirates referred to hereinafter as the ("Broker or BH

Mubasher"). Whereas the Customer wishes to trade in securities of companies listed, across

international stock markets; And whereas Customer hereby wishes to appoint BH Mubasher

Financial Service P.S.C. as a broker to supply execution services; And whereas Broker agrees to

accept such appointment to supply necessary services on shares & stock Customer wishes to deal

thereon; parties hereby agree to the following terms and conditions

المرخصة من قبل هيئة االوراق المالية و السلع بمزاولة نشاط الوساطة في االوراق

ه يئالمالية في دولة االمارات العربيه المتحده وكذلك استوفت كافة الشروط من قبل اله

للعمل كوسيط تنفيذ خدمات التداول عالميا مستفيده من خدمات الوسطاء المرخصين في

. االسواق ذات الصله وحيث ان العميل يرغب في التداول في االوراق الماليه من خالل الشركة في األسواق

العالميه وذلك بناء على االوامر و التعليمات التي يبديها العميل وفقا لتقديره المطلق

ووفقا للشروط و االحكام الواردة بهذه االتفاقية ، وعليه فقد أقر الطرفان بأهليتهما و

Whereas BH Mubasher Financial Services P.S.C. is a company licensed by Securities & Commodities Authority ("SCA") to carry out brokerage business in financial securities in United Arab Emirates, after fulfilling all conditions required by SCA to act as a broker for the supply of trading service on international level, benefiting from the services extended by licensed brokers in all concerned markets; And whereas Customer wishes to trade in financial securities through the Company in international markets, based on orders & instruction extended by Customer in his/her/its sole discretion, according to the terms & conditions highlighted by this Agreement. In witness of the above, with due acknowledgment of their legal capacities to act and contract; parties hereby agree to the following terms & condition:

تعاريف أساسيه

عميل يتداول عن طريق ) بها وبصوره منفرده بالحسابات العاديه يقصد:

ويكونوا ,التداوالت بالنيابه عنها في البورصات المحليه ألي بلد في العالم

جميعا مفوضيين ومصرح لهم العمل في هذه الوظيفه من قبل السلطات

. المنظمه المحليه أو سوق االوراق الماليه

الوسيط المنفذ

و لحسابه أو به كل من احترف بيع وشراء األوراق المالية بأسمه يقصد:

لحساب موكله القانوني

العميل أو المستثمر

بها األسهم و السندات و االذونات المالية التي تصدرها الشركات يقصد:

المساهمة و السندات و االذونات التي تصدرها الحكومة و الهيئات العامة

و المؤسسات العامة و أية ادوات مالية اخرى محليه او غير محليه تقرها

. الجهه المنظمه لسوق المال

االوراق المالية

بها االسواق العالميه أو البورصات التي أختارها العميل لتعيين يقصد:

. للعمل كوسيط منفذ " مباشر بي إتش " شركة االسواق العالميه

مجموعة القوانين و التعاميم و التعليمات الصادرة و التي قد هي:

تصدر الحقا عن السوق او الهيئة و التي تتعلق بتنظيم عملية التداول

. في االوراق المالية

انظمة السوق

به حسابات التداوالت المفتوحه باسم العميل بخصوص التداوالت يقصد:

بها هي حلول برمجيه توفر للعميل الدخول في حساب نظام ويقصد:

Article One Above Preamble and attached addenda and documents, are hereby considered an integral part of this Agreement.

Article Two: Definitions

Basic Definitions

Accounts :Means individually, any ordinary accounts (customer deals through his/her/its own Investment Number)

CSD :Means the Central Securities Depository

Executing Broker

:Means any broker or investment company authorized or appointed by BH Mubasher Financial Services P.S.C., for the execution of any trading on its behalf across local stock markets of any country in the world, provided that appointed Broker/Investment company shall be authorized and licensed to carry out such duty by local regulatory authorities or stock market authority.

Customer or Investor

:Means the person who carries out the business of sale and purchase of financial securities personal or in favor of the account of his/her legal principal.

Financial Securities

:Shares, stock or bonds issued by joint stock companies, or stock or bonds issued by any government, public organization, public establishment, or any other local or foreign financial tools approved by the capital market regulatory authority.

Global Markets :Means any world stock markets or bourses selected by customer for "BH Mubasher" to act as executing broker.

Market Regulations

:Means a group of laws, circulars, and instruction issued or will be issued by the market or SCA regarding the regulation of trading in financial securities.

Ordinary Trade Account

:Means any of trade accounts open in Customer name for trading purposes, through Customer's Investor Number whether at "BH Mubasher" or any other global capital market.

Omnibus Trading Account

:Means all trade accounts open in Customer name at the Company on company’s Investor number at the Company or in any other global capital market.

Financial Securities Markets

:Means financial securities markets licensed by the regulatory authorities in each foreign country.

Orders Management System

:Means software solutions provided to Customer to access the Orders Management System Account.

الــمـخاطــربــيــان : الـبـنـد الـثــالـــث

إن التعامل باألوراق المالية ينطوي على عدة مخاطر قد تؤدي إلى خسارة العميل لرأسماله

المستثمر أو جزء منه ، فكما أن أسعار األوراق المالية قابلة لالرتفاع فإنه يمكن لهذه األسعار

في األسعار ، باتأيضا أن تنخفض بنسبة كبيرة قد تؤدي إلى إلحاق خسائر بالعميل بسبب التقل

و كذلك قد تصبح عملية تسييل األوراق المالية و بيعها صعبة نظرا النخفاض الطلب عليها ،

. هذا باألضافة إلى مخاطر أخرى عديدة قد يتعرض لها العميل

الحسابات: الــبــنــد الــرابــع

خدمات التداول " مباشر بي إتش "تقدم شركة , بموجب شروط وأحكام هذه االتفاقيه . 1

. أو كليهما العاديه و الحسابات المجمعةباالسواق العالمية لعمالئها عبر الحسابات

يتم االحتفاظ بأصول وأسهم التداوالت ذات الصله باالسواق المحلية بأسم العميل فى حال . 2

التداول عن الشركة فى حال كان كان التداول عن طريق الحسابات العادية و فى حساب

طريق الحسابات المجمعة

مسؤولية , عند فتح وتشغيل الحسابات بموجب الحسابات العاديه أو الحسابات المجمعة. 3

العميل ضمان التزامه بأحكام هيئة سوق المال والبنك المركزي وأية بورصه محليه معتمدة

. راء تداوالته أو اي هيئة تنظيم اسواق اخرى في البلد التي إختارها العميل ألج

ومستخدم" مباشر بي إتش "به أي حساب نقدي تشغله شركة يقصد :

. لغرض أجراء التسويات مع العميل حساب االيداع

جرائها إأجمالي قيمة الشراء وقيمة البيع التي تم إبه الفرق بين يقصد :

األوراق المالية المرخص ، و الذي يتم من خالله عمليات بيع و سوق :

BH Mubasher Deposit Account

:Any cash account operated by BH Mubasher, used to carry out settlements with the Customer.

Settlement Net :Means the difference between total purchase and total sale value of transactions completed base on Customer's request on any single trading day.

Transactions Management System

:Means the system used to manage customers’ orders, an electronic program developed by BH Mubasher to execute customers’ orders at any selected market.

Settlement Date

:Means the date on which executed trade transactions are settled in accordance with local markets trends, or as agreed on directly between parties.

SCA :UAE Securities & Commodities Authority. Law :Financial Securities trading Laws as its amendments. System :Brokers System and its amendments. Market :Licensed stock market through which financial

securities sale & purchase transactions are executed.

Investor Number

:Special number generated by Market to Customer.

Trade Account :Customer's account through which Customer trades in financial securities, by means of ordinary or consolidated trading.

Trading :Sale and purchase transactions on financial securities.

Article Three- Statement of Risks

Trading in financial securities involves many risks due to which Customer may lose whole or part of invested capital. While prices of financial securities may increase, prices may decrease in substantial rates, due to which Customer may suffer losses due to prices fluctuations. Furthermore, the liquidation or sale of financial securities may be difficult due to low demand, in addition to many other risks to which Customer may be exposed.

Article Four- Accounts

1. According to the terms & conditions of this Agreement, BHMubasher hereby agrees to provide the service of trading in global markets to its customer, through ordinary or consolidated accounts, or both.

2. Original traded shares carried out in local markets in Customername are kept in Customer name in case trading is through ordinary accounts, and in Company account if traded through consolidated accounts.

3. Upon the opening and operation of ordinary or consolidated account, Customer is responsible to comply with the instructions of SCA, Central Bank, local stock market or any other capital market regulatory authority at the country selected by Customerto carry out his/her trading deals.

مباشر وعليه تزويد الشركة بأية معلومات ضروريه بي إتش اإلتفاقيات المطلوبة من شركة

لغرض تطبيق كل متطلبات هيئات تنظيم البورصه في االسواق التي اختارها لغرض

على العميل التوقيع على سند توكيل بالصيغه التي يتفق عليها الطرفان أو حسب النموذج . 5

الذي يشكل جزءا ال يتجزأ من هذه االتفاقيه وال يجوز للعميل " 1"المبين في الملحق

. دعت الحاجه الى أجرائه" مباشر بي إتش " االمتناع عن تنفيذ أية تعديل من قبل

4. Customer shall provide BH Mubasher all ordered information,execute all agreements required by BH Mubasher, and supplyCompany any necessary information required to fulfill stockmarkets authorities in the markets selected by Customer fortrading purposes.

5. Customer shall execute a power of attorney ("POA") in the formagreed on between parties, or according to form attached asappendix "1", considered an integral part of this Agreement.Customer has no right to decline to execute any amendmentrequired by BH Mubasher.

بحقها باالمتناع أو رفض قبول أي حساب أو أي معامله " مباشر بي إتش "تحتفظ شركة . 6

, كما يحق لها أنهاء اتفاقية أي حساب وافقت عليه مسبقا , جرت على حساب العميل عن "مباشر بي إتش "ويتحمل العميل أية ألتزامات على ذلك ويجب عليه تعويض شركة

مستند أو بيان مطلوب تقديمه الى مباشر أية خسائر أو أضرار في حال عدم أكتمال اية

. بالمطالبه المسبقه لتلك المستندات ” مباشر بي إتش “ شريطة قيام شركة على العميل ضمان تطابق كل التداوالت واالنشطه الخاصه بالحسابات المفتوحه من جانبه . 7

. المطبقهمع القوانين واالحكام واللوائح ” مباشر بي إتش “أو من قبل شركة

سوف تمكن العمالء من التداول على الحساب المجمع مباشر بي إتش في حين أن شركة . 8

بشكل جماعي ما يصل إلى ( وسيطال)مباشر بي إتش في حال اشترت شركة الخاص بها

من شركة مدرجة، يحق للوسيط رفض أو بيع األسهم اإلضافية حيث ترى 4.99٪

. تكون ممتثلة لقوانين اإلفصاح الخاصة باألسواق المعنية الضرورة أن

تنفيذ كل االوامر التي يطالب بها العميل وقد يكون التنفيذ ” مباشر بي إتش “ على شركة . 9

أو ” مباشر بي إتش “ من خالل استخدام نظام أدارة االوامر الخاصه بالعميل من قبل

بي إتش “ عبر الهاتف المسجل أو الفاكس باستخدام رقم الحساب المقدم من شركة

”مباشرمباشر والعميل بااللتزام بكافة االنظمة والقوانين واالحكام واللوائح بي إتش تلتزم شركة . 10

. المتعلقة بمواجهة جرائم غسيل االموال و تمويل االرهاب

6. BH Mubasher reserves its right to reject or accept any account ortransaction through Customer account, or to terminate anyagreement or account approved thereby. Customer bears allliability and agrees to compensate BH Mubasher for any losses ordamages in case Customer fails to submit necessary documents or statements to BH Mubasher, provided that Company requests such information or documents in advance.

7. Customer is responsible to ensure all trading activities carried outthrough accounts open thereby or by BH Mubasher, are in compliant with applicable laws, rules and regulations.

8. Since BH Mubasher will allow its clients to trade some markets on the Omnibus basis, and in case that BH Mubasher’s portfolioreaches up to 4.99% of a particular listed company, BH Mubasherreserves the right to reject buy orders or sell shares over 4.99%threshold as it deems necessary to be compliant with the disclosure laws of each respective market.

9. BH Mubasher shall execute all orders directed by Customer,either through the Customer Orders Management Systemimplemented by BH Mubasher, through registered phone number, or fax using the account provided by BH Mubasher.

10. BH Mubasher and Customer agree to comply with all applicable laws, regulations and rules regarding money laundry and terrorism crimes combat.

حقوق الشركة: البند الخامس

الحصول على المقابل النقدي عن عمليات الشراء قبل تنفيذ أي أوامر شراء، و بحد . 1

. أقصى قبل تاريخ التسويةالحصول على العمولة المقررة لتنفيذ عمليات التداول و ذلك وفقا لألنظمة و القرارات . 2

. هو متفق عليه مع العميل المطبقة ووفق ما

بيع األوراق المالية التي سبق للشركة شراؤها بإسم و لحساب العميل إذا لم يكن قد قام . 3

: بسداد إلتزامه عنها ، وذلك في الحدود التي تكفي لسداد مستحقاتها ، على النحو التالي توجيه إنذار للعميل بموجب رسالة حسب الطريقة المحددة من قبل العميل أو (أ )

خطاب مسجل بعلم الوصول بانه سيتم بيع االوراق المالية حال عدم السداد خالل

يوم عمل من تاريخ استالم األنذار ، على ان يكون موضحا به ( إثنان 2)

رسوم مستحقة مقابل الشراء و التفاصيل عملية الشراء التي تم تنفيذها و المبالغ ال

. و العموالت واجبة الدفع

في حال عدم كفاية الناتج من عملية البيع للمستحقات واجبة السداد ، فإن الشركة (ب)

تحتفظ بحقها في المطالبة بباقي المبلغ و التعويضات إن كان ثمة وجه لذلك شاملة كافة

Article Five- Company's Rights

1. Receive cash sum against any purchase transactions before executing any purchase order, maximum before settlement date.

2. Collect commission agreed on against trading transactions,according to applicable rules and regulations, as agreed on with Customer.

3. Sell financial securities purchased thereby in Customer name and account, in case Customer fails to pay due amount, within the limits sufficient to cover amounts due to Company as follows:a) Direct warning to Customer according to Customer selected

means, or through duly acknowledged registered mail letter,according to which securities will be sold within two (2)business days of warning date, provided that warning notice shall highlight the details of purchase transaction carried out,amounts due against such purchase, and payable fees &commission.

b) In case the sum collected by securities sale is not sufficient tocover amounts due to Company, Company reserves its right toclaim and recover balance sum in addition to due compensations and all other costs & expenses incurred byCompany.

بذل عناية الرجل الحريص في تعامالتها وفقا ألحكام القانون و األنظمة الصادرة تنفيذا . 1

له ، و ان تراعي دوما الشروط و الضوابط التي صدر على أساسها الترخيص و

األعراف التجارية ومبادئ األمانة و العدالة و المساواة و الحرص على مصالح

. العمالء و تنفيذ أوامرهم الصادرة إليها و فقا ألسبقية ورودها

Article Six- Company's Obligations 1. Exert due diligence efforts in its dealings according to applicable

laws & regulations, pay attention to any terms & controls base on which license is issued, in addition to common commercialpractice, and the principles of trust, justice, equality, keenness tocustomers interest, and follow up their instruction according toreceipt order.

التصرف دوما باالمانة و النزاهة لما فيه مصلحة العميل و االمتناع عن أي عمل يؤدي . 2

إلى اإلضرار بالعميل أو الوسطاء األخرين أو السوق كإعطاء صورة مضللة أو غير

2. At all times, deal with trust and integrity in support of Customer'sinterest, avoid any action that may cause harm or damage toCustomer or other market brokers, such as the disclosure ofmisleading details regarding the price of traded security or tradedvolume.

االوامر من العميل ، على أن إدخال اوامر البيع و الشراء إلى نظام التداول فور تلقيها . 3

. يتم اإلدخال وفقا ألسبقية تلقي االوامر

إضافة ناتج عمليات بيع االوراق المالية في حساب العميل في ذات يوم تسوية العملية و . 4

. فقا للقواعد المنظمة

إخطار العميل كتابة او حسب الوسيلة المتفق عليها في هذه االتفاقية بالعمليات المنفذة . 5

على حسابه فور تنفيذها، و للعميل االعتراض على أية عملية بإبالغ الشركة بذات

يوم )واحد 1(الوسيلة بأي خطأ أو اعتراض على العمليات التي تم تنفيذها لحسابه خالل

. عمل من تاريخ إخطاره

عدم تنفيذ أي أمر يرد إليها بغير الطرق المنصوص عليها قانونا أو المتفق عليها في هذه . 6

. االتفاقية . عدم تنفيذ أي عملية بيع إال بعد تأكدها من ملكية البائع لألسهم . 7

تزويد العميل بكشف حساب تفصيلي ربع سنوي، دون أن يخل ذلك بحق العميل بطلب . 8

تزويده بكشف حساب تفصيلي أو بيان بأرصدة العميل من األوراق المالية الخاصة به

. في أي وقت

المحافظة على سرية كافة البيانات المتعلقة بالعميل التي تم الحصول عليها بناء على هذه . 9

كذلك تفاصيل حساب العميل من ارصدة نقدية او ملكية االسهم او حجم االتفاقية و

تداوالته ، وذلك دون اإلخالل بواجب الشركة باإلفصاح عن المعلومات وفقا للقانون و

. االنظمة

3. Upon receipt from Customer, enter all sale & purchase orders through the Trade System, provided that such entry shall considerthe priority of orders receipt by Company.

4. Add the outcome of securities sale into Customer account on the same transaction settlement date, according to regulatory rules.

5. Notify Customer in writing, or according to any other means agreed on in this Agreement, regarding details of transactions carried out through Customer's account. Customer has the rightto object to any transaction by notification to Company using the same means, or object to any transaction carried out through Customer account within one (1) business day of being dulynotified thereto.

6. Avoid the execution or any order not received through licensed means, or means agreed on in this Agreement.

7. Avoid the execution of any sale transaction, before due verification of Seller ownership of offered shares.

8. Provide Customer detailed account statement on quarterly basis,notwithstanding Customer's right to ask for a detailed accountstatement, or details of Customers balances of financial securities at any time.

9. Maintain and protect the confidentiality of Customer information obtained thereby based on this Agreement, in addition to details of Customers account including cash balances, shares ownership or trading volumes, notwithstanding Company's duty to disclose any information required according to applicable laws orregulations.

حــقــوق الــعــمــيــل: الــبــنــد الــســابع

: يحق للعميل في إطار هذه االتفاقية اآلتي إعطاء اوامر الشراء و البيع للشركة ، وأال تقوم الشركة بتنفيذ أي عمليات بدون أمر . 1

منه ، إال في الحاالت التي تجيز فيها القوانين و االنظمة المطبقة ذلك و وفقا الحكام هذه

. االتفاقية

د ، طالما عإلغاء أو تعديل أية أوامر تم تقديمها للشركة و لم يتم تنفيذها بانظمة التداول ب . 2

. كان بإمكان الوسيط إلغائها أو تعديلها ان يتم إخطاره كتابة أو حسب الوسيلة المتفق عليها في هذه األتفاقية بالعمليات المنفذة . 3

على حسابه فور تنفيذها ، وله االعتراض على أية عملية بإبالغ الشركة بذات الوسيلة

يوم ( واحد 1) بأي خطأ أو اعتراض على العمليات التي تم تنفيذها على حسابه خالل

.ارهعمل من تاريخ إخط

إلــتــزامــات الــعــمــيــل: الــبــنــد الـثامن

: يلتزم العميل في إطار هذه االتفاقية بما يلي

. تزويد الشركة بكافة المعلومات التي تطلبها للتحقق من هويته . 1

Article Seven- Customer's Rights

Within the scope of this Agreement, Customer has the right to: 1. Direct any purchase or sale orders to Company, provided that

Company has no right to execute any transaction except through Customer's orders, except for case permitted by applicable laws &regulations, or in accordance with the provision of this Agreement.

2. Cancel or amend any orders directed to Company not executed yet, as long as Broker is able to cancel or amend such orders.

3. To receive written notification in accordance with the means agreed on in this Agreement, regarding details of all transactions carried out through Customer's account. Customer has the rightto object to any received through different means, or to challenge any error or any transaction executed through Customer account,within one (1) business day of being notified.

Article Eight- Customer's Obligations

Pay the sum of any financial securities purchase, in addition to all other fees & expenses within the limits determined by applicable laws, resolutions and regulations, and according to the terms &conditions of this Agreement, provided that Company has the right to deduct the sum of any fees or expenses from Customer's account without the need for Customer's approval .

3. Customer hereby undertakes to notify Broker regarding anychange in the details or information highlighted by this Contract,provided that any such disclosure shall be carried out using the means approved by this Contract, upon their occurrence .

Article Nine- Additional Terms

1. Acknowledgmentsa. Customer hereby acknowledges that all details highlighted by the

forms executed and signed thereby, are correct and accurate.

b. In case Customer is an individual, Customer acknowledges thathe/she has the right to execute and sign this Agreement and/or tofulfill all his/her obligations highlighted thereby.

c. If the customer was a corporate person, the customer confirms that he has due capacity and competency to enter into this agreement and perform the obligations under this agreement andthat the signatory in this contract is authorized to sign the contract on behalf of the corporate person.

d. The customer acknowledges that in the event there was noobjection on his part on the trading transactions within a period not exceeding (1) one business day as per Article Five pertaining tothe obligations of the company and Article Six pertaining to the rights of the customer; all the transactions performed on his accounts shall be valid .

2. Settlementa) Customer hereby undertakes that, before any orders are issued

thereby, Customer shall provide the Company with sufficientfunds to enable the Company to execute ordered transaction/s.

b) In case Company, in its sole discretion, executes any Customer's instructions without sufficient funds in Customer's account,Customer undertakes to pay all amounts due thereon within twenty four (24) hours of receiving transaction confirmation.

c) When the company executes the orders of the customer to sell,the company shall deposit the proceeds of the sale in the customer’s trading account after deducting all the expenses resulting from the sale transaction.

d) Company is responsible to register all fees charged by the stockmarket authorities on the Company through Customer's trading account, against the services provided by Company on behalf ofCustomer, or according to directed instructions, whether related to the trading deal or not.

e) In case Customer fails to pay amounts due thereon in favor ofthe Company within the period highlighted by point (2.b) of the above Article, Company has the right to seize or attach anyamounts or securities due to Customer, or to liquidate anyamounts or securities as required according to Company's sole discretion, to settle any amounts due on the Customer, provided that any such liquidation doesn’t affect any other rights offered to Company according to applicable laws, or banking practice.

4. The customer acknowledges that he/she understands the rules and regulations of the market pertaining to trading in securities and undertakes to abide by these rules and regulations

Trading Execution -Article Ten

1. Upon opening the Customer account, BH Mubasher FinancialServices shall setup trading and cash accounts in differentcurrencies in favor of Customer, with the feature of transfer toand from different cash accounts. Trading account shall be linked to Customers portfolio at the concerned stock market.

2. Customer hereby authorizes BH Mubasher Financial Services toexecute orders at any agreed-on market in Customer name, and to take necessary actions regarding any trading or settlementthrough Customer account, including for example, withoutlimitation, to ensure brokers execution of all orders, follow up instructions, carry out settlements, control and manage any otherrelated actions or any issues regarding trading execution.

3. Customer shall execute orders either (1) through BH MubasherCustomers Orders System, or (2) By directing to BH Trading Room; for execution through phone or fax. For this purpose, BHMubasher is responsible to provide the Customer with the details of its Trading Room, provided that such details may be accessed by Customer through Company's website.

4. Instructions received by BH Mubasher for execution purposes shall be confirmed through the Recorded Calls System, or bymeans of attested notification directed by Customer. BHMubasher is responsible to keep all orders details according toapplicable procedures.

5. BH Mubasher shall acknowledge receipt and execution ofCustomer orders, notwithstanding any interest conflict.

6. BH Mubasher may, based on reasonable justification, in good faith, reject any order received from Customer, in case Companybelieves that received order doesn’t consist with the regulatoryterms.

7. BH Mubasher shall open Customer deposit and trading accounts through its systems in currencies and across markets approved thereby and agreed with Customer in its capacity as executing Broker. Such account shall highlight details of all cash deposits,trading and settlements carried out in favor of the Customer, in addition to any amounts withdrawn by Customer.

8. BH Mubasher is responsible to provide Customer necessarytraining programs, and permit Customer access to Company's Orders System without additional fees.

9. Customer hereby agrees to bear the cost of installation and setup of the Orders System through Customers own system, in addition to all connection and internet fees.

10. Customer shall pay all fees charge by the Stock Market Authorityor any other regulatory authority, against real-time price, oragainst any other kind of actual content, as part of transaction fee.

2. BH Mubasher signed agreements with execution brokers in related countries to provide trading services to its customers.Details of execution brokers engaged by BH are highlighted byattached appendix number (2). BH Mubasher hereby reserves its right to amend the details highlighted by appendix (2) pursuant tocustomer markets selection.

3. BH Mubasher took a major step for the execution of necessaryinvestigations and study of related systems to ensure thatselected brokers are duly authorized for the (1) Execution ofbusiness according to local laws & regulations; and (2) Carry outtrading through local and global markets.

4. BH Mubasher may, in its sole discretion, add or delete any brokerfrom the list to ensure the achievement of required level ofcustomer’s service.

5. BH Mubasher hereby acknowledges possession of necessaryauthorities to act on behalf of Customer to ensure selected Broker is able to fulfill all assigned duties, including for example without limitation, accounts opening, negotiation commissions,settlement conditions, and to determine trading limits…etc.

6. Customer hereby undertakes not to deal directly in any localmarket except through BH Mubasher Financial Services P.S.C.

ustodianAppointment of C -Article Twelve

1. BH Mubasher may at its own discretion appoint a third partycustodian in different countries, if BH Mubasher considers such appointment necessary to safeguard the interests of the Clientand BH Mubasher. Trading under a custodian service may be offered by BH Mubasher to the Client at a different rate fromtrading without custodian services and BH Mubasher shall informthe Client of such rates in advance.

2. In the event that BH Mubasher chooses the custodian to provide the services herein, BH Mubasher shall be responsible for the performance of such Custodian and liable to the Client, in the event that the Custodian breaches the terms of their agreementwith BH Mubasher .

3. In the event the Client has its own Custodian, BH Mubasher or BHMubasher executing broker will liaise with the Client's Custodian for the settlement and the Client will responsible for any defaultin this respect on the part of its Custodian, and/or take all necessary actions on behalf of Customer to protect Customerrights & interests against the foreign brokerage company due toany violation thereby.

4. BH Mubasher at its discretion may offer custody services to the Client in relation to relevant transaction through the local centraldepository of the exchange or by appointing an independentcustodian .

6. In case securities are kept in custody of an independentcustodian, instructions shall be issued jointly in coordination between Custodian, BH Mubasher and Customer.

سلمت فعليا ( 1)المالية األوراق سلمها العميل أو وكالءه ما لم تكن تلك األموال أو

( 2)خ وتم الموافقة عليها من جانبهم؛ أو . م. مباشر للخدمات المالية ش بي إتش إلى

. تم ايداعها في الحسابات

على التنسيق مع وسطاء التنفيذ المعينين من جانبها في حالة أي مباشر بي إتش تلتزم . 4

. المالية للعمالء األوراق يتعلق بالسداد النقدي وخرق من جانب األطراف األخرى

التنفيذ عليهم ضمان أن لها الحق في الرجوع على وسطاء التنفيذ نيابة عن العمالء

Receipt, Delivery And Safeguarding Of -Article ThirteenFunds And Securities

1. BH Mubasher will receive and deliver all funds and securities in connection with transactions for Accounts in accordance with the instructions provided by the Client at the time of the transaction.

2. The Client shall be responsible for its obligations to deliver funds or securities in connection with each such transaction. The Clientshall be responsible for any failure on its own behalf, to fulfil such obligation .

3. BH Mubasher shall be responsible for the safeguarding of allfunds and securities delivered to and accepted by it. However, BHMubasher will not be responsible for any funds or securities delivered by the Client, its agents, until such funds or securities are either (i) physically delivered to BH Mubasher’ s premises and accepted by BH Mubasher; or (ii) deposited in the Accounts.

4. BH Mubasher hereby undertakes to coordinate with Brokers appointed thereby, in case of any violation by other parties regarding any cash payment or Customers securities. As such, BHMubasher may, according to agreement with Brokers, orderBrokers on behalf of Customer to settle/pay any cash sum orvalue of Customer securities .

5. BH Mubasher hereby undertakes to support Customer to followup any complaint registered thereby, or to take necessary actions to protect Customer rights against Execution Brokers appointed by BH Mubasher Financial Services P.S.C.

6. In case Broker fails to pay any sum due thereon or to provide anyexecution service across global markets, BH Mubasher herebyagrees to pay compensation to Customer against any direct loss or damage suffered thereby due to Execution Brokers actions.

7. Receipt and Delivery Pursuant to Special Instruction. Upon instruction from the Client, BH Mubasher will make such transfers of securities or Accounts as may be requested. The Client shall be responsible for determining if any securities held in ClientAccounts are "restricted securities" or "control stock" as defined by the rules of the regulatory agencies and that orders executedfor such securities are in compliance with applicable laws, rules

and regulations.

1. Preparation and Transmission. BH Mubasher will prepare and make available a report of daily transaction details, and holding positions on all active accounts of the Client through OMS. On special request of the Client, BH Mubasher will provide anyadditional statements requested by the Client.

2. Examination and Notification of Errors. The Client agrees toexamine promptly all information provided by BH Mubasher viaOMS or otherwise. Information may include, but is not limited todaily transaction details, holding positions, cash balances ofaccounts, and commission calculations.

3. It is the responsibility of the Client to inform BH Mubasher of anyerror in any information/reports provided by BH Mubasher in relation to any Accounts within 48 hours (or within 24 hours forT+0 settlement exchanges) of receiving such report.

4. In case the Client fails to inform BH Mubasher about the error in such daily reports within the period set out in Clause 14 (3)above, BH Mubasher shall presume that the report is in order, error free and conclusive and binding on the Client.

5. Any notice of error from the Client shall where appropriate be accompanied by evidence, as may be necessary to substantiate Client's claim. The Client shall provide promptly upon BHMubasher request any additional information which BHMubasher reasonably believes is necessary or desirable todetermine and correct any such error as complete and absolute.

Maintenance Of Books And Records -Article Fifteen

1. BH Mubasher will maintain stock records and other records in relation to the Accounts which it either holds or manages on the Clients behalf, on a basis consistent with the generally accepted practices in the securities industry.

2. BH Mubasher and the Client shall each be responsible forpreparing and filing any applicable information and/or reports that may be required by the governmental and regulatoryagencies that have jurisdiction over them.

3. BH Mubasher and the Client shall provide the other party with such information, if any, which is in its control but is reasonablyrequired by the other to prepare any report in accordance with the terms of this Agreement.

Fees And Settlements For Securities -Article SixteenTransactions

1. Execution fees shall be available on BH Mubasher website, and such an arrangement shall form an integral part of this Agreement; the client agrees that he reviewed & accepted the fees, and He/She will be obliged to review the website for anychanges related to execution fees.

2. BHM and the Client may at any time conclude an arrangement todetermine the markets for which the client utilizes BHM forrouting its trade, such an arrangement together with anysubsequent amendments, if any, mutually agreed upon to add orremove any new markets shall form an integral part of this agreement, but in all cases, any arrangement to this effect shall only be effective when the setup is done in the system.

3. Execution fee may be amended according to the determination ofthe regulatory authority in each market, provided that any such changes shall be applicable from the date of approval by the market regulatory authority.

4. The Client may object to new charges by giving notice cancelling this Agreement as provided under the termination clause of this agreement. During the pendency of such notice period, the previous charges shall continue to be effective until termination.If change is due to a change made by the regulators new charges will be automatically applicable from the effective date as definedby the regulators even during the termination notice period .

5. Customer & BH Mubasher hereby agree to carry out execution settlement based on net settlement on daily basis, and herebyagree each to pay amount due to other party on settlementdetermined date. In case the value of purchase transactions exceed the sum of sale transactions, Customer is responsible topay BH Mubasher on settlement date. In case sale transactions sum exceed purchase transactions sum, BH Mubasher is responsible to pay difference due to Customer on SettlementDate.

6. Settlements between BH Mubasher and Customer shall be carried always through bank transfer in market's currency, after due deduction of bank fees. Customer is responsible to the paymentof transfer fees to the bank.

7. Based on local regulations, and any agreements regarding appointed Custodian, Customer or final customer may be orderedto carry out necessary settlement for any trading transactions directly with the concerned market, or with the Custodian. In such cases, BH Mubasher and Customer may carry out necessarysettlement based on net commission sum, unless commission sum is settled directly through the market, or Custodian, on behalf of Customer or final customer.

Mubasher Order Management System (" BH -Article SeventeenOMS")

The Client may request for and based on such request BH Mubasher Financial Services PSC agrees to provide the Client with BH Mubasher OMS Client or an appropriate front office solution to send its orders to OMS. In case the Client uses the BH Mubasher OMS Client or other software owned of licensed by BHM, the Client and BHM agree to abide by the following:

1. Customer hereby agrees particularly that, all intellectual propertyrights in the Orders Management System, BH Mubasher Orders Management System, or any other management solutions provided by BH Mubasher, are property of BH Mubasher or its Partners, and that Customer has no right to claim or seek any claimin such property rights except as otherwise highlighted by this Agreement.

2. Customer has no right to offer, sell, lease or provide free of charge,any of BH Mubasher OMS, to any other person o brokerage company, other than the Customer.

3. BHM agree to provide access to OMS, installation, and to provide support services at no cost to the Client, for the term of this Agreement. Any communication cost relating to Client's use of theBH Mubasher OMS Client will be borne by the Client, save in the event of the correction by BHM of any functional errors of OMS orBH Mubasher OMS Client.

4. BH Mubasher hereby reserves the right to charge any fees on Customer against the use thereby of BH Mubasher Orders Management System, as agreed on in advance with Customer. In case BH Mubasher fails to agree with the Customer regarding such fees, BH Mubasher agrees to work with Customer for the removalof BH Mubasher OMS from Customer's Systems within 31 days ofreceiving Customers notification, regarding agreement cancellation by BH Mubasher.

5. At the request of the Client, BHM may from time to time modifythe OMS or BH Mubasher OMS Client to facilitate betterintegration with the Client’s systems. Any such changes made toOMS or BH Mubasher OMS Client will remain the property of BHM,but will be provided free of charge unless BHM exercises its right itreserves as provided in clause (4) above.

Representations And Warranties –Article Eighteen

A. The Client represents and warrants to BH Mubasher that: 1. Customer is a company duly established and registered, and in

good position according to applicable registration and operation laws, or that Customer is a natural person qualified to enter such contracts.

2. The Client has all the requisite authority to enter into this Agreement and is permitted to retain the services of BHM in accordance with the terms herein.

3. The Client is and at all times during the term of this Agreementshall remain in compliance with any known capital and/orfinancial reporting requirements of the applicable securities exchange, securities clearing agency or regulatory authority towhich it is subject in relation to the transactions intended hereunder according to this Contract.

4. The Client represents that all orders received by BHM from the Client’s duly authorized representatives can be relied upon byBHM. The parties hereto expressly agree that BHM shall not be responsible for investigation into the facts surrounding anytransaction that it may have with the Client, or that the Client mayhave with other persons, nor shall BHM be under anyresponsibility for compliance by the Client with any laws orregulations which may be applicable to the Client.

B. BH Mubasher Financial Services PSC represents and warrants to the Client that:

1. BH Mubasher Financial Services is Private joint stock company,duly registered and in good position according to the laws of the United Arab Emirates.

2. BH Mubasher Financial Services is duly registered as broker at SCAin UAE, and is in full compliance with all related laws &regulations.

3. BH Mubasher has entered in to execution services contracts with a number of Executing Brokers in the region who are dulyauthorized brokers in their respective markets and in good standing.

4. BH Mubasher has the legal authority to act on behalf of Executing Brokers including but not limited to performing such tasks asopening accounts, negotiating commissions, defining trading limits etc.

5. BH Mubasher at all times during the term of this Agreement shall remain in compliance with all applicable laws and regulations relating to anti-money laundering laws and the segregation ofcustomer securities, cash and other property in its customer's accounts.

6. BH Mubasher has the requisite authority to enter into this Agreement and to provide the services outlined hereunder.

Indemnification and Subrogation -Article Nineteenth

1. The Client shall indemnify and hold BH Mubasher harmless against any and all claims, demands, proceedings, suits, actions,damages, liabilities, losses, expenses and costs (which shallinclude, but not limited to all costs of defense, investigation and accounting and legal fees) to which BH Mubasher may become subject as a result of the Client's fraud, negligence, willfulmisconduct or breach of any obligation under this Agreement .

BH Mubasher Financial Services shall indemnify and hold the Client harmless against any and all claims, demands, proceedings,suits, actions, l damages, liabilities, losses, expenses and costs (which shall include, but not limited to, all costs of defense and investigation and all attorney's fees) to which the Client maybecome subject a result of BH Mubasher Financial Services 's fraud, negligence, willful misconduct or breach of any obligation under this Agreement. This compensation will be exclusivelylimited to actual losses asserted. The Client shall have the right toseek compensation and redemption from BH Mubasher FinancialServices PSC and the Execution Broker Individually and collectivelyfor the reasons stated in this clause.

3. Subrogation: Whenever Customer is compensated by BHMubasher for any damage due to any forgery, deliberate ignorance, misuse or any violation by any Broker, BH Mubasherhas the right to recover amounts paid to Customer from the Broker. Upon the receipt of compensation sum, Customer herebyagrees to provide BH Mubasher the right to recover paid sumfrom the concerned Broker, and undertakes to help BH Mubasherto follow up any claim on related Broker.

4. Neither Party shall be liable for any consequential or indirectdamages, or loss that the other may suffer or incur in relation tothe transactions arrange herein or that may otherwise arise in connection with this Agreement, including, but not limited to, anylost opportunity claims

Termination Of Agreement And Transfer –Article Twenty Of Accounts

A. This agreement shall commence from the date provided here under and shall continue into force until terminated in the form stated herein.

B. Either party may terminate this Contract by written notification to other party ninety (90) days before termination scheduled date.

C. BH Mubasher may terminate this Agreement at any time on fifteen (15) days written notice to the Client in the event that the Client :

1. fails to comply with the terms of this Agreement and upon notification by BH Mubasher fails to begin compliance within 10days from said notification; or

2. Is enjoined, prohibited or suspended, as a result of an administrative or judicial proceeding, from engaging in securities business activities constituting all or portions of the Client's securities business, which injunction, prohibition orsuspension in BH Mubasher judgment makes impracticable the fully disclosed clearing relationship established in this Agreement .

1. Is not anymore registered as a broker/agent before the regulatory authority;

2. Is not anymore member with good stand before the regulatoryauthority; or

3. enters into a composition with its creditors, an order is made for winding up of BHM, an effective resolution is passed for the winding up of BHM or BHM has a receiver, manager,administrative receiver or administrator appointed in respect ofit.

E. In case Agreement is terminated for any reasons, parties hereby agree to work together to transfer Customer accounts to any other broker. Customer shall provide BH Mubasher necessary notice "Transfer Notice", highlighting:

1. the name of the broker that will assume responsibility forclearing services for the Client;

2. Date on which new broker agrees to provide service toCustomer;

3. The name of an individual within that organization who BHMcan contact to coordinate the conversion.

F. Agreement termination for any reason doesn’t affect any rights or obligations charged to parties for any works carried out before actual termination date. All issues related to party’s rights and obligations after termination date, till transfer or handover of Customer accounts, shall be treated in accordance with the terms & conditions of this Agreement.

G. BH Mubasher shall not be required to release to the Client any securities or cash held by BH Mubasher for the Client in one or more Client Accounts until any amounts owing to BH Mubasher pursuant to the provisions of this Agreement are paid.

Confidentiality -Article Twenty One1. This Agreement and all documents, papers, and data disclosed in

relation to it and in any form, supplied by the Client concerning Client's business shall be treated by BHM as confidential. To the extent such documents or data may be retained by BHM, theyshall be kept in a safe place and shall be made available to third parties only as authorized by the Client in writing or pursuant toany order or request of a court or regulatory body having appropriate jurisdiction. BHM shall give the Client prompt noticeof the receipt by BHM of any such order or subpoena, unless prohibited from doing so by the issuing authority which notice shall be given prior to BHM's compliance therewith. Such documents shall be made available by BHM for inspection and examination by the Client's auditors, by properly authorized agents or employees of any regulatory bodies or commissions orby such other persons as the Client may authorize in writing.

2. The Client shall use all reasonable efforts to protect BHM and its affiliates’ intellectual property including but not limited to BHMubasher Brokerage Services framework, Trade Control System,BH Mubasher Trade online trading system, to the extent that itshall exercise such degree of care and protection as it would havedone to safeguard and protect its own Intellectual property.

The Arbitral Tribunal shall be governed in accordance with United Arab Emirates laws. The Arbitration shall be conducted in English language. The place of Arbitration shall be United Arab Emirates.

The enumeration herein of specific remedies shall not be exclusive of any other remedies. Any delay or failure by any party to this Agreement to exercise any right, power, remedy or privilege herein contained, or now or hereafter existing under any applicable statute or law, shall not be construed to be a waiver of such right, power, remedy or privilege, nor to limit the exercise of such right, power, remedy or privilege, nor shall it preclude the further exercise thereof or the exercise of any other right, power, remedy' or privilege.

In the general course of business, BH Mubasher and the Client shall each be responsible for correcting their own errors, save that BH Mubasher shall not be responsible for system outages, resulting from interruptions in internet service.

Disclaimer -Article Twenty Five

In the absence of fraud, recklessness or willful misconduct, BH Mubasher expressly disclaims any obligation, responsibility or liability whatsoever arising from: 1. Any fraud, financial mismanagement, irregularity, siphoning of

funds, money laundering, non-compliance or any illegal activity on the part of the Client arising out of the opening and/or operation of Accounts.

2. Any single transaction or series of transaction transacted by the Client which resulted into loss for the Client .

3. The decision, judgment or action of the Client to invest or buyparticular securities, in its behalf or that of its end customers.

4. For any loss suffered by Customer account due to:a. Including but not limited to volatile market conditions, lack of

judgment, error, and mistake.b. Omission, commission, speculation etc. on the part of the Client.

General Terms -Article Twenty Six

1. The customer declares that all the documents and information submitted herein are legally sound and that the source of the funds used in the trading through the brokerage company is legitimate.

2. The customer undertakes to notify the broker of any future changes in information or details.

3. The customer acknowledges that he/she read all the provisions ofthis agreement and is aware of the risks of trading in securities markets.

4. All fees and relevant costs referred to in the Agreement are

subject to a Value Added Tax (VAT). The VAT percentage and

its implications are governed by the Gulf Cooperation Council

(GCC) common VAT agreement executed on 27/11/2016 and

the UAE Federal Decree-Law No. 8 of 2017 on Value Added

Tax and the Executive Regulations issued thereto

Any change or addition notprepared in writing and signed by both parties shall not be considered valid or binding.

3. Neither party may agree to any action or amendment to any ofthe provisions of this Agreement, in case such action oramendment violates or conflicts with applicable laws orregulations.

Miscellaneous -Article Twenty Eight

1. BH Mubasher hereby limits its services to services highlighted bythis Agreement on exclusive basis.

2. This Agreement may be amended in writing only, with any such amendment duly signed by both parties.

3. This Agreement remains valid and binding to parties, theirsuccessors, assignees and transferees. Regardless any change in the name of BH Mubasher Financial Services, any assignment ofthis Agreement is subject to necessary review and/or approval bythe regulatory authority whose prior approval is duly required before any such assignment becomes enforceable. No assignmentof this Agreement becomes valid, unless non-assigning partyagrees to such assignment in writing.

4. This Agreement or any transaction carried out thereon shall notbe considered or treated as a general or limited partnership jointventure, or partnership between Customer and BH MubasherFinancial Services P.S.C.

5. Applicable laws & regulations require BH Mubasher to collect and keep necessary documents in support of any account opened thereby. In case BH Mubasher fails to receive necessarydocuments notwithstanding reasonable requests, Customer willreceive a notification that all new orders regarding the concerned account will be duly suspended.

6. Titles addresses were entered to facilitate reference only, and donot affect the meaning, or interpretation of this Agreement.

7. This Agreement covers types of services highlighted thereby, and shall not be interpreted in any case as an agreement to offerCustomer of BH Mubasher the right to carry out any otherarrangements, agreement or understandings executed currentlybetween Customer & BH Mubasher. Customer shall not be responsible to any other type of dealing with BH Mubasher or anyaffiliate company or any subsidiary in any manner other than the services duly stressed by this Agreement.

Notwithstanding any other reason stressed by applicable law,parties shall hereby be waived of any liability regarding the execution of this Agreement, in case it is proved that such failure is attributed to force majeure conditions, interpreted as anyconditions outside party's control, whether anticipatable or not.Force majeure conditions include, for example, withoutlimitation, labor disorder, war, fire, accidents, communication means interruption, severe climate conditions, official laws, orany other reasons considered to be outside the control ofaffected party.

10. BH Mubasher Financial Services P.S.C. hereby agrees with Customer that in case of any conflict between the terms of this Agreement and between SCA Regulations, SCA Regulations havepriority on Agreement terms and condition.

11. This Agreement shall be governed and construed in accordance with UAE Laws.

Attorney has the right to receive any shares dividendsdistributed by the companies that the principal investedin, by means of checks issued in Principal name in hiscapacity as beneficial owner, to be deposited intoPrincipal’s agreed on accounts. Based on Principalrequest, Attorney shall attend any general meeting, voteand practice all shareholder’s rights in favor and onbehalf of Principal as shareholder.

of Saudi Arabia to have the investment portfolios of the clients trading in Saudi shares opened in their own

transferring securities as well as amending and canceling orders).

3. Perform all actions pertaining to securities of all types.

7. Perform and instruct others on our behalf on all such acts as it deems necessary or desirable to

9. Provide BH MUBASHER FINANCIAL SERVICES designated broker or custodian in the Kingdom

of Saudi Arabia with all the required KYC documents that may be in its possession which are

required to open and operate the portfolios held in our own name.

10. Provide any document or information pertaining to us required by the Saudi Stock Exchange or any

regulatory authority in the Kingdom of Saudi Arabia.

11. Open investment accounts in our name.

BH MUBASHER FINANCIAL SERVICES shall have the right to delegate any or all of the above-

mentioned powers to any other third party including, but not limited to, its designated brokers and

custodians in the Kingdom of Saudi Arabia.

We further undertake to refrain from issuing any instructions of whatsoever nature to BH MUBASHER

FINANCIAL SERVICES’s brokers in KSA with respect to the securities contained in our portfolio with

BH MUBASHER FINANCIAL SERVICES.

We shall indemnify RIYAD CAPITAL and BH MUBASHER FINANCIAL SERVICES against any direct

losses, damages or legal or financial liabilities incurred by RIYAD CAPITAL or BH MUBASHER

FINANCIAL SERVICES as a result of their reliance on this letter provided that such losses, damages

or liabilities are not attributable to RIYAD CAPITAL or BH MUBASHER FINANCIAL SERVICES gross

negligence, willful misconduct or fraud.

This authorization shall remain in full force and effect until revoked by a written notice addressed to and

actually received by BH MUBASHER FINANCIAL SERVICES and RIYAD CAPITAL.

AGREEMENT FOR

MARKET DATA DISPLAY SERVICES

(Usage-Based Services/Nonprofessional Subscriber Status)

(Printed Version) _______________________________[NAME OF VENDOR/BROKER DEALER] ("Vendor") agrees to make "Market Data" available to you pursuant to the terms and conditions set forth in this agreement. By executing this Agreement in the space indicated below, you ("Subscriber") agree to comply with those terms and conditions. Section 1 sets forth terms and conditions of general applicability. Section 2 applies insofar as Subscriber receives and uses Market Data made available pursuant to this Agreement as a Nonprofessional Subscriber.

SECTION 1: TERMS AND CONDITIONS OF GENERAL APPLICABILITY

1. MARKET DATA DEFINITION – For all purposes of this Agreement, "Market Data" means (a) last sale information and quotation information relating to securities that are admitted to dealings on the New York Stock Exchange ("NYSE"), (b) such bond and other equity last sale and quotation information, and such index and other market information, as United States-registered national securities exchanges and national securities associations (each, an "Authorizing SRO") may make available and as the NYSE may from time to time designate as "Market Data"; and (c) all information that derives from any such information.

2. PROPRIETARY NATURE OF DATA – Subscriber understands and acknowledges that each Authorizing SRO and Other Data Disseminator has a proprietary interest in the Market Data that originates on or derives from it or its market(s).

3. ENFORCEMENT – Subscriber understands and acknowledges that (a) the Authorizing SROs are third-party beneficiaries under this Agreement and (b) the Authorizing SROs or their authorized representative(s) may enforce this Agreement, by legal proceedings or otherwise, against Subscriber or any person that obtains Market Data that is made available pursuant to this Agreement other than as this Agreement contemplates. Subscriber shall pay the reasonable attorney's fees that any Authorizing SRO incurs in enforcing this Agreement against Subscriber.

4. DATA NOT GUARANTEED – Subscriber understands that no Authorizing SRO, no other entity whose information is made available over the Authorizing SROs' facilities (an "Other Data Disseminator") and no information processor that assists any Authorizing SRO

or Other Data Disseminator in making Market Data available (collectively, the "Disseminating Parties") guarantees the timeliness, sequence, accuracy or completeness of Market Data or of other market information or messages disseminated by any Disseminating Party. Neither Subscriber nor any other person shall hold any Disseminating Party liable in any way for (a) any inaccuracy, error or delay in, or omission of, (i) any such data, information or message or (ii) the transmission or delivery of any such data, information or message, or (b) any loss or damage arising from or occasioned by (i) any such inaccuracy, error, delay or omission, (ii) non-performance or (iii) interruption in any such data, information or message, due either to any negligent act or omission by any Disseminating Party, to any "force majeure" (e.g., flood, extraordinary weather conditions, earthquake or other act of God, fire, war, insurrection, riot, labor dispute, accident, action of government, communications or power failure, equipment or software malfunction) or to any other cause beyond the reasonable control of any Disseminating Party.

5. PERMITTED USE – Subscriber shall not furnish Market Data to any other person or entity and, subject to Paragraph 10, shall use Market Data only for its individual use in its business.

6. DISSEMINATION DISCONTINUANCE OR MODIFICATION – Subscriber understands and acknowledges that, at any time, the Authorizing SROs may discontinue disseminating any category of Market Data, may change or eliminate any transmission method and may change transmission speeds or other signal characteristics. The Authorizing SROs shall not be liable for any resulting liability, loss or damages that may arise therefrom.

7. DURATION; SURVIVAL – This Agreement remains in effect for so long as Subscriber has the ability to receive Market Data as contemplated by this Agreement. In addition, Vendor may terminate this Agreement at any time, whether at the direction of the Authorizing SROs or otherwise. Paragraphs 2, 3 and 4, and the first two sentences of Paragraph 8, survive any termination of this Agreement.

8. MISCELLANEOUS – The laws of the State of New York shall govern this Agreement and it shall be interpreted in accordance with those laws. This Agreement is subject to the Securities Exchange Act of 1934, the rules promulgated under that act, and the joint-industry plans entered into pursuant to that act. This writing contains the entire agreement between the parties in respect of its subject matter. Subscriber may not assign all or any part of this Agreement to any other person. The person executing this Agreement below represents and warrants that he or she has legal capacity to contract and, if that person is executing this Agreement on behalf of a proprietorship or a business, partnership or other organization, represents and warrants that he or she has actual authority to bind the organization.

SECTION 2: NONPROFESSIONAL SUBSCRIBER

9. NONPROFESSIONAL SUBSCRIBER DEFINITION -"Nonprofessional

Subscriber" means any natural person whom Vendor has determined to qualify as a "Nonprofessional Subscriber" and who is not:

(a) registered or qualified with the Securities and Exchange Commission (the

"SEC"), the Commodities Futures Trading Commission, any state securities agency, any securities exchange or association, or any commodities or futures contract market or association.

(b) engaged as an "investment advisor" as that term is defined in Section 201(11) of

the Investment Advisor's Act of 1940 (whether or not registered or qualified under that Act), nor

(c) (c) employed by a bank or other organization exempt from registration under

Federal and/or state securities laws to perform functions that would require him or her to be so registered or qualified if he or she were to perform such functions for an organization not so exempt.

10. PERMITTED USE – If Subscriber is a Nonprofessional Subscriber, he or she

shall receive Market Data solely for his or her personal, non-business use. 11. PERSONAL AND EMPLOYMENT DATA – As a prerequisite to qualifying as a "Nonprofessional Subscriber", Subscriber shall provide the following information: Subscriber's name and address: Subscriber's occupations (list all occupations – including homemaker, student, retiree, etc.): Name(s) and address(es) of Subscriber's employer(s): Subscriber's title(s) and/or position(s): Subscriber's employment functions (description):
