Student TotalsEstimate anticipated student total enrollment for your registration. Registration Fee is based on the total number of anticipated students that will be using the Master Video Program. Registration total may be adjusted up or down based on the final Student Total Report that is due November 1.

Student Textbooks and MaterialsThe school will purchase a current Student Kit containing a complete set of textbooks for every student each year.

Teacher Kits and Video ManualsIt is highly recommended that each teacher have a current Teacher Kit containing a complete set of basic teacher’s materials and a Teacher Video Manual that includes a complete set of daily lesson plans for each grade or course. If a revision occurs, it is strongly recommended that you purchase new materials and Teacher Video Manuals to ensure that you receive the fullest benefit of the program.

Once your school has signed up for the Master Video Program and your order has been processed, your school will be able to access free PDF copies of grade 7–12 Video Manuals through your A Beka Academy online account.

Revised CoursesPrevious version DVDs must be returned by August 1. New/revised versions of video classes and all other orders will be held until the previous version DVDs are returned. This year’s revised courses are Grade 5, Bible 8, Hebrew History, Algebra 2, and Spanish 2.

StreamingA free streaming subscription with free viewing hours is available with a paid registration fee. Available hours are determined by the courses ordered. The subscription begins August 1 and expires July 31 of the following year.

WHEREAS, the undersigned individual or entity, hereinafter identified as User (“User”), desires to utilize these materials on the terms and conditions set forth hereafter. VIDEOS as defined hereafter refer to instructional content delivered either by DVD or video streaming,

NOW, THEREFORE, in consideration of the mutual promises and covenants passing between the parties hereto, it is agreed as follows:(1) A Beka Book, Inc., hereby grants to User a non-exclusive, non-transferable, non-

assignable, limited right to use the A Beka Master Video Program (the “VIDEOS”) according to the terms and conditions set forth in this User Agreement (“Agreement”). The right to use the VIDEOS shall terminate upon any default by User of any provision of this Agreement, and User will be assessed the regular monthly User Fee of $57 per grade per month (K4–grade 6) or $25 per course per month (grades 7–12) for any Videos on DVD the User currently has in possession. User acquires only the right to use the VIDEOS and A Beka Book, Inc., shall retain all of its rights, title, and interest, including, without limitation, all intellectual property rights in and to the VIDEOS. User shall not copy, modify, rent, lease, distribute, sell, re-sell, license, reverse engineer, or create derivative works of the VIDEOS.

(2) User shall not reproduce nor otherwise distribute the material delivered or make use of the VIDEOS available under this Agreement to a third party such as homeschoolers or a satellite division of User.

(3) The term of this Agreement begins with User paying an annual and nonrefundable Registration Fee based on the following student enrollment tier; $2,000 for 5–9 students, $1,500 for 10–14 students and $1,000 for 15+ students. This fee will be finalized on November 1 according to the Student Totals Report. User shall pay annually a Lease Fee of $1 per grade level, K4–12th grade, to be able to use the VIDEOS for the entire year, providing the school purchases the full Student Kits annually from A Beka Book, Inc., for each student. A Beka Book, Inc., strongly recommends that the User purchase the current Teacher Kits/Teacher Video Manuals, for each grade or course. Payment in full and order for all of the above is then due upon enrollment annually on August 1st. All orders are final and may not be returned. Make checks payable to A Beka Book, Inc. User must also complete and send the updated VIDEO Student Totals Report (found on page 18) to A Beka Book on November 1 with the number of students, by grade, in their school. If this process is not followed, User will be assessed the regular monthly User Fee of $57 per grade per month or $25 per course per month.

(4) The parties acknowledge that on-site instructional supervision is required in order to maximize the learning situation created by the use of the VIDEOS and further acknowledge that those materials have been created to follow certain lesson plans and publications prepared by A Beka Book, Inc., and because of the above, each party acknowledges that as a requirement of this contract, each student utilizing the VIDEOS shall be supervised by a local school instructor furnished by User. A Beka Book, Inc., strongly recommends that the User purchase the current Teacher Kits/Teacher Video Manuals from A Beka Book, Inc., Student kits cannot be ordered through a board of education, public school district, or other such services for personal use.

(5) DVD CONTENT DELIVERY PROVISIONS(a) User shall provide its own insurance on the DVDs and shall be responsible for

replacement in the event of damage, erasure, loss or theft.(b) If it becomes necessary for an A Beka Book, Inc., field representative to pick up the

DVDs, a $100 Pickup Fee plus postage/shipping Fees will be assessed User along with any other monthly fees owed.

(c) All materials furnished under this Agreement shall be stored in a secured area maintained in a 70° or cooler climate, and shall be inaccessible to students or others except during instructional periods or under the supervision of User.

(d) If User fails to renew this Agreement at the end of the initial term hereof, or at the end of any subsequent renewal term, User shall return the DVDs to A Beka Book, Inc., by the 1st day of August immediately following the current year’s expiration date of the initial term or any renewal term thereof. User shall return the DVDs via UPS, insured at User’s expense, to 5418 Rawson Lane, Pensacola, Florida 32503. DVDs are not to be sent back during the school year unless this Agreement or any renewal hereof is terminated in the manner set forth herein. If the DVDs are not received by the 1st day of August following the current year’s expiration date of the initial term of this Agreement, or any renewal term hereof, this Agreement shall automatically renew for an additional one-year term, and User will automatically become obligated to pay a Registration Fee for the renewal term, the $1 per grade Lease Fee, and the regular yearly User Fee will be assessed. A Student Kit for each student should be purchased before August 1st to ensure on-time delivery.

(e) All DVDs that will not be used in the fall must be returned by September 9. This would include all DVD grades/courses for which a VIDEO Student Kit is not being requested.

(f) March is the month set aside for reviewing this Agreement with User for the succeeding year and for User to renew this Agreement for the next year or for User to notify A Beka Book, Inc., that the DVDs/VIDEO Streaming service will not be used and will be returned/cancelled at the expiration of the then-current term of this Agreement (no later than August 1). All DVDs must be returned to 5418 Rawson Lane, Pensacola, FL 32503. A Beka Book, Inc., management will contact User with instructions concerning how to renew this Agreement. Should A Beka Book, Inc., revise or update a grade or course, User agrees to return the DVDs no later than August 1 of that year by UPS or FedEx/USPS insured at User’s expense.

(6) VIDEO STREAMING CONTENT DELIVERY PROVISIONS(a) The term of this User Agreement begins with User being granted a video streaming

viewing hours in conjunction with User agreement.(b) The subscription provides the User with access to the video library (K4–12) of A Beka

Book, Inc., videos for a period of 12 months. 12-month contract term begins as indicated by the start date of August 1 on the application.

(c) The Viewing time for VIDEO content delivered via video streaming will be based on the grades (K4–6) and or courses (grades 7–12) that the User enrolled on the initial User Agreement. Viewing time not consumed by the end of the contract period is nonrefundable. Viewing time not consumed is not refundable upon cancellation of subscription or User agreement cancellation.

(d) A Beka Book, Inc., may terminate subscription and immediately remove viewing hours from available viewing time, or such other and additional remedies as are available under the laws of the State of Florida as A Beka Book, Inc., deems necessary.

(7) GENERAL PROVISIONS:(a) Neither party hereto may assign this Agreement or any right to interest herein

without the written consent of the other party.(b) This Agreement shall be governed by and construed according to the laws of the

State of Florida. User hereby consents to the exclusive jurisdiction of the state and federal courts located in Escambia County, Florida, and agrees that any dispute whatsoever arising between the parties hereto shall be initiated and prosecuted exclusively in Escambia County, Florida.

(c) Nothing herein contained shall be construed so as to create a partnership or joint venture between the parties and neither party is the agent of the other. User shall carry the full responsibility and liability of supervision and control of all persons utilizing the VIDEOS.

(d) This Agreement constitutes the entire understanding and contract between the parties and supersedes any and all prior or contemporaneous oral or written communications regarding the subject matter of the relationship between the parties. A facsimile copy of this Agreement shall be considered the same as the original and User waives the right to challenge in court the authenticity of a facsimile copy of this Agreement in any enforcement action of this Agreement.

(e) Any notices required shall be in writing and shall be deemed to have been duly served or delivered when sent by certified mail to the business address of the party given herein.

(f) This Agreement does not become effective unless accepted and ratified by the A Beka Book, Inc., home office.

(g) The annual Registration Fee and the $1 per grade Lease Fee, User Fee must be paid each year, before DVDs and textbooks will be shipped or VIDEO Streaming services started.

(h) This is a limited offer to Bible-believing churches.(i) If User has been automatically enrolled by the terms of this agreement and then

cancels the agreement by the provisions provided herein the $1,000 retainer will be applied to cover all or part of the annual Registration Fee and or any other outstanding account balances. User is liable to pay all remaining account balances.

(j) User, by accepting this Agreement, agrees to furnish proof of exemption from state sales tax where applicable, or User shall remit payment for all applicable taxes with the payments due under this Agreement.

(k) IN NO EVENT SHALL A BEKA BOOK, INC., BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR CLAIMS FOR DAMAGES INCURRED BY USER OR ANY THIRD-PARTY. THE MAXIMUM LIABILITY OF A BEKA BOOK, INC., FOR DAMAGES IN CONNECTION WITH THIS AGREEMENT SHALL IN NO EVENT EXCEED THE AMOUNT PAID BY USER TO A BEKA BOOK, INC., UNDER THIS AGREEMENT.

(l) A Beka Book, Inc., is not liable for damages to a customer’s video equipment.(m) User acknowledges that its use of the Materials in violation of this Agreement will

result in material and irreparable harm to A Beka Book, Inc., and that it would be difficult or impossible to establish the full monetary value of such harm. In the event of User’s breach or imminent threat of breach of this Agreement, A Beka Book, Inc., may seek to obtain, in addition to other remedies, injunctive relief, including but not limited to specific performance.

(n) Only organizations approved through A Beka Book, Inc., can qualify for the Master Video Program.

(o) All customs fees are the responsibility of the customer.

WHEREAS, the undersigned individual or entity, hereinafter identified as “Purchaser” or “Undersigned,” desires to purchase certain textbook materials and printed manuals and documentation from A Beka Book, Inc., on the terms and conditions set forth hereafter.

NOW, THEREFORE, in consideration of the mutual promises and covenants passing between the parties hereto, it is agreed as follows:

(1) A Beka Book, Inc., hereby grants to Purchaser a non-exclusive, limited right to purchase the textbook materials and other printed materials (the “Materials”) as hereinafter more specifically defined, according to the terms and conditions set forth in this Agreement. For purposes of this Agreement, Materials shall include any and all textbooks and materials ordered by the undersigned from A Beka Book, Inc., pursuant to the order form of which this Agreement and its terms are a part, including but not limited to any student textbooks, teacher edition textbooks, teacher guides, curriculum or lesson plans, teacher keys, answer keys, solution keys and student kits. This Agreement shall terminate upon any default by Purchaser of any provision of this Agreement. Purchaser acquires only the right to purchase and re-sell the Materials and A Beka Book, Inc., shall retain all right, title, and interest, including, without limitation, all intellectual property rights, in and to the Materials. Purchaser shall not copy, modify, rent, lease, license, reverse engineer or create derivative works of the Materials. Purchaser shall have the limited right to transfer or sell the Materials and transfer the right to use said Materials granted herein, to third parties, but any and all such transfers or sales shall be specifically subject to the terms of this Agreement, including but not limited to the limitations of paragraph two (2) hereunder. Third parties that obtain the Materials from Purchaser through the above-referenced limited right of transfer and sale of the Purchaser, shall likewise have the limited right to transfer or sell the Materials and to transfer the limited right to use said Materials granted herein, to subsequent third parties, but any and all such transfers and sales shall be specifically subject to the terms of this Agreement and the limited right to use the Materials granted herein, including but not limited to the limitations of paragraph two (2) hereunder. Any third party that obtains the Materials from the undersigned, or from any person or entity other than A Beka Book, Inc., shall be specifically subject to the terms of this Agreement and the limited right to use the Materials granted herein, and shall have no right to use the Materials in violation of the terms of this Agreement and the limited right to use the Materials granted herein. A Beka Book, Inc., reserves the right to prevent any and all use of the Materials in violation of the terms of this Agreement and the limited right to purchase the Materials granted herein.

(2) Purchaser and any third party that may obtain the Materials from the undersigned, or from any person or entity other than A Beka Book, Inc., shall have no right to utilize the Materials for any educational or other purpose, including but not limited to use in any other schools or educational establishment of the undersigned, in Pensacola, Florida, or the immediate surrounding areas of Escambia County, Florida, and Santa Rosa County, Florida.

(3) In consideration of the rights granted herein, the undersigned shall pay to A Beka Book, Inc., a nonrefundable fee for each item ordered from A Beka Book, Inc., with said fee due corresponding to the itemized price list included as part of the order form of which this Agreement and its terms are a part.

(4) It is understood specifically that the Materials are available to Purchaser, and to any subsequent third party that may obtain the Materials through the limited right of transfer and sale referenced in paragraph one (1) hereunder and that all use of the Materials by the Purchaser or subsequent third party shall be in accordance with the terms of this Agreement.

(5) A Beka Book, Inc., reserves all right, title, and interest in and to all intellectual property rights, including but not limited to any copyrights, patent rights, trademarks, trade secrets, or other proprietary rights that may be contained in the Materials. The undersigned hereby acknowledges it will not remove any copyright or other proprietary rights notices contained in the Materials or any related materials provided to the undersigned pursuant to the order form of which this Agreement is a part. Any right, title or interest arising in any compilation or derivative work created using the Materials shall not entitle the undersigned to use the Materials except as specifically permitted hereunder. Except with respect to A Beka Book, Inc.’s reservation herein of all intellectual property rights in the Materials, upon the sale of the Materials to Purchaser the Materials are the property of Purchaser and Purchaser cannot return them for credit. Purchaser shall indemnify, defend and hold A Beka Book, Inc., harmless from and against all claims, liability, damages, costs and expenses, including reasonable legal fees and expenses, arising out of or related to (i) a breach of this Agreement, (ii) the use or modification of any of the Materials or combination of any of the Materials with any other material, and (iii) Purchaser’s failure to abide by any restriction regarding the use of the Materials.

(6) GENERAL PROVISIONS:(a) Entire Agreement: This Agreement constitutes the entire understanding and

contract between the parties and supersedes any and all prior or contemporaneous oral or written communications regarding the subject matter of the relationship between the parties.

(b) Amendment: This Agreement cannot be altered, amended or modified in any respect except by a writing duly executed by a party against whom the alteration, amendment or modification is charged.

(c) Severability: Should any part or portion of this Agreement be held invalid, illegal, or void for any reason, the remainder of the Agreement shall continue in full force and effect as if the void, illegal, or invalid provision had been deleted or never included.

(d) Governing Law and Venue: This Agreement shall be governed by and construed according to the laws of the State of Florida. Purchaser hereby consents to the exclusive jurisdiction of the state and federal courts located in Escambia County, Florida, and agrees that any dispute whatsoever arising between the parties hereto shall be initiated and prosecuted exclusively in Escambia County, Florida.

(e) Relationship of Parties: Nothing herein con tained shall be construed so as to create a partnership or joint venture between the parties and neither party is the agent of the other. Purchaser shall carry the full responsibility and liability of supervision and control of all persons utilizing the Materials.

(f) Counterparts: This Agreement may be executed in counterpart originals with each counterpart to be treated the same as a single original. A facsimile copy of this Agreement shall be considered the same as the original and Purchaser waives the right to challenge in court the authenticity of a facsimile copy of the Agreement in any enforcement action of this Agreement.

(g) Legal Costs and Expenses: In the event that it is necessary for any party to retain the services of an attorney or attorneys to enforce the terms of this Agreement or to file an action to enforce any of the terms, conditions or rights contained herein, or to defend any action, then the substantially prevailing party in any such action shall be entitled to recover from the other party its reasonable fees for attorneys and expert witnesses, plus such court costs, costs of appeal and expenses as may be fixed by any court of competent jurisdiction.

(h) Notice: Any notices required shall be in writing and shall be deemed to have been duly served or delivered when sent by certified mail to the business address of the party as specified in the accompanying order form of which this Agreement and its terms are a part.

(i) Purchaser, by accepting this Agreement, agrees to furnish proof of exemption from state sales tax where applicable, or Purchaser shall remit payment for all applicable taxes with the payments due under this Agreement.

(j) IN NO EVENT SHALL A BEKA BOOK, INC., BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR CLAIMS FOR DAMAGES INCURRED BY PURCHASER OR ANY THIRD-PARTY. Ordering InformationMaster Video School accounts may not lease, purchase, or place orders for homeschooling families, including umbrella groups operating under a school. Homes-choolers may purchase retail items directly from A Beka Book.

All orders are subject to approval by A Beka Academy Office in Pensacola, FL.

Prices and fees are subject to change without notice.

Video User Agreement Terms—A yearly A Beka Academy contract that can be processed anytime after the first Monday in June for a new school year. Video User Agreement will need to be received before your enroll-ment will be processed (p. 5).

Book Purchase Agreement—Completed agreement is due before any book order can be completed (p. 6).

Revised Courses—Previous version DVDs must be returned by August 1. New/revised versions of video classes and all other orders will be held until the previous version DVDs are returned. This year’s revised courses are Grade 5, Bible 8, Hebrew History, Algebra 2, and Spanish 2.

Program CostsAnnual Registration (nonrefundable)—A registration fee will be charged based on their student enrollment. Use the following 3-tier structure to determine amount owed:

5–9 students $2,000

10–14 students $1,500

15+ students $1,000

Student Totals Report—This report must be submit-ted between October 17 and November 1 to update A Beka Academy on your current enrollment total. The report will be sent to your school or may be submitted online.

The Annual Registration will be adjusted on Novem-ber 1 according to the Video Student Totals Report received by our office.

Video Lease Agreement Fee—$1 fee per grade level enrolled.

MaterialsStudent BooksA Student Kit must be purchased for each grade or course your school wishes to use.

It is required that the school purchase a current Stu-dent Kit containing a complete set of textbooks for every student annually.

• K4–Grade 6 must purchase a full grade kit for each student each year the school is enrolled in the Master Video Program.

• Grades 7–12 must purchase at least one course kit from each of the five core sub-jects—Bible, English, History, Science, and Math for each student each year the school is enrolled in the Master Video Program.

• Electives are also available for purchase in addition to the core subjects.

Teacher Materials and Video Manuals• Prepackaged Teacher Kits are available for

both video and traditional courses and are highly recommended. You may also select items individually.

• It is recommended that each school have a copy of the video manual for each grade and course offered by the school. For your convenience, downloadable PDF versions of 7–12 grade course Video Manuals are available free of charge with your paid regis-tration fee. These will be available through your A Beka Academy online account once your order has been processed.

Sales Tax—Orders are charged current state sales tax plus applicable local tax based on shipping address. If exempt from sales tax, please send A Beka a copy of your resale or exemption certificate. Sales tax exemption certificates must be on file to receive sales tax refunds.

DVDsSchools renewing their contract for the 2017–2018 Agreement period must return all DVDs that will not be used in the fall by September 8, 2017. This dead-line includes DVDs for any grade or course for which a Video Student Kit is not being purchased for the 2017–2018 Agreement period. If these DVDs are not returned by September 8, 2017, a fee of $400 per ele-mentary grade and $75 per high school course will be assessed.

Schools that will not be renewing their contract for 2017–2018 Agreement period must return all DVDs by August 1, 2018 to avoid automatic renewal. See Video User Agreement for details.

PaymentAll DVD fees must be prepaid.

All book orders must be prepaid.

Checks for video classes need to be payable to A Beka Academy. Checks for books need to be payable to A Beka Book. Postdated checks are not accepted.

There is a charge of $25 or 5% of the check value on all returned checks.

ShippingProcessing Orders—Orders are processed for ship-ping when received. If order is received after July 15, allow 4 weeks for delivery.

Standard Service—Orders are shipped via A Beka Academy’s preferred carrier at no charge. All customs and duty fees are the responsibility of the customer.A physical street address is required for all shipments.

Inventory immediately. Shipments may arrive over a period of days. A Beka Academy is not responsible for missing items reported after 60 days from the invoice date.Backorders will be sent as soon as they become available.

Return PolicyBooks—Before returning materials, please call 1-800-874-3596 so that proper credit can be issued to your account. The return address is 5414 Rawson Lane, Pensacola, FL 32503. The customer is responsi-ble to pay all expenses incurred when returning mer-chandise.

Full credit will be given on returned merchandise within 30 days of the invoice date. Materials returned between 30 and 60 days of the invoice date will receive a 10% restocking fee. Materials returned between 60 and 90 days of the invoice date will receive a 25% restocking fee. No credit will be issued for returns received 90 days after the invoice date. Materials returned must be in perfect, salable condition, not damaged—unmarked, unstamped, with no signs of shelf wear. To receive credit for unbound books, return in original wrap.

A Beka Academy cannot be responsible for any loss or damage incurred in return shipments. Shipments should be sent via UPS, FedEx, or motor freight.

Allow four weeks for credit to be issued for returned merchandise.

DVDs—Prepaid UPS or FedEx/USPS Return Service labels are available online through your A Beka Academy account. If you do not have Internet access, contact the A Beka Academy office. Cost of returning DVDs by any other method is the customer’s responsibility. A Beka Academy is not responsible for any loss or dam-ages incurred in return shipments when using meth-ods other than the prepaid Return Service.
