Notice is hereby given that the Sixty-Fourth Annual General Meeting of Members of Audit Bureau of Circulations will be held on Friday, 14th September 2012 at Mumbai at 2.30 p.m. at “North Room”, Mayfair Banquets (P) Ltd., 254-C, Dr. Annie Besant Road, Worli, Mumbai 400 030 to transact the following business:- 1. To receive and adopt the Annual Report of the Council of Management and Audited Statement of
Accounts for the year ended 31st March, 2012. 2. To appoint a Member of the Council of Management in place of Mr. T. Venkattram Reddy, Publisher
Member on the Council, who retires by rotation under Article 26, and being eligible, offers himself for re-appointment.
3. To appoint a Member of the Council of Management in place of Mr. Shailesh Gupta, Publisher Member
on the Council, who retires by rotation under Article 26 , and being eligible, offers himself for re-appointment.
4. To appoint a Member of the Council of Management in place of Mr. Amit Mathew, Publisher Member on

who has since intimated his desire to retire from the Council as an advertising agency representative. 9. To appoint Statutory Auditors for the year 2012-2013 to hold office from the conclusion of this Annual
General Meeting till the conclusion of the next Annual General Meeting. . 10. To consider following Special Resolutions as approved by the Bureau’s Council of Management:
(i) RESOLVED THAT a new Clause No. 3(aaa) be inserted after the existing clause No. 3(aa) in the main object clause No. 3 of Memorandum of Association stating that “the company may undertake circulation audits, digital audits of publications printed and published within India or outside India as well as measurements of websites carrying advertisements through any electronic device and disseminate such information to all members”.

(ii) RESOLVED THAT a new Clause 3(i)(c) be inserted after the existing clause No. 3 (i)(b)
in Articles of Association stating that “the company may enroll as Associate Members from outside India viz. publishers, advertising / media agencies, advertisers, non-governmental organizations, website owners or any other person / organisations connected with advertising. Associate members residing outside India to be enrolled without any voting rights”.
11. To transact any other business relevant to the meeting with permission of the Chair.

poll only. A proxy need not be a Member. Proxies in order to be effective must be received at the office of the Bureau not less than forty-eight hours before the Annual General Meeting.
(ii) Members are requested to notify any change in their address immediately to the Bureau.
(iii) Members queries (if any) on the statement of accounts of the Bureau should be received by the Secretariat at least seven days prior to the date of the Annual General Meeting in order to enable the Bureau prepare its appropriate reply.

Explanatory Statements
Pursuant to Section 173(2) of the Companies Act, 1956
Item No. 10 : (i) Resolution set out under item no. 10 of the accompanying notice of the Annual General
Meeting, members are hereby informed that Bureau’s Council of Management have decided to explore the possibility of undertaking circulation audits of publications printed and published outside India specially in Dubai, Middle East and SAARC countries where an ABC does not exist. Your Company would in future also take steps to undertake web audits, digital audits of publications printed and published within India or Outside India as well as web measurements of websites carrying advertisements on any electronic devices. Your Company would then disseminate the data to all members of the Company
(ii) Your Company would take steps to enroll as Associate Members those residing outside India namely, Publishers, Advertising / Media Agencies, Advertisers, Organisations, Government Departments, Website owners or any other person or organization connected with advertising and desiring to avail of the data compiled by the Company.
Such Associate Members residing outside India would be enrolled without any voting rights to elect members of the Bureau’s Council of management.
Prior approval from Registrar of Companies, Maharashtra, Mumbai has been obtained for both the above Special Resolutions. No member of the Council is interested in the above Resolutions in their individual capacity as set out in the said item no. 10 of the accompanying notice.

Report of the Council of Management of
Audit Bureau of Circulations for the year 2011 – 2012
TO, ALL MEMBERS OF THE BUREAU: Your Council of Management have pleasure in presenting the Sixty-Fourth Annual Report on the working of the Bureau for the year 2011-2012. The Audited Statement of Accounts and the Auditor’s Report for the year under review are also attached. 1. COUNCIL OF MANAGEMENT:
1.1 Your Council met seven times during the year 2011-2012. Your Council discussed at
length, several policy issues which were comprehensively evaluated taking into accountvarious suggestions received from members in order to ensure that the certifiedcirculation figures disseminated to the users are relevant and dependable.
1.2 Chairman, Mr. Sam Balsara intimated his desire to retire from the Bureau’s Council of Management as per convention after the Annual General Meeting of the Bureau. Mr. Balsara contributed immensely towards the progress of the Bureau first as the Hony. Treasurer and thereafter as the Deputy Chairman and Chairman of the Bureau. Mr. Balsara had for the past many years carried out the responsibility of Chairing the Bureau’s Audit Committee, scrutinizing several results of Bureau’s audits etc. Mr. Balsara took considerable interest in the deliberations of the Council from a non publisher’s perspective and was instrumental in guiding the Council in its decision making process.
2. INITIATIVES TAKEN BY THE COUNCIL:
Mr. Sam Balsara after taking over as the Chairman of your Council enunciated that during the year his attempt would be to:
2.1 Take such steps as deemed appropriate to improve the credibility of the ABC Certificate.
2.2 To reduce if not eliminate unnecessary hardships that Publishers have to go thru at the time of Bureau audit.
With a view to achieving the above twin objectives, your Council took a number of initiatives as under:
2.3 (i) Your Council had preliminary discussions with KPMG, Ernst & Young and PWC to see if one of these consultancies can be enlisted to help your Council prepare a blue print with a view to achieving the above twin objectives. Proposals were received from all 3 consultancies. Your Council feels that in the coming months one of them may be considered but after a decision is taken on some of the initiatives listed below.

(ii) Your Council discussed the possibility of doing away with the current system of dual audits; i.e. Publisher audit conducted by an auditor from an approved panel, but appointed by the Publisher and Bureau audit done on a selective surprise check basis done by an auditor appointed by the Bureau. Your Council discussed the possibility of replacing the dual audits with a single audit done on a 100% basis by auditors appointed by the Bureau itself at the first place. After a series of discussions over several meetings it has been agreed to adopt this proposal with effect from audit period January-June 2013. Advertiser and Agency Members or the Council feel that such a step would substantially add to the credibility and authenticity of the ABC certificate.
Your Council also formed a small Committee of publisher and non-publisher members on the Council to frame guidelines for carrying out this direct audit by auditors appointed by the Council in the near future. A significant decision was made where a Publisher member would be provided an option to select any audit firm(s) from within the 3 audit firms approved by the Council. Payment to auditors and recovery mechanism from publisher members is being worked out.
(iii) With a view to ensuring that a thorough and standardized audit is carried out by auditors, your Council has proposed an exhaustive check list of the areas to be covered by the auditor during the course of the audit, so that the Bureau is assured that a thorough, complete and standard job has been completed by the Auditors.
(iv) With a view to remove arbitrariness your Council is also attempting to document a list of reasons or circumstances under which deduction of copies are required to be carried out or a certificate to be denied to a Publisher.
3. APPLICATION FEES:
Your Council also decided to henceforth charge only a token application fee from new publisher applicants instead of usual one time admission fee and one year annual subscription fees at the time of application for Bureau membership. Admission fee and one year subscription would thereafter be charged once a publisher obtains the first ABC certificate of circulation and becomes eligible to enroll itself as a member of the Bureau.

5. EMPANELMENT OF ADDITIONAL FIRMS OF PUBLISHER AUDITORS
During the year, Bureau empanelled 24 firms of Chartered Accountants as publisher auditors to undertake circulation audit of publisher members. This exercise was carried out in order to provide publisher members greater access to an audit firm. Publisher members would continue to select any firm from the empanelled firms of Chartered Accountants to audit their circulation figures as per provisions of the Guide to ABC Audit.
6. TASK FORCE
A Task Force was formed to review and suggest re-designing and re-development of Bureau’s website: www.auditbureau.org. Task Force members under the Chairmanship of Mr. S.M. Ahmad met several times to prepare a RFP to be issued to various agencies who normally undertake designing of websites. After reviewing the proposals from various agencies, Task Force Members decided to suggest to the Council that the work could be assigned to M/s. Quosphere Infosolutions Pvt. Ltd., Mumbai. The Bureau’s website enables all members of the Bureau to access information on certified circulation figures as disseminated by the Bureau and updated on the website from time to time.
7. RESULTS OF BUREAU’S SURPRISE CHECKS:
For past several years, Bureau has been following the practice of undertaking surprise checks of member publications by a separate panel of Bureau’s Auditors. Surprise checks have been found to be a useful tool to measure actual printing, distribution and regular maintenance of books of accounts by publisher members. Overall results of Surprise Checks undertaken during the year were satisfactory.

8. RESULTS OF BUREAU’S SURPRISE RECHECK AUDITS:
Apart from the regular Surprise Checks, Bureau’s Audit Committee suggested Surprise

Circulation figures in case of unsatisfactory surprise recheck audits were treated as “Not Accepted” for certification.

Out of the above, 11 publications for the audit period July-December 2011 and 30 publications for the audit period January-June 2011 were put through a surprise recheck audit on admission.

A comparative table showing the percentage change in the certified circulation figures for each category viz. Daily Newspapers, Weekly Newspapers and Magazines during the audit period July-December 2011 as compared to the audit period July-December 2010 was as under:

For the audit period July-December 2011, circulation figures of 27 Daily & Weekly
Newspapers, 6 Magazines were not certified either due to non submission, late submission, unsatisfactory result of Bureau’s Audits.
10. ONLINE SUBMISSION OF AUDITED CIRCULATION FIGURES BY MEMBER PUBLICATIONS:
Publisher members were provided with a software to be down loaded from the Bureau’s website: www.auditbureau.org to enable them submit audited circulation figures electronically. Bureau is in the process of carrying out further enhancements to the certification software. Publisher members would find it easier to submit their audited circulation figures in future when the new software is installed.
11. AUDITORS:
Messers Ford, Rhodes, Parks & Co., Chartered Accountants, retire as Statutory Auditors of the Bureau and are eligible for re-appointment for the financial year 2012-2013.
Your Council has favourably considered their request to increase their audit fees from Rs.30,000/- to Rs. 40,000/- plus taxes as applicable plus out of pocket expenses with effect from financial year 2012-2013.
12. BUREAU’S STAFF:
Secretariat led by the Secretary General with assistance from other staff members accomplished all tasks assigned to them satisfactorily and competently handled all matters pertaining to the Bureau.
13. DIRECTORS’ RESPONSIBILITY STATEMENT:
Pursuant to the requirement under Section 217 (2AA) of the Companies Act, 1956, with respect to Directors’ Responsibility Statement, it is hereby confirmed:
(i) That in the preparation of the accounts for the financial year ended 31st March 2012, the applicable accounting standards have been followed and that no material departure have been made from the same.

(ii) That the Directors have selected such accounting policies and applied them consistently and made judgements and estimates that were reasonable and prudent so as to give a true and fair view of the state of affairs of the Company at the end of the financial year and of the Income & Expenditure account of the Company for the year under review.
(iii) That the Directors have taken proper and sufficient care for the maintenance of adequate accounting records in accordance with the provisions of the Companies Act, 1956 for safeguarding the assets of the Company and for preventing and detecting fraud and other irregularities;
(iv) That the Directors have prepared the annual statement of accounts for the financial year ended 31
st March, 2012 on a ‘going concern’ basis.
14. ELECTIONS:
Under Article 26 of the Bureau’s Articles of Association, following Members are due to retire
from the Council of Management but are eligible for re-election under Article 28 of Bureau’s Articles of Association:

REPORT OF THE AUDITORS TO THE MEMBERS OF
AUDIT BUREAU OF CIRCULATIONS We have audited the attached Balance Sheet of Audit Bureau of Circulations as at 31st March 2012, the Statement of Income & Expenditure and also the Cash Flow Statement of the Bureau for the year ended on that date annexed thereto. These Financial Statements are the responsibility of the Bureau's Management. Our responsibility is to express an opinion on these Financial Statements based on our audit. We conducted our audit in accordance with the Auditing Standards generally accepted in India. Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statements are free of material misstatements. An audit includes examining, on a test basis, evidence supporting the amounts and disclosures in the financial statements. An audit also includes assessing the accounting principles used and significant estimates made by the management, as well as evaluating the overall financial statement presentation. We believe that our audit provides a reasonable basis for our opinion. We report as follows: 1) The Bureau has obtained a license under Section 25(3) of the Companies Act, 1956, hence this report
does not deal with the matters specified in the Companies Auditor's Report Order(CARO), 2003 (as amended) issued by the Central Government in terms of Section 227(4A) of the Companies Act,1956.
2) i) We have obtained all information and explanations which to the best of our knowledge and belief were necessary for the purpose of our audit.
ii) In our opinion, proper books of accounts as required by law have been kept by the Bureau so
far as appears from our examination of the books. iii) The Balance Sheet and the Income and Expenditure account dealt with by this report are in
agreement with the books of account. iv) In our opinion, the Balance Sheet and the Income and Expenditure Account comply with the
Accounting Standards referred to in Section 211(3C) of the Companies Act, 1956, to the extent applicable.
v) As per representations received from the council members as on 31st March 2012 and
recorded by the Bureau none of the council members are disqualified from being appointed as director under clause (g) of sub-section (1) of Section 274 of the Companies Act, 1956.

vi) In our opinion and to the best of our information and according to the explanations given to us, the said financial statements read together with the Significant Accounting Policies and other notes thereon give the information required by the Companies Act, 1956, in the manner so required, and present a true and fair view in conformity with the accounting principles generally accepted in India :
a) In the case of the Balance Sheet, of the state of affairs of the Bureau as at 31st March 2012.
b) In the case of the Income and Expenditure Account, of the excess of income over expenditure of the Bureau for the year ended on that date.
c) In the case of the Cash Flow Statement, of the cash flows of the Bureau for the year ended on that date.

Note 1. Share holders fund / Share capital:
The company is registered under Section 25 of the Companies Act, 1956, without a share capital. There are no share holders in the company and there is no share capital. Therefore shareholders fund in the Balance Sheet as at 31.03.2012 is NIL.
Member’s rights, restrictions and responsibilities: Any publisher either a newspaper or a magazine which bears a cover price can apply for Bureau Membership. The activities of the Bureau are governed through its Council of Management which is an elected body elected by its members at the Annual General Meeting.
The Council of Management comprises of – i. 8 elected representatives of Publisher members ii. 4 elected representatives of Advertising Agency members iii. 4 elected representatives of Advertiser members
The Bureau has appointed a full time Secretary General who reports to the Council of Managements and takes their guidance and orders. The membership in the company is not transferrable.
Note.2 Reserves and Surplus:
The Reserves and Surplus of the Company does not form part of share holder’s fund, as there is no share capital and no share holders in the Company.

Note 17. ADDITIONAL NOTES ON ACCOUNTS.
Notes Forming Part of the Financial Statements of Audit Bureau of Circulations for the year Ended 31st March, 2012.
A. Company background
Audit Bureau of Circulations is A NOT FOR PROFIT Organisation registered as a Company U/s 25 of the Companies Act 1956 without a Share Capital. The Members of the Bureau includes mainly of Publishers of Newspapers/ Magazines bearing a cover price, Advertisers, Advertising & Media Agencies and Government Publicity Departments.
The Bureau is engaged in providing to its members third party independent verification of circulation figures of member publications certified as per the prescribed audit rules and procedures.
The Bureau is registered under Section 12A as a Charitable Organisation and is assessed Under Section 11 of Income Tax Act 1961 and hence its income is exempt from tax.
B. Significant accounting policies
(i) Basis of accounting :
The Accounts have been prepared on accrual basis in accordance with the Accounting Standards referred to in Section 211 3(C) of the Companies Act 1956, which have been prescribed by the Companies Act (Accounting Standards) Rules 2006 and the provision of Companies Act 1956 to the extent applicable. Accounting policies have been consistently applied except where a newly issued Accounting Standard is initially adopted or a revision to the existing Accounting Standard or a more appropriate presentation of the Financial Statements requires change in accounting policy hitherto in use.
(ii) Fixed Assets and Depreciation : All Fixed Assets are stated at cost of acquisition less accumulated depreciation. Depreciation is provided on written down value method at the rates specified under Schedule XIV of the Companies Act, 1956.
(iii) Investments are stated at cost and are held as long term Investments. However provision for diminution in value is made to recognise a decline other than temporary in the value of investment.
(iv) Employee benefits :
Provident Fund:-Contributions towards Employees Provident Fund are recognized as expense. Contributions in respect of all eligible employees to Provident Fund are made to separate recognized Provident Fund viz. `ABC Provident Fund’ managed by the Trustees. Disbursement of

interest to members is done as pronounced by the Central Government every year. Short fall, if any, in interest distribution as against the declared rate is borne by the Company.
Gratuity:-A provision for Gratuity payable to all eligible employees as per actuarial report is accounted for on the basis of 15 days salary for employees completing over five years and upto 10 years and one month salary for employees completing over 10 years of service. This liability for Gratuity payable to employees is however not funded.
Encashment of unutilized Privilege Leave: - A Provision for encashment of unutilized privilege leave has been made as per the actuarial valuation report.
ESIC: - Contribution to Central Government Employees State Insurance Scheme for eligible employees is not applicable to the Company.
(v) Contingent Liability: - The Company does not recognise a contingent liability but discloses its existence in the financial statements by way of a notes – “Contingent liability not provided for”.
C. Notes on Accounts Forming Part of Accounts
(i) Bureau's NRSC Division: Total income during the year for NRS was Rs. 25,55,527/- and the total expenses incurred was Rs.18,957/-. Excess of Income over Expenditure of Rs.25,36,570/- has been transferred to NRSC Reserves and Surplus Account.

(iii) Encashment of unutilized Privilege Leave:

(vii) The Company has obtained an experts’ opinion that its activity would constitute charitable activity within the meaning of section 2(15) (as amended) of the Income Tax Act, 1961. Accordingly no provision for tax is considered necessary.
(viii) The Accounting Standard Viz. Segment reporting (AS-17), related party disclosures, (AS-18) and
Accounting for taxes on income (AS-22) are not applicable to the company.
(ix) Since the Company is not for profit organisation, statement of Income and Expenditure is given in place of Statement of Profit and loss for the year ended 31st March, 2012.
(x) Earnings per share: The Company is registered U/s. 25 of the Companies Act 1956 without
Share Capital hence Earnings per Share is not applicable.
(xi) Till the year ended 31st March 2011, The Company was using the pre-revised Schedule VI to the Companies Act, 1956 for preparation and presentation of its financial Statements. During the year ended 31st March 2012, the revised Schedule VI notified under the Companies Act, 1956 is now applicable to the Company. Since the company is not for profit organisation, the Statement for Income and Expenditure is given in place of Statement of Profit and Loss for the year ended 31st March, 2012. The Company has reclassified previous year figures to conform to this year classification.
