Introduction: Central Electronics Limited (CEL) is a public sector enterprise under the Ministry of Science & Technology, Government of India and has been a pioneer in the area of solar energy in the country. CEL has many firsts to its name: It has produced India’s first solar cell, first solar module, and set-up India’s first solar power plant. CEL has over four decades of experience in a wide range of solar installations including rural and remote area electrification projects, water pumping systems, primary health centres, community systems, roof top power plants and large capacity power plants. The Company has undertaken rural and remote area electrification projects in over thirty countries including some of the remotest places such as sub-Saharan Africa and also in South East-Asian Countries.
Expression of Interest: Central Electronics Limited, Sahibabad is interested to promote and expand the business in the field of Solar Photovoltaic (SPV) in member countries of ASEAN region, Middle East, SAARC region and in all Countries of Africa by engaging Channel Partners. Interested parties having good infrastructure for carrying out Solar Photovoltaic Business are requested to submit their EOI for Channel partner for Business Development & Follow up and Project Execution at the office of:

All parties who are interested may submit their EOI in line with the requirement but not limited to mentioning their profile, credential details of their business experience and other documents as mentioned in qualifying criteria. Broadly the scope of work shall be as follows:
Scope of work for Channel Partner:
Channel Partner shall prepare its proposal for Civil Construction works, Installation & commissioning, maintenance services, Import clearance of goods and inland transportation from port of destination to the project site and submit to CEL. CEL in turn shall prepare the final offer to be submitted to the Customer. Channel Partner shall perform the Scope of work as below:
A. In Business development Segment:
1. To find out potential solar business for CEL in assigned territory.
2. Purchase of Tender documents/REPs/RFQs/ EOI/ other business enquiry documents and also
sending a copy of the same to CEL in India via Email/courier/other mode of communication as
applicable.
3. Doing registration with client for purchase/collection of aforesaid documents as and when required
4. To attend pre-bid/ Post bid meeting and site visits organized by the client as and when required.
5. Submission and follow-up for queries submitted to the client. Also to collect replies and chase-up
the matter with client.
6. Collection, Submission of bid documents to the client and attending the bid opening session and
sending report if bid opening result to CEL.
7. To assist CEL personnel in getting Visa/ other consular services as required or requested by CEL
including to accompany CEL personnel during their visit to assigned territory as and when
required.
8. To do follow up with client.
9. To assist CEL in the activities of Business Promotion, Advertising, participation in exhibitions and international business meet as and when required.
10. To provide any other support/services as and when required by the CEL on case to case basis.
B. In Execution of Projects:
1. Accompany and assist to CEL’s staff during site survey of the identified site
2. Submit proposal to CEL along with all input costs as per CEL/ customer specifications and get approval from CEL.
3. Specification / drawing of all input material shall finally be approved by CEL
4. Submission of final proposal (CEL’s offer) to customer
5. Getting all statutory project clearances/approvals as and when required from local Govt.
bodies/concerned authorities/ as applicable in the Customer’s country
6. Civil construction/Building works, installation, testing, commissioning, trial runs, maintenance
services and arranging for imparting training to client’s personnel in the Customer’s country in
association with CEL support.
7. CEL shall supply goods on the basis of CIF destination port in the customer’s country.
8. Import clearance of goods at the port of destination and inland transportation upto the project
site in Customer’s country. Channel partner shall be responsible for any damage to goods
during inland transportation in customer’s country.
9. To deliver the materials at sites.
10. Arranging local manpower, material, rolling stock and all other miscellaneous items and
equipment as per project requirement.
11. Timely execution of all projects.
12. Follow up with Customer on behalf of CEL for submission of Bills, Receipts of payment etc.
13. The goods supplied under the order shall be fully insured against loss or damage incidental to manufacture or acquisition transportation and the expenses in this regard shall be included in the offered price. Channel Partner shall also provide complete project insurance (as per total project cost/order value to CEL) from port to site and further till the project is handed over.
14. Channel Partner shall deliver the material at their own cost as per the order at various project sites informed by CEL.
15. Channel Partner shall make arrangement to maintain a sufficient stock of essential & consumable spares at various project sites for maintenance of the system and ensure the proper maintenance of the system promptly.
16. Arrange for safe storage at the site. 17. To co-ordinate with Customer for verification of supply of equipment and early realization of
the related payment from Customer. 18. Site preparation, Installation & Commissioning and energisation of all equipments and systems. 19. To ensure satisfactory performance of the systems during warranty period as well as during the
Maintenance period. For this purpose Channel Partner shall prepare a preventive maintenance schedule as approved by CEL and submit the quarterly maintenance reports to CEL.
20. Establish an equipped service centre wherever required as per the contract received by CEL. 21. To update CEL regarding performance of the installed systems and submit report in this respect
till the end of Warranty period. For this purpose Channel Partner shall crate an online real time performance monitoring system and provide access of the same to CEL.
22. Ensuring the satisfactory performance during warranty period of the items/works carried out. For this purpose cost of sufficient spares to be included in the proposal. Channel Partner shall always maintain the minimum stock goods spares.
23. In case of any losses, theft or damage of material, Channel Partner shall alone be responsible to make alternate arrangement for completion of the project within contractual delivery, commissioning & AMC period, where ever applicable, within quoted price. CEL shall in no way, whatsoever, be responsible to compensate Channel Partner in this account.
24. Channel Partner shall get all the utilities required to complete the work directly or through the customer. No payment on this account shall be paid by CEL.
25. Maintenance of the system beyond warranty period, in case of AMC desired by the customer & CEL.
26. Conducting training programme for users. 27. Channel Partner shall submit the photographs and videos of the progress and completion of
works at site to the CEL. 28. Handing over and taking completion certificate
Note: After the award of the contract to CEL, a Purchase order shall be placed to the channel partner
where in detailed scope of work and terms & conditions shall be mentioned.
Scope of work for CEL:
1. Site Survey shall be carried out by CEL. However, the channel partner shall assist to CEL as and when required.
2. Design and Engineering shall be carried out by the CEL. However, the necessary inputs , if required shall be provided by the channel partner to CEL.
3. Supply of entire bill of material required for the execution of the project except for the materials required for civil works at site. The delivery terms shall be CIF nearest port of destination in the customer’s country.
4. Overall project management and supervision
5. Monitoring the project progress as per the submitted project plan. 6. Interacting with the customers/ beneficiaries and updating them about the project progress. 7. Warranty support for the modules for the time period as per the contract with the customer. 8. Ensuring quality of work and quality of delivery of the project as per the PO placed by the
customer. 9. Assist to Channel partner for providing Training to client’s personnel

ELIGIBILITY CRITERIA In order to meet eligibility criteria the bidders has to submit relevant documents duly certified in support of their claim for eligibility as per above points. INFORMATION AND INSTRUCTIONS FOR APPLICANTS 1.0 General:
1.1. All information comprising the application shall be furnished in English Language only. 1.2. All information should include a covering letter listing the various enclosures. 1.3. Each page of the EOI document must be signed by the authorized signatory of the firm. 1.4. All information required as mentioned in annexure-I should be furnished by the
applicant. If for any reason, any information is provided in a separate sheet, this fact should be mentioned against the relevant point. If no information is to be provided, a ‘nil’ or ‘no such case’ entry should be made. If any particular/query is not applicable in
case of the applicant it should be stated as Not Applicable. 1.5. If any information furnished by the applicant is found to be incorrect either
immediately or at a later stage it would render him liable to the termination of the contract.
1.6. The EOI document duly completed and signed should be submitted in a sealed envelope super scribing “Expression of Interest – Channel Partner for International Business” OR by email to the address given at “Clause no. 10: Submission of EOI” of this document.
1.7. Approach papers shall be submitted in a separated envelope.
2. Definitions: In this document the following abbreviations and expressions have the meaning hereby assigned to them as follows.
2.1. CEL: means CENTRAL ELECTRONICS LIMITED, 4 INDUSTRIAL AREA SAHIBABAD-201010 (UP)
2.2. APPLICANT: means the individual, proprietary firm, firm in partnership, limited company private or public or corporation or consortium.
2.3. EOI: means expression of interest. 3. Final Decision Making Authority CEL reserves the right to accept or reject any application and to finalize the pre-qualification process and reject all applications at any time, without assigning any reason whatsoever and shall not be held liable for any such action. 4. Particulars
4.1. This should not be treated as a commercial tender document and parties are advised not to offer their prices or include any financial aspect with the response to EOI.
5. Others 5.1. CEL reserves the right to restrict the list of eligible parties/applicants to any number
deemed suitable by it. 5.2. Even though an applicant may satisfy the above requirement, he would be liable to
disqualification if he/she has: a) Made misleading or false representation or deliberately suppressed the
information in the forms, statements and enclosures required in the EOI-prequalification document.
b) Record of poor performance such as abandoning work, not properly completing the contract, or financial weakness etc.
6. Empanelment
6.1. All EOIs shall be evaluated and parties scoring more than 70 marks shall be declared successful.
6.2. In case of Non-performance, CEL reserves the right to cancel the empanelment of the channel partner.
7. Award Criteria
7.1. Marks will be awarded against each point/clause of eligibility criteria. In the first instance, top two applicants in a country/region shall be empaneled. However, numbers may be increased at CEL’s discretion. The empanelment letter shall be provided to these applicants. Initially, the empanelment shall be for 1 year extendable by 1 more year depending upon the performance of the channel partner.
8. Other Information:
8.1. CEL has the sole discretion to accept/reject one/all EOI without assigning any reason whatsoever.
8.2. CEL reserves the right to further shortlist for final selection from the empaneled parties for various assignments.
8.3. This advertisement does not constitute and will not be deemed to constitute any commitment on part of CEL for any purchase / work-order.
8.4. Furthermore, this advertisement confirms neither the right nor any expectation on any applicant to participate in the future proposed tenders.
8.5. CEL also reserves the rights to accept/reject any offer at any stage of the process and/or modify the process or any part thereof or to vary terms at any time without giving any reason.
9. Consulting fee to channel partner:
For the business development work being done by the channel partner, the consulting fee for channel partner shall be as follows:

10. Payment for Project execution: Broadly, the payment terms shall be on back to back basis, as per scope of works mentioned in the purchase order issued to the channel partner after winning of the contract. The payment to channel partner shall be made on pro-rata basis.
11. The following must be submitted as part of your EOI: 1. Copy of income tax returns along with proof of payment of income tax, Audited Balance
Sheet with Profit and Loss account for last 3 financial years. 2. Copy of Contractor’s Registration as applicable in the country of Origin. 3. Filled up Format for Submission of Vendor Data as per format at Annexure 1 & 2. 4. Technical catalogue, literature and approval/registration certificate, if any, required as
per details in the EOI.
5. Designation of the individual authorized to act for the organization. 6. Was the Applicant ever required to suspend the works for a period of more than six
months continuously after award of work by any contractor/party? If so, give the name of the project and the reasons of suspension of work.
7. Has the Applicant or any constituent partner in case of partnership firm, ever abandoned the awarded work before its completion? If so, give the name of the project and reasons for abandonment.
8. Has the Applicant or any constituent partner in case of partnership firm, ever been debarred /black listed for tendering in other organization at any time? If so give details.
9. Test certificate for the product related to Solar PV Systems, if any, Copy must be attached.
10. Any other information considered necessary but not included above.
12. Jurisdiction and Applicable Law: All matter connected with the EoI, shall be governed by the laws of India (both substantive and procedural) for the time being in force and shall be subject to exclusive jurisdiction of the Indian courts/Tribunals at Delhi.
