The REGULAR MEETING of the New Ulm Economic Development Authority was called toorder at 8: 00 a.m. November 14, 2017 in the City Council Chambers at City Hall.
Roll was called and the following members were present: Commissioners Braam, Janni, Schultz, Schwartz and Vice President Fix.
Also present were Mayor Beussman, Executive Director Gramentz, Housing CoordinatorBregel and Treasurer Jorgensen.
Commissioner Schultz made a motion to approve the minutes of the October 10, 2017
Regular Meeting. Commissioner Braam seconded the motion and all voted aye.
The Economic Development Coordinator reported on various economic development
activities in the community. He also gave a presentation on NUEDC operation and
accomplishments.
The Housing Coordinator reviewed for the Commissioners highlights of the administrativeactivities during the month of October 2017, as follows:
Housing Choice Voucher Program — She reported that the Housing Assistance Paymentspayments to landlords exceeded disbursements from HUD by $ 11, 568 for the month. HUD
Administrative Fee expenses exceeded disbursements by $ 1, 244 for the month. Total
vouchers are at 86 as of October 1, 2017. The current waiting list is at 82. Staff pursued an opportunity to submit a letter of interest for HUD Veterans AffairsSupportive Housing ( VASH) vouchers but the Minneapolis VA was unable to provide therequired services in our area at this time.
Public Housing Program — Net assets in the program are $ 632,224.79 as of October 31,
2017. Broadway Haus is fully leased with 43 on the waiting list. The Family Units are fullyleased with 29 on the waiting list. A HUD Physical Inspection of the Public Housing units was conducted in September. A
preliminary score of 81 was received, but was adjusted to 91 due to a technical review. EDA - Investment pool assets of $455,384 as of October 31, 2017. The sale of the spec
house at 629 Pfaender Drive has closed. The spec house at 633 Pfaender Drive has been
staged and an open house has been scheduled. Staff had a follow up call with MHP inregards to the Strengthening Rural Communities program. MHP was notified that their
application for RCDI grant funds was denied. They have some remaining RCDI and HUDfunds that they might be able to use to fund another Housing Institute. Property Rehabilitation Loan Program — Available funds of $279,625 as of October 31,
2017.
Rental Properties — Cash investment assets of $76,353 as of October 31, 2017.
Garden Terrace Apartments — Garden Terrace has two vacancies. There were no turnovers
during the past month and there are two move -out notices pending for December. The
waiting list is at 69. Net incomes were lower in October due to payment -in -lieu -of -taxes.

Commissioner Schultz made a motion to accept the Administrative Activities Report.
Commissioner Braam seconded the motion and all voted aye.
The Housing Coordinator presented a letter received from the Department of Housing andUrban Development (HUD) with the SEMAP certification score for the Section 8 Housing ChoiceVoucher Program. This HUD notification letter indicates a score of 100% for the fiscal year endingJune 30, 2017. This put the overall performance rating as High.
The Housing Coordinator presented Change Order No. 1 to the Broadway Haus RoofReplacement Project in the additional amount of $9,000. Commissioner Schultz offered a motion to
approve Change Order No. 1. Commissioner Braam seconded and all voted aye.

Commissioner Schwartz seconded the motion and all voted aye.
The Authority received a copy of the New Ulm Economic Development Authority audit forthe one year period ending June 30, 2017. The Treasurer presented a summary of the audit to theEDA. Commissioner Schultz made a motion to accept the 2017 audited annual financial report. Commissioner Janni seconded the motion and all voted aye.
The Authority was presented with the final assessment for 2016 USA Improvements inMilford Heights Phase I. After further discussion, Commissioner Braam offered a motion to utilize
Garden Terrace Apartment reserve funds to pay the assessments in full on the 18 lots that have beensold to date and amortize over 10 years the assessments for the 11 lots that remain unsold. Commissioner Schultz seconded the motion and all voted aye.
The Authority considered a motion authorizing use of EDA funds to assist in financing theAssistant City Manager position in the annual amount of $50,000. After further discussion,
Commissioner Schultz offered a motion to table this item. Commissioner Schwartz seconded the
motion and all voted aye.

DETAIL ITEMS:
Participate in 2 Workforce Development Council meetings. The group sent surveys to
over 300 area businesses to help determine what workforce training needs existed. Unfortunately we only got 17 back. The biggest take away is that a vast majority of businesses94% of the returns) do in house training. Another take away is that 64% of the businesses
returning the survey were either somewhat dissatisfied or mostly dissatisfied with the trainingprovided their employees.
Participate in the Southcentral Business Development Network. A representative of the
Minnesota Department of Employment and Economic Development provided updates on the
State' s financial incentive programs.
Made a presentation to the Sertoma Club regarding what NUEDC does and gaveexamples of some of the businesses NUEDC has worked with and what we did for the
businesses.
Visit with Eric Bode regarding the availability of the former Shelter Products building. Mr. Bode and a partner have purchased the facility and are looking for a tenant.
Meet with Honey Burg and Steve Franta of TLP regarding what they do to help NUEDCwith funding.
Made a presentation to the Economic Development Authority regarding what NUEDCdoes and gave some examples of businesses NUEDC has assisted and what NUEDC did for the
businesses.
Call with Doug Bercu, President of Timber Development Corporation. Timber owns thestrip mall near WalMart. Mr. Bercu called to see ifNUEDC had any interest in buying theempty lot to the west of the strip mall.
Call with Mike Bruns of Parker Hannifin. Mr. Bruns was updating their Contingency
Plan and wanted to verify NUEDC contact information. He also provided an update on businessactivity, indicating they were busy.
Visit with Lee Kuhl of CRC Global, a seed distribution and trucking business that hasleased the former Palm Beach Marine craft building. Mr. Bruns indicated the business hadgrown out of its former location in Hutchinson.
Visit with Troy Camm of Maverick Blinds, a manufacturer ofhunting blinds. Mr. Cammindicated the business is only a year old and he sees significant growth in the future. EveryMenards store has Maverick Blinds for sale.
Calls with a banker representing a client who would like to open a chemical dependencyand mental health clinic in downtown New Ulm. The client is seeking incentives from the CityofNew Ulm.
Call with Rodrigo Cagide who is with Mid American Logistics. Mr. Cagide is lookingfor a new site and new clients.

Monthly HUD Administrative Fee (AF) program disbursements exceeded expenses by $859 for the month. pP. 3- 4 Note HAP and AF unaudited balances as ofNovember 30, 2017. 55 Note 88 Vouchers as of December l5t and Waiting List of 81.
Public Housing (pp.6- 9) pp. 6- 7 Note monthly and year-to-date program activity. As ofNovember 30th, program revenues have exceededexpenditures by $11, 959. Note cash assets summary. 88 Broadway Haus is fully leased with 38 on the Waiting List. 99 Family Units are fully leased with 23 on the Waiting List. A street assessment in the amount of $4,356 was paid in full. The notice was received on November 13th. If not
paid by December 7th, the cost would have increased to $4, 516.01. If amortized over ten years at 3. 2% interest,
the cost would have increased by another $787.28. We have typically paid these assessments in full in the past, sostaff made the decision to process this payment rather than wait for board approval in order to avoid incurring anyadditional costs.
EDA (p. 10) Note revenues and expenditures status, and cash assets of $573, 741.
The revenue increase is due to the sale of the spec house located at 629 Pfaender Drive. A purchase agreementhas been signed for Lot 6, Block 4 and should close this month.

Overview:
Occupants of Public Housing pay 30% of their adjusted income for rent and utility costs. Residents of the family units areresponsible for the payment of all utilities and Broadway Haus only for their electric bill. In order to determine theaverage utility costs that residents have to pay, we review their utility usage for the last year and calculate the averageusage at current prices. This amount is then subtracted from the tenant' s rent (30%) in order to provide them with funds to
pay for their utility bills.
Staff completed the annual review of the Public Housing Utility Allowance schedules. Staff proposes no change forBroadway Haus and the two bedroom Family Units and a slight increase for the three and four bedroom Family Units.

Overview:
The EDA authorized the sale of Lot 1, Block 2, Fifth North Street First Addition to S & P Development, LLC (S & P) at
its August 8, 2017 meeting. The Warranty Deed for the sale was signed by the Executive Director on August 15, 2017. A portion of this property was platted by S & P as Milford Heights Second Addition.
This plat has a total of 33 building lots located in areas zoned R- 1 ( Single Family Residence District), R-2 ( Single andTwo Family Residence District) and R-3 ( Multiple Family Residence District). One building permit has been issued for a four -unit townhome within the platted area. It is anticipated that additional lot sales will be taking place in the future. State Statutes place certain restrictions on the sale of property by an EDA. These include a provision in Section 469. 105, Subd. 5, that reads as follows:
A purchaser must not transfer title to the property within one year of purchase without the consent of the authority." In this case, S & P would be the purchaser and they cannot transfer title to any property in Milford Heights 2nd Additionwithin one year of the sale date without the consent of the EDA.
The purchase date was August 15, 2017. The one year time period would extend to August 14, 2018. This provision could require the EDA to hold multiple special meetings to authorize the sale of individual parcels of
property.
Primary Issues/Alternatives to Consider: The staff would recommend authorizing the Executive Director to act on behalf of the EDA and approve any transferof title to property in Milford Heights Second Addition by S & P until August 15, 2018.

469. 105 SALE OF PROPERTY.
Subdivision 1. Power. An economic development authority may sell and convey property owned by itwithin the city or an economic development district if it determines that the sale and conveyance are in thebest interests ofthe city or district and its people, and that the transaction furthers its general plan of economicdevelopment. This section is not limited by other law on powers of economic development authorities.
Subd. 2. Notice; hearing. An authority shall hold a hearing on the sale. At the hearing a taxpayer maytestify for or against the sale. At least ten, but not more than 20, days before the hearing the authority shallpublish notice of the hearing on the proposed sale in a newspaper. The newspaper must be published andhave general circulation in the authority' s county and city. The notice must describe the property to be soldand state the time and place of the hearing. The notice must also state that the public may see the terms andconditions of the sale at the authority' s office and that at the hearing the authority will meet to decide if thesale is advisable.
Subd. 3. Decision; appeal. The authority shall make its findings and decision on whether the sale isadvisable and enter its decision on its records within 30 days of the hearing. A taxpayer may appeal thedecision by filing a notice of appeal with the district court in the city or economic development district'scounty and serving the notice on the secretary of the authority, within 20 days after the decision is entered. The only ground for appeal is that the action of the authority was arbitrary, capricious, or contrary to law.
Subd. 4. Terms. The terms and conditions of sale of the property must include the use that the bidderwill be allowed to make of it. The authority may require the purchaser to file security to assure that theproperty will be given that use. In deciding the sale terms and conditions the authority may consider thenature of the proposed use and the relation of the use to the improvement of the authority' s city and thebusiness and the facilities of the authority in general. The sale must be made on the authority' s terms andconditions. The authority may publish an advertisement for bids on the property at the same time and in thesame manner as the notice of hearing required in this section. The authority may award the sale to the bidconsidered by it to be most favorable considering the price and the specified intended use. The authoritymay also sell the property at private sale at a negotiated price if after its hearing the authority considers thatsale to be in the public interest and to further the aims and purposes of sections 469. 090 to 469. 108.
Subd. 5. One- year deadline. Within one year from the date of purchase, the purchaser shall devote the
property to its intended use or begin work on the improvements to the property to devote it to that use. Ifthe purchaser fails to do so, the authority may cancel the sale and title to the property shall return to it. Theauthority may extend the time to comply with a condition if the purchaser has good cause. The terms of salemay contain other provisions that the authority considers necessary and proper to protect the public interest. A purchaser must not transfer title to the property within one year of purchase without the consent of theauthority.
Subd. 6. Covenant running with the land. A sale made under this section must incorporate in the deedas a covenant running with the land the conditions of sections 469. 090 to 469. 108 relating to the use of theland. If the covenant is violated the authority may declare a breach of the covenant and seek a judicial decreefrom the district court declaring a forfeiture and a cancellation of the deed.
Subd. 7. Plans; specifications. A conveyance must not be made until the purchaser gives the authorityplans and specifications to develop the property sold. The authority must approve the plans and specificationsin writing. The authority may require preparation of final plans and specifications before the hearing on thesale.

Overview:
Staff received notices from the Brown County Auditor -Treasurer in regards to assessments for the 29 lots in the MilfordHeights First Addition. At the November meeting, the EDA authorized staff to pay the assessments in full for the 18 lotsthat were sold to TIF eligible buyers and amortize over ten years the remaining 11 lots.
Since that time, a purchase agreement has been signed for the lot at 624 Pfaender Drive with a TIF eligible buyer.
If the sale closes and payment is made on or before December 21% the payment amount would be $27,954.30. If the sale
closes and payment is made after December 21St, the payment amount would be $28, 946. 87.
Primary Issues/Alternatives to Consider: The EDA could continue paying this assessment according to the amortization schedule as planned. If the payments wereamortized, the Authority would pay 3. 2% interest and the total paid after ten years would be $ 32,972.29.

Overview:
The City ofNew Ulm and the New Ulm Public Utilities Commission have both provided funding to NUEDC for the past20 years. Funding started out at $ 58, 000 per year split 64% City and 36% PUC. The 2018 request was for $50, 000 City
and $50,000 PUC. During the 2018 budgeting process, the City ofNew Ulm decided to eliminate their portion of thefunding for NUEDC in order to help fund the Economic Development Director/Assistant City Manager position. TheNew Ulm Public Utilities Commission voted to continue funding NUEDC at $50, 000 in 2018.
The EDC showed a power point presentation at the last EDA meeting.
Primary Issues/Alternatives to Consider: Jeff Dittrich, President, NUEDC, has submitted a request that the EDA enter into a contract with NUEDC for the purposesof economic development in the amount of $50,000 as authorized in the City' s code Section 3. 27, subdivision 2D.

The New Ulm Economic Development Corporation (NUEDC) is requesting that the Economic
Development Authority (EDA) enter into a contract for $50,000 for the purposes of economicdevelopment services. This is not a subsidy, but a contract, as authorized in the City's codeSection 3. 27, subdivision 2 D.
The contract would be in fulfillment of the EDA's function of promoting economic developmentwithin New Ulm.
We anticipate that NUEDC would continue to work with City staff, including an Assistant CityManager, as businesses seek out incentives such as TIF, tax abatement or revolving loan fundloans. This would allow the Assistant City Manager to maximize his/ her time on administrationand work on economic development on an as needed basis.

Overview:
In the past, besides the EDC, the City ofNew Ulm Economic Development team has been the Mayor/City Council, CityManager, Assistant City Manager, and the Community Development Director. The City has funds available to providerevolving loans up to $250,000 ( in one case we used $350k). We are the conduit for State ofMN programs. We also haveassisted the EDC. The City provided a loan to the EDC to assist in purchasing the Airport Industrial Park. When fundswere available, the EDC repaid the loan back to the City of New Ulm. The City purchased 16 acres from the EDC toprovided land, free of cost, to Elkay Wood Products (Medallion Cabinetry). In addition, all economic development
subsidy loan repayment documentation, development agreements, annual state reporting for job creation, retention, anduse of subsidy funds is currently prepared and maintained by city staff.
The City was notified that the EDC was unable to continue providing land acquisition and development services as wasperformed in the past. The City negotiated and acquired the next 44 acre parcel of industrial park land for $1. 4 million. Itis anticipated that the City will also be developing this parcel for future industrial tenant use.
As economic development and financing activities shift toward the City, the work load also increases. To handle ouradditional economic development duties, we are shifting some existing economic development duties from theCommunity Development Director to the new position that the City Council has decided to create. It is an EconomicDevelopment Director/Assistant City Manager position, with a job description emphasis on economic development tohandle these shifted duties. The job description has been finalized, and the job opening is being advertised this week. This position is expected to be filled in early 2018. The cost of this position is estimated to be approximately $ 111, 000. The City has committed and the PUC Personnel Committee is recommending the PUC assist in funding the EconomicDevelopment Director/Assistant City Manager position as they also funded the vacant Assistant City Manager position inthe past, which performed many of the same economic development duties.
The EDA has indicated a desire to maintain the existing housing programs, and become more involved with EconomicDevelopment activities. Providing financing for the Economic Development Director/Assistant City Manager positionwould be a way to accomplish this goal because a large part of this position will be working on EDA EconomicDevelopment activities. Funding of $35, 000 - $ 50, 000 for FY2018 is being requested.
Primary Issues/Alternatives to Consider: In order to help fund the EDD/ACM position, the City ofNew Ulm eliminated the annual funding of $50, 000 to the NewUlm Economic Development Corporation (NUEDC). The NUEDC is requesting $ 50,000 in funding from the EDA tomake up their funding shortfall.
The EDA previously contributed 19% of the vacant Assistant City Manager position for management oversight of theEDA operations and economic development programs.
Budgetary/Fiscal Issues: The EDA fund has a current available fund balance of $493, 740.
