JMI Sports is pleased to submit our Best & Final Offers to the University of Kentucky in response to RFP #UK-1345-14.

Enclosed herein are offers for a variety of partnership structures including: a Guaranteed Rights Fee Model with Revenue Sharing Above Threshold; a Revenue Sharing Model with a Minimum Guaranteed Rights Fee; and an Escalating Revenue Share Model. For each structure, we have included options with and without Rupp Arena rights and for terms of 10, 15 and 20 years. Financial assumptions applicable to the various offers are also detailed herein. Importantly, we acknowledge that the definition of gross revenue will remain as stated in the RFP and have adjusted our financial models as such.

In addition, JMI Sports reaffirms our plan to work with the University in securing and advancing funding of up to $40 million for UK capital projects. The details of this funding is outlined on page 72-73 of our previously submitted Technical Proposal, and as presented on April 24th in response to UK’s written questions. This funding opportunity is included within each offer.

All financial offers are based on the rights included in the RFP and the JMIS response to the RFP

Rupp Arena Rights: ALL ATHLETICS RIGHTS SCENARIOS WITH RUPP ARENA

FINANCIAL ASSUMPTIONS

Contractor will make payment of exactly one half of annual rights fee on or before Dec. 1 of each contract year‐‐starting December 2015. Contractor will then make second payment of exactly one half of the annual rights fee and any revenue share then due to the University, on or before June 1 of each contract year‐‐starting with June 1, 2016. If any additional Annual Gross Revenue is collected during the June 1 through June 30 time payment for which UKAD is due a revenue share, payment of the balance shall be made not later than July 15th. The parties may also agree at the annual meeting that any past due receivables will constitute Annual Gross Revenue in the year payment was due as opposed to the year collected, and make provision for payment to be made as received by Contractor.

SIGNING BONUS, CASH ADVANCE, CAPITAL INVESTMENTAs detailed in our RFP response and in our answers to UK's questions, JMI Sports will work with Tipping Point Sports to identify financial partners that will provide UK with an advance against future royalties of up to $40 million to fund:

‐ New Baseball Stadium Complex‐ Public WiFi Service for Commonwealth Stadium ‐ New Video Board for Memorial Coliseum ‐ Supplemental Digital Signage for Commonwealth Stadium ‐ Renovation of Video Control Rooms at Commonwealth Stadium

JMI Sports will recoup these advanced funds by deducting mutually agreeable annual amounts, including interest, from UK’s annual royalties under the JMIS Athletics Rights agreement.

Contingent upon ability of JMIS to finalize a mutually acceptable financing structure that enables delivery of title and ownership of improvements to UK without any future obligation and upon UK’s willingness to eliminate or significantly amend the Termination for Convenience provision.

*If Rupp Arena Rights are included it is assumed that Rupp GRF includes current UK and LCC revenue, which we assume will ultimately be solely UK’s

**This financial option assumes that JMIS will have full exclusive rights to all arena marketing, media, signage inside arena and throughout concourses, the promotional, gameday and events plus the right to sell entitlements for entrances, concourses, suites, clubs, and hospitality areas. It also assumes a renovated Rupp Arena beginning in 2017‐2018 with expanded inventory including a center hung scoreboard and LED ribbon boards. If these rights are not fully available then JMIS reserves the right to adjust the GRF associated with Rupp accordingly.

Annual Rights Fee/Guarantee is the guaranteed amount Contractor will pay UKAD each fiscal year annually, beginning July 1, 2015, regardless of the actual Gross Revenue. Each year of the agreement, Contractor will pay 1/2 of the annual rights fee on or before December 1. The second portion of the guarantee payment along with any revenue share shall be paid on or before June 1 of each year. Example: Assume in 2015‐16 Gross Revenue was $9,000,000 and the other numbers shown in the sample above. UKAD's 1st payment of $3,000,000 is due on Dec. 1,2015; 2nd payment of $3,675,000 ($3,000,000 PLUS UKAD's revenue share of $675,000 ($9,000,000 Gross Revenue ‐ $7,500,000 Threshold = $1,500,000, so 45% of $1,500,000) on June 1, 2016. If any additional Gross Revenue is collected during the June 1 through June 30 time payment for which UKAD is due a revenue share, payment of the balance shall be made not later than July 15th. For the time period April 16, 2015 through June 30, 2015, the Contractor shall remit a prorated share of the 2015‐2016 Annual Rights Fee/Guarantee. (If this last provision remains then JMIS will spread the 2015‐16 Guarantee over 58 weeks instead of 52 weeks because JMIS will receive very little, if any, revenue during that six week period.) (*) Represents the % owed to UKAD after Gross Revenue threshold is achieved. Per above sample: $7,500,000 Gross Revenue threshold. UK would be owed 45% of anything over the Gross Revenue amount.

Payments: The Contractor shall submit quarterly payments for University's percentage (%) share of the Gross Revenue collected during the previous quarter. Payments must be received within 30 days following the end of each quarter.

In consideration of the exclusive multimedia rights to the University of Kentucky Campus marketing rights for the 2015‐16 through the 2024‐25 athletic season, the Contractor listed below duly promises to pay UK: a percentage (%) share of the Annual Gross Revenue* for specific year during the ten (10) year term.

*Gross Revenues defined as Total Revenues less third party agency commissions and any University approved unusual fulfillment costs and operational costs of potential digital network, if implemented.

Notes: 1) If UK desires a digital network, UK and JMIS will negotiate terms on capital investment required, and 2) If combined with UKAD rights, JMIS will negotiate an ESCALATING REVENUE SHARE PERCENTAGE to be consistent with percentages paid UKAD under the ESCALATING UKAD REVENUE SHARING MODEL, if that is the model chosen by UKAD.
