31st Annual Kentucky SHRM Conference — Exhibitor Opportunities
2015 KYSHRM EXHIBITOR & SPONSOR TERMS
1. Contract Conditions. These exhibition regulations shall apply to the exhibitor and/or sponsor ("Exhibitor/Sponsor") identified on theExhibitor/Sponsor Application/Contract, for the 2015 Kentucky Society for Human Resource Management Conference (the "Conference"), whichhas been received by the Kentucky Chamber of Commerce ("Chamber").
2. Exhibition Space. Exhibition space will be assigned by Chamber on a first-come, first-serve basis to exhibitors who complete and returnthe Application/Contract with payment; however, Chamber reserves the right to reassign exhibition booth space if necessary. Chamber reserves theright to refuse exhibition booth space to any potential exhibitor.
3. Exhibition Space Rental. Chamber must receive Exhibitor’s/Sponsor’s payment in full by July 10, 2015 to reserve Exhibitor’s/Sponsor’sexhibition booth space. Such payment may be mailed to the address set forth on the Application/Contract.
4. Set Up/Tear Down. Exhibitor/Sponsor may set up its exhibit between 2:00 and 7:00 PM on Wednesday, September 23, 2015 and maytear down its exhibit between 6:30 and 7:30 PM on Thursday, September 24, 2015 or between 7 and 10 AM on Friday, September 25, 2015. Allexhibits must be removed by 10 AM on Friday, September 25, 2015.
5. Booth Staffing. A representative of Exhibitor/Sponsor must occupy its booth during all scheduled exhibit hours of the Conference.
6. Conference Cancellation. Chamber reserves the right to cancel the Conference if it is deemed necessary. In the event of any suchcancellation, Chamber will refund Exhibitor’s/Sponsor’s payment in full, and Exhibitor/Sponsor shall waive any and all damages and claims fordamages in connection with such cancellation.
7. Exhibitor/Sponsor Cancellation. Prior to July 10, 2015, Exhibitor/Sponsor may withdrawal from the Conference and receive a full refundless a Fifty Dollar ($50.00) administrative fee. Chamber will not provide any refund if Exhibitor/Sponsor withdrawals after July 10, 2015.
8. Fire Prevention/Safety. All display material used in any exhibit must be flame retardant. All electrical wiring must be in good condition,must conform to local fire regulations and must be able to pass inspection by the fire marshal. In addition, Exhibitor/Sponsor shall take precautionsfor the safety of other exhibitors and all other persons attending the Conference.
9. Shipping. Chamber will forward shipping information to Exhibitor/Sponsor upon receipt of the Application/Contract. All shipments will beat Exhibitor’s/Sponsor’s own risk and expense, and must be prepaid.
10. Electric. Chamber will forward information regarding electrical needs to Exhibitor/Sponsor upon receipt of the Application/Contract.Exhibitor/Sponsor will be charged for any electrical needs.
11. Insurance. Exhibitor/Sponsor acknowledges that the Chamber, Kentucky Society for Human Resource Management (“SHRM”) and theKentucky International Convention Center (KICC) do not maintain insurance covering Exhibitor’s/Sponsor’s property. If Exhibitor/Sponsor desires toinsure its exhibit materials, goods, and/or equipment against theft, damage by fire, accident, or loss of any kind, it shall do so at its own expense.
12. Liability. Exhibitor/Sponsor hereby agrees to indemnify, defend and hold harmless the Chamber, SHRM and the Kentucky InternationalConvention Center (KICC), and each of their officers, directors, employees and agents from and against any actions, law suits, costs, damages,claims and expenses (including attorneys' fees) arising from any damage to property or bodily injury to Exhibitor/Sponsor, his agents, representatives,employees, or any other persons by reason of the Exhibitor’s/Sponsor’s occupancy or use of the exhibition facilities.
13. Assignment. Exhibitor/Sponsor shall not assign or sublet any of its assigned exhibition booth space.
14. Enforcement. Exhibitor/Sponsor agrees to comply with the regulations contained herein, and any rules and regulations set forth by theKentucky International Convention Center (KICC). Chamber reserves the right to evict Exhibitor/Sponsor in the event of any violation of theseregulations. In addition, Chamber reserves the right to prohibit Exhibitor/Sponsor from displaying all, or any part, of an exhibit that is deemedunsuitable for the Conference by Chamber.
15. Amendments. Chamber reserves the right to amend these regulations at any time, as it deems necessary. Chamber shall have the fullpower to interpret and enforce all of the regulations contained herein.
16. Food Sampling. Kentucky International Convention Center (KICC) retains exclusive food and beverage distribution rights within the Center.Exhibitors/Sponsor may distribute sample food and beverage products ONLY upon written authorization. All sampling must be approved in advanceby the Fair Board and the Board’s exclusive catering/concession provider, Centerplate. Beverage samples must not exceed four (4) ounces andfood samples must not exceed one (1) ounce. Providing snacks for attendees or the public will not be permitted. “Sampling” form available uponrequest.
