THIS SECOND AMENDMENT to Agreement Number 119340 of City of Los Angeles contract is made andentered into by and between the City of Los Angeles, ("City"), and the Bet Tzedek, a California nonprofitcorporation, ("Contractor").

WITNESSETH

WHEREAS, the City and the Contractor have entered into an Agreement wherein the Contractor shallprovide certain services and operate the Legal Services Project. Said Agreement was effective July 1, 2011, andsubsequently amended, which together with all amendments thereto shall hereinafter be referred to as theAgreement; and

WHEREAS; Section 6190f'tiTe Agreement provides for contractamendments; and

WHEREAS, PSC-6, Exhibit "A" Standard Provisions for City Contracts, provides for amendments to theAgreement; and

WHEREAS, the City and the Contractor are desirous of amending the Agreement as authorized by theaction of the Los Angeles City Council and Mayor (refer to Council File Number 11-0972-S2 dated August 29,2012) which directed the General Manager of the Los Angeles Department of Aging to prepare and execute anamendment to the Agreement for the purpose of:

(a) Adding an additional twelve (12) months for a new ending date of June 30, 2013;

(b) Adding additional services to the Agreement;

(c) Adding additional funds in the amount of Three Hundred Sixty-Seven Thousand Seven HundredNinety Dollars ($367,790) for a new total of Eight Hundred Sixty-Five Thousand Two HundredNinety Dollars ($865,290);

(d) Updating standard contract language; and

(e) Making such changes as are required in connection with the foregoing, all as detailed elsewherein this Agreement; and

WHEREAS, this Amendment is necessary and proper to continue and/or complete certain activitiesauthorized by this Agreement.

NOW, THEREFORE, the City and the Contractor agree that the Agreement be amended as of July 1,2012 as follows:

AMENDMENT§1 Amend Section 102, Representatives of the Parties and Service of Notices, by deleting it in its entirety and

substituting, therefore, the following amended Section 102.

§102 Representatives of the Parties and Service of Notices

The representatives of the respective parties who are authorized to administer this agreement andwhom formal notices, demands and communications shall be given are as follows:

§2 Amend Section 103 of the original Agreement, Time of Performance, by deleting the current ending dateof June 30, 2012 and replacing it with the new ending date of June 30, 2013. This amendment adds anadditional twelve (12) months to the agreement for a total term of twenty-four (24) months.

§3 Amend Section 203, Services to be Provided by the Contractor, by deleting it in its entirety and substitutingtherefor, the following amended Section 203. The amended section details all services being provided bythis Agreement.

§203 Services to be Provided by the Contractor

In keeping with this program intention, mutually developed performance outcomes and measureswill be established for this contract. The contractor's performance will be evaluated based onconsideration of the units of service in Section 203 and the performance outcomes and measures.

I. The Contractor shall plan, develop, operate, and manage the programs which are the subjectof this Agreement, in compliance with governmental codes, regulations, and directivesapplicable to such programs and as defined in this Agreement.

The Contractor shall be responsible for the reporting of the monthly service (activity) data tothe Los Angeles Department of Aging.

II. Targeting of Services

1. The Contractor shall provide Family Caregiver Services only to those participants whomeet the following eligibility requirements:

a) Title III-E, Family Caregiver - Caregiver Services

• Caregiver: An adult (18 years of age or older) family member or anotherindividual (e.q. friend or neighbor), who is an "informal" (l.e. unpaid) provider ofin-home and community care to an older individual (Care Receiver), "Informal"means that the care is not provided as part of a public or private formal serviceprogram,

• Care Receiver:

- An eligible (60 years of age or older) elderly individual who receives OAAservices; or

- An adult who is less than 60 and has a diagnosis of early onset dementia,

b) Title III-E, Family Caregiver - Kinship Care Services

• Grandparent or other older relative caregiver of a child: A grandparent, step-grandparent, or other relative of a child (Care Receiver) by blood or marriage,who is 55 years of age or older, and:

- lives with the child;

- is the primary caregiver of the child because the biological or adoptive parentsare unable or unwilling to serve as the .primary caregiver of the child; and

has a legal relationship to the child, as such legal custody or guardianship, or israising the child informally,

• Care Receiver:

- An individual who is not more than 18 years of age; or

- An individual 19 - 59 years of age who has a severe disability,

The term "severe disability" means a severe, chronic disability attributable tomental or physical impairment, or a combination of mental and physicalimpairments, that is likely to continue indefinitely, and results in substantialfunctional limitation in 3 or more of the following areas of major life activity:

self-carereceptive and expressive languagelearningmobilityself-directioncapacity for independent livingeconomic self-sufficiency

2, Services shall be targeted to seniors 60+ with emphasis on serving seniors withgreatest economic and social need, and with particular attention to low incomeminorities, The OAA defines minority populations to be Blacks, Hispanics,Asian/Pacific Islanders, and Native Americans,

3, Greatest economic need is defined to mean the need resulting from an income levelat or below the poverty line as established by Federal Guidelines,

4, Greatest social need is defined to mean the need caused by non-economic factorswhich include physical and mental disabilities, language barriers, cultural, social orgeographic isolation including that caused by racial or ethnic status which restricts an

individual's ability to perform normal daily tasks or which threaten the capacity of theindividual to live independently.

III. Units of Service

The units of service referred to in this Agreement are in accordance with those standard unitsof service defined in the operations manual issued by the Department of Aging, State ofCalifornia, a copy of which has been furnished to the Contractor by the City.

Legal Services (OAA Title III-B)

The Legal Services program is to increase the availability of legal services for olderpersons (60 years of age or older) throughout the City of Los Angeles. Legal servicesprovided by this agreement shall include, but not be limited to, the following priorities.

Public Entitlement Law such as disability benefits under Social Security, SSI, in-homesupportive services, Medi-Cal, or Medicare.

Housing related law such as landlord-tenant disputes, rent related issues, orcondominium conversions.

Institutionalized advocacy in long "term care facilities, board and care facilities, andconservatorship.

The Contractor shall provide, but not be limited to fifteen (5) clinical-programs, to reachlarge groups of seniors with basic legal needs, one at each Aging Service Area.

The Contractor shall provide legal services and assistance at various locations convenientto the senior population throughout the City of Los Angeles, including multipurposecenters for senior citizens funded under Title III-B and Title III-E of the Older AmericansAct.

The program shall operate in all service areas of the City of Los Angeles.

The Contractor's Executive Director is responsible for the overall coordination of the LegalServices Program.

Participant donations for services rendered by the Contractor shall be received withcomplete anonymity. The Advisory Council shall recommend a suggested schedule ofdonative rates which the Contractor will post in a prominent location within the servicearea. The Contractor's Executive Director shall be responsible for implementingprocedures that will assure the anonymity of the donor, proper recording, safeguarding,accounting, and deposit of the donations.

A. For Fiscal Year 2011 - 2012 (July 1. 2011 - June 30, 2012)

Legal Services (OAA Title III-E)

The Family Caregiver Support Program (Kinship Care and Caregiver) is to provide assistanceto the caregiver on legal issues thai impact on the care recipients'l1aallh care, shelter,finances and any other issues that are critical to maintaining the quality of life of a-senior,including those seniors who are care takers of a minor child. Legal services provided ..by thisagreement shall include, but not be limited to, the following priorities.

Providing expertise through a formal Kinship Care Project and Caregiver program withaccess to specialized attorneys and paralegals localed at the main office.

Providing sound advice, given the particular situation each family faces, in regards toseeking aid from the probate court or the dependency court systems.

Providing assistance to grandparents, regarding supplemental benefits available forchildren with disabilities.

Obtaining specialized educational plans for mentally disabled children.

Providing assistance on issues surrounding adoption of the abandoned children.

Providing actual representation in legal guardianship cases, and adoption proceedings.

Providing legal services necessary to support the particular or individual needs of thefamily.

Providing legal financial planning to client and their family.

Providing advice and representation in regular and long term care, Medi-Cal, In HomeSupportive Services, Veteran's issues, and Government benefits cases.

Providing caregivers with assistance in securing In Home Supportive Services benefits,representation for conservatorships, and referrals to support groups.

The Contractor shall provide legal service and assistance at various locations convenientto the senior population throughout the City of Los Angeles.

The program shall operate in all service areas of the City of Angeles.

The Contractor shall provide, but not be limited to, the following minimum legalservices units, provided citywide, Monday through Friday, 9:00 a.m. to 4:00 p.m. for aminimum of 249 days except for authorized holidays:

Kinship Care (Caring for Child): 150 Caregiver Legal Resources contacts,serving 25 New Clients, and 8 Community Education presentations.

Caregivers (Caring for Elderlv) 400 Caregiver Legal Resources contacts,serving 67 New Clients, and 8 Community Education presentations.

IV. Outreach Services Program (OM Title III-B, III-E)

The Contractor shall provide an outreach service program through which hard-to-reachisolated elderly individuals in greatest need of available social services are identified andcontacted. The purpose of the outreach services program is to inform these individuals of theopportunities and assistance available, with the intent of linking them to the appropriateservice. (Not applicable to Regional Nutritionist Contractor)

V. Information and Assistance Services Program (OM Title III-B)

The Contractor shall provide an information assistance services program according toCalifornia Department of Aging Information Memorandum CDA-IM-T3-80-5 which isincorporated herein by reference and considered as though set forth herein in full.

VI. Grant-Related Income (OM Titles III-B, III-E)

1. Grant-Related Income referred to in this Agreement is in accordance with the definitionissued by the Department of Aging, State of California, which is as follows:

Grant-Related Income refers to income derived as a direct or indirect result of a grantor from activities designed to supplement grant funds. It includes income fromprogram income, gifts, donations, income from wills and/or trusts, the object of which

is to benefit the grant-funded project. The income generated is used to expandproject services.

Grant-Related Income is accounted for in terms of "Program Income" and "Other Income"as follows:

Program Income - Gross income earned by a contractor from activities the cost ofwhich are partly or entirely borne by the grant. It includes, but is not limited to, incomein the form of participant donations for services performed during the contract period,proceeds from the sale of personal or real property, rental fees, royalties, etc.

Other Income - Income derived from sources other than program income. It includesagency fund raiser efforts to generate money other than grant funds (Le., auctions,social events, rebates, etc.) Income from fund-raising can be used as match ornon-match.

2. In the event that the foregoing definition is amended or revised by the Department ofAging, State of California, the City shall notify the Contractor and the Contractor agrees tocomply with such amendment(s) or revision(s).

VII. Advisory Council

All LADOA funded programs must have an Advisory Council formed within sixty days ofcontract execution. At least 50% plus one of the membership must be composed of serviceconsumers and shallconsist of at least five members, representative of the geographic areato be served and reflective of the ethnic composition of the clientele. The role of the advisorycouncil shall advise the Contractor on a program's operation. The advisory council shall nothave legal authority. The advisory council shall maintain a file that contains council minutesand resolutions.

vlll.Publlc Information

The Contractor shall provide information about the Contractor's program and other resourcesfor eligible persons in the community through the broad use of available media. Any writtenmaterials or publicity generated must identify the City of Los Angeles Department of Aging asits funding source. Public information shall be used to attract new participants, to attractvolunteers, to enhance the community's image of older and functionally impaired adults and togenerate new sources of financial support.

IX. Volunteer Staff

The Contractor shall use volunteers as part of the overall staff to provide importantopportunities for participants and other community members to contribute to the program. Avolunteer is an individual who performs a task related to the program without receiving pay forhis or her work.

X. Staff and Volunteer Training

The Contractor shall provide training to all staff, paid and volunteer, to assist in developingtheir abilities, improve their job performance, and to ensure appropriate relationships betweenstaff and participants.

XI. Confidentiality

1. The Contractor shall protect from unauthorized disclosure names and other identifyinginformation concerning persons receiving services pursuant to this Agreement, except forstatistical information not identifying any participant.

2. The Contractor shall not use such identifying information for any purpose other thancarrying out the Contractor's obligations under this Agreement.

3. The Contractor shall promptly transmit to the City all requests for disclosure of suchidentifying information not authorized by the participant.

4. The Contractor shall not disclose, except as otherwise specifically permitted by thisAgreement or authorized by the participant, any such identifying information to anyoneother than the City without prior written authorization from the City.

XII. Internal Monitoring

The Contractor shall perform internal monitoring to review and appraise all or part of theprogram's operations. This monitoring shall be a systematic method to collect and examinedata relating to special areas of concern, as well as ongoing aspect of the operation orprogram. Internal monitoring shall also reveal problems with a specific activity or service, orprovide input for planning of the coming period or the rectifying of detected problems.

Xlll.Linkages With Other Agencies

The Contractor shall form cooperative agreements with other community agencies in order toensure comprehensive and coordinated service delivery and to prevent duplication ofservices.

XIV. Property Accountability

The 'comrecicr shall assure that all non-expendable property purchased with OlderCalifornians Act funds provided by previous agreements between the City and the Contractor,

. and any subsequent amendments thereto, together with all non-expendable propertypurchased under the terms of this Agreement, shall remain under the control of the Contractorduring the term of this Agreement. All such property shall be accounted for in accordancewith the provisions of §504, Property Records, of this Agreement.

XV. Performance Standards

The Contractor agrees that when a performance falls below ninety-five (95) percent orexceeds one hundred and ten (110) percent of the contracted unit of service level for anyquarter, a corrective action plan will be developed and submitted to the Los AngelesDepartment of Aging for review and approval. The plan should include, but not be limited to:

1. Number of units of service needed to restore contractual unit of service compliance (inthe case of qua:ntitativenoncompliance).

2. Item(s) requiring correction or modification (in the case of qualitative noncompliance).

3. Specific reasons and/or causes which fully explain such deficient performance.

4. An action plan time frame during which Contractor proposes to restore compliancewith the contractual unit of service performance level or qualitative performancestandard.

XVI. Computer/Automation Requirements

The Contractor shall agree to the installation of a personal computer and peripheralequipment, software, and telecommunication lines to the LADOA's host computer, at servicecenter site(s) and/or operating agency's administrative office(s), at the discretion of theLADOA as automated systems are developed. Said computer, peripheral equipment, andsoftware are to remain the property of the City of Los Angeles and may be used for otherservice center functions only after the LADOA mandated systems is satisfied.

The Contractor shall provide a locked room at the service center site to house said computer,peripheral equipment, and software. .

The Contractor shall obtain fire and theft insurance coverage for replacement of newcomputer, peripheral equipment, and software from the time of installation to the end ofcontract. The Contractor shall reimburse LADOA the cost of all computers, peripheralequipment, and software from proceeds of insurance claims due to loss of same through fireor theft.

The Contractor shall sign a separate itemized listing which provides for specific identificationof computer, peripheral equipment, and software loaned by LADOA; adherence to computersoftware license agreements; care and usage; specific allowable applications, and date andother conditions of return of equipment to LADOA.

The Contractor shall provide trained personnel to operate a personal computer for reporting:Information and Assistance (I&A), Management Information System (MIS), Nutrition and otherautomated reports as such reporting systems are developed by LADOA.

The Contractor shall provide ready access to LADOA personnel during regular working hoursfor inspection and/or recovery of computer, peripheral equipment, and software.

The Contractor shall provide printer paper supplies, printer cartridges/toner, and compactdisks (CDs/DVDs).

Maintenance of the personal computer, peripheral equipment, and software, loaned to thecontractor, shall be the responsibility of LADOA.

§4 Amend-Section 301, Compensation, of the Agreement by deleting itIn its entirety and substituting therefor,the following amended Section 301, Compensation. The amended section increases the totalcompensation by $367,790 from $497,500 to $865,290.

§301 Compensation

A. Subject to the availability of State/City funds the City shall pay to the Contractor an amount not toexceed Eight Hundred Sixty Five Thousand Two Hundred Ninety Dollars ($865,290) for completeand satisfactory performance of the terms of this Agreement, subject to the provisions of §103 and§616 of this Agreement. The City may review the Contractor's performance on a periodic basis.The foregoing maximum compensation is the total of the planned expenditures for the periods setforth as follows:

B. Funding for the periods set forth by the foregoing Subsections A is subject to change inaccordance with the availability of OM fund provided to the City by the Grantor(s) and the Cityreserves the right to change the amount of Compensation set forth herein accordingly.

C. The City assumes no responsibilities to pay for salaries or other expenses not specificallyenumerated in this Agreement and as detailed by Exhibit(s) I - Budget Documents, attachedhereto. It is understood by both parties that the City makes no commitment to fund this projectbeyond the term of this Agreement.

D. Contractor warrants that any applicable discounts have been included in the costs to the City.

§5 Amend the following Exhibit I - Budget Documents of the Agreement by including additional BudgetDocuments for FY 2012 - 13 for Titles III-B, and III-E.

§6 Except as herein amended, all terms and conditions'of the Agreement shall remain in full force and effect.

§7 This Agreement is executed in three (3) duplicate originals, each of which is deemed to be an original.This Agreement includes sixteen (16) pages and FY 2011 - 12 Exhibit I with Parts A, B, and C for TitlesIII-B, III-E, and Attachments I -III, and FY 2012 - 13 Exhibits I with Parts A, B, C for Titles III-B, and III-E,which constitutes the entire understanding and agreement of the parties.
