The advertiser named above hereby agrees to purchase and Marshalltown Newspaper, LLC agrees to publish advertising or insert preprints in accordance with the terms and conditions hereinafter set forth in this agreement and in the current rate card (or rate card supplements). The term of this agreement shall begin on _____________ and end on _____________. This agreement will not automatically renew.

TERMS AND CONDITIONSa. All advertising is payable in advance, unless credit has been established with Marshalltown

Newspaper, LLC Credit Department. An up-to-date credit application must be approved and on file before credit can be extended.

b. Advertiser agrees to pay all outstanding balances by the 15th day of the month following publication. Any disputed rates or quantities must be brought to Marshalltown Newspaper, LLC’s attention within 60 days of receipt of the invoice/statement.

c. Any disputes, other than non-payment of amounts due for advertising will be resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbi-tration Association.

d. The publisher reserves the right to - edit, reject or cancel any advertisement at any time. - charge for copy and/or layout alterations. - designate as “Paid Advertisement” any advertising which should be so designated as deter-

mined by the publisher.e. Marshalltown Newspaper, LLC will not extend credit for advertising orders or space reser-

vations that claims sequential liability. f. Marshalltown Newspaper, LLC does not accept brokered advertising.g. All advertising credit balances must be taken in-kind (i.e. through additional advertising)

and must be taken within one year.h. This agreement cannot be invalidated by wrong insertions or omissions on the part of

Marshalltown Newspaper, LLC. Marshalltown Newspaper, LLC shall not be liable for slight changes or typographical errors that do not lessen the value of an advertisement.

Marshalltown Newspaper, LLC’s liability for other errors is strictly limited to publication of the advertisement in any subsequent issue or the refund of any monies paid for the advertise-ment. In case there is an error in a published price, the advertising department will furnish a letter to Advertiser stating the correct price but will assume no liability if goods are sold at an incorrect price. Claims for errors in advertisements will be allowed for the first insertion only. Advertisers agree to bear the responsibility to promptly check the first published advertisement and notify Marshalltown Newspaper, LLC of any inaccuracies or other problems within pub-lished materials.

i. Advertiser and/or advertising agency agrees to defend and indemnify Marshalltown News-paper, LLC against any and all liability, loss or expenses arising from claims of libel, unfair competition, unfair trade practices. Infringement of trademarks, copyrights, trade names, patents or proprietary rights or violation of rights of privacy resulting from the publication of the adver-tisement.

j. Advertiser agrees to furnish advertising copy by established deadlines. k. Preprint advertiser agrees to provide for insertion sufficient preprints for full run distri-

bution for Sunday products and other days throughout the year when zoning of preprints is not offered. The company will require sufficient preprints for the preset zoning options offered by Marshalltown Newspaper, LLC for its products (see page 7), and enough preprints for single copy sales and for industry acceptable percentages of returned single copy papers for both deal-ers and vending machines. Advertiser will also be asked to provide a 2% overage for damage that can occur during the mechanical insertion process. The requested number of preprints will be determined by using current average distribution numbers adjusted seasonally. New requested distribution numbers will be provided quarterly in writing to the agency or Advertiser. In no case will Marshalltown Newspaper, LLC be responsible for overages provided by the agency or advertiser. Marshalltown Newspaper, LLC has the right to refuse preprints that can-not be efficiently mechanically inserted.

If Marshalltown Newspaper, LLC fails to insert a preprint on the correct day, it will insert the preprint in the next available publication.

l. Marshalltown Newspaper, LLC shall not be liable for failure to print, publish or circulate all or any portion of any issue in which an advertisement accepted by Marshalltown Newspa-per, LLC is contained if the failure is due to acts of God or government, strikes, accidents, lack of newsprint, mechanical failure or other circumstances beyond the control of Marshalltown Newspaper, LLC.

m. Dates and times for cancellation are the same as ad placement deadlines. If time permits, emergency cancellation of advertisements past deadline will be accommodated for a 25% charge of the advertising cost.

n. Every effort will be made to meet all position and color requests. Failure to meet such re-quests will not constitute cause for adjustment, refund or rerun.

o. Minimum size display ad – 1 column inch.p. Advertisements are charged in depth units of one-half inch. Any advertisement 20 inches

deep or over will be charged the full depth of 21.5 inches.q. An advertisement occupying the middle margin or “gutter” of the center spread of the

newspaper will be accepted subject to size and press availability. The gutter will be charged as one column.

r. Political advertising must designate the name of the person paying for the ad. In the case of a committee or group, its name and the name of at least one of the officers must appear. Cash with copy.

s. All Charges are subject to 1 1/4% per month late charges when left unpaid by the 28th of the month after publication.

t. All local rates are non-commissionable.u. National ad rates are commissionable with terms of 15% granted to advertising agencies

of record -to qualify for advertising agency commissions, the agency of record must submit cam-

era-ready copy for display ads in accord with production deadlines of Marshalltown Newspaper, LLC.

v. During the contract period, if the space used exceeds the contracted amount and reaches a category with a lesser rate, the inches used thereafter will be billed at the lower rate. If, at any time, during the contract period, an advertiser foresees using space to quality for a category with a lesser rate, he may declare his intention and all space used thereafter will be billed at the lower rate. If advertising placed falls short of contracted amount, such advertising will be billed at whatever rate applies to the amount of advertising used.

w. The publisher reserves the right upon thirty days written notice to change the rates and conditions in effect under this Contract. Advertiser reserves the right to accept such change of rate or to cancel Contract without rate adjustment provided cancellation is delivered in writing to the Publisher within the thirty day notice period. Cancellation of said Contract must be a bonafide intent not to advertise. Cancellation of such Contracts to sign ensuing Contracts to avoid payment of any charge back is not permitted.

x. Contracts are not valid until signed by the Advertising Manager, Publisher or General Manager.

y. In the event that any federal, state or local taxes are imposed on the printing or advertising material, insertion of preprints or on the sale of advertising space, such taxes shall be assumed and paid for by the Advertiser.

The Publisher reserves the right to designate as “Paid Advertisement” any advertising which should be so designated.
