GENERAL SALE TERMSArt.1 GENERAL CONDITIONS: these general sale conditions are applicable to the sale agreement between PELLIZZONI USA INC. andthe Dealer. The present price list cancels and supersedes any previous price list and can be changed at any time by the companyPELLIZZONI USA INC. without prior notice.

Art.2 ORDERS: orders received directly or through our sale representatives are binding for the Dealer and valid for the companyPELLIZZONI USA INC. only when they are approved by a confirmation of order issued by the company, that must be countersigned bythe legal representative of the buying company. Orders do not represent commitment for PELLIZZONI USA INC., who may at its discretion accept order for items having sizes or finishesdifferent from standard production as shown in the catalogue-price list. Prices of these special items will be determined each time.

Art.3 FORSE MAJEURE: all orders are accepted subject to strikes, labour problems, lockouts contingencies of transportation, failure ofusual source of supply of fuel, materials or labour, accidents, product delay or any other difficulties. PELLIZZONI USA INC. will be relievedfrom responsibility for delay or failure of delivery arising out of any such causes.

Art.4 ORDER CANCELLATION: cancellation of orders in process is subject to a 25% charge or the amount of the deposit whichever isgreater. Any delay is not to be considered a legitimate reason for order cancellation or for any type of compensation and/or indemnity.Modifications or cancellations will not be accepted after 3 days from receipt of our order confirmation to the Dealer.

Art.5 PRICES: the prices shown in this price list shall be considered as prices for retail, are stated in US dollars and they can be changedat any time by PELLIZZONI USA INC. They do not include special costs that cannot be quoted at the order, such as fuel surcharge andsimilar charges, as they are due to market performances and raw material costs.

Art. 6 TAXES: taxes are not included in our prices. Taxes will be invoiced as per governmental regulation.

Art. 7 CATALOGUE: every effort is made to ensure accuracy. However, specifications, dimensions and information included in ourcatalogue (print and electronic) are subject to change without notice. Measures are written in inches, are indicative and have beenapproximated. Catalogue sheets are not to be used for installation information. Installation instructions are provided with the product.

Art.8 TRANSPORT: all goods are delivered Ex Works Logistic Partner in Gardena, CA 90248 (unless specified on the order).

Art. 9 DOOR TO DOOR DELIVERY: in case the Dealer requires a sidewalk delivery (no inside delivery) to his premises or to the finalcustomer address, the delivery will be effected by the Logistic Partner in Gardena and the relevant transport compensation fee will becharged in the invoice according to what stated here below:

Art. 10 INSIDE DELIVERY AND OTHER SERVICE: in case the Dealer requires an inside delivery to his premises or to the final customeraddress, as well as assembly or special handling, our Logistic Partner in Gardena will be at your complete disposal for quoting theseservices. They will be charged by the Carrier who is the sole responsible in case of claims for lost and visibly damaged items.

Art.11 DELIVERY TERMS: the delivery date mentioned in our confirmations of order refers to the date in which goods will be ready atour Logistic Partner Warehouse in Gardena. The transit time necessary to move goods from our warehouse to agreed destination is notconsidered as it varies according to the destination. Delivery date are purely indicative and subject to the company’s productionrequirements. Delays in delivery will not result in reimbursements or cancellation of orders.

Art.12 LEAD-TIME AND METHOD OF SHIPPING: a) QUICK DELIVERY PROGRAM ORDERS:Delivery: Gardena distribution facilityLead-time: 10 to 15 business days

b) REGULAR ORDERS (for items not included on Quick Delivery Program):Delivery: Gardena distribution facilityLead-time: 10-12 weeks

c) EX-FACTORY ORDERS:Delivery: Ex-factory warehouse Mariano Comense (Italy)Lead-time: 4-6 weeks production + transit

Art.13 PAYMENT TERMS AND CONDITIONS: standard terms are pre-paid or 50% deposit 50% before delivery or net 30 days with creditapproval. Payment are accepted only when made directly to PELLIZZONI USA INC. offices or by bank transfer at Dealer’s charge.PELLIZZONI USA INC. shall have the right to hold deliveries of goods in any case of non-fulfilment or partial payment without being chargedwith damages of any kind. PELLIZZONI USA INC. also reserves the right to modify at any time the payment conditions in case of recurringnon-fulfilment by the Dealer.If payments are not made, interests on delayed payments will be applied at the current bank rate from the expiry date of the invoice to thedate, in which the payment is made.

Art.14 STORAGE CHARGES: PELLIZZONI USA will send notification to Dealer once orders are ready to be picked up. Dealer will have7 business days from notification to pick up the order. If the order is not picked up within this time frame, storage charges will start at a rateof $30.00 per each business day until order has been picked up.

Art.15 PACKING: standard packing (i.e. export cardboard boxes for chairs and closed wooden crates for the glasses) is included in theprices shown in the price list; for special packing (for example closed wooden crates for all items or similar requests) an estimate will besubmitted case by case according to customer needs.

Art.16 CLAIMS: It is the Dealer’s responsibility to check the goods upon arrival. All claims must be noted on the Bill of Lading or POD(proof of delivery). No claims can be honoured without this notification on the Bill of Lading or the POD that must be countersigned by thedriver for acceptance. a) related to transport: If claims concern lost or visibly damaged packages and the Dealer contracted with our Logistic Partner or a localtransportation company for delivery to his premises or to final client, it is the Dealer’s responsibility to file all claims for lost or visibly damageditems with the Carrier directly. PELLIZZONI USA INC. will not responsible for issuing credits or sending replacement items. The Dealer issolely responsible for obtaining any compensation from the transport company. PELLIZZONI USA INC. will assist the Dealer by providingany documentation required to file the claim.b) related to items: If claims concern concealed damages (damages to items not noticed until the items is removed from its original packing,the Dealer must inform PELLIZZONI USA INC. in writing within 8 days from receipt of the goods. After this period, goods will be consideredcompletely accepted. PELLIZZONI USA INC. will file the claims. All details concerning the nature and the extent of the damages must beprovided. The Dealer must retain the damaged item and the original packaging. These items must be available for inspection from oursale representatives. Photo are strictly requested from the Dealer. PELLIZZONI USA INC. will not issue credits or send replacementsitems until the nature and extend of the concealed damage has been carefully verified.

Art.17 RETURNED: all claims for defective products must be made immediately upon arrival and require a return authorization byPELLIZZONI USA INC.. The product must be ready to return freight collect via delivering carrier within 7 days from the receipt of theauthorization and the original packaging must be used. No goods returned will be accepted without the company authorization.

Art.18 FINISHES AND LEATHER: irregularities, colourfastness, wearing quality or tonal variations in leather and finishes are charac-teristics of these materials, and claims cannot be entertained in such cases.

Art: 19 PRODUCT WARRANTY: all products are warranted to be of equal or greater than current industry standards. The companyENRICO PELLIZZONI warrants to the Purchaser that the items sold by PELLIZZONI USA will be free from defects in material andworkmanship for twenty-four (24) months from the date of production of the product. The warranty described above shall not apply in thefollowing circumstances:- Damages resulting from normal wear and tear, negligence, accident, incorrect assembly, improper use or use for which the itemis not normally intended, failure to comply with the operating and maintenance instructions, abuse, casualty, alteration or damagedue to fire, flooding or any acts of God;- Failure of products which have been modified or integrated with other manufacturers products.

Art.20 PROPERTY RESERVE: the company PELLIZZONI USA INC. sells its products under property reserve and remains the owner ofthe goods until the invoice has been paid in full by the Dealer, even in case of additions and/or modifications to the originally deliveredproducts. In case of non-fulfilment by the Dealer, the amounts already paid will be kept as allowance, even if they will not constitute thelimit for the obtainable compensation. The Dealer also could no longer take advantage of expiry date of the successive instalments. Art.21 RIGHT TO VARY OR CHANGE THE PRODUCT: the company PELLIZZONI USA INC. reserves the right to vary technically itsproducts, also concerning dimensions and aesthetics, without constituting right for the Dealer to request continuation of the obsoletearticles.

Art.22 SPECIAL CONDITION: any changes made to the general conditions laid down herein must be made in writing.

Art.23 TECHNICAL DETAILS: each PELLIZZONI USA INC. product is supplied with a technical data sheet containing assemblyinstructions, advice for usage and general maintenance.

Art. 24 LITIGATION AND GOVERNING LAW: all disputes arising out of this agreement shall be subject to the exclusive jurisdiction ofthe competent courts of New York. This agreement shall be governed by the laws of New York.

ADVERTISING POLICYArt.25 REQUIRED PHYSICAL LOCATION: any Dealer wishing to utilize the ENRICO PELLIZZONI brand name, copyrighted materials,logos, references or other materials for advertising purposes in newspaper, on the radio, TV or their internet site or other means ofcommunication, must maintain an actual physical dealer location in which ENRICO PELLIZZONI products are clearly displayed and sold.

Art.26 MINIMUM ADVERTISED PRICE: all Dealers are required to respect a Minimum Advertised Price over the Internet, e-mail andtelephone. Suggested Retail Price as per the official price list less 10%.

Art.27 INTELLECTUAL PROPERTY USAGE: any Dealer that intends to use the ENRICO PELLIZZONI brand name, copyrightedmaterials, logos, references or other materials for advertising purposes must ask permission to the company.
