ABOUT CYBER BALANCE SHEETOVERVIEWThe Cyber Balance Sheet is an annual, two-part research project examining the way security leaders and their corporate directors talk about (or don’t talk about) cyber risk. Each year, we publish an original report and host an exclusive summit for business leaders and corporate directors.

THE SUMMITThe 2018 Cyber Balance Sheet Summit will be held on May 23 at the Nasdaq MarketSite at Times Square in New York, NY. Attendance will be capped at 125 guests.

SPEAKING SPONSOR

The 2018 Speaking Sponsor is one of two premier sponsorship opportunities. Included in the sponsorship is one 20-minute speaking session in front of all Summit attendees. TERMS & CONDITIONS

APPLICABILITYAll entities seeking to participate in the 2018 Cyber Balance Sheet Summit (“the Event”) in any level of sponsorship (“Sponsor”), agree to the following terms and conditions (“Agreement”). Once this Agreement is accepted by the Sponsor, it is considered binding and all subsequent fees are non-refundable. Focal Point Data Risk, LLC (“Focal Point”) reserves the right to decline sponsorship applications at its own discretion.

EVENT LOCATION AND DATEPursuant to this Agreement, Sponsor acknowledges and agrees that Focal Point may reschedule the Event or change the location as necessary for the efficient operation of the Event. Prior to the occurrence of any such changes, Focal Point will attempt to notify Sponsors as far in advance as possible. No such scheduling changes will be considered a cancellation of the Event, and no payments will be refunded.

ATTENDEESTo the best of its abilities, Focal Point predicts the number of Event attendees as well as attendees’ professional level, industry involvement, and related corporate interests. However, if the Event and/or its attendees do not align with Focal Point’s estimates for any reason, Focal Point will not be considered liable by Sponsors for unmatched Event expectations.

PAYMENTSUpon receipt of invoice, Sponsor agrees to pay the full sponsorship fee to Focal Point within thirty (30) days through an accepted form of payment, as described on the invoice.

PARTICIPATION CANCELLATIONS1. Cancellations by Sponsor. To request a cancellation or change of participation in the Event, Sponsors must notify Focal Point in writing at hello@cyberbalance-sheet.com. All sponsorship payments are non-refundable.2. Cancellation by Focal Point. At any time prior to the Event, Focal Point reserves the right to rescind or to downgrade Sponsorships at its own discretion. Focal Point will notify Sponsors in writing of any participation cancellations, and will refund Sponsor upon canceling their Event participation.

USE OF FOCAL POINT TRADEMARKSSponsor shall not use any printed or electronic logos, trademarks, slogans, company materials, or any other intellectual property owned by Focal Point, without prior written consent. Sponsors may use materials provided as part of the Sponsor Pack in accordance with the terms provided in the Sponsor Pack.

TERMS & CONDITIONS

PERMISSION TO USE MATERIALSPursuant to this Agreement, Sponsor will grant Focal Point permission to use its company logos, trademarks, product names and descriptions, and any other mate-rials provided for the Sponsor’s participation in the Event. Sponsor will grant Focal Point permission to publish and cite these materials, without limitations, on web-sites and in both printed and electronic media outlets, such as brochures, newsletters, advertisements, and magazines. Focal Point will only edit Sponsor materials as necessary to effectively present them in any given media, such as to resize images, but will not modify the provided logos, trademarks, or other materials in any other way without obtaining prior written consent.

PERMISSION TO USE SPEAKER MATERIALS (SPEAKER SPONSORSHIP ONLY)Pursuant to this Agreement, Speaker will grant Focal Point permission to use his or her name, title, likeness, biographic, and any other information provided for the Speaker’s participation in the Event. Speaker will grant Focal Point permission to record both audio and video of his or her presentation. Speaker will grant Focal Point permission to publish and cite the Speaker’s presentation and related materials, without limitations, on websites and in both printed and electronic media outlets, such as brochures, newsletters, advertisements, and magazines.

NO ENDORSEMENTSponsor will not explicitly nor implicitly state that its products or services have been endorsed by Focal Point or any representatives of Focal Point.

NO PARTNERSHIP OR AGENCYThis Agreement does not establish any partnerships or collaborative undertaking between Focal Point, Sponsors, or any other entities.

FORCE MAJEUREIn the occurrence of a manmade or natural disaster, such as a riot, strike, civil disorder, act of war, failure/loss of facilities, or an earthquake, major storm, fire, flood, or other acts of God, or for any reason whatsoever beyond Focal Point’s reasonable control, Focal Point will not be responsible for the loss or damage incurred from a failure to perform to the standards of this Agreement, or to conduct the Event as currently scheduled or in whole. If afflicted by such an occurrence, Focal Point will make a reasonable effort to reschedule the Event. However, should it be necessary to cancel the Event due to a force majeure, Focal Point may retain or will be due only a necessary portion of the fees that compensate for Focal Point’s reasonably incurred expenses up to the force majeure. All other payments will be refunded to the Sponsor.

CONDUCT OF SPONSORSponsor shall abide by and observe all laws, ordinances, rules and regulations while participating in the Event. Sponsor also agrees to observe and abide by Focal Point’s terms and conditions, and by any additional terms, conditions, and rules established by Focal Point to ensure the efficiency and safe operations of the Event. Sponsor and all attending representatives shall conduct themselves in a professional manner throughout their participation in the Event.

LIMITATION OF LIABILITYFocal Point shall not be considered liable for any direct or indirect, incidental, special or consequential damages or financial losses incurred by Sponsor.
