TheStatementofPrivilegesandResponsibilitiesofShakleeFamilyMembers(P&R)isthelegaldocumentthatoutlinestheprivilegesyou,asaShakleeFamilyMember,canexpectfromtheCompany,andtheresponsibilitiestheCompanyexpectsyoutoassume.ExceptasindicatedfortheFive-YearRuleandtheGoldAmbassadorFee,intheeventofaconflictbetweenthisdocumentandtheP&R,theP&Rgoverns.ShakleereservestherighttomodifyallorpartofthisdocumentonnoticetodistributorsbypostingintheMemberCenterasprovidedintheP&R.

AllcapitalizedtermshavethemeaningssetforthintheStatementofPrivilegesandResponsibilitiesofShakleeFamilyMembers(P&R)unlessotherwisespecifiedinthisdocument.
GoldBonuses
DistributorsandabovewhoareGoldAmbassadorsareeligibletoearnGoldBonusesasfollows:
• AGoldBonusof$50willbepaidtotheOriginalSponsoronthepurchaseofa250PVGOLDPAK.
• AGoldBonusof$100willbepaidtotheOriginalSponsoronthepurchaseofa500PVGOLDPLUSPAK.
• AGoldBonusof$150willbepaidtotheOriginalSponsoronthepurchaseofa750PVSUPERGOLDPAK.
AGoldBonuswillbepaidonlyonthefirstpurchaseofaGOLDPAK,regardlessofwhetheritisaGOLD,GOLDPLUSorSUPERGOLDPAK,byanyShakleeFamilyMember.
GoldBonusesarealwayspaiddirectlybyShaklee.Shakleegenerallypaysbonusesmonthly,howeveryoucanbepaidGoldBonusesweeklyifyoumeetallofthefollowingcriteria:
• Youareregisteredfordirectdeposit1ofyourbonuses
• Youareregisteredforonlinebonusstatements
• YouhaveanemailaddressonfilewithShaklee
TobeeligibletoearnGoldBonuses,theOriginalSponsormustholdthetitleofDistributororhigherandmustbeaGoldAmbassador(bypurchaseofaGOLD,GOLDPLUSorSUPERGOLDPAKorbypayingthe$150GoldAmbassadorFee).IntheeventtheOriginalSponsorisnoteligibletobepaid,theGoldBonuswillbepaidtotheOriginalSponsoroftheOriginalSponsoriftheymeettherequirements(ortotheOriginalSponsoroftheOriginalSponsoroftheOriginalSponsorandsoforthuntilanOriginalSponsorisreachedwhomeetstherequirements).
TheOriginalSponsoristhefirstsponsorofaShakleeFamilyMember.IntheeventofachangeinsponsorduetoUnjustEnrichment,Survivorship,aPurchase/SaleTransactionorformationofaCombinedDistributorship,ShakleewillalsochangetheOriginalSponsoroftheaffectedShakleeFamilyMembersiftheformersponsorwasalsotheOriginalSponsor.ShakleereservestherighttoreviewandadjusttheOriginalSponsorofaffectedShakleeFamilyMembersinthecaseofaReorganization,divorce,dissolutionofaCombinedDistributorship,resignationortermination.
PowerBonuses
DistributorsareeligibletoearnaPowerBonusof$150forevery15pointstheyaccumulatebypersonallysponsoringnewMembers,DistributorsandGoldAmbassadorswhoreachthemilestonesbelow:
• 1pointforeachnewMemberorDistributorintheUSAorCanadawithproductorderstotaling50–99PV

DistributorsareeligibletoearnPowerBonusesduringtheirfirstthreemonthsasaDistributor(remainderofmonthinwhichtheybecameaDistributorplusthreefullmonths).ThereisnolimittothenumberofPowerBonusesthatcanbeearnedinthetimeframe.PowerBonusesarealwayspaiddirectlybyShaklee,andarepaidweeklyprovidedtheDistributormeetstherequirementsintheGoldBonusessectiontobepaidweekly.
Example:DistributorBriansponsorsintoShakleeonApril17,2016.HehasuntilJuly31toparticipateinthePowerBonusprogram.HesponsorsDanaonApril29andDanaplacesa100PVorderonJune15.BrianearnstwopointstowardhisPowerBonus.HesponsorsEriconJune30.EricdoesnotplaceanorderuntilAugust15.BriandoesnotearnpointstowardhisPowerBonussinceheisnolongerwithinhiseligibilityperiod,whichendedJuly31.
Example:MemberJoanjoinsShakleeonApril17,2016.JoanlaterbecomesinterestedinthebusinessandbecomesaDistributoronSeptember14,2016.JoanhasuntilDecember31,2016(theremainderofSeptemberplusthreefullmonths)toparticipateinthePowerBonusprogram.
PointswillbeawardedasasponsoredMemberorDistributorreachesthemilestonesabove,butthetotalpointsawardedforasponsoredMemberorDistributorwillbeforthehighestmilestonetheyreach.Inallcases,pointsareawardedtotheOriginalSponsorofthenewMemberorDistributor3.
Example:DistributorLynn,whojoinedShakleeonApril15,sponsorsnewDistributorKenonMay1.Kenhasa50PVorderonMay1andLynnearnsonepoint.KendecidesthathisinterestinthebusinesswarrantsthepurchaseofaGOLDPLUSPAKonMay15.LynnearnsanadditionalninepointsonMay15,foratotalof10pointsforsponsoringKenwithaGOLDPLUSPAK.
Foreachnewrankachieved,beginningwithDirector,DistributorshaveanotherthreemonthsinwhichtoearnPowerBonuses.Thethree-monthperiodbeginsthemonthoftheeffectivedateofthepromotion.IfaDistributororBusinessLeaderpromotestoanewrankbeforethethree-monthperiodforthepreviousrank(orranks)hasexpired,thentheexpirationdatewillbeextendedbyafullthreemonthssothattheydonot“lose”anytimein

NewrankisdeterminedaccordingtotheFive-YearRule,meaningthattherankachievedmustmeetoneofthefollowingcriteria:

Registration
OnceaBusinessLeaderhascompletedtherequiredthree-monthqualificationperioddescribedbelow,ShakleewillmailaCarBonusProgrampacketthatincludestheoptionsavailableandnextsteps.

Drive-OfforDownPaymentAssistance
BusinessLeadersmayrequesttohaveShakleereserveuptosixmonths’ofCarBonusesforthem,whichtheymayusetopaythe“drive-off”chargesonacarleaseorthedownpaymentonthepurchaseofacar.BusinessLeaderswhowishtorequestthisoptionwillindicatethatontheCarProgramRegistrationform.Theremainingperiodduringwhichmonthlycarbonusescanbeearnedwillbereducedbythenumberofmonthsthatbonuseshavebeenplacedonreserve,andwillstartinthemonthafterShakleereceivesdocumentationofthepurchaseorleaseofacar.Oncethereserveperiodhaselapsed,arequesttoreceivethesefundsmustbemadewithin90days.
Oncethecheckhasbeenissuedforthereservedfunds,acopyofapurchaseorleaseagreementmustbereceivedbyShakleewithin60daysofthedateofthecheck.IfShakleedoesnotreceiveacopyofthePurchaseorLeaseagreementwithinthe60dayperiod,ShakleemaydebityourShakleeaccountfortheamountofthecheckissuedforthesereservedfunds.

Toobtainrefundsforinventoryreturns(asopposedtoconsumerrefundsundertheShakleeGuarantee),ShakleeIndependentDistributorsmustresigntheirdistributorships.Inventoryreturnsconsistofproductspurchasedforresaleorinquantitiesthatcouldbeconstruedtobegreaterthananindividualorindividualfamilycouldbereasonablyexpectedtoconsume.Inaddition,returnsofGOLD,GOLDPlusandSuperGOLDpacks,aswellasDistributorKits,areconsideredInventoryReturnsforpurposesofthispolicy.
TheCompanywillacceptreturnsofproductinventorysolongastheproducts:
• Areingood,salablecondition.Productsforreturnmustnotbepasttheirexpirationdate,ifapplicable,ortheshelflifeoftheproducts.Theymusthavebeenpurchasedlessthanone(1)yearbeforethedateofreturn.(InthestatesofGeorgia,Louisiana,MassachusettsandWyoming,thereisnotimelimitationonthereturn,buttheproductsreturnedmustbeingood,salablecondition.)
• Areunopened,withsealsandlabelsintact,exceptinthecaseofGOLD,GOLDPlusandSuperGOLDpacksandDistributorKits.

Accordingly,DistributorsmaynotdeferthestartoftheirFastTRACKclockbydelayingtopromotetoDirectoreventhoughallrequirementsforpromotionhavebeenmet.IfaDistributorpromotestoDirectorlaterthanthefirstmonthinwhichtheywereeligibletodoso,ShakleewilladjusttheirFastTRACKclocktostartwiththeearliestdatethattheDistributoractuallymettherequirements.
FastTRACKandReorganizationsTheCompanywillnotpermitanyreorganizationorsponsorshiplinemovementwherethenewSponsor,newBusinessLeader,anyinterveningDistributorbetweenthenewSponsorandnewBusinessLeader,oranyuplineBusinessLeaderwithinsixgenerationsisinqualificationforaFastTRACKawardorisstillwithinthetimeframewheretheycouldbeinqualificationforaFastTRACKaward,unlessthenewSponsor,newBusinessLeader,anyinterveningDistributorsandthesixuplineBusinessLeadersrelinquishtheireligibilitytoparticipateinFastTRACK,asevidencedbytheirsignaturesontheReorganizationForm. FromtimetotimeanewprospectmayaccidentallysignuponthewrongPersonalWebsite,orunderthewrongsponsor,throughnofaultofthewebsiteowner.Inthosecases,thenewMember/Distributorand/ortheircurrentBusinessLeaderofrecordmaycontactShakleebyfaxwiththeReorganizationApplicationwithin30daysofsigninguponlinetobetransferredtothecorrectsponsor.Insuchcases,theOriginalSponsorwillbechangedaswellandtheFastTRACKeligibilityofanyoneuplinewillnotbeaffected.
Inaddition,theCompanyreservestherighttoreview,todisallowand/ortorescindanyreorganizationintoorwithinthedownlineofanyonepriortothetimethattheypromotetoDirectorandbeginqualifyingforanyFastTRACKaward,ifShakleedeterminesthatqualificationfortheFastTRACKawardisdueinwholeorinparttothereorganization.Alternatively,theCompanyreservestherighttoexcludeanyoftheuplinesinvolved,regardlessofrank,fromparticipationinFastTRACK.
Inthecaseofaseparation,divorce,orfullorpartialdissolutionofaCombinedDistributorship,ifanyfirstlevelShakleeFamilyMemberismovedwiththedepartingmember,thenforpurposesofFastTRACKtheCompanywilltreatthetransactionasareorganizationsubjecttotherulesabove.Ifthereisacourtorderspecifyinghowthefirstlevelsaretobedivided,thenShakleewilldetermineonacase-by-casebasiswhetherthedepartingmembersareeligibleforFastTRACK.
FastTRACKandPurchase/SaleorSurvivorshipTransactionsInthecaseofaPurchase/SaleorSurvivorshiptransaction,thebuyer/transfereemaynolongerparticipateinFastTRACK:
• TheFastTRACKeligibilityandqualifications,ifany,oftheseller/transferorareconsideredpersonaltotheseller/transferoranddonotconveytothebuyer/transferee.
• Inaddition,thebuyer/transfereerelinquishesanyFastTRACKeligibilityorqualificationsrelatedtothesponsorshippositiontheyareleaving.
