Speakers

Carolynn Alexander has specialized in the single family construction and development industry for over 30 years. She has experience in borrowing base credits, project fi nance, revolving lines of credit, acquisition and development (A&D) loans, loans and syndicated fi nance. Carolynn joined Texas Capital in early 2012 to oversee the Texas Capital Bank Builder Finance out of state initiative. Her previous positions included National Director of Builder Syndications for RBC Bank (USA) and Regional Director for Washington Mutual and Bank United’s Builder Divisions. Carolynn has managed remote builder fi nance offi ces in Houston, Dallas, Phoenix, Denver, Las Vegas, Detroit, Chicago, DC, Philadelphia, and Charlotte.

Carolynn is an alumnus of Miami University and is active in GHBA, NAHB, the American Paint Horse Association and the American Quarter Horse Association. Carolynn resides in Houston Texas with her husband Steve and actively competes in equine competitions

R. Bird Anderson, Jr. is an Executive Vice President and head of Homebuilder Banking for the Commercial Real Estate Group at Wells Fargo. In this role, he is involved with banking services provided to residential homebuilders and land developers in offi ces across key markets in the U.S. Relationships include public homebuilders, private regional builders, real estate fund managers and single family lot developers. Wells Fargo is a leading capital provider in the industry and offers a broad array of advisory, fi nancial, and treasury services to the segment. The business represents an integrated platform which includes partners and referral points in Commercial Real Estate, Mortgage, Investment Banking, Fixed Income, Treasury Services, Insurance, Wealth Management and other product and advisory areas at Wells Fargo.

Anderson joined Wachovia, a predecessor to Wells Fargo, in 1985 after graduating with a BA from Vanderbilt University where he double majored in History and Economics. He served in various roles in mortgage, real estate and syndications at Wachovia prior to taking a role as head of Homebuilder Banking in 2001. From 2009 until moving into his current role in 2012, Anderson managed a unit of the Real Estate Managed Asset Group focused on homebuilder and residential project restructurings, workouts and modifi cations.

In addition to his degree from Vanderbilt, he holds an MBA with Beta Gamma Sigma honors from the Executive program at Georgia State University. Civic and community activities and leadership include HBA, ULI, little league coaching, and church vestry, stewardship and youth committees. He is married to Virginia Anderson and they are the parents of three boys. As the parent of a son who is the recipient of a heart transplant, Bird is an advocate for various transplant and organ donor programs and organizations.

Kate is a senior manager in the Transaction Advisory Services practice of Ernst & Young LLP. Kate has over 14 years of experience in real estate consulting, providing services to homebuilders, developers, real estate investment trusts (REITs) and fi nancial institutions. In her tenure at Ernst & Young LLP, she has provided an array of consulting services to major public and private homebuilders, including acquisition due diligence and valuation, valuation for accounting purposes, and strategic advisory at both the company and project level. In addition to her work in the homebuilding industry, Kate has a wide array of experience in due diligence, portfolio analysis, underwriting and valuation for multiple asset classes, including offi ce, retail, health care and industrial.

Kate earned her Bachelor of Science in Finance from Fordham University. Kate is a member of Urban Land Institute, serves as chairperson for the Phoenix Ernst & Young LLP Professional Women’s Network and is executive sponsor for the local United Way campaign.

Mark Bulmash is Senior Vice President, Development for the Howard Hughes Corporation. Since 2011, he has overseen the Central and Southeast region, which includes projects in Alexandria, VA; Charlotte, NC; Chicago, IL; Dallas, TX; Miami, FL; and New Orleans, LA. Mark’s team recently opened the redeveloped Outlet Collection at Riverwalk in New Orleans. Mr. Bulmash is a 27-year veteran of retail real estate, who spent time at the Taubman Company, Related Companies and Forest City Enterprises. He is also a member of the inaugural class of the International Council of Shopping Centers (ICSC) Certifi ed Retail Property Executives (CRX), Centerbuild’s Planning Committee and ICSC’s US Design Jury and the Urban Land Institute.

Prior to joining, Mr. Bulmash led his own company advising owners, developers and municipalities on retail and mixed-use projects. Prior to that, he spent four years with Forest City as Senior Vice President Development leading commercial and mixed-use developments managing a team of 47 people. Key projects included The Promenade Bolingbrook, The Shops at Wiregrass, The Village at Gulfstream Park, and White Oaks Village. Mr. Bulmash spent 17 years with Taubman, the last four as Group Vice President. Key projects included The Shops at Willow Bend and The Mall at Wellington Green. He also directed major renovations and/or additions to regional shopping centers, including Briarwood, Lakeforest, Twelve Oaks, Stamford Town Center and Woodland. Mr. Bulmash was also Senior Vice President for Related Urban Development where he led efforts to develop The Palladium in Birmingham, MI. He began his career as an architect at Clarke & Caton in Trenton, New Jersey.

Mr. Bulmash earned his MBA from the Wharton School, the University of Pennsylvania, and his MCP, Physical Planning and Economic Development, from the University of Pennsylvania. He earned his BS in Architecture from the University of Michigan, Ann Arbor.

Steve is a partner in Ernst & Young LLP’s West Region State and Local Tax (SALT) practice with over 35 years of public accounting experience. Steve has been a SALT practice leader since 1989.

During his career, Steve has been involved in a broad range of state tax issues inng including California tax planning and dispute resolution. Steve regularly represents both individual and business clients in resolving income tax disputes with the California Franchise Tax Board. This includes audit representation, representation of clients with positive outcomes at protest hearings, settlement conferences, and appeals before the Board of Equalization. He also has requested and received positive outcomes related to several Chief Counsel Rulings (equivalent to IRS public letter rulings (PLRs)) and special apportionment method petitions.

Steve’s practice encompasses a broad range of issues , including, but not limited to, business/nonbusiness determinations, the makeup of unitary groups/separate trades or businesses, application of general apportionment provisions, alternative apportionment provisions, treatment of intercompany items, and California’s treatment of federal income tax issues.

Steve co-authored numerous articles in leading state tax publications and wrote a chapter on multistate individual taxation in Matthew Bender’s SALT treatise. Steve has spoken before such prestigious bodies as the Tax Executives Institute, the Chicago Tax Club, the California Society of Certifi ed Public Accountants and COST. He has also spoken at major tax conferences including, the Georgetown State and Local Tax Institute, the USC Law Tax Institute, and the California Tax Policy Conference.

Steve is a member of the American Institute of Certifi ed Public Accountants and the California Society of Certifi ed Public Accountants, and he holds a BS from California State University at Northridge.

Russell Devendorf has served as the Senior Vice President and Chief Financial Offi cer of WCI Communities since November 2008 and is responsible for the Company’s accounting, fi nance, tax, risk management and information technology systems.

Prior to joining WCI Communities, Mr. Devendorf held positions as Vice President – Finance of Meritage Homes Corporation from May 2008 to November 2008 and from March 2002 to May 2008 served in several senior level fi nance roles with TOUSA, Inc., a national homebuilding company, including most recently as Vice President, Treasurer and Secretary. He also served as an auditor at Ernst & Young LLP in the Real Estate practice and is a Certifi ed Public Accountant and Certifi ed Treasury Professional.

Mr. Devendorf received both a BS and Master of Accounting with a tax concentration from Florida State University.

Tom Farrell is an industry veteran with more than 30 years of real estate fi nance experience across most geographies and layers of the capital stack. His current position is Director of Business Development for Landmark Capital Advisors.

Prior to Landmark, Tom was Director of Real Estate Finance at Bellstone Capital Advisors, a boutique investment-banking fi rm that sources debt and equity for real estate developers and homebuilders, primarily in California. Before Bellstone, Tom was with Sabal Financial Group as the Director of Home Builder Finance, where he formed a start-up homebuilder fi nance group providing non-recourse acquisition and development (A&D) and construction loans to homebuilders nationally. He was able to successfully take advantage of the gap created when commercial banks largely deserted the space during the housing downturn. Prior to Sabal, Tom was at Bank of America for 25 years in a number of positions of increasing responsibility in the Commercial Real Estate Bank. His last position at Bank of America was Division Executive in charge of the Home Builder Division, which was the largest provider of fi nancing to homebuilders nationally with over $13 billion in commitments.

Tom earned his Bachelor’s from Cornell University and his MBA from Pepperdine University. He is a member of ULI, NAHB, CBIA, HomeAid America (Chairman) and the Cornell University Real Estate Council.

Peter FiorettiMountain Real Estate Capital

Peter Fioretti is Founder and CEO of Mountain Real Estate Capital. He has 30 years of extensive experience across a broad range of real estate investments and property types. Mr. Fioretti has invested more than $3 billion of investment capital since founding the company in 1993. He is primarily responsible for the company’s strategic direction and operations, which currently manages over $800 million of equity in residential land development and homebuilding projects.

Mr. Fioretti currently serves on the Board of Directors for Oakwood Homes, the largest private homebuilder in Denver. Previously, he was a founding partner of Paramount Residential, a homebuilding company that was sold to Lennar. At the start of Mr. Fioretti’s career, he was a founding partner of Waterfront Invest, a developer of urban properties in the New York metropolitan area.

Mr. Fioretti was also a founding Director for Metropolitan State Bank located in New Jersey. Growing his own urban development and homebuilding company to be one of the largest in the area, Mr. Fioretti received the 1988 New Jersey SBA Businessman of the Year Award, and was named the 1989 “Entrepreneur of the Year” by Inc. magazine. He is an active member of the National Association of Home Builders and Urban Land Institute.

Mr. Fioretti is a graduate of Lehigh University, where he served on its Board of Trustees and established an endowment for undergraduate students pursuing real estate careers. He is a strong supporter of various other philanthropic organizations including the Junior Diabetes Research Foundation and St. Jude Children’s Research hospital. As an outdoor enthusiast, Mr. Fioretti enjoys extreme adventures including mountain climbing, hiking, diving, and biking, as well as traveling the country with his two teenage children.

Wissam Francis is an Executive Vice President of Corporate Finance at Tricon Capital Group Inc, an asset manager and principal investor focused on the residential real estate industry in North America with $2.5 billion of assets under management. Mr. Francis has extensive experience in capital markets, M&A, corporate fi nance and strategy formulation. He has over 15 years of experience in real estate and has been actively involved in various projects and sectors, including retail, commercial, industrial, offi ce, residential, mixed-use and development projects.

Prior to joining Tricon, Mr. Francis was a senior member of Ernst & Young LLP’s Transaction Real Estate advisory practice. Prior to that, he was the Director of Finance and Acquisitions at First Capital Realty.

Mr. Francis has a CPA and CMA designations and holds an MBA from Wilfrid Laurier University, a Master of Arts in Economics from the University of Waterloo, and a Bachelor of Arts in Finance and an Honours Degree in Economics from the University of Western Ontario.

Steven M. Friedman is a partner in the real estate practice of Ernst & Young LLP, located in Washington, D.C. Steve is a partner in the National Tax Department and the fi rm’s National Director of its Housing and Land Development practice.

Steve’s principal areas of knowledge include mergers and acquisitions, the structuring of transactions, restructurings, and cross-border and multinational real estate investment and fi nance. He is nationally recognized as an expert in the taxation of real estate and construction, partnerships (including limited liability companies) and joint ventures. Steve’s clients include publicly held and multinational enterprises involved in single and multifamily home building, land development, construction, operation, management and fi nance. His clients range from more than 20 publicly held companies (including real estate investment trusts) to entrepreneurs and their privately held business enterprises. Additionally, Steve also has served on the advisory board of three privately held regional real estate development and homebuilding companies.

A frequent speaker and author, Steve has lectured at numerous programs and institutes, including recent program offerings by the William & Mary Tax Conference, the National Multi Housing Council, the Urban Land Institute, the District of Columbia Bar, Builder Presidential Summit and Builder 100, the California and Florida bars, the Pacifi c Coast Builders Conference, and the American Bar Association Real Estate Tax Committee.

He is the current chair of the Advisory Council of the William and Mary Tax Conference, a former member of the planning committee of the University of Southern California/Lusk Center’s annual real estate conference and a former adjunct faculty member of USC’s Graduate School of Business. Steve previously has served on the adjunct faculty of the Graduate School of George Mason University and has been an instructor at Fordham University.

Steve is a graduate of Georgetown University (BSBA) and the Fordham University School of Law (JD). He is a member of the Counselors of Real Estate, a fellow of the Homer Hoyt Institute and a fellow of the Royal Institution of Chartered Surveyors.

Richard Fultz is a member of Ernst & Young LLP’s Tax Controversy and Risk Management Services practice assisting clients in working effectively with the Internal Revenue Service to address tax risk issues and obtaining tax certainty.

Prior to joining Ernst & Young LLP, he worked in the IRS Offi ce of Chief Counsel for 18 years starting in the Washington DC District Counsel offi ce where he litigated cases in the US Tax Court. Following that he worked in the Offi ce of the Associate Chief Counsel (International) as a Special Counsel, Field Service and as a Deputy Associate Chief Counsel, (International) (Strategic International Programs). In that capacity, he oversaw the participation of the Offi ce of Chief Counsel in multinational organizations such as the Organisation for Economic Co-operation and Development (OECD) and the Joint International Tax Shelter Information Centre (JITSIC). During his time with the Offi ce of Chief Counsel he also served as the Deputy Division Counsel (International) in Large Business and International (LB&I) Division. Richard was a trial attorney in the private sector prior to joining the Offi ce of Chief Counsel, litigating cases in state and federal courts.

He attended the University of Florida for his BS; the University of Florida, College of Law, for his JD; and the Georgetown University Law Center for his LLM Taxation.

Gary Gasper is co-leader of Ernst & Young LLP’s Washington Council Ernst & Young practice. He assists clients on a variety of matters before Congress, the White House, the Department of the Treasury and the Internal Revenue Service. Gary provides services related to federal tax legislative and regulatory matters involving corporate taxation, fi nancial products, tax-exempt entities, employee benefi ts, insurance taxation and other areas.

From 1989 to 1993, during Presidents George H.W. Bush and Clinton administrations, Gary served as Senior Tax Advisor in the Offi ce of Tax Policy at the Department of the Treasury and as Assistant to the Internal Revenue Service Commissioner. Gary was selected by President George W. Bush to serve on the 2000 “Transition Team” for the Department of the Treasury. He previously worked at a leading national law fi rm and served as an Attorney-Advisor to the Honorable Judge Perry Shields of the US Tax Court. Gary also served as Tax Advisor to the National Commission on Economic Growth and Tax Reform (Kemp Commission).

Mr. Gasper is Treasurer and on the Board of Governors of the Metropolitan Club of the City of Washington. He also currently serves as Trustee of the Protestant Episcopal Cathedral Foundation (PECF), the board that oversees St. Albans School, the National Cathedral School, Beauvoir, and the National Cathedral. He previously served on the Finance Committee (and US Open Finance Subcommittee) at Congressional Country Club, is a member of the Union League Club of Chicago, and is on the Board of a tax-exempt health association.

Gary received a BS in Accountancy from the University of Illinois, a JD from DePaul University College of Law and an LLM in Taxation from Georgetown University Law Center. He is a Certifi ed Public Accountant and lawyer licensed in the state of Illinois and in the District of Columbia. Gary is the former Chair of the American Bar Association Section of Taxation’s Government Relations and Formation of Tax Policy committees.

Robert J. Girvin has served as the Vice President of Tax for Toll Brothers Inc, based in Horsham, Pennsylvania for the last ten years. Prior to joining Toll, Bob was a Principal with Ernst & Young LLP for ten years; fi ve years in their local practice in Northern Virginia, and fi ve years in National practice based out of Los Angeles. Before joining Ernst & Young LLP, he spent ten years with PepsiCo Inc., based in Purchase NY, holding Tax Director position, working at Corporate, Frito-Lay in Dallas, TX, and Taco Bell, in Irvine, California. A graduate of Manhattan College, Bronx, NY, Bob’s professional tax accounting experience also includes work in Government, Banking, and Private Practice.

John Goodman is Chief Executive Offi cer and only non-family partner of the Lewis Group of Companies, a privately held, diversifi ed real estate enterprise operating in California and Nevada. He is responsible for the corporate functions of the Lewis Group, including fi nancing, tax and strategic planning; MIS, legal, risk management and joint venture relationships in addition to land acquisition feasibility and commercial development. John started with the company in 1978 as Chief Financial Offi cer and was named Chief Executive Offi cer in 1992.

John graduated with a BS in Accounting summa cum laude from Cal State University – Long Beach and received a JD from Pepperdine University. In 1969, John was the Southern California Sports Broadcasters’ Scholar-Athlete of the Year.

Robert N. Goodman is Chairman & CEO of The Resmark Companies. The founder of Resmark, Mr. Goodman has 40 years of experience in real estate fi nance and asset management. Since establishing Resmark in 1995, he has guided more than 180 equity investments, with over 28,000 units of residential single-family and multifamily real estate, representing approximately $9.7 billion in cumulative and anticipated revenue to date. Currently, Resmark manages more than $1 billion in investment capital.

Mr. Goodman has served on the boards of directors of four publicly traded companies, including two real estate investment trusts (REITs). He currently sits on the Board of Regents of the City of Hope, the Executive Committee for the USC Lusk Center for Real Estate and has recently joined the UCLA Ziman Center for Real Estate Advisory Board. For many years, he was on the boards of the Los Angeles Police Foundation, City of Hope National Medical Center (including two years as Chairman of the Beckman Research Institute) and Oakwood School (an independent K-12 school in North Hollywood, California).

Mr. Hackler joined Castlelake, a global institutional alternative investment fi rm, in 2006 and is a partner and portfolio manager responsible for originating and managing sub-performing and non-performing private US debt and asset investments. Mr. Hackler’s broad expertise includes large and small balance commercial and industrial (C&I) loans and portfolios; commercial real estate; developed and undeveloped residential and commercial land; acquisition; development and construction (AD&C) opportunities; master planned communities; equipment and transportation leases and assets; and agricultural investments. Mr. Hackler has established and currently manages several joint venture relationships with special servicing partners and asset managers in the asset classes of focus for Castlelake.

Prior to joining Castlelake, Mr. Hackler was an investment banker at Piper Jaffray Companies (PJC), where his experience included mergers and acquisitions, leveraged buy-outs, lead-managed equity offerings, debt offerings, and private placements in the health care group. Prior to PJC, Mr. Hackler was an analyst at Midland Financial Group (MFG), a private fi rm specializing in acquiring mortgage loan servicing portfolios. Prior to MFG, Mr. Hackler founded, raised angel equity for, managed and sold an internet web hosting company while in college.

Mr. Hackler received his BS in Finance from Southern Nazarene University.

Lisa HallForest City Stapleton, Inc.

Lisa Hall is the Community Development Director at Forest City Stapleton, Inc.

Ms. Hall began working for Forest City in 1997 and is now responsible for Stapleton’s residential for-sale program. Responsibilities include creating and maintaining the overall segmentation program, setting lot prices, selecting and contracting with builders, and coordinating land sales. Ms. Hall oversees the architectural design direction of each neighborhood and approves lotting and colors on a street by street basis. She is also on the Board of Directors for Stapleton Design, is a design review member on the Stapleton Design Review Committee, and is on the Design Review Board for the Stapleton Master Community Association. Ms. Hall has recently been a judge for the 2015 McSam Awards in Dallas and the 2015 Gold Nugget Awards for the Pacifi c Coast Builders Conference.

Prior to joining Forest City, Ms. Hall served as a litigation paralegal for several law fi rms in Denver.

William La HerranUCP, Inc.

Mr. La Herran has served UCP’s Chief Financial Offi cer and Treasurer since its incorporation in May 2013 and as Chief Accounting Offi cer since February 2014. Beginning in 2005, he served as the Chief Financial Offi cer of Union Community Partners, and beginning in 2008, he served as the Chief Financial Offi cer of UCP, LLC, which is now a subsidiary of UCP, Inc. During his tenure with UCP, Mr. La Herran has managed the fi nance and accounting activities of the company, including recapitalizing the company in 2007, initiating the Benchmark Communities homebuilding operations in 2010, and expanding operations in the US Southeast via purchasing a private homebuilding company in 2014.

Since 2012, he has raised over $330 million in capital for UCP including a 2013 initial public offering as well as the issuance of senior secured debt commitments and private placement of unsecured term debt. Mr. La Herran led UCP’s implementation of a company-wide ERP system completed in 2014. Mr. La Herran has over 30 years of fi nance experience in and with a broad array of industries and fi nancing structures, including extensive exposure to real estate and the high tech industries.

He previously was a co-founder and a board member of Envision Schools, Inc., a non-profi t charter high school organization in San Francisco, California and a board member of St. Matthew’s Catholic School in San Mateo, California. Mr. La Herran currently serves as a member of the St. Mary’s Rugby Alumni Board. He received a BS in Business from St. Mary’s College in Moraga, California.

Mr. Merdian serves as LGI Homes’ Chief Financial Offi cer, Secretary and Treasurer. He was elected Secretary and Treasurer in 2013. Prior to becoming the Chief Financial Offi cer in 2010, Mr. Merdian was Controller from 2004 through 2010.

Prior to joining LGI in 2004, Mr. Merdian served as Accounting and Finance Manager for The Woodlands Operating Company, where he specialized in accounting and fi nancial analysis of real estate ventures, focusing primarily on residential and commercial developments. Prior to The Woodlands Operating Company, Mr. Merdian served as an accounting manager working at the Williamson-Dickie Manufacturing Co. and as a senior auditor for Coopers & Lybrand, L.L.P. Mr. Merdian has worked in residential real estate and homebuilding fi nance since 1998.

Mr. Merdian is a Certifi ed Public Accountant and is a member of the Texas Society of Certifi ed Public Accountants.

Dave MessengerCentury Communities Colorado, LLC

Currently CFO for Century Communities, Mr. Messenger has extensive experience in fi nance and accounting for real estate companies. His direct responsibilities are overseeing all capital markets, accounting, fi nance, risk management and fi nancial planning and analysis. Prior to Century Communities, Mr. Messenger was at UDR, Inc., a publicly traded multifamily real estate investment trust, from August 2002 to May 2012, most recently as Chief Financial Offi cer.

Mr. Messenger is a member of the American Institute of Certifi ed Public Accountants and the Virginia Society of Certifi ed Public Accountants. He is licensed in Virginia as a Certifi ed Public Accountant. Mr. Messenger holds both a BBA/BS and an MA in Accounting from the University of Iowa.

Rodney Montag, CEO & Managing Partner for RAM Real Estate Capital, has been in the residential real estate development, construction and fi nance industry for 27 years. Prior to forming RAM, he was the Managing Director of Mountain Real Estate Capital where he was responsible for new business origination and capital market needs. Before Mountain, he started a real estate investment platform at Cantor Fitzgerald to take advantage of distress opportunities that occurred in the recession that started in 2008.

From 1996 to 2008, Rodney was partner at Spectrum Communities where he ran the land acquisition and development group and coordinated the company’s sale to WCI Communities in 2004. He was a key member of the management team that grew Spectrum from a $25 million local homebuilder to a $250 million regional subsidiary of a public company. He spent the fi rst 10 years of his career building and developing apartment buildings in New York City for Procida Construction and Development.

Rodney graduated from Washington University in St. Louis with a BA in Architecture and is a member of the Urban Land Institute.

Michael Petrolino is the Vice President of Taxation for Lennar Corporation. He has been in that position for the past 10 years. He has had a relationship with Lennar, as a Tax Partner with Deloitte & Touche since 1998. During his tenure with Lennar he has had responsibility in structuring many signifi cant transactions. Prior to Lennar Mike spent over 21 years with Deloitte & Touche where he was a tax partner in the National Tax Services Group. He was responsible for providing corporate tax planning services to major American companies throughout the United States.

Mike is a CPA in Florida and New Jersey and received his Masters of Science in Taxation from Seton Hall University and a Bachelors of Arts in Accounting from William Paterson University.

Kurt is a senior manager in Ernst & Young LLP’s Real Estate, Hospitality and Construction practice. Kurt has 12 years of experience serving a variety of public and privately held clients.

Kurt has provided accounting, audit, merger and acquisition, and business advisory services to engineering and construction companies, traded and non-traded real estate investment trusts (REITs), real estate opportunity funds, homebuilders and land developers. Kurt has experience in accounting technical matters, including revenue recognition, cost accumulation and capitalization, fair value reporting, and business combinations. Mike is a partner in the Real Estate Tax group in the Atlanta offi ce of Ernst & Young LLP. He has over 23 years of public accounting experience, including client service relationship, and National Tax.

Mike has extensive experience in serving real estate funds, the hospitality industry, corporate real estate and real estate investment trusts (REITs). He also advises companies in the areas of capital markets, partnerships, joint ventures, and mergers and acquisitions. Mike has signifi cant experience in structuring complex investments in real estate. He has worked extensively with very large and complicated joint venture structures in accounting for various partnership matters, including proper maintenance of capital accounts and related income allocations; accounting for Section 704(c) differences, accounting for tiered ownership structures; determining basis adjustments under Sections 754, 743 and 734; determination of partners tax basis; and disguised sale calculations.

Mike’s clients include commercial and multi-family real estate developers, real estate funds, public and private REITs, homebuilders, land developers, and hotel operators. He is responsible for service delivery in all areas of tax compliance, including corporate, partnership and individual tax return preparation and consolidated returns with multi-state fi lings and tax aspects of consolidated net operating losses. Mike has experience in outbound and inbound US tax planning for international clients including withholding taxes, Foreign Investment in Real Property Tax Act (FIRPTA) and treaty- and treaty related issues.

He founded, and was managing partner of, the Las Vegas offi ce of Ernst & Young LLP prior to returning to the Orange County offi ce.

He has assisted numerous real estate companies with formation/reorganization transactions and dispositions/liquidations.

Peter also serves as the secondary review partner on numerous real estate and hospitality companies, including homebuilders, multifamily, fund managers, commercial investors, time-share companies and hotel resort gaming companies.
