General conditions of sales

1. GENERAL pOiNTS1.1 This document is intended for direct customers (hereinafter referred to as “Customers”) of CAME Cancelli S.p.A. (hereinafter “CAME”). 1.2 It is intended to define the rules that govern all purchase contracts concluded between CAME and each customer (hereinafter referred to as “General Conditions of Sale”). 1.3 The purchase contracts subject to the General Conditions of Sale refer to products with the CAME brand (hereinafter referred to as “Products”).1.4 Under no circumstances can the General Conditions of Sale constitute a direct offer from CAME to third party purchasers of the Products nor can they in any way bind CAME against third party customers, i.e. the end purchasers of the Products.

2. OFFERS ANd QuOTES 2.1 Offers made by CAME to Customers via the METEL electronic price list remain effective for a maximum period of 30 (thirty) days from the date on which they are sent.

3. ORdERS 3.1 Pursuant to article 1329 of the Italian Civil Code, purchase orders signed by Customers and addressed to CAME constitute a firm, irrevocable proposal for a period of 30 (thirty) days from the date on which they are received by CAME.3.2 The purchase contract is concluded with:a) written confirmation of the purchase order by CAME; orb) actual fulfilment of the purchase order by CAME. 3.3 Any change or addition to individual provisions of the General Conditions of Sale or purchase order are ineffective unless expressly approved in writing by CAME. In the event of changes to the purchase order, CAME reserves the right to cancel both the changes and the original purchase order. 3.4 The date of delivery of the Products specified in purchase orders is always only approximate and any delay with respect to this date does not confer a right to claims for compensation or action to terminate the contract. In particular, CAME reserves the right to extend the terms of delivery and cancel the purchase order for reasons of force majeure or events beyond its control; change in the legal status of the Customer; difficulty in procurement of raw materials and components.

4. dELiVERY ANd ShippiNG 4.1 The Products will be delivered at the place of production or at the registered office of CAME (hereinafter referred to as “Delivery”). 4.2 In the event that the Products are delivered ex-works Dosson di Casier INCOTERMS 2010, the transfer of risk takes place from the time of delivery of the Products by CAME to the Customer, which also assumes the cost of transportation. 4.3 Unless otherwise specified, CAME decides, on behalf of and on account of the customer, on the type of shipment, routes and shipping firms that will be used. 4.4 CAME reserves the right to make partial deliveries or fulfil orders in part. All partial deliveries will be invoiced individually and payment terms shall be effective from the date of each invoice. Payment of partial deliveries cannot be deferred until the completion of deliveries for the original purchase order. Even in the case of partial deliveries, the provisions of article 4.1. will apply.

5. pRiCES ANd pRiCE LiSTS 5.1 Price means the price stated in the latest CAME price list, for Products delivered to the Customer, inclusive of normal packaging and exclusive of VAT and delivery charges (hereinafter referred to as the “Price”). The latest price list issued by CAME replaces all previous price lists. If there is a change in the price list during the period of 30 (thirty) days referred to in article 3.1, the purchase order will apply the price list in force at the time of receipt thereof by CAME.

6. pAYMENT 6.1 The Payment of the Price must be made within the agreed period. Notwithstanding the most damage, failure to pay the Costs within this period will incur in interest on late payment of commercial transactions, to the extent provided for by Italian Legislative Decree no. 231 of 9.10.2002 (such as transposition of the Directive of the European Parliament and Council 2000/35/EC and of the Vienna Convention of 11.04.1980, ratified by the Italian state with Law no. 765/1985) and subsequent amendments and updates. Such interest will run from the expiry of the time limit for payment and will be due with the third payment request from CAME.6.2 The Customer may not propose questions or make exceptions against CAME until paying in full.6.3 In the event of irregularities in payments, CAME reserves the right to block all purchase orders and all deliveries in progress without any notice or right to compensation for any damage.

7. RETuRNS ANd COMpLAiNTS 7.1 All complaints must be made in writing within 8 (eight) days of receipt of the Products, whether related to the quantity or quality of the Products delivered.7.2 The returns of the Products delivered will only be accepted by CAME upon written agreement and only with respect to new

Products complete with the original packaging. 7.3 The returns must be accompanied by the relevant return transport documents, indicating the written authorisation of CAME as well as the quantity and quality of products. 7.4 Returned goods will not be given 'accepted' status unless delivered according to what is explained above and, any mere delivery to one of the company's premises will in no way mean the goods have been accepted by the company.

8. wARRANTY 8.1 This warranty in commercial relationships or in the event of a sale of goods for professional use is provided in compliance with Article 1512 of the Italian Civil Code and, unless otherwise agreed between the Parties, it is limited to the repair or replacement of the part of the Product recognised by CAME as defective with regenerated equivalents (hereinafter referred to as “Conventional Warranty”). 8.2 The application of the provisions laid down in Articles 1490-1495 of the Italian Civil Code, relating to the legal warranty, is excluded. Consequently, no damages will be due by CAME under art. 1494 c.c.8.3 CAME guarantees the good working order of the Products. Unless otherwise agreed, the validity of the Conventional Warranty is 24 (twenty four) months from the date of production, as marked on the Products. For tubular motors from the Art range with mechanical limit switches, the warranty is 60 (sixty) months from the manufacturing date. The Conventional Warranty is subordinated to the respect of the technical specifications and proper state-of-the-art installation, safety and compliance with intended use, all of which is stated in the technical documentation supplied with the Products.8.4. The Conventional Warranty does not cover consumer goods, installation activities, maintenance and assembly; for any damage or malfunctioning generated by factors which are external to the Product, on existing yet-to-be made installations, or those caused by environmental interference of any nature that exceed the limit values established by law. Also, the Conventional Warranty expires in case of ascertained tampering with or improper use of the Product. 8.5 Implementing terms: unless otherwise agreed, the right to the Conventional Warranty is exercised by showing a copy of the purchase document (fiscal invoice) to CAME. The Customer must report the defect to CAME within 30 (thirty) days of discovery. The action must be brought within the limitation period of 6 (six) months from discovery. The pieces of the Products for which activation of the Conventional Warranty is requested must be sent back to the Customer at the CAME SERVICE department located in Via della Pace 28, 31030 Dosson di Casier, Treviso. Italy.8.6 The customer may not request compensation for indirect damages, lost profits, loss of production and in any case may not demand payment for damages of sums greater than the value of the components or of the supplied parts. All costs for the transport of the Products to be repaired or which are already repaired, even if covered by the Conventional Warranty will be borne by the customer.8.7 No external intervention carried out by the technical staff of CAME is covered by the Conventional Warranty. 8.8 Specific changes to the conditions of the Conventional Warranty described herein may be defined by the parties in their commercial contracts.

9. REpAiRS 9.1 The repair of Products requested by the customer will be carried out by CAME, subject to agreement on the cost of the intervention. In any case, the cost of labour and the delivery (both ways) will be borne by the Customer.

10. RESERVATiON OF OwNERShip 10.1 By express agreement, the Products remain the property of CAME until full payment of the Price by the Customer, regardless of who has possession of the Products. The costs for transport costs and others necessary in order to recover the Products, such as extraordinary and repeatable expenses, will be charged to the Customer.

11. pATENTS, TRAdEMARKS ANd LOGOS 11.1 The Customer acknowledges that the Products are protected by patents and are the subject of know-how and design constituting the exclusive property of CAME, under the Industrial Property Code (Italian Legislative Decree no. 30/2005).11.2 The customer is expressly prohibited from violating said CAME rights and in any case from removing, suppressing or in any way altering trademarks or other distinctive signs or logos of any kind from the products, and in the same way it is prohibited to affix any of any kind. Any other form of use or reproduction of the CAME trademark is prohibited, as is that of any logo on products, unless otherwise authorised in writing by CAME.

12. TERMiNATiON CLAuSE 12.1 Pursuant to article 1456 of the Italian Civil Code, the failure to pay or delayed payment, even partial, of the Price by the Customer, according to the procedures laid down in Article 6 of these General Conditions of Sale, will involve termination of the purchase contract, with CAME being entitled to ask the customer for the damages suffered, in addition to the return of the Products in relation to which the Customer has not paid the Price.

13. AGREEMENTS BETwEEN ThE pARTiES 13.1 In the event of agreements, existing or occurring, between CAME and the Customer, in relation to returns and payment methods, such agreements will prevail over what is established in the General Conditions of Sale.

14. AppLiCABLE LAw ANd JuRiSdiCTiON14.1 The purchase contracts concluded under the General Conditions of Sale are subject to and will be interpreted in accordance with the provisions of Italian law, to the exclusion of any other right. 14.2 All disputes will be subject to Italian jurisdiction and come under the exclusive competence of the Court of Treviso (Italy).
