CORPORATE / M&A

We advise our clients on matters of ordinary corporate management and on all transactions which are milestones of the development of a corporate business, from incorporation, start-up and equity investments, to the phase when the company needs to strengthen its market position or to reorganise its business through acquisitions, sales, mergers, capital transactions or the issuance of corporate finance instruments or when a family corporation has to face generational transition. We apply the methodologies of the most sophisticated corporate structures in a simple and efficient way to small and new corporate businesses when they mature into larger commercial and economic entities. PRACTICES

BANKING

We advise our clients on banking and financial matters, both with regards to acquisition financings (including operations performed in the context of public tender offers), in real estate financings, assisting our clients on leveraged finance and mezzanine finance transactions or in the negotiation of financings required for the ordinary operations of a corporation. We advise our clients on the full gamut of corporate finance and banking transactions, including factoring, assignment of receivables, structured and project finance, assisting both lenders and borrowers (industrial or financial corporations, entrepreneurs or private investors). We cooperate with our clients in the structuring and negotiation of syndicated financings and of the connected security packages, both in domestic and international transactions, fully applying, if needed, international banking standards. With regard to the restructuring or rescheduling of debt, we advise our clients both when the restructuring is driven by efficiency goals and in insolvency scenarios, guiding clients trough the juridical routes provided by bankruptcy law.

RESTRUCTURING & INSOLVENCY

We accompany our clients during corporate restructuring or internal reorganisation, both when companies are in financial distress or when they need to implement a strategic reorganisation. To this end we combine our corporate and banking expertise with our litigation and bankruptcy practices. We have developed a significant experience in advising extraordinary administrations where the procedures had significant cross-jurisdictional elements, liaising with the international banking environment and cooperating with the bankruptcy practices of leading law firms in each jurisdiction.

INTELLECTUAL PROPERTY

The technological, commercial and creative know-how, together with trademarks, patents and in general any component which identifies the company and its products, arethe most important assets of any business and its strongest competitive tool. We help companies to maximise the value of their intangible assets and to protect them, identifying the most appropriate legal solutions to defend and manage patents, trademarks, distinctive components of the products, domain names, know-how, trade secrets, software and copyright. We have extensive expertise in licence agreements, assignment of trademarks, patents and know-how, joint ventures set up for the implementation of research and development projects, agreements for cinema co-production or for the assignment of copyrights and agreements for licence of ornamental models.

COMMERCIAL CONTRACTS

We assist our clients in identifying the most satisfactory legal solution to meet the commercial needs of the business in relation to national and international commercial agreements (sales, distribution, supply, commercial agency, licence, consultancy or service agreements) and with regard to joint ventures. When defining the legal solution, we consider national and international standards applying them to meet the industrial and commercial needs of our clients.

LITIGATION

We are aware that involvement in litigation is burdensome for the client both from a cost and from an operational perspective. Our advice is therefore aimed at avoiding litigation if possible and applying all the tools of the alternative dispute resolution. When litigation cannot be avoided, a timely action becomes the key factor and to this end we focus on an efficient analysis of the case and the rapid definition of an appropriate litigation strategy. Our clients from Italy and abroad have chosen us to manage their corporate or commercial litigations before courts or national and international arbitration panels, in industry sectors as diverse as pharmaceuticals, consumer goods, IT, banking, financial instruments and insurance.

ENERGY

Eunomia combines its advanced skills in corporate and commercial law with an in-depth knowledge of the energy industry.

The experience of the Firm in the energy sector has been progressively gained through years of hands-on practice on the local, national and international level, by dealing

with administrative procedures for obtaining permits and authorizations, engineering, procurement and construction contracts, turnkey contracts, contracts of operation and

maintenance, legal support in relation to company mergers & acquisitions and to operations in project financing.

Our professionals have gained a versatile and multi-branches experience due to their involvement in some of the most interesting and key transactions of the Sector. They are

constantly updated on the continuous evolution of the relevant legislation and are commonly recognized as experts in the field of energy law both at national and

international level.

We advise our clients on projects connected to the development, acquisition and sale of plants for the production of electric and thermal energy from renewable resources

such as wind farms, photovoltaic and biomass plants. We also advise our clients on the application process to obtain admission to Gas, Electric, Green Certificates and

Environmental markets regulated by the GME and GSE as well as to the Italian/European ETS Register.

During the years, we advised our clients on high profile transactions when the Italian energy market was liberalized defining and negotiating the financial and corporate

structures governing some of the major players in the electric power industry. During the so-called “Conto Energia” (2007-2013) we advised several national and

international clients for the development, construction, financing, and operation of PV Plants for a nominal peak power of more than 250 MWp.

EMPLOYMENT

We advise our clients on the main matters relating to employment and collective bargaining agreements, information to unions with regard to mergers, acquisitions, transfer of going concerns, corporate and industrial reorganizations and restructurings. We also assist our clients in the negotiation of employment agreements with particular regard to the structuring of agreements concerning benefits, severance payments, incentive plans, both for managers and white collar employees, advising Italian and foreign companies and multinational corporations active in Italy. To this end, with regard to matters having significant complexity and materiality, we cooperate with the counsel of notable law academics.

REAL ESTATE

We advise private and public investors, from Italy and abroad, in acquisitions, management and disinvestment of commercial, private housing, historical, valuable, industrial and hotel real estate. We accompany our clients on the full gamut of real estate operation, from evaluation to development, financing, furthermore in carrying out major works, construction and management of funds, combining the experiences developed in different fields. We cooperate with the counsel of high level specialist, with regard to matters having significant complexity, on procurement matters, planning, environmental and tax law. We have extensive expertise in redevelopment projects and development of historic and valuable properties, in particular of local estate such masserie and trulli in Puglia, and local houses in Tuscany, also aimed to entrepreneur initiatives in the field of tourism. (Magister Legum in Jura) in German law at the Law School of the University Ludwig Maximilians Universität Műnchen”in Munich, under the guidance of Prof. Dr.Dr.h.c.mult C.W. Canaris.In 1995 she practiced as a lawyer at prestigious Munich law firms Campanella Kohwagner & Partners and Nachmann and in the in-house legal office of Hypo-Bank Hypoteken-und Wechsel Bank, also in Munich.In 1996 she came back to Italy where she worked in leading Italian law firms. In particular she worked at Pavia & Ansaldo, Milan office and at Pirola Pennuto Zei & Associati, Milan and Rome offices.After starting a collaboration with Prof. Giuseppe Tucci, Professor at the Law School of Bari, in 2006 she became a partner of Lexjus – Sinacta, Bari office.During her activity as a lawyer, Caterina has been assisting both Italian and foreign companies and she specializes in international business law, franchising, industrial sub-supply, intellectual property, unfair competition, transportation law and renewable energies.On 1 October 2011 she has been appointed Honorary Consul for the Federal Republic of Germany for Apulia Region and on 1 November 2011 she has been appointed as representative for the Italian-German Chamber of Commerce of Milan for Apulia Region. Alvise earned his law degree from the University of Rome, La Sapienza, magna cum laude, in 1997 and qualified as a lawyer in 2001. He studied also at the University of Law of Utrecht.Alvise trained and then worked in leading law firms in Italy. He worked at Gianni, Origoni, Grippo & Partners in association with Linklaters, at the firm of Professor Francesco Carbonetti and at Legance Studio Legale Associato. From 1999 she was appointed Partner responsible for the litigation and IP department of Simmons & Simmons, Rome, and then became Of Counsel at Gianni, Origoni, Grippo & Partners in association with Linklaters.Marta is an international lawyer specialised in commercial and IP law, with a focus on domestic and international litigation and arbitration, in particular in the following industrial fields: pharmaceuticals, IT, consumer goods, financial services and banking.

Roberto earned his law degree from the Second University of Napoli in 1999 and qualified as a lawyer in 2004.In 2001, Roberto attended the Postgraduate Course in Corporate Tax law at Università Commerciale Luigi Bocconi, Milan (Italy). In 2002,Roberto earned the LL.M, Master of Laws, degree in Corporate and Securities Law at the Queen Mary, University of London.Roberto worked in leading law firms in Italy. In particular he worked for long time at Gianni, Origoni, Grippo & Partners in association with Linklaters and, then, at Labruna Mazziotti Segni, where he specialised in banking & finance and corporate finance, advising several of the major Italian and foreign investment banks and companies on transactions of acquisition financing, restructurings of existing financial indebtedness, structured finance, financing supporting public tender offers and real estate financing as well as assignments of receivables. Mr. Pezone received his Law degree cum laude at LUISS Guido Carli in Rome in 1999, while he achieved his Ph.D. degree in “Economics, politics and law of international financial institutions and markets” at La Sapienza University in Rome in 2005 and, in 2008, he earned a master’s degree (LL.M.) in Corporate Law at Columbia University in New York.Attorney at law (Avvocato) from 2002, he was admitted at the New York Bar in 2008. Francesco worked in leading law firms in Italy and abroad. In particular he worked for long time at Grande Stevens Associazione Professionale in Turin and thereafter as Foreign Associate at Paul, Weiss, Rifkind, Wharton & Garrison LLP in New York (U.S.A.).As corporate lawyer, Mr. Pezone advises Italian and foreign clients in matters concerning corporate and commercial law and in particular in the renewable energy sector and in connection with strategic and legal advice to start up companies.Mr. Pezone is lecturer at I.U.C. (International University College) in Turin, where he teaches a course named “Start Up Companies Law and Financing”, within the I.U.C. LL.M. program.Mr. Pezone has published some papers on issues concerning energy law, civil law, corporate law and capital markets.



AVV. VANESSA SOLIMENO

Vanessa earned her law degree, magna cum lode, from the University of Naples “Federico II” in 2002, and qualified as lawyer in 2006, even achieving the Honor Toga Year 2006 (Toga d'onore 2006) (2nd classified at the exam for the Italian qualification as lawyer in Naples Court of Appeal). In 2007, she also gained a Phd in Public and Constitutional Law at University of Naples “Federico II”.She has been senior associate at the international law firm “Orrick, Herrington & Sutcliff”, Rome office, banking and structured finance department, where she has reached a specific expertise in the securitization transaction, focused on public finance and advising primary investment banks, both Italian and international, in a wide range of transactions concerning monetary claims towards public entities (securitisation, purchase of receivables, factoring transactions, settlement transactions).She has also dealt with several project financing transactions concerning the renewable energies, and in general with international transactional agreements.Vanessa principally is focused on structured finance and banking and finance sector. During 2012 she has also been appointed as arbitrator into four national arbitration concerning project financing law cases.

AVV. STEFANO ZANGRANDO

He graduated cum laude in 1993 at University of Milan, passed the exam to become Avvocato in 1996 and to become a Solicitor in England and Wales in 1998.He has worked at Studio Giliberti Pappalettera e Triscornia (previously Colesanti – Giliberti) until 2014.He advises Italian and foreign clients principally on corporate law, contractual and commercial matters, in particular in relation to extraordinary transactions (e.g. sale and purchase of participations, transfer of business, lease of business), also at cross border level.He also assists clients in litigation, in particular before arbitral tribunals.He is fluent in English and Spanish.
