IT.1 General These Instructions to Tenderer (ITT) issued by Qatar Petroleum (QP) outline the

procedures to be followed for completing and submitting Tenders. Tenderer shall comply with any public tender advertisement or invitation to tender and these Instructions to Tenderer while preparing its Tender submission. Failure to provide all of the required materials and information, or failure to fully comply with these instructions may result in the rejection of the Tender submission by QP.

The following words and expressions shall have the meanings herein assigned to them: Definitions Commercial Part/Package/Information Contract Technical Part/Package/Information Tender Bond Tender Document Tenderer or Bidder or Vendor

Unless otherwise defined in these ITT, words and expressions shall have the message assigned to them by the General Conditions of Contract (GCOC) included with this Tender. That part of the Tender that pertains to rates, prices and monetary values, as well as the GCOC, and further contains the contents and information outlined in IT.15.11 and 15.13 The agreement between QP and Tenderer as concluded by means of a formal duly executed Letter of Acceptance and Award of Contract followed by a duly executed contract document That part of the Tender that pertains to the work, services and/or supply scope, deliverables and related requirements, and further contains the contents and information outlined in IT.15.10 A written security in the form of an acceptable unconditional and irrevocable bank guarantee issued in accordance with IT.13 and Part 1 (D). A set of documents in either electronic, or paper format, or both issued to Tenderers describing the required works/services/supplies and the relevant Terms and Conditions against which Tenders should be submitted. Any natural or juristic person who submits a Tender to QP in response to an invitation to Tender.

Tender Number/No Tender

Represents the QP Tender reference number and may denote such terminology or references as “Master RFQ Number” and/or “RFQ Number”.. An offer by Tenderer (including all documents, attachments, appendices, drawings, specifications, standards and the like) subject to and in accordance with the terms and conditions of this ITT and the Tender Document.

IT.2 Validity of Tender Tenders shall be valid for a period not less than one hundred twenty (120)

calendar days from the closing date. QP intends to notify all Tenderers of the result of their Tenders during this period. If Tenderer retracts or withdraws its Tender during the period of its validity without receiving authorization from QP, QP may, at its sole discretion, without the need for summons, notice or other legal formalities:

(i) encash the Tender Bond, and (ii) exercise any other rights stipulated in the Tender Documents.

Without invalidating, accepting, or rejecting any Tender, and upon QP determining that the tendered price exceeds competitive limits, QP shall have the right to request a Tenderer in writing to reconsider its tendered price..

IT.3 Familiarization with Laws of Qatar Before submitting a Tender, the Tenderer shall thoroughly familiarize itself with

all the laws, including but not limited to Qatar Labor laws, applicable to the work or services to be performed, and the Qatar Ministry of Economy and Commerce requirements regarding commercial registration of companies and other authorizations required to conduct business and work / services in Qatar prior to commencing any work or service activity in Qatar. By tendering, the Tenderer represents its conformance with aforementioned, as well that the necessary allowances were made in the Tender Price for compliance with all laws, rules, regulations and procedures applicable in the State of Qatar or those applicable in any other country where any portion of the work or services will be performed.

IT.4 Tender Document and Acknowledgement 4.1 The Tender Document consists of: a. Instructions to Tenderer b. Form of Tender and Appendix c. Form of Agreement

d. General Conditions of Contract and Appendices 4.2 Except for the documents listed below, QP is issuing the Tender Documents in

electronic format (viz. Compact Disc Rom “CD”) only. Such electronic Tender Document (e-TD) is an exact copy of the Tender Document in original paper format retained by QP. QP makes no representations as to the data or information quality in or of the e-TD.

4.3 Tenderer must complete the Schedule of Prices electronically without any

alterations, changes, insertions or additions of new or additional items and prices and extract and print it on paper format of the duly completed Appendix B (Schedule of Prices). Tenderer shall also extract a paper format copy of the Form of Tender from the e-TD and complete the Form of Tender in paper format. The duly completed and executed paper formats of the Form of Tender and Appendix B (Part 1 (C) shall be returned along with duly completed electronic format in Microsoft Excel (in same version issued by QP) when submitting the Tender submission in accordance with IT-15 below. Where QP has issued a revised or updated Appendix B during the course of bidding the Tenderer shall return the latest issued Appendix B. The Schedule of Prices must be printed on A4 size paper, without any page setup alterations. Tenderer shall sign and affix its company stamp to each aforementioned page.

4.4 Subject to Clause IT.9 (‘Tender Bulletins’), Tenderer shall use the e-TD without

making any alterations or amendments thereto whatsoever except for entering the rates and prices with maximum two decimal places, quantity (if required) with maximum three decimal places, and the other applicable currencies, if Qatar Riyals as currency to tender in is not specified. In the event of any discrepancies between the e-TD and the original QP paper Tender Document, the contents of the original paper Tender Document shall prevail. Subject to IT.17 and in the event of an Alternative Tender, the latter must be submitted separately and not be included in, or form part of Appendix B in accordance with Clause IT.4.3 above.

4.5 The Tenderer must ensure that the Tender Document received are complete and

Tenderer must return the Form of Acknowledgment (Part 1 (B)) within five (5) working days of receipt thereof. The Form of Acknowledgment must be completed, signed and delivered by hand or transmitted by fax to the address indicated in this Form of Acknowledgement.

4.6 Upon written request by the Tenderer, made at least ten (10) working days prior

to the Tender closing date, the original paper format Tender Document shall be made available for the Tenderer’s perusal at following QP office(s): Room No. 31, Building No. 5, Ras Abu Aboud, Qatar Petroleum.

4.7 Tenderer must notify QP in writing immediately upon discovery of any

discrepancy, omission or ambiguities are discovered in the Tender Document.

IT.5 Ethics and Secrecy 5.1 QP is committed to the ethical conduct of business practice and expects its

employees and contractors to conduct themselves at all times in accordance with the highest standards of ethics and integrity. Should there be any violation of these principles by the Tenderer, QP will immediately take the strongest possible action available to it under any contract or applicable laws and regulations. This action may include, without limitation, suspending and/or disqualifying the Tenderer from participating in existing Tender and also prohibiting the Tenderer from participating in future tenders with QP.

5.2 The Tenderer must abide by the terms of the Letter of Undertaking appended

hereto as Part 1 (E) which must be completed and signed by the Tenderer and delivered by hand to the address indicated in the Letter of Undertaking within five (5) working days of collection/receipt of the Tender Document.

5.3 The Tenderer shall also abide by the terms of the Secrecy Declaration appended

hereto as Part 1 (F) which must be completed and signed by the Tenderer and returned by hand to the address indicated in the Secrecy Declaration within five (5) working days of collection/receipt of the Tender Document. In addition, where the Tenderer is a foreign company with a local Qatari sponsor or agent that will not perform work or services as a subcontractor for the Tenderer, the Tenderer must also together with the Form of Acknowledgement submit a Secrecy Declaration signed by its local Qatari agent or sponsor.

IT.6 Site Visit and Mid-Tender Meeting 6.1 The Tenderer may be requested to attend a site visit and/or a mid-tender meeting

in order to become familiar with the physical and other conditions pertaining to the work or services to be performed. Such visits shall be attended entirely at Tender’s own risk, cost and expenses. It is strongly recommended that the Tenderer attend any scheduled site visit and mid-tender meeting.

6.2 The Security Pass Application Form to enable the Tenderers to attend any site

visit is appended herewith as Part 1 (G). If required, Tenderers must complete this Form and return it together with a copy of the Passport and 2 (two) photographs of each attendee, when so notified of the site visit details. The attendees nominated for the site visit by Tenderer shall be in possession of a valid Qatar residence permit or business/work visa. Persons holding any other category of visa shall not be allowed to visit QP site/installations.

Tenderer’s representatives attending a site visit at any of QP’s facilities (mainly at offshore facilities or hazardous areas) must be in possession of a valid H2S/BA certificate. Tenderers are advised to make their own arrangements for attending the same. Tenderers may also arrange the H2S/BA certificate at their own cost from any of the following accredited training institutes in Qatar, or any other third party training institute approved by QP:

a) Venture Gulf Safety Training School b) National Academy for Professional Training c) Total Safety d) Enertech – Doha e) Qatar International Safety Center (MADINA) Tenderer shall provide its representatives who attend the site visit with the necessary protective/safety clothing.

6.3 The Tenderer may designate no more than two (2) representatives to attend the

mid tender meeting and/or site visit on its behalf and at its own cost. Only one (1) representative may be designated to attend a site visit at any of QP’s offshore facilities. Attendance by representatives of Tenderer's Principal/Subcontractors shall be permitted only in those cases where the Tenderer has informed QP in writing, prior to the site visit/mid-term meeting date, the names of the companies whom it intends to nominate as its Principal/ Subcontractors.

IT.7 Queries and Communication 7.1 All queries and communication pertaining to the Tender must be raised by the

Tenderer and not by local agents/sponsors. Any queries relating to the Tender Documents or submitting a Tender must not be raised by telephone or personal contact, but must be submitted in writing, preferably by fax, to the following address:

E-Mail: [email protected] 7.2 Correspondence should be directed to the attention of Manager, Well Integrity

(Offshore Flds), WI(O) Fax No. (00974) 40139652, Doha, Qatar (with copies to CNO/5. Fax No. (00974) 40139416). Any response issued will be in the form of a question and answer and will be distributed to all Tenderers without revealing the identity of the originator in the Form of Tender Bulletins. In order to prevent delays and ensure QP and Tenderers easily establish the origin of the queries, the Tenderer is required to specify the references of such queries in clear terms.

Queries must be received at the above address at least ten (10) calendar days prior to the Tender closing date. Any queries received after such date will be ignored.

7.3 Queries or correspondence during the Tendering process, including the Tender

evaluation period, must only be directed to the QP Department at the contact information as per IT.7.1 above and not to any QP employee by name. Any violation of this instruction by the Tenderer may invalidate its Tender.

IT.8 Fully Informed It is expected of Tenderer to inspect the worksite and surrounding locations and

acquaint and satisfy itself as to the nature of the work or services, the correctness and sufficiency of the rates and prices submitted and general local conditions, especially ground, climatic, sea, other water and weather conditions which could affect the work or services.

IT.9 Tender Bulletins Any addendums, clarifications or meeting minutes will be issued as Tender

Bulletins and sent to all Tenderers during the Tendering period. The Tenderer shall acknowledge receipt of all Tender Bulletins on the “Form of Tender” and shall allow for any costs in connection therewith in the Tender Price.

IT.10 Governing Language The Tender Document, including the Tender and all communication must to be in

the English language. IT.11 Tender Rates and Prices The Tenderer shall submit prices and/or rates for all items required by the

Schedule of Prices. All amounts must be quoted in Qatar Riyals unless expressly required otherwise in the Schedule of Prices. The rates/prices must be quoted to the second decimal.

IT.12 Form of Tender The Tenderer shall complete the enclosed Form of Tender (Part 1 (C)) which

must be signed by a person duly authorized to sign on behalf of the Tenderer. A valid power of attorney on the Tenderer’s company or entity letterhead and signed by the duly authorized signatory of Tenderer must be attached to the Form of Tender identifying the authorized signatory. QP may reject any Tender that is not submitted on the Form of Tender.

IT.13 Tender and Performance Bonds 13.1 The Tenderer must submit a Tender Bond with its Tender. The Tender Bond

must clearly refer to this Tender No. and as indicated on the covering letter issued at the time of Tender collection. The value of the Tender Bond shall be in Qatar Riyals 360,000.00 (Qatari Riyal three hundred sixty thousa nd only)

13.2 The Tender Bond must be issued by a bank operating in Qatar. Cash or cheques

are not acceptable. A bank guarantee or bond issued in respect of another tender is not acceptable. Bonds issued by insurance companies are not acceptable. The wording of the Tender Bond must be exactly in accordance with the format appended hereto as Part 1 (D).

13.3 The period of validity of the Tender Bond must be for not less than one hundred

fifty (150) calendar days after the Tender closing date. In the event QP request an extension of the Tender validity period, and the Tenderer agrees to such

extension, the Tenderer must revalidate its Tender Bond for the extended Tender validity plus thirty (30) calendar days.

13.4 Tenders not accompanied by a valid Tender Bond that is not exactly in

accordance with the format appended under Part 1(D) may be rejected by QP without the need to notify the Tenderer thereof.

13.5 In the event that it is required of the Tenderer to whom a Contract is awarded

(“Contractor”) to provide QP with a final bank guarantee in the form of a performance bond (“Performance Bond”)as stipulated in the GCOC, the Tender Bond shall remain valid until the Performance Bond is accepted by QP. If the Contractor fails to provide the Performance Bond within the specified period, QP may immediately encash the Tender Bond without the need for summons or notice or other legal formalities. The Performance Bond must reveal the QP Contract number. The Contract number (which usually would represent the Tender No., except for the “T” in Tender No. to be replaced by “C” in the Contract number).

IT.14 No Alterations to Tender Documents 14.1 No erasures, alterations, additions or deletions must be made in or to the Tender

Document. Any Tender that is incomplete or contains unauthorized alterations may be rejected by QP.

14.2 Any corrections made in the Tender must be initialed by the person authorized to

sign the Tender. IT.15 Submission of Tenders 15.1 The Tender (inclusive of all accompanying documents) shall be bound securely

together and enclosed in a wax sealed envelope and shall be delivered to: The Secretary, General Tenders Committee Qatar Petroleum 6th Floor, Head Quarters Building, West Bay P. O. Box 3212 Doha - Qatar not later than 12:00 hours on the due date. 15.2 The envelope shall be clearly marked on the outside with the name of the

Tenderer, the Tender Number and work or service description stated on the Form of Tender and with the official Tender closing date and time.

15.3 Tenderer must complete and submit with its Tender the form attached hereto as

Part 1 (J) (“Tender Submission Form”). This form must be submitted with the Tender as a separate document and not included in the sealed envelopes with the Tender. The Tenderer must affix its initialed company stamp to the Tender Submission Form. If Tenderer fails to comply with the requirements set forth in this IT.15.3 the acknowledgement of receipt as set forth below will not be issued by QP.

15.4 The completed Tender Submission Form will be signed by the QP recipient and returned to the person who delivered the Tender. This will serve only as acknowledgement of receipt of a package with the same title and number as printed on the Tender Submission Form. In the event that the Tender is submitted by registered mail, the acknowledgement of receipt as set forth above will not be issued by QP unless it is collected by the Tenderer from the office of the Secretary of the QP General Tenders Committee.

15.5 The Tender must be received before the above time and date, at the above

address either by registered mail or by messenger. The method of delivery is the sole responsibility of the Tenderer.

15.6 Any Tender submitted after the time limit specified on the closing date may be

rejected. 15.7 Subject to IT.15.10 the Tenderer must submit one (1) fully and duly executed

original paper format plus two (2) identical, secure and non-alterable, non-encrypted, human eye readable electronic copies of the aforementioned on compact disc (CD or DVD) of its Tender. Subject to IT.15.11 the Tenderer must submit one (1) fully and duly executed original paper format plus one (1) copy paper format of aforementioned, plus one (1) identical, secure and non-alterable, non-encrypted, human eye readable electronic copy of the aforementioned on compact disc (CD or DVD) of its Tender. The original duly executed paper formats shall be clearly marked “ORIGINAL”.

15.8 The Tenderer must affix its initialed company stamp to every page of the

ORIGINAL which must include all parts of the Tender Document. Every page of the Tender must be consecutively numbered and must align with the Tender Check-List (Item 6, Part 1 (I)).

15.9 The Tenderer must separate the Technical and Commercial Parts of its Tender

and submit in two separate sealed packages with each package clearly identifiable and respectively marked “TECHNICAL” or “COMMERCIAL” .

15.10 It is QP’s intention to open and evaluate the technical part first. The Technical

Package must not contain any commercial information, but only the following:

a) original Tender Bond; b) completed Appendices to the GCOC (except Appendix B ); c) technical details of any Alternative Tender; d) declaration of Privately Owned Company (if applicable); e) tender Check-List duly filled up as per Part- 1( I ); f) un-priced Commercial information (exact copy of the commercial part of

Tender with prices duly blanked out); g) un-priced and signed Form of Tender acknowledging receipt of all Tender

Bulletins; h) notary certified copy in English of Commercial Registration Certificate in

accordance with IT.16; i) information in respect of consortium/joint venture tender stipulated in

IT.25; j) vendor Registration form, duly filled and signed in original. If the Tenderer

is participating in a QP tender for the first time and has not yet registered

with QP, or if already registered, where the Tenderer’s contact information has changed;

k) a copy of the signed Letter of Undertaking and Secrecy Declaration as submitted to QP by Tenderer within five (5) working days of collection/receipt of the Tender Documents pursuant to IT.5 herein above;

l) color copy of Tender Bond, which must also be included in any CD/DVD.

15.11 Subject to IT.15.8 and 15.9 above, the Commercial Package must contain the following:

a) completed and signed Form of Tender; b) completed Schedule of Prices (Appendix B) in two (2) original formats plus

one secure and non-alterable, non-encrypted, human eye readable electronic copy of the aforementioned on CD/DVD. The CD/DVD containing the Schedule of Prices shall be placed in a separate envelope and included in the sealed envelope of the Commercial Package;

c) commercial details of any Alternative Tender pursuant to IT.17. 15.12 The Tenderer must tender in full compliance of all terms and conditions of the

ITT, Tender Document, the GCOC and all Appendices attached to the GCOC, as well as submit all details, forms and information as required by the GCOC and Appendices. The accurate completion of the schedules attached under the “Contractor Resources” and “Contract Execution Plan” appendices is mandatory, and shall form the basis for evaluation of the Tenderer’s technical competence and ability to carry out the works and services, and may become a part of the Contract. Failure to submit a complete Tender compliant to all terms and conditions, including the GCOC, or failure to comply fully with these ITT in any way may result in the Tender being rejected by QP.

15.13 Tenderer’s Commercial Package must include all costs associated with the

complete performance of the work or services. If the Tenderer is of the opinion that any part of the Tender requirements are not clear in terms of responsibilities/obligation/liabilities, the Tenderer must raise this as a query and seek clarification from QP prior to submitting its Tender. No changes to the Commercial Information shall be entertained by QP during tender evaluation stage, unless the tender requirements are changed by QP.

15.14 This Tender is issued subject to the condition that the Letter of Undertaking as

required in Part I (E) is submitted to QP by Tenderer pursuant to IT.5 herein above.

If the above-mentioned condition is not fulfilled, QP shall have the right to reject

the Tender. IT.16 Registration & Ownership Declaration (i) Both foreign and local companies acting as offeror in accordance with this

Invitation to Tender must submit proof of its/their legal status and capacity to contract by submitting a notary certified translated proof in the English language, together with a certified copy of the original, of its company/commercial registration certificate from its country of origin. Aforementioned must also have valid Qatar State authority to do business in Qatar. The registration requirements

differ depending on the nature and type of business to be conducted, and whether the service to be performed is an engineering consultancy service or otherwise. Tenderer shall ensure that it complies with the relevant Qatari legal and registration requirements before submitting its bid.

(ii) Local companies must submit a notary certified translated proof in the English language, together with a notary certified copy of the original of their updated Qatar commercial registration certificate with their Technical package. Foreign Companies shall submit proof of their application for registration with the relevant Qatar State Authority within ten (10) days after receiving the written notification of acceptance of their Tender or written notification of Contract award by QP, and a copy of their registration certificate within thirty (30) days after receiving the written notification of acceptance of their Tender or written notification of Contract award by QP. This does not apply to foreign companies who will not perform any work or services in Qatar.

(iii) A foreign company that will not perform any work or services in Qatar must

notwithstanding, and subject to IT.16 (i), submit a notary certified translated proof in the English language, together with a certified copy of the original, of its company/commercial registration certificate from its country of origin.

(iv) Privately owned Qatari companies shall complete and submit with their Technical Package the “Declaration of Privately Owned Company Form” appended as Part 1 (H). A foreign company with a local Qatari agent or sponsor shall also submit this Form in respect of its sponsor or agent with the Tender.

(v) All Local and International Engineering Consultancy Offices must comply with the

provisions of Law No: 19/2005 for the Regulation of the Practice of Engineering Professions together with its Executive Regulations and commence in the registration and issuance of the Certificate proceeding immediately after award of the Contract.

IT.17 Alternative Tender

17.1 Pursuant to IT 15.12 each Tenderer must as a minimum submit a valid fully compliant Tender in accordance with all the terms and conditions of the Tender Document, failure of which may invalidate or disqualify the Tender.

17.2 In addition to IT.17.1 above, and in the event of any proposed deviation,

change, alteration or amendment to any term, condition and/or provision of the Tender Document, Tenderer must submit the aforementioned in the form of an Alternative Tender, complete Annexure I attached to Part 1(I) (Tender Check List of ITT) appended hereto, and include the Technical part of this Alternative Tender with its Technical Package.

17.3 Any commercial or time impact as a result of any proposed deviation,

change, alteration or amendment to any term, condition and/or provision of the Tender Document must be included in a separate pricing schedule or table and included in the Commercial Package as per IT.15.11 above.

17.4 If no Alternative Tender is included in the Technical Package, any deviation, change, alteration or amendment to any term, condition and/or provision of the Tender Document made or referred to by Tenderer shall be ignored by QP. Likewise, the inclusion of the aforementioned in the Commercial Package without the Alternative Tender included, or referenced in the Technical Package shall render the Tender void..

IT.18 Correction of Arithmetical or Other Errors Should the tendered amount expressed in words differ from the amount

expressed in figures, or if there is an arithmethical error in the Tender, or if there is a variance or discrepancy between the tendered amounts contained in the paper and electronic formats respectively of the Schedules of Prices submitted by the Tenderer as per IT.4, the lesser amount shall be considered during evaluation by QP unless the difference is attributable to a calculation error, whereupon the error may be corrected by QP and the so corrected amount shall be considered by QP.

Any adjustment, correction, clarification or amendment made by QP to a Tender

shall be communicated in writing to the Tenderer for Tenderer’s written acknowledgment prior to the date of award of the Contract.

IT.19 Acceptance or Rejection of Tenders and Incurred Costs QP is under no obligation to award a Contract or accept the lowest or any Tender

and will not assign any reason for the rejection of any Tender. QP will not be responsible for any costs or expenses incurred by the Tenderer in connection with its Tender, any site visit, attending meetings, obtaining additional insurance, etc., or for the formation of the Contract should the Tenderer be successful. The Tenderer shall not have any recourse or redress whatsoever if QP, for whatever reason, awards the Contract to another Tenderer or does not award any Contract at all.

IT.20 Notification of Acceptance of Tender and Award of Contract

QP shall notify the successful Tenderer in writing of QP’s acceptance of its Tender and award of the Contract by means of a written Letter of Acceptance of Tender and Award of Contract. The acceptance of the Tender and award of the Contract will authorize the Contractor to commence the work/services/supply under the Contract subject to the conditions precedent stated therein pertaining, amongst others, to: a) submission and acceptance by QP of the Performance Bond as per Contract;

and b) submission and acceptance by QP of necessary proof of insurance coverage

as stipulated in the GCOC and/or Appendix C thereof; and c) submission of the documents, if any, required for finalizing the Contract. Failure by Contractor to submit above-mentioned documentation acceptable to QP within the time period stipulated in QP’s Letter of Acceptance of Tender and Award of Contract notification, may result, at QP’s sole discretion, without the need for summons or notice or other legal formalities, in the attachment and

encashment of the Tender Bond as well as the exercise of any of QP’s other rights and remedies.

IT.21 Signing the Contract

21.1 Following receipt and acceptance by QP of the above-mentioned required instruments and documentation, QP shall prepare the contract document and issue the same for signature.

21.2 Failure by Contractor to sign the Contract on, or before the QP specified

required date may result, without the need for summons or notice, or other legal formalities, in QP:

a) attaching and encash the Tender Bond; or b) after expiry of the Tender Bond the attachment and encashment of the

Performance Bond; and/or c) exercise any of QP’s other rights and remedies stipulated in the

Contract; and/or d) the ipso facto termination of the Contract.

IT.22 Submission of Grievances The Tenderer shall have the right to submit a grievance to QP’s Chairman of the

Board of Directors in respect to any action(s) taken by QP under Clauses IT.2, IT.20 or IT.21. The grievance must be submitted in writing within fifteen (15) calendar days of the action. The Chairman’s decision in respect to the grievance shall be final.

IT.23 Contract Award details QP reserves the right to publish, in whatever manner it chooses, details of its

evaluation of the Tenders and award of Contract, including:

a) the identity of all Tenderers; b) the identity of technically acceptable Tenders; c) result of the commercial evaluation of the technically acceptable Tenders,

including prices; d) Contract award details.

IT.24 Return of Tender Document The Tender Document, including any drawings, specifications, etc., remains the

sole property of QP. If a Tenderer decides not to submit a Tender it shall return the Tender Document to QP.

IT 25 Criteria for submission of Bids by Consortiums/Joint ventures

25.1 QP may agree to the submission of Tenders by a consortium or joint venture.

25.2 Where a Tender is submitted by a consortium or joint venture that is not a

duly registered separate legal entity, the following shall apply:

(a) it shall be indicated in the Tender that the Tender is submitted by a

consortium or joint venture. The name of the leader of the consortium or joint venture shall also be specified;

(b) it shall be confirmed in the Tender that the parties to the consortium or

joint venture shall accept joint and several responsibility for discharging all obligations under the Contract;

(c) where the Tender is submitted or signed by the leader of the consortium or

joint venture on behalf of the consortium or joint venture, the Tender shall clearly define the respective roles and responsibilities of each member. In this event the Tender shall also contain the original of a duly signed power of attorney from each member authorizing the leader to sign and/or submit the Tender on behalf of the consortium or joint venture;

(d) QP shall exchange communication during tendering with the leader of the

consortium or joint venture only. Correspondence exchanged by QP with the leader shall be binding on the Consortium members’;

(e) in the event of award of Contract to a consortium or joint venture, the

Contract document shall be signed by all members of the consortium or joint venture. However for the remittance of payment, consortium or joint venture partners signing the Contract shall identify the leader of the consortium or joint venture and the payment shall be made to him as per his record in QP’s vendor registration details.

H) not give, or receive from, any QP employee anything of more than nominal value;

and I) not offer, promise, give, pay, request or accept any bribe, gift or inducement in

the form of money or otherwise to/from any of QP’s officers, directors, employees and any other authorized representatives, for the purpose of inducing him/her to act contrary to the known rules of honesty and integrity, or influencing his/her behavior for improperly obtaining or receiving favorable treatment; and

J) immediately notify QP when they become aware of any violation of the above.

The Company understands and agrees that any violation of any of the principles mentioned above will be treated as a material breach of the duties assumed under this Letter of Undertaking, and acknowledges that should the Company be found in violation of the said principles, QP will immediately take the strongest possible action available to it under any contract or applicable laws and regulations. This action may include, without limitation, suspending and/or disqualifying the Company in the relevant Tender and prohibiting the Company from participating in further tenders with QP. The Company acknowledges and agrees that QP, acting directly or through its authorized representative(s) or agent(s), shall have the right to conduct and audit with respect to the matters which are the subject to this Letter of Undertaking. of any third party or enable any third party to peruse copy or use any documents, data or other information

i) placed at the disposal of the TENDERER by or on behalf of QP for

carrying out the Work and/or the preparation of the Tender; ii) which TENDERER may in any other way acquire from QP and which are

directly or indirectly related to the Work and/or the preparation of the Tender;

iii) which TENDERER has prepared or will prepare in connection with the

preparation of the Tender, insofar as such documents, data and other information contain any information placed at the disposal of TENDERER or acquired by TENDERER as referred to in (i) and (ii) above.

In the event that the Work is not entrusted to TENDERER, TENDERER shall immediately return to QP all documents and data referred to Item 1, paragraphs (b) (i) and (ii).

The secrecy obligation as set forth in Item 1 above shall not apply:

(a) if and insofar as the fact and/or any of the documents, data and other

information referred to in Item 1 paragraphs (a) and (b) respectively are part of public knowledge or literature at the date of their receipt by the TENDERER as from such date;

TENDERER shall ensure so far as reasonably possible, that if under the terms of this declaration any of the documents, data and other information (or the facts contained therein) referred to in Item 1, paragraph (a) and (b) respectively come to the knowledge and/or in the possession of any third party through the actions or fault of the TENDERER, such third party shall also be bound by the stipulations contained in this declaration.
