I'd like to4 read an opening statement:5 This is to advise the general public6 that in compliance with Chapter 231 of the7 public laws of 1975 entitled "Senator Bryon M.8 Baer Open Public Meeting Act," the New Jersey9 Casino Control Commission on December 4th,

10 2015, filed with the Secretary of State at the11 State House in Trenton an annual meeting12 schedule. On December 9, 2015, copies were13 mailed to subscribers.14 Members of the press will be permitted15 to take photographs. We ask that this be done16 in a manner which is not distracting to the17 Commission.18 The use of cell phones in the public19 meeting room is prohibited.20 Any member of the public who wish to21 address the Commission will be given the22 opportunity to do so before the Commission23 adjourns for the day.24 Please stand for the Pledge of25 Allegiance.

10 during the Division's investigation.11 Subsequently the Division and Miss Freeman12 entered into a stipulation of settlement which13 resolves these financial issues.14 Miss Freeman was advised of her right to15 appear today. She does not appear to be16 present.17 Brian Biscieglia is here on behalf of18 the Division.19 CHAIR LEVINSON: Thank you very much.20 MR. It is a position of the20 Division that such extensions are available21 only in the absence of adverse information,22 which in this case, there is negative23 information present.24 I would further add that additional time25 will not resolve this matter. It was indicated

We have asked him to produce5 substantiating documentation to support these6 deductions that he's taking. 10 amendment the returns. He's refused to do11 that.12 He's provided us with varied13 explanations about these deductions. The14 Division has expended substantial time and15 resources on this matter. Dr. Pannah simply16 should not be allowed to benefit from the delay17 that all of this back and forth has caused.18 I would add, also, that there are19 individuals on the agenda today, for instance,20 that have financial matters that they have21 addressed. And it just isn't fair to those22 individuals who addressed those matters to23 allow Dr. Pannah to extend his temp key when he24 has refused to cooperate with us, essentially.25 Thank you.

I -- the Petition is21 a Joint Petition because it's -- obviously we22 have two parties, and they have separate23 counsel.24 On June the 10th, 2015, you approved the25 change of ownership structure of TTMA which

1 ITEM NO. 112 essentially simply mirrored the confirmed plan3 of reorganization. The net result of that plan4 was that IEHI, LLC, is a hundred percent equity5 owner of the Taj Mahal and its lender. IEHI,6 LLC, is indirectly owned by IEP. IEP is the7 owner of Tropicana Entertainment, 66 and8 two-thirds percent owner of Tropicana9 Entertainment.

10 And with that approval, you imposed11 certain conditions. And those conditions have12 been satisfied with the exception of those, one13 of which has been extended regarding a capital14 plan, and operation plan in light of the fact15 that there's been a -- going to be a proposed16 management company come in to do some of that.17 And after your approval, it took a bit18 of time to satisfy the conditions that were in19 the bankruptcy, but there came a point in time20 on February 20, 2016 -- 26th, in fact -- when21 they were satisfied and the plan was22 consummated, went effective.23 And thereafter on March the 1st, there24 was a management agreement entered between a25 wholly-owned subsidiary of Tropicana Atlantic

1 ITEM NO. 112 City, TEI, Tropicana -- and TTMA. That's the3 agreement that's before you.4 I submit to you, Chairman, and Mr.5 Brooks will elucidate it further, that it6 satisfies all the requirements of the Act. It7 specifically gives complete control of the8 casino floor to the management company.9 It's for of sufficient durational term.

10 And, most importantly, and what I think you11 look at when you're trying to address this, is12 kind of the more difficult question is, this13 ten-percent requirement, that there be some14 kind of -- which one can assume that the15 legislators intention was that the person who's16 managing it has something at risk in this17 thing. You know, that they have some skin in18 this game. That they're, you know -- and I19 think it's probably one of the more20 self-evident propositions that satisfies it.21 Because in the end, the managed property is 10022 percent owned by the same person who owns23 two-thirds of the entity which is managing it.24 You'd probably have a harder time finding a25 more congruent interest in success than you

It's significantly greater.4 We would ask that you, after reviewing5 this and hearing what's presented, that you6 would approve the agreement so that they can7 begin the efforts under the agreement and TEI8 can begin to manage this property and,9 hopefully, bring it back to where it belongs.

10 CHAIR LEVINSON: Thank you.11 MR. O'GARA: Thank you.12 CHAIR LEVINSON: Mr. Brooks?13 MR. BROOKS: Thank you, Chairman14 Levinson.15 I would indicate that in connection with16 that, most of the arguments that Mr. O'Gara has17 talked about we join in and, of course, a lot18 of that has been addressed in the Division19 report.20 The two things that we're looking for in21 terms of relief that I think are just a little22 bit discretionary in terms of what the Division23 has to look at and the Commission has to look24 at in terms of today is the request for the25 waiver of -- or finding that we have satisfied

1 ITEM NO. 112 the ten-percent requirement. Mr. O'Gara has3 articulated the reasons for that.4 Again, because of the interests that are5 aligned here and the inter -- interactions and6 interrelationships, I think that we can7 certainly satisfy at least the spirit of what8 was intended in terms of that provision.9 With respect to the licensure issue,

10 we're asking for relief on the requirement that11 TEI Management Services obtain a casino12 license. The Act was amended in 2011 to allow13 for a lessor form of licensure, the CSIE14 license, and we're requesting that relief in15 this case. I think that's appropriate, largely16 for the reasons articulated in the Division17 report. There is certainly control here.18 Enough control to satisfy the requirements for19 a management agreement under Section 82B but --20 and C. But also in connection with this, there21 is a significant event of the owner. The owner22 has a casino license. And, accordingly, I23 think the lessor form of licensure is24 appropriate in this case, particularly since,25 again, with the interrelationships, you have a

1 ITEM NO. 112 situation where the folks that are involved3 here on TEI Management Services are also4 licensees and involved as qualifiers with the5 license holder at Tropicana.6 So with that, I would indicate that I7 have with me here today Tony Rodeo, who is the8 president and CEO of TEI Management Services9 and Bill Murtha who is the Executive Vice

10 President and General Counsel and Secretary of11 TMI Management Services, and we're prepared to12 present testimony in from Mr. Rodio in support13 of our application.14 CHAIR LEVINSON: Thank you.15 Miss Richardson?16 MS. 3 A. I'm the president and CEO of TEI

4 Management Services as well as Tropicana

5 Entertainment.

6 Q. I want to draw your attention to the

7 March 1st, 2016, Management Agreement entered into

8 by -- or between TEI Management Services and Trump Taj

9 Mahal Associates. Assuming the Management Agreement

10 is approved by the Commission, could you describe for

11 the Commission some of the initial matters that the

12 management team will address.

13 A. Reviewing the existing operating plan,

14 operating strategies, marketing strategies, in

15 particular, as well as the capital needs of the

16 facility and developing updated budgets and strategies

17 based upon our initial review.

18 Q. Could you describe to the Commissioner

19 Commission any initial plans contemplated by the

20 parties in initial capital expenditures?

21 A. Yeah. The property has already received

22 approval to spend $15 million initially to fix some

23 pressing issues that we think are critical to get

24 corrected by the summer. Those include, there are

25 about 150 -- maybe little bit more than that -- rooms

1 TONY RODIO - DIRECT2 that are out of service that require some improvements3 made to them so that they can be put back into4 service. And those will be addressed. There's some5 leaks on a variety of the different roofs. Most6 notably, the Etess Arena as well as the Xanadu Theater7 and the top of the Chairman Tower. And it's critical8 if we get those corrected.9 And we've also received approval to

10 purchase 250 additional -- or new slot machines that11 will be in service by the beginning of the summer.12 Q. Again assuming the Management Agreement13 is approved by the Commission, can you share generally14 the goals of the management team in terms of business15 operations at Taj Mahal?16 A. Certainly the goal is to improve the17 operations. Stabilize of the property and improve the18 operations. I liken the situation that we're walking19 into here very similar to what I walked into in 201120 when I became the President of Tropicana Atlantic21 City. The property had emerged from bankruptcy. The22 place was in need of physical improvements. You know,23 there hadn't been a lot of capital deployed. The24 employee morale was horrible. And the customer base25 was shrinking. All those same things exist today at

1 TONY RODIO - CROSS2 that time Taj Mahal. And it's our goal, as I said, to3 make it turn around similar to what we did at4 Tropicana and address each of those quickly.5 MR. BROOKS: Thank you. You know, similar to what we did at23 Tropicana -- and, again, I think it's a perfect24 analogy. The things that we did at the25 Tropicana was first to secure the integrity of

And8 then once you have the integrity of the9 building -- building secured, then I think you

10 look to begin to add additional amenities and11 things like that. But those plans, it's just12 too preliminary to tell you what those would13 be.14 COMMISSIONER COOPER: Okay.15 THE WITNESS: But we would employ the16 same strategy, as I said, that we did at the17 Tropicana.18 COMMISSIONER COOPER: Okay. 17 have to be a multi-casino endorsement who

18 didn't. There are going to be people that work

19 at TEI Services, LLC, who will be at the Taj

20 Mahal, who will be physically located at the

21 Taj Mahal.

23 MR. O'GARA: And they'll be performing

24 those services on the payroll of the Taj, but

25 they are employed by this entity. There are

1 TONY RODIO2 some people in what's called the home office3 which is, in fact, Tropicana Entertainment.4 Tropicana Entertainment, unlike a lot of5 companies, is largely headquartered here. So6 your CFO is here. Your CEO is here. They are7 not in Las Vegas. There may be some of those8 employees who do work that affects Trop. They9 stay at the other Trop properties and also

10 affects the Taj. Those are the people who11 would be called "home office" employees. And12 to the degree they require a multi-casino13 endorsement, when they do it, we'll apply for14 it and get the endorsement. It's kind of using15 the assets without forming a separate services16 company, which if you're not familiar with it,17 can become quite a nightmare.18 THE WITNESS: I apologize. I wasn't19 sure of the technical aspect of the question.20 But just in practical terms, from my21 standpoint, there will be individuals that will22 work -- that work for Tropicana that will be23 responsible just for things at Tropicana.24 There will be people at the Taj Mahal that are25 strictly responsible for the Taj Mahal, and

And like any other prudent7 business, and we need to be able to show that.8 Obviously, the uncertainty of North Jersey9 shows some question into how much should be

10 deployed and what should be deployed. And I11 don't think we're different -- we being12 Tropicana and Taj Mahal -- than any of these13 other six licensees in New Jersey or in14 Atlantic City right now. I -- it would be15 unwise to have a capital plan that doesn't take16 into consideration the prospect of two17 additional casinos in North Jersey. And we18 will take that approach. We will put together19 a capital program under the scenario that there20 is gaming in North Jersey and a separate one if21 there isn't. 1 ITEM NO. 112 Icahn total ownership interest of Trump3 Entertainment Resorts, the parent company, in4 exchange for the debt he held in that company.5 The Commission has also made a number of6 other findings and granted relief subject to7 certain conditions. The reorganization plan8 became effective last month. Now, Mr. Icahn,9 through TEI Management, wants to bring a new

10 management team to the Taj with the insight,11 experience, and financial support to attract12 new visitors to the Taj and strengthen its13 financial position.14 Under the Casino Control Act, every15 agreement for the management of a casino must16 be in writing, including certain mandatory17 components and be approved by this Commission.18 In addition, the agreement must provide19 for the following: That each party in the20 agreement hold a casino license or a casino21 service industry enterprise license;22 Number two, that the casino manager own23 at least ten percent of the casinos licensee's24 equity securities;25 Three, that the Management Agreement be

1 ITEM NO. 112 for the complete management of all the casino3 space and provide for the sole and unrestricted4 power to direct casino gaming operations;5 Four, that the agreement be for a long6 enough term that ensures reasonable continuity,7 stability, and independence in the management8 of the gaming operation;9 And, lastly, that each party to the

10 agreement be jointly and individual liable for11 all acts, omissions, and violations of the12 Casino Control Act by either party to the13 agreement regardless of the knowledge of the14 act, omission, or violation of or any15 provisions of the agreement to the contrary.16 I have reviewed the Management17 Agreement, considered the Division's report and18 the testimony presented today. And I am19 satisfied that each party of the Management20 Agreement will be licensed in accordance with21 the Act.22 Given that Icahn entities own Trump Taj23 Mahal Associates and TEI Management, the24 ten-percent equity ownership requirement25 clearly is satisfied.

1 ITEM NO. 112 The agreement is for the complete3 management of the Taj and provides TEI with the4 power to direct its casino gaming operations5 for a minimum of a period of five years.6 Further, each party to the agreement7 will be jointly and individually liable as8 required.9 I am satisfied that the Management

10 Agreement complies with all the relevant11 statutory requirements.12 Let me turn to the issues -- the issue13 of what kind of license TEI needs. The14 Commission has the discretion to decide whether15 TEI needs a casino license or casino service16 industry enterprise license. Given the facts17 in this case and subject to certain conditions,18 I believe the request to hold a casino service19 industry enterprise license should be granted.20 While TEI will have the required control over21 Taj casino operations, that control is not22 unlimited in a number of important and23 sensitive areas.24 Further, the Division has reviewed the25 filing extensively and have recommended,

1 ITEM NO. 112 subject to several conditions, that the3 Commission grant this request.4 Prior to the reorganization, the Trump5 Taj Mahal was on life support. In September6 2014, it sent layoff notices to more than 3,0007 employees and prepared to close its doors. But8 that shutdown was averted when Mr. Icahn9 stepped up and agreed to fund operations until

10 the reorganizational plan went into effect.11 After providing that lifeline, Mr.12 Icahn's management team are posed to -- is13 poised to breathe new air -- new fresh air in14 the Taj Mahal. I expect that this property,15 which many industry analysts have written off a16 couple of years ago, will become a vibrant17 competitor in which is now a smaller Atlantic18 city gaming market.19 If we look down the Boardwalk, we can20 see Mr. Icahn's acquisition of the Tropicana21 clearly enhanced the quality and the customer22 fell of that property. He was willing and able23 to invest in Tropicana to make it more24 attractive, more competitive, and more25 profitable. And his investments there has paid
