LOSS OR DAMAGE CLAIMS:

1. CONTROLLING PROVISIONS:

These terms and onditions shall ontrol with reset to any urhaseorder or sale of Sellers roduts. No waiver, alteration or modifiationof these terms and onditions whether on Buyers urhase order orotherwise shall be valid unless the waiver, alteration or modifiationis seifially aeted in writing and signed by an authorizedreresentative of Seller.

2. DELIVERY:

Seller will make every effort to omlete delivery of roduts as indiatedon Sellers aetane of an order, but Seller assumes no resonsibilityor liability, and will aet no bakharge, for loss or damage due todelay or inability to deliver aused by ats of God, war, labor diffiulties,aident, delays of arriers, by ontrators or suliers, inability to obtainmaterials, shortages of fuel and energy, or any other auses of any kindwhatever beyond the ontrol of Seller. Seller may terminate any ontratof sale of its roduts without liability of any nature, by written notie toBuyer, in the event that the delay in delivery or erformane resultingfrom any of the aforesaid auses shall ontinue for a eriod of sixty (60)days. Under no irumstanes shall Seller be liable for any seial oronsequential damages or for loss, damage, or exense (whether or notbased on negligene) diretly or indiretly arising from delays or failureto give notie of delay.

3. WARRANTY:

Seller warrants for one year from the date of shiment Sellersmanufatured roduts to the extent that Seller will relae thosehaving defets in material or workmanshi when used for the uroseand in the manner whih Seller reommends. If Seller examinationshall dislose to its satisfation that the roduts are defetive, and anadjustment is required, the amount of suh adjustment shall not exeedthe net sales rie of the defetive roduts only and no allowanewill be made for labor or exense of reairing or relaing defetiveroduts or workmanshi of damage resulting from the same. Sellerwarrants the roduts whih it sells of other manufaturers to theextent of the warranties of their resetive makers. Where engineeringdesign or fabriation work is sulied. Buyers aetane of Sellersdesign or of delivery of work shall relieve Seller of all further obligation,other than exressed in Sellers rodut warranty. THIS IS SELLERSSOLE WARRANTY. SELLER MAKES NO OTHER WARRANTY OF ANY

KIND, EXpRESSED OR IMpLIED AND ALL IMpLIED WARRANTIES OFMERcHANTABILITY AND FOR A pARTIcULAR pURpOSE WHIcHEXcEED SELLERS AFORESTATED OBLIGATION ARE HEREBYDIScLAIMED BY SELLER AND EXcLUDED FROM THIS WARRANTY.Seller neither assumes, nor authorizes any erson to assume for it, anyother obligation in onnetion with the sale of its engineering designsor roduts. This warranty shall not aly to any roduts or arts ofroduts whih (a) have been reaired or altered outside of Sellersfatory, in any manner: (b) have been subjeted to misuse, negligene oraidents; () have been used in a manner ontrary to Sellers instrutionsor reommendations. Seller shall not be resonsible for design errorsdue to inaurate or inomlete information sulied by Buyer or itsreresentatives.

4. SELLERS LIABILITY:

Seller will not be liable for any loss, damage, ost of reairs, inidental

or onsequential damages of any kind, whether based uon warranty(exet for the obligation aeted by Seller under Warrantyabove), ontrat or negligene, arising in onnetion with the design,manufature, sale, use or reair of the roduts or of the engineeringdesigns sulied to Buyer.

5. RETURNS:

Seller annot aet return of any roduts unless its written ermissionhas been first obtained, in whih ase same will be redited subjet tothe following (a) All material returned must, on its arrival at Sellers plant,be found to be in first-lass ondition; if not, ost of utting in saleableondition will be deduted from redit memoranda; (b) A handlingharge dedution of twenty erent (20%) will be made from all reditmemoranda issued for material returned; () Transortation harges, ifnot reaid will be deduted from redit memoranda.

6. SHIPMENTS:

All roduts sent out will be arefully examined, ounted and aked.The ost of any seial aking or seial handling aused by Buyersrequirements or requests shall be added to the amount of the order. Nolaim for shortages will be allowed unless made in writing within ten (10)days of reeit of a shiment.

claims for roduts damaged or lost in transit should be made on thearrier, as Sellers resonsibility eases, and title asses, on delivery tothe arrier.

7. SPECIAL PRODUCTS:

Orders overing seial or nonstandard roduts are not subjet toanellation exet on suh terms as Seller may seify on aliation.

8. PRICES AND DESIGNS:

9. TAXES:

The amount of any sales, exise or other taxes, if any, aliable tothe roduts overed by this order, shall be aid by Buyer unless Buyer

rovides Seller with an exemtion ertifiate aetane to the taxingauthorities.

10. NUCLEAR PLANTS:

Where the roduts, engineering design or fabriation is for nulearlant aliations. Buyer agrees (a) to take all neessary stes to addSeller as an insured under the Amerian Nulear Insurers (ANI) ool andunder the Mutual Atomi Energy Reinsurane pool (MAERp) for roertydamage and liability insurane and if neessary stes ould have beentaken, but are not taken, Buyer shall hold Seller harmless against allsuh losses whih ould have been thus overed (b) Buyer agrees to holdSeller harmless with reset to any ersonal injury (or death), roertydamage or other loss in a nulear inident whih is aused diretly orindiretly by defetive design, material, workmanshi furnished by Seller(or whih ould be so overed but with reset to whih Buyer has eletedto self-insure), and further agrees to waive subrogation by its arriers ofsuh insurane against Seller, and () as to nulear hazards for whihBuyer annot obtain insurane overage, the liability of Seller for anyersonal injury (or death), roerty damage or other loss diretly ausedby defetive design, material, or workmanshi furnished by Seller shallnot exeed the value at the time of the loss ourrene.

11. MINIMUM INVOICE:

Domesti: $100 lus transortation.International: $500 lus transortation.

12. TERMS:

cash, net 30 days unless otherwise seified.
